2 CITY CENTERS DIRECTORS VP of City Centers, 1. Must be an IIDA member in good standing. 2. Must reside or work in the City Center jurisdiction where he/she will be serving. The City Center Directors shall serve as a representative for the City Center members within their local area and shall represent the Chapter at the City Center level. City Center Directors shall be responsible for developing programs to further the education and professionalism of the City Center members within their jurisdiction. City Center (Serve) Annual & Monthly Board Meetings (Serve) 1. Communicates with the Chapter VP of City Centers & Director of Events. 2. Develop appropriate committees to further education and professionalism within their jurisdiction through programs, policies and member recruitment. 3. Organize City Center meetings. 4. Assist the Chapter wide programs held within their City Center. 5. Recruit members to fill all committee positions. 6. Provides Web and Blog content pertaining to meeting, agenda, committees and goals for their City Center 7. Attend as many City Center meetings as possible. 8. Prepare the yearly budget to summit to the Vice President of City Centers for review with The Board of Directors 9. Report on event planning and event budgets at monthly board meetings. 10. Adhere to all policies and procedures regarding communication of City Center events to the VP of Communications and the Board.

3 DIRECTOR OF EVENTS VP of City Centers, President and Chapter Board of Directors 1 Having previously served as a City Center Director or as a CO-Chair on Pret or BEST, or other events, desirable. 2 Must be an IIDA member in good standing. The Director of Events shall be a catalyst for and shall be ultimately responsible for establishing and overseeing all Major Chapter Events. The Director of Events shall serve as co-chair on Pret-a-Porter and Through the Lens and shall be on the committee in some capacity for the annual BESTawards. They shall supervise in the structure and operation of all City Center Committees. The Director of Events shall represent the Chapter with leadership, organization, operations and programs within the City Center. They shall perform such other duties as from time to time may be assigned by the President or Chapter Board of Directors. All Event Committee (Oversee) Pret-a-Porter and TTL (CO-Chair) Annual BESTawards (Serve) 1. Communicates with the Chapter VP of City Centers. 2. Reports at monthly board meetings status of chapter events. 3. Make sure all event committees are following the Policies and Procedures of the Chapter 4. Recruit members to fill all committee positions. 5. Attend as many City Center meetings as possible. 6. Prepare the yearly budget to submit to the Vice President of City Centers for review with The Board of Directors 7. Recommend and supervise appropriate committees to form programs and recommend policies relating to those issues. 8. Coordinate schedules with other Chapter functions including but not limited to: each campus center. Coordinate with ASID and other industry organizations in the area.

4 VICE PRESIDENT OF COMMUNICATIONS 1. Must have served as a member of the Communications Committee, a City Center Director, or as a committee chair at the City Center level. 2. Must be an IIDA member in good standing. The Vice President of Communications shall be primarily responsible for public relations and promotion of the local chapter to the members and to the general public. The Vice President of Communications shall serve as the Chapter secretary (or shall appoint a secretary) and shall be the custodian of all Chapter records. The Vice President of Communications shall oversee committees whose responsibilities are to promote communications (newsletter, website, calendar, media PR). The Vice President of Communications shall be responsible for communication with Headquarters for publication and inclusion of information on the International website. The Vice President of Communications shall be responsible for identifying new venues for elevating IIDA in the public eye. The Vice President of Communications will coordinate their efforts with the Vice President of Membership and the City Center directors. They shall also perform such other duties that may be assigned to them from time to time by the President and the Board of Directors. Website, Blog, and Social Media(serve) 1. See that all notices are duly given in accordance with the provisions of the Bylaws. 2. Must maintain the Chapter s annual report of programs and activities. 3. Oversees the publication of the Chapter newsletter to communicate activities, events, and important information relating to the City Centers as well as other areas of interest to the Chapter members. 4. Coordinate efforts with the VP of Membership and VP of City Centers. 5. Oversee graphics standards for all publications. 6. Establish marketing materials for all publications and membership information.

5 VICE PRESIDENT OF ADVOCACY 1. Must have served on the current Board, or as a City Center Director, or as a committee member at the City Center level. 2. Must be an IIDA member in good standing. The Vice President of Advocacy shall be responsible for the legislative and regulatory issues and affairs of the Chapter, legislative and regulatory advocacy programs for the Chapter, professional practice issues and the Chapter bylaws and policy development. These duties shall include recommendation and supervision of appropriate teams to formulate programs and recommend policies relating to those issues. The Vice President of Advocacy shall perform such other duties as from time to time may be assigned by the President or Chapter Board of Directors. Legislative Network (Chair) Professional Development (Serve) CIDC (Liaison) IIDA HQ Advocacy Symposium (Serve/Attend) 1. Responsible for maintaining and updating the Chapter Bylaws, Policies and Procedures. 2. Update members on deadlines relating to licensing issues. 3. Update Board of Legislative news and events throughout IIDA as an organization. 4. Locate our members who are crossover members and recruit them to serve as liaison with IDP, IDEC, IFMA, BIFMA and ASID and to provide communication on the activities of those groups. 5. Shall attend monthly Advocacy calls as established by IIDA Headquarters VP of Advocacy. 6. Responsible for applying for IIDA HQ Advocacy Grant 7. Update event Calendar. 8. Provide information for blog and blasts. 9. Duties shall include maintaining a close liaison with IIDA s Director of Advocacy. 10. Shall supervise any and all committees related to Advocacy issues and shall provide an annual financial analysis of the portion of the Chapter s budget relating to this jurisdiction. 11. Shall serve as or supervise a liaison to the State s coalition of which the Chapter represents.

6 VICE PRESIDENT OF MEMBERSHIP 1. Must have served on the current Board, or as a City Center Director, or as a committee chair at the City Center level. 2. Must be an IIDA member in good standing. The Vice President of Membership shall be responsible for coordination and promotion of membership. The Vice President of Membership shall be responsible for member recruitment, retention and member benefits and services. The Vice President of Membership will coordinate programs focusing on membership recruitment and will oversee any committees whose function is to promote membership. The Vice President of Membership will act as liaison between the chapter and IIDA s Senior Director of Membership. The Vice President of Membership will maintain member contact information for the Chapter roster and will oversee the application process at the chapter level. They shall also perform such other duties that may be assigned to them from time to time by the President and the Board of Directors. Membership (Chair) Members Service (Serve) Student Affairs (Serve) 1. Delegate a City Center liaison to each school/university in the Chapter and develop a working program for student participation. 2. Obtain feedback from City Centers to review and assess member services to determine the appropriateness, viability and financial soundness. 3. Assist with the development of new membership policies and procedures 4. Shall be responsible for promotion of the Chapter and the interior design industry. 5. Shall serve as Chairperson for at least (1) Membership Drive event in each City Center in a calendar year.

7 VICE PRESIDENT OF SPONSORSHIP 1. Must be an IIDA member in good standing. 2. Must be a Professional or Associate Member of IIDA The Vice President of Sponsorship shall be responsible for creating and distributing sponsorship letters and applications. He/she will create and maintain a spreadsheet of sponsor company names, contact information, and donation allocations. He/she shall distribute sponsorship acknowledgement letters to sponsors thanking them for their contribution and indicating their sponsor level. He/she shall provide accurate sponsorship listing to all event chairpersons at their request and endure that all sponsors are included in the mailing list. Contact w/ all Event Committees 1. Provide accurate sponsorship listing to all event chairpersons at their request. 2. Track all sponsorship package requirements and fulfillment of those requirements. 3. Prior to sending out any mailings or communications, you must submit a copy to the VP of Communication for approval. 4. Shall assist soliciting monetary donations for any activity that is an expense to the Chapter. 5. Shall coordinate with Event Chairpersons on the solicitation and documentation of event hosts. 6. Shall serve as Chairperson for Sponsorship Recognition Event.

8 VICE PRESIDENT OF STUDENT AFFAIRS 1. Must be an IIDA member in good standing. The Vice President of Student Affairs shall be responsible for the development and continuation of student campus centers. These duties shall include developing and overseeing student benefit programs such as mentoring, guest lectures, and workshops. They shall act as liaison between campus centers and the XX Chapter Board of Directors. The Vice President of Student Affairs shall be responsible for communicating student activities to the RMC Chapter Board of Directors and membership-at-large. Campus Center Events (serve) 1. Must act as liaison between campus centers and the RMC Chapter board. 2. Communicate all campus center activities to the Board. 3. Develop and oversee student benefit programs (mentoring, guest lectures, workshops) 4. Development of all student campus centers, including continued to search and establishment for campuses where the Chapter may not have a presence. 5. Shall insure there are student events once per quarter.

9 CONFLICT OF INTEREST FORM No board or committee member, or any member of his/her family should accept any gift, entertainment, service, loan, or promise of future benefits from any person who either personally or whose employees might benefit or appear to benefit from such board or committee member s connection with IIDA, unless the facts of such benefit, gift, service, or loan are disclosed in good faith to the board and are authorized by the board. No board or committee member should perform, for any personal gain, services to any IIDA RMC Chapter supplier of goods or services, as employee, consultant, or in any other capacity which promises compensation of any kind, unless the fact of such transaction or contracts are disclosed in good faith, and the board or committee authorizes such a transaction. Similar association by a family member of the board or committee member or by any other close relative may be inappropriate. No board or committee member or any member of his/her family should have a compensated relationship with or any beneficial interest in, or substantial obligation to any IIDA RMC Chapter supplier of goods or services or any other organization that is engaged in doing business with or serving IIDA RMC unless it has been determined by the board, on the basis of full disclosure of facts, that such interest does not give rise to a conflict of interest. This policy statement is not intended to apply to gifts and/or similar entertainment of nominal value that clearly are in keeping with good business ethics and do not obligate the recipient. Any matter of question or interpretation that arises relating to this policy should be referred to the president for decision and/or for referral to the board of directors for decision, where appropriate. I have received, read and understand fully the Conflict of Interest Statement and will comply with the statement by bringing any potential conflict of interest situations to the board for consideration.
