1 AGENDA ITEM 8 Treasure Island Development Authority City and County of San Francisco Meeting of October 12, 2016 Subject: Resolution Approving and Authorizing the Execution of a Memorandum of Agreement between the Treasure Island Development Authority and San Francisco County Transportation Authority to compensate the Authority for costs relating to Yerba Buena Island Vista Point Operations, Maintenance, Traffic Control, Security, and Shuttle Services for the period from November 1, 2016 through June 30, (Action Item) Contact Richard A. Rovetti, Deputy Director of Real Estate Phone BACKGROUND On December 17, 2013, the San Francisco County Transportation Authority ( SFCTA ), in its capacity as the San Francisco s Congestion Management Agency ( CMA ), approved award of the Yerba Buena Island I-80 East-Side Ramps construction contract, and SFCTA s contractor started work in January The San Francisco Oakland Bay Bridge ( SFOBB ) Bicycle/Pedestrian Path on Yerba Buena Island is scheduled to open prior to completion of the Yerba Buena Island I-80 East-Side Ramps construction project. The Vista Point Improvements to be constructed by SFCTA in connection with the Bicycle/Pedestrian Path will include temporary facilities such as restrooms, hydration stations, and public seating/viewing areas. These improvements will take place at U.S. Coast Guard Quarters 9 for use by bicyclists and pedestrians on Yerba Buena Island. Project Staff and SFCTA have negotiated a Memorandum of Agreement ( MOA ) to utilize the Treasure Island Development Authority (the Authority ) existing resources to oversee the Yerba Buena Island Vista Point Operations, Maintenance, Traffic Control, Security, and Shuttle Services for the period from November 1, 2016 through June 30, 2017, and compensate the Authority for these service expenses. PROFESSIONAL SERVICES AGREEMENT TERMS AND CONDITIONS The salient terms and conditions of the proposed First Amendment to the Professional Services Agreement include the following: Location: Vista Point, Yerba Buena Island Commencement Date: November 1, 2016 Term: November 1, 2016 to June 30,

2 Compensation: SFCTA shall compensate the Authority as follows: (1) First payment due March 1, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of November 1, 2016 through February 28, 2017 or an amount prorated to reflect actual expenses realized over the contract period; and (2) Second payment due July 30, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of March 1, 2017 through June 30, 2017 or an amount prorated to reflect actual expenses realized over the contract period. TASK 1 Janitorial Services: Totaling: Four Hundred Thirty Four Thousand Five Hundred and Fifty Five Dollars ($434,555.00) for services rendered for the period of November 1, 2016 through June 30, Authority shall expand its existing janitorial services agreement with Toolworks Inc., a California nonprofit corporation (Toolworks) to provide daily services to maintain the restrooms (including materials and supplies) at Vista Point. The costs for these additional services shall not exceed $25, for the period from November 1, 2016 to June 30, Toolworks to provide daily services to maintain the restrooms and immediate grounds of Vista Point at Yerba Buena Island for the period from November 1, 2016 to June 30, Janitorial services to include: Restrooms Sweep entrance, disinfect handrails Sweep and wet mop all floors Wipe and clean all fixtures with disinfectant Wipe and clean all mirrors and metal fixtures Fill all dispensers, paper towels, toilet paper, seat covers and soap Drinking fountain Clear bowl of any debris Disinfect station Outside trash receptacles Wipe down outer surface Empty and change liners Rest area 2

3 Wipe down benches Wipe down interpretive sign Materials and Supplies Toilet Paper Hand towels Seat covers Hand soap Trash liners TASK 2 Landscape Maintenance Services: Authority shall expand its existing landscape services agreement with Rubicon Inc., a California nonprofit corporation (Rubicon) to provide routine landscape maintenance services at Vista Point. The costs for these additional services shall not exceed $3, for the period from November 1, 2016 to June 30, Rubicon will provide routine and adjunct services on a five day (Monday through Friday) basis, and weekends as needed for the following landscape maintenance services: Blowing Clean street, parking areas, sidewalks and turf areas of plant debris; Detailing Clean plant beds, remove weeds and debris, general plant bed maintenance; Disease and Insect Control Address plant disease and insect problems using Integrated Pest Management techniques; Edging Trim turf at edge of pavement; Empty Trash Empty public trash receptacles; Mowing Cut grass in irrigated and non-irrigated areas; Mulch Maintain 2 minimum mulch layer in plant beds; Litter Pickup Removal and disposal of litter from parking areas, sidewalks and turf areas, including small tree limbs; Process Plant Debris Using grinder and chipper, grind and chip green waste, and maintain compost pile; Trimming Trim around trees, shrubs, obstacles, etc.; and Watering watering plants and grass areas as necessary; TASK 3 Security Services: 3

4 Authority shall expand its existing security services agreement with Admiral Security Services (Admiral) to provide additional security service to Vista Point on a 24 hours / 7 days per week from November 1, 2016 through November 30, 2016, and 12 hours / 7 days per week or the period of December 1, 2016 through June 30, Security services to Vista Point shall include patrolling the area on a continuous regular hourly basis, enforcing rules, monitoring access to the property, monitoring the perimeter, checking and maintaining safety standards, and maintaining an appearance on property to be noticed by any potential threat. The costs for these additional services shall not exceed $95, for the period from November 1, 2016 to June 30, Security Services shall include but are not limited to: Cellular phone available on site to be answered and used by security at all times; Laptop terminal with custom security software and ready communication; RFID Patrol Tour System reports show precise officer patrols at specific locations; Supervisory vehicle patrols that provide internal checks as well as 24/7 back up response; Full professional uniforms with duty belt to hold accessories needed for the environment; Online digital Daily Activity Reports that are built and customized for this property - (i) Reports will include but not limited to: Guest Log, Maintenance Requests, Patrol Reports, Daily Observations, Officer Name and schedule... etc., and (ii) Paperless system, ecological friendly Online digital Incident Reports contain exact details with photos of Who, What Were, When & How (i) Reports include live pictures, and video attachments of the incident; (ii) Typed and delivered via to all relevant parties and approved distribution list; (iii) Reports are designed to be used with police reports or insurance claims; and Paperless system, ecological friendly. TASK 4 Portable Restroom Facilities: Authority shall expand its existing services agreement with Farwest Sanitation and Storage, a California corporation (Farwest) to install and lease portable restroom facilities for Vista Point. The costs for these additional services shall not exceed $26, for the period from November 1, 2016 to June 30, TASK 5 Transportation Shuttle Services: 4

5 Authority shall utilize existing services to provide shuttle services to and from the Treasure Island designated parking lot to Vista Point. Services shall be for from Sunup to Sundown, weekends and holidays only, for the period from November 1, 2016 through June 30, The costs for these services shall not exceed $185, for the period from November 1, 2016 to June 30, TASK 6 Traffic Control Services: Authority shall expand its existing services agreement with the San Francisco Municipal Transportation Agency ( SFMTA ) to provide PCO s at Vista Point. The costs for these additional services shall not exceed $100, for the period from November 1, 2016 to June 30, BUDGET IMPACT The Memorandum of Agreement will not affect Authority s budget for FY as SFCTA is compensating the Authority for these services. RECOMMENDATION Project Staff recommends approval of the Memorandum of Agreement between the Treasure Island Development Authority and San Francisco County Transportation Authority to compensate the Authority for costs relating to Yerba Buena Island Vista Point Operations, Maintenance and Security Services for the period from November 1, 2016 through June 30, 2017, and authorize the Treasure Island Director to execute the Memorandum of Agreement. 6 [Memorandum of Agreement] Resolution Approving and Authorizing the Execution of a Memorandum of Agreement between the Treasure Island Development Authority and San Francisco County Transportation Authority to compensate the Authority for costs relating to Yerba Buena Island Vista Point Operations, Maintenance, Traffic Control, Security, and Shuttle Services for the period from November 1, 2016 through June 30, WHEREAS, Former Naval Station Treasure Island is a military base located on Treasure Island and Yerba Buena Island (together, the "Base"), which is currently owned by the United States of America, acting by and through the Department of the Navy; and, WHEREAS, The Base was selected for closure and disposition by the Base Realignment and Closure Commission in 1993, acting under Public Law , and its subsequent amendments; and, WHEREAS, Under the Treasure Island Conversion Act of 1997, which amended Section of the California Health and Safety Code and added Section 2.1 to Chapter 1333 of the Statutes of 1968 (the Act ), the California Legislature (i) designated the Authority as a redevelopment agency under California redevelopment law with authority over the Base upon approval of the City s Board of Supervisors, and (ii) with respect to those portions of the Base which are subject to Tidelands Trust, vested in the Authority the authority to administer the public trust for commerce, navigation and fisheries as to such property; and, WHEREAS, The Board of Supervisors approved the designation of the Authority as a redevelopment agency for Treasure Island in 1997; and, WHEREAS, On January 24, 2012, the Board of Supervisors rescinded designation of the Authority as the redevelopment agency for Treasure Island under California Community Redevelopment Law in Resolution No ; and that such rescission does not affect Authority's status as the Local Reuse Authority for Treasure Island or the Tidelands Trust

7 trustee for the portions of Treasure Island subject to the Tidelands Trust, or any of the other powers or authority; and, WHEREAS, On December 17, 2013, the SFCTA, in its capacity as the San Francisco s Congestion Management Agency ( CMA ), approved award of the Yerba Buena Island I-80 East-Side Ramps construction contract, and SFCTA s contractor started work in January 2014; and, WHEREAS, The San Francisco Oakland Bay Bridge ( SFOBB ) Bicycle/Pedestrian Path on Yerba Buena Island is scheduled to open prior to completion of the Yerba Buena Island I-80 East-Side Ramps construction project, including reconstruction of the Southgate Road and Bicycle/Pedestrian Path (approach to the I-80 East-Side Ramps), and Macalla Road; and, WHEREAS, The SFCTA in cooperation with the Bay Area Toll Authority ( BATA ) will be responsible for construction of the Vista Point facility located at Quarters 9 on Yerba Buena Island, including operations, maintenance, and security services; and, WHEREAS, The Vista Point Improvements on Yerba Buena Island constructed by the SFCTA will include temporary improvements at U.S. Coast Guard Quarters 9 for use by bicyclists and pedestrians on Yerba Buena Island until completion of the Yerba Buena Island I-80 East-Side Ramps and reconstruction of Macalla Road; and, WHEREAS, The Authority Project Staff and SFCTA have negotiated a Memorandum of Agreement ( MOA ) to utilize the Treasure Island Development Authority (the Authority ) existing resources to oversee the Yerba Buena Island Vista Point Operations, Maintenance and Security Services for the period from November 1, 2016 through June 30, 2017, and compensate the Authority for these service expenses; and, WHEREAS, under the proposed MOA, the Authority will expand its existing services agreements during the period from November 1, 2016 through June 30, 2017 with (i)

8 Toolworks Inc. to provide services daily to maintain the restrooms (including materials and supplies) at a cost not to exceed $25,000.00; (ii) Rubicon Inc. to provide routine landscape maintenance services at a cost not to exceed $3,555.00; (iii) Admiral Security Services to provide additional security service to Vista Point at Yerba Buena Island on a 24 hours / 7 days per week from November 1, 2016 through November 30, 2016, and 12 hours / 7 days per week or the period of December 1, 2016 through June 30, 2017 at the cost not to exceed $95,000.00; (iv) Farwest Sanitation and Storage for portable restroom facilities at a cost not to exceed $26,000.00; (v) shuttle services to and from the Treasure Island designated parking lot to Vista Point at a cost not to exceed $185,000.00; and (vi) Traffic Control utilizing San Francisco Municipal Transportation Agency ( SFMTA ) to provide PCO s at a cost not to exceed $100,000.00, totaling for these increased Services at a not to exceed contract amount of $434, for services rendered for the period of November 1, 2016 through June 30, 2017; now, therefore be it RESOLVED, That the Authority hereby authorizes the Treasure Island Director to execute the MOA, effective November 1, 2016, with SFCTA for an amount not to exceed $176, which includes (1) 1) First payment due March 1, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of November 1, 2016 through February 28, 2017, (2) Second payment due July 30, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of March 1, 2017 through June 30, 2017 or an amount prorated to reflect actual expenses realized over the contract period, in substantially the form of the Agreement attached hereto as Exhibit A; and, be it FURTHER RESOLVED, That the Board of Directors hereby authorizes the Treasure Island Director or his designee to enter into any additions, amendments or other modifications

9 to the MOA that the Treasure Island Director determines in consultation with the City Attorney are in the best interests of the Authority, that do not materially increase the obligations or liabilities of the Authority, that do not materially reduce the rights of the Authority, and are necessary or advisable to complete the preparation and approval of the MOA, such determination to be conclusively evidenced by the execution and delivery by the Treasure Island Director or his designee of the documents and any amendments thereto CERTIFICATE OF SECRETARY I hereby certify that I am the duly elected and acting Secretary of the Treasure Island Development Authority, a California nonprofit public benefit corporation, and that the above Resolution was duly adopted and approved by the Board of Directors of the Authority at a properly noticed meeting on October 12, Mark Dunlop, Secretary

10 MEMORANDUM OF AGREEMENT for Yerba Buena Island (YBI) Vista Point Operations, Maintenance and Security Services THIS AGREEMENT is made and shall be effective on the 1 st day of November, 2016, by and between the San Francisco County Transportation Authority (the SFCTA ), and the Treasure Island Development Authority ( TIDA ), referred to collectively as Parties or individually as Party. RECITALS WHEREAS, on December 17, 2013, the SFCTA, in its capacity as the San Francisco s Congestion Management Agency ( CMA ), approved award of the Yerba Buena Island I-80 East-Side Ramps construction contract, and SFCTA s contractor started work in January WHEREAS, the San Francisco Oakland Bay Bridge ( SFOBB ) Bicycle/Pedestrian Path on Yerba Buena Island is scheduled to open prior to completion of the Yerba Buena Island I-80 East-Side Ramps construction project, including reconstruction of the Southgate Road and Bicycle/Pedestrian Path (approach to the I-80 East-Side Ramps), and Macalla Road. WHEREAS, the Vista Point Improvements on Yerba Buena Island will include temporary improvements at U.S. Coast Guard Quarters 9 for use by bicyclists and pedestrians on Yerba Buena Island until completion of the Yerba Buena Island I-80 East- Side Ramps and reconstruction of Macalla Road. WHEREAS, SFCTA wishes to utilize the resources of TIDA to oversee the Yerba Buena Island Vista Point Operations, Maintenance, Traffic Control, Security, and Shuttle Services for the period from November 1, 2016 through June 30, 2017, and compensate TIDA for these services as outlined in this Memorandum of Agreement ( MOA ). Now, THEREFORE, the parties agree as follows: 1

11 The Parties agree to the following: AGREEMENT 1. Agreement Purpose. The purpose of this Agreement is to outline roles and responsibilities of the SFCTA and TIDA with respect to Vista Point operations, maintenance, and security services. a. SFCTA: i. The SFCTA in cooperation with the Bay Area Toll Authority ( BATA ) will be responsible for construction of the Vista Point facility located at Quarters 9 on Yerba Buena Island, including operations, maintenance, traffic control, security, and shuttle services in a manner sufficient to complete the scope of work outlined in Appendix A, Description of Services" attached hereto and incorporated by reference as though fully set forth herein. ii. The SFCTA shall compensate TIDA for scope of work outlined in Appendix A, Description of Services " as follows: (1) First payment due March 1, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy-Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of November 1, 2016 through February 28, 2017; and (2) Second payment due July 30, 2017 in the amount of Two Hundred Seventeen Thousand Two Hundred Seventy-Seven Dollars and Fifty Cents ($217,277.50) for services rendered for the period of March 1, 2017 through June 30, 2017 or an amount prorated to reflect actual expenses realized over the contract period. Totaling: Four Hundred Thirty-Four Thousand Five Hundred and Fifty Five Dollars ($434,555.00) for services rendered for the period of November 1, 2016 through June 30, b. TIDA: i. Allocate TIDA existing service resources in a manner sufficient to complete the scope of work outlined in the Description of Services Appendix A. 2. Calculation of Charges. This Agreement is limited to the scope of work described in the Description of Services set forth in Appendix A. The breakdown of costs associated with this Agreement appears in Appendix B, Calculation of Charges. In no event shall the amount of this Agreement exceed Four Hundred Thirty-Four Thousand Five Hundred and Fifty-Five Dollars ($434,555.00). 2

12 3. Term. The term of this Agreement shall be from November 1, 2016 to June 30, Time extensions shall be by amendment to this Agreement and by mutual agreement between the Parties. 4. Modification of Agreement. This Agreement may not be modified, nor may compliance with any of its terms be waived, except by written instrument executed and approved in the same manner as this Agreement. 6. Agreement Made in California; Venue. The formation, interpretation and performance of this Agreement shall be governed by the laws of the State of California. Venue for all litigation relative to the formation, interpretation and performance of this Agreement shall be in San Francisco. 7. Audit and Inspection of Records. The Parties agree to maintain and make available to the each other, during regular business hours, accurate books and accounting records relating to their work under this Agreement and the work of any third parties performing work on the Project. The Parties will permit each other to audit, examine and make excerpts and transcripts from such books and records, and to make audits of all invoices, materials, payrolls, records or personnel and other data related to all other matters covered by this Agreement, whether funded in whole or in part under this Agreement. The Parties shall maintain such data and records in an accessible location and condition for a period of not less than three years after TIDA receives final payment from the SFCTA. The State of California or any federal agency having 3

13 an interest in the subject matter of this Agreement shall have the same rights conferred upon the Parties by this Section. 8. Indemnification: a. TIDA shall indemnify, defend, and hold harmless SFCTA, its Commissioners, representatives, agents or employees, and BATA, its Commissioners, representatives, agents and employees from and against all claim, injury, suits, demands, liability, losses, damages and expenses, whether direct or indirect (including any and all costs and expenses in connection therewith), incurred by reason of any act or failure to act of TIDA, its officers, employees or agents in connection with this Agreement. b. SFCTA shall indemnify, defend, and hold harmless TIDA, its Commissioners, representatives, agents or employees from and against all claim, injury, suits, demands, liability, losses, damages and expenses, whether direct or indirect (including any and all costs and expenses in connection therewith), incurred by reason of any act or failure to act of SFCTA, its officers, employees or agents in connection with this Agreement. 9. Termination for Convenience/Cause/or Suspension. Either party may for any reason (convenience or cause) terminate or suspend this Agreement, in whole or in part, at any time by written notice to the other party. TIDA shall be paid its costs, including agreement closeout cost for work performed up to the termination of said agreement if termination is for convenience. If the agreement is terminated or suspended for cause due to default in time, manner, or inability to perform or poses safety hazards to SFCTA, its staff, or the public; TIDA shall be paid for only actual expenditures incurred plus any costs reasonable and necessarily incurred by TIDA up to the effective date of termination. 10. Large Vehicle Driver Safety Training Requirements a. TIDA agrees that before any of its employees and subcontractors drive large vehicles within the City and County of San Francisco, those employees and subcontractors shall successfully complete either (a) the San Francisco Municipal Transportation Agency s (SFMTA s) Large Vehicle Urban Driving Safety training program or (b) a training program that meets the SFMTA s approved standards for large vehicle urban driving safety. The SFMTA s approved standards for large vehicle urban driving safety is available for download at This requirement does not apply to drivers providing delivery services who are not employees or subcontractors of TIDA. For purposes of this section, large vehicle means any single vehicle or combination of vehicle and trailer with an unladen weight of 10,000 pounds or more, or a van designed to carry 10 or more people. b. By entering into this Agreement, TIDA agrees that in the event TIDA fails to comply with the Large Vehicle Driver Safety Training Requirements, the Transportation Authority will suffer actual damages that will be impractical or 4

14 extremely difficult to determine; further, TIDA agrees that the sum of up to One Thousand Dollars ($1,000) per employee or subcontractor who is permitted to drive a large vehicle in violation of these requirements is not a penalty, but is a reasonable estimate of the loss that the Transportation Authority will incur based on the TIDA s failure to comply with this requirement, established in light of the circumstances existing at the time this Agreement was awarded. Transportation Authority may deduct a sum representing the liquidated damages from any money due to TIDA. Such deductions shall not be considered a penalty, but rather agreed monetary damages sustained by Transportation Authority because of TIDA s failure to comply. The costs for these additional services shall not exceed $3, for the period from November 1, 2016 to June 30, Rubicon will provide routine and adjunct services on a five day (Monday through Friday) basis, and weekends as needed for the following landscape maintenance services: Blowing Clean street, parking areas, sidewalks and turf areas of plant debris; Detailing Clean plant beds, remove weeds and debris, general plant bed maintenance; Disease and Insect Control Address plant disease and insect problems using Integrated Pest Management techniques; Edging Trim turf at edge of pavement; Empty Trash Empty public trash receptacles; Mowing Cut grass in irrigated and non-irrigated areas; Mulch Maintain 2 minimum mulch layer in plant beds; Litter Pickup Removal and disposal of litter from parking areas, sidewalks and turf areas, including small tree limbs; Process Plant Debris Using grinder and chipper, grind and chip green waste, and maintain compost pile; Trimming Trim around trees, shrubs, obstacles, etc.; and Watering watering plants and grass areas as necessary; TASK 3: Security Services: TIDA shall expand its existing security services agreement with Admiral Security Services (Admiral) to provide additional security service to Vista Point on a 24 hours / 7 days per week from November 1, 2016 through November 30, 2016, and 12 hours / 7 days per week or the period of December 1, 2016 through June 30, Security services to Vista Point shall include patrolling the area on a continuous regular hourly 8

18 basis, enforcing rules, monitoring access to the property, monitoring the perimeter, checking and maintaining safety standards, and maintaining an appearance on property to be noticed by any potential threat. The costs for these additional services shall not exceed $95, for the period from November 1, 2016 to June 30, Security Services shall include but are not limited to: Cellular phone available on site to be answered and used by security at all times; Laptop terminal with custom security software and ready communication; RFID Patrol Tour System reports show precise officer patrols at specific locations; Supervisory vehicle patrols that provide internal checks as well as 24/7 back up response; Full professional uniforms with duty belt to hold accessories needed for the environment; Online digital Daily Activity Reports that are built and customized for this property - (i) Reports will include but not limited to: Guest Log, Maintenance Requests, Patrol Reports, Daily Observations, Officer Name and schedule... etc., and (ii) Paperless system, ecological friendly Online digital Incident Reports contain exact details with photos of Who, What Were, When & How (i) Reports include live pictures, and video attachments of the incident; (ii) Typed and delivered via to all relevant parties and approved distribution list; (iii) Reports are designed to be used with police reports or insurance claims; and Paperless system, ecological friendly. TASK 4 Portable Restroom Facilities: TIDA shall expand its existing services agreement with Farwest Sanitation and Storage, a California corporation (Farwest) to install and lease portable restrooms facilities for Vista Point. The costs for these additional services shall not exceed $26, for the period from November 1, 2016 to June 30, TASK 5 Transportation Shuttle Services: TIDA shall utilize existing services to provide shuttle services to and from the Treasure Island designated parking lot to Vista Point.
