4 OHIO STATE MOOSE ASSOCIATION BY-LAWS ARTICLE I Name The name of the Associa on will be the Ohio State Moose Associa on, herein a er Referred to as the Associa on, an Ohio nonprofit Corpora on. ARTICLE II Objec ves The objec ves of the Associa on are to bring together in closer fraternal coopera on the Lodges of the Loyal Order of Moose and the membership of such Lodges in the State of Ohio; to aid and promote the purposes of the Loyal Order of Moose; to build the membership strength of the Order; to exchange ideas and ideals which may be of benefit to the various lodges and their members; to promote interest in the work of Ritual Staffs and similar units; to encourage a broader interest in lodge sports and family ac vi es; to s mulate par cipa on in community service programs; to adopt programs and projects for the be erment of Mooseheart and Moosehaven; to include the building of the Moose Chari es Fund for the support of these ins tu ons; to foster closer rela onship among lodges in Ohio and lodges in neighboring states, and to coordinate the programs and direc ves of Moose Interna onal, Inc. and the Supreme Lodge. ARTICLE III Authority The Associa on at all mes will be amenable to and under the supervision of Moose Interna onal, Inc., and the Supreme Lodge, its officers, its Execu ve Commi ee, the Supreme Council and be bound and governed by The Cons tu on of Moose Interna onal and the Supreme Lodge and General Laws of the Supreme Lodge and the By-Laws of Moose Interna onal. ARTICLE IV Membership Sec on 1. Membership in the Associa on will consist of all Lodges of the Loyal Order of Moose in the State of Ohio that are in good standing in the Supreme Lodge, Loyal Order of Moose and the Ohio State Moose Associa on. Sec on 2. To be in good standing with the Ohio State Moose Associa on, each lodge must: Be current in the payment of the Lodge s associa on dues. Be represented at the associa on s conferences and conven ons. 5 ARTICLE V Composi on Sec on 1. For convenience in carrying out the func ons of the Associa on, districts comprised of geographically related lodges, will be established by the Board of Officers of the Associa on. Sec on 2. Sec on 3. The lodges to be included in the various districts may be altered from me to me and new districts established as determined by the Associa on Board of Officers. Sec on 4. Each district within the Associa on will hold a minimum of six regular mee ngs during each fiscal year (conven on to conven on) of the Associa on, with one mee ng being held at least every two months. The mee ngs of the district will be conducted in accordance with an agenda furnished by the Associa on. To accomplish the agenda of the Ohio State Moose Associa on, each district will work coopera vely with the Associa on Vice President to do the work of the Associa on as presented by the Vice President. The agenda of each district shall typically include the following: a. At every mee ng of the district, receiving reports from every lodge which includes, but not limited to, the following informa on: 1) Who recently became a 5 Club member, a 25 Club Member, a higher division of the 25 Club; 2) What is each lodge s arrearage? 3) What is each lodge s membership applica on status with regard to the lodge quota and par cipa on? 4) What is the status of sickness and distress in each Lodge? 5) What lodge has not yet submi ed a Moose of the Year Nominee to Moose Interna onal and Life me Achievement Nominee thus assuring that each lodge in the district submits a nominee on me Page 6 of 27 Downloaded from Posted: 1/16/2017

7 6) What is the status of fundraising in the district (Endowment Fund, Moose Chari es, Scholarship Fund, etc.)? 7) What special events are going on in the district? Euchre tournaments, for example, or Golden Moose ac vity, or Moose Rider Poker Runs or camping, etc. This item will not reflect what has already occurred in the district; rather, this part of the report will deal with future events. 8) What is going on in the lodges with regard to Founder s Day trips, Mooseheart gradua on and Pilgrim Conferral trips; ritual ac vi es, sunshine children ac vi es, TIPS training sessions. b. Districts will seek ways to generate funds with which to support their district programs. c. Districts will seek ways to generate funds with which to support other programs of the Associa on and release these funds voluntarily to the Associa on no later than the Annual Conven on. Sec on 5. The elected officers of the district, and the Governors and Administrators of the Lodges within the district will be members of the District Execu ve Commi ee which will meet at the call of the District President who will preside. Sec on 6. The President of each district will appoint an Audi ng Commi ee to perform an annual audit of the district s financial records. The commi ee will consist of three (3) good standing members of the district, preferably Administrators. No current officers of the district will serve on the Audi ng Commi ee. The district will also conduct an audit whenever requested by the Ohio State Moose Associa on or whenever there is a change in the office of District Secretary. A copy of the Annual Audit will be sent to the Associa on Secretary and to the Administrator of each Lodge in the District. Annual audits must be completed and submi ed during the month of July. ARTICLE VI Authority The Associa on at all mes will be subject to the Supreme Lodge, its officers, the Supreme Council and the Execu ve Commi ee. These by-laws, or any amendments thereto, will be subject to approval of the General Governor, Supreme Lodge, Loyal Order of Moose. ARTICLE VII Delegates Sec on 1. Each lodge in good standing with the Associa on will be en tled to be represented in the mee ngs of the Associa on by two (2) delegates, who will be Page 7 of 27 Downloaded from Posted: 1/16/2017

8 the Governor and the Administrator, and one (1) addi onal delegate for each fi y (50) members on the rolls, or a majority frac on thereof; provided that no one lodge will be en tled to a representa on exceeding fi een (15) delegates nor cast more than fi een (15) votes. In addi on to vo ng delegates, each lodge may have in a endance non-vo ng members. Sec on 2. Each delegate elected to represent his Lodge at a mee ng of the Associa on will receive from his lodge a cer fica on of his elec on prepared by the Secretary of the Associa on. This cer ficate must be signed by the Governor and a ested to by the Administrator, under the seal of the lodge. Each delegate present for a vote of the Associa on will be en tled to one vote, providing the total number of votes does not exceed the number en tled to the lodge, based upon the dues which have been assessed by the Associa on and subject to the limita ons contained in Sec on 1 of this Ar cle. Sec on 3. All Past Presidents of the Associa on, and all members of the Board of Officers of the Associa on, who are members of lodges in good standing within the Associa on, will be en tled to all the rights and privileges of a delegate, and will not be counted as part of the lodgeen tlement referred to in Sec ons and 2 of this Ar cle. Sec on 4. Any Regional Manager and/or Territorial Manager, appointed to serve the Associa on, will be en tled to all the rights and privileges of a delegate, and will not be counted as part of the lodge en tlement referred to in Sec on 2 of this Ar cle. ARTICLE VIII Quorum Sec on 1. Any number of duly accredited delegates, represen ng at least a majority of the member lodges in good standing, will cons tute a quorum for the transac on of business at any duly authorized session of the Associa on; provided, that the President, Vice President, Prelate, or Junior Past President (in that order) be present to preside. Sec on 2. A majority of all votes cast will decide all ques ons except those which involve amendment, altera on or addi on to these by-laws, or an appeal from the decision of the Chair, either of which will require a two-thirds (2/3) vote of the duly accredited delegates in a endance. ARTICLE IX Elected Officers The elected officers of the Associa on will consist of a President, Vice President, Prelate, Secretary, Treasurer and one (1) District President from each district within the Associa on. 9 composed of the elected and appointed officers, and the Junior Past President who are members of lodges in good standing within the Associa on, and who are themselves in good standing within their respec ve lodges. The Regional Manager and/or Territorial Manager, Supreme Lodge Representa ves and appointees, who are in good standing with their respec ve lodges and whose lodges, if a member odge of the Associa on, are in good standing with the Associa on, will also serve on the Board of Officers of the Associa on. Supreme Lodge Representa ves and Appointees will include the following: Supreme Lodge Officers (including but not limited to: Supreme Council Members, Past Supreme Governors, Pilgrim Council, Supreme Inner Guard, Supreme Outer Guard & Supreme Sergeant-at-Arms), Jus ces of the Supreme Forum, Deputy Supreme Governors, Moose Legion Council, Moose Legion Ambassadors, members of the following Boards or Commi ees: Moose Chari es Board of Directors, Mooseheart Board of Directors, Moosehaven Board of Directors, Interna onal Heart of the Community Commi ee, Judiciary Commi ee, Interna onal Ac vi es Commi ee, Interna onal Communica ons Commi ee,interna onal Loss Preven on Commi ee, Interna onal Government Rela ons Commi ee and such other Boards or Commi ees created by the Supreme Lodge and so no fied in wri ng to the Associa on by the General Governor. Sec on 2. The Board of Officers, during the mes that the Associa on is not in session, will take general charge and supervision of the affairs of the Associa on and perform such du es as may be necessary and proper to protect the interests, promote the welfare and accomplish the objec ves of the Associa on; it will carefully and judiciously control the finances of the Associa on and prepare a budget for the disbursement of Associa on funds. It will have the authority to fix the salary of the Secretary and will have the right to authorize payment of all reasonable expenses incurred on behalf of the Associa on including reimbursement to officers or any other member or person doing authorized business on behalf of the Associa on. It will submit to the Associa on at each annual mee ng a report, in wri ng, of all its accounts since the last annual mee ng. It will perform such other du es as may be imposed upon it by these by-laws or by the Associa on. Sec on 3. A majority will cons tute a quorum of the Board of Officers and the President and Secretary of the Associa on will be respec vely, Chairman and Secretary of the Board of Officers. Sec on 4. Except where prohibited by these bylaws, the Board of Officers, between mee ngs of said Board, will have the right, by recorded ac on, to delegate its powers, except the power to appropriate the funds of the Associa on, to an Execu ve Commi ee consis ng of the President, Vice President, Junior Past President, Prelate, Secretary, Treasurer and Regional Manager and/or Territorial Manager, for the purpose of expedi ng the performance of func ons otherwise performed by said Board of Officers Page 9 of 27 Downloaded from Posted: 1/16/2017

10 Sec on 5. The Board of Officers, or the President, with the authority of the Execu ve Commi ee, may order an audit of any funds of the Associa on, including any special fund accounts, and the Chairman of any commi ee having a special fund account will submit in wri ng a full accoun ng report at any me requested by the Board of Officers, or the President, and at least once a year to the Secretary, whether or not called for at the annual mee ng. Sec on 6. Each person who is or has been a director or officer of this Associa on and who has acted in good faith and in a manner he reasonably believed to be in the best interest of the Associa on with respect to any criminal ac on or proceeding, had no reasonable cause to believe his conduct was unlawful, will be indemnified by the Associa on against expenses including a orney fees necessarily incurred by such person in connec on with the defense or se lement or any ac on or proceeding to which he is a party, alone or together with others, with reason of his being or having been a director or officer and ac ng in a managerial capacity. Each such person will also be reimbursed by the Associa on for any amounts paid by such person in sa sfac on of any judgment or se lement in connec on with any such act, suit, or proceeding, unless such person will be adjudged in such ac on, suit or proceeding to be liable for misconduct in the performance of his du es to the Associa on. The foregoing right of indemnifica on will be in addi on to any other rights to which such persons may be en tled as a ma er of law. ARTICLE XI Term of Office Sec on 1. Each elected officer, except the Secretary, will be chosen for a term of one (1) year to begin at the adjournment of the annual mee ng at which he is elected. The Secretary will be elected for a term of three years, which will begin at the adjournment of the annual mee ng at which he is elected. Each officer will serve un l his successor has been duly elected and qualified. Sec on 2. Vacancies in any of the elected offices shall be filled by the Board of Officers for the unexpired term. Sec on 3. The President, with the consent and approval of the Board of Officers, will have the power to declare any office vacant except the office of Secretary, if in his opinion the occupant has failed to perform the du es of such office. The office of Secretary may be declared vacant providing a majority of the Board of Officers vote that, in their opinion, the occupant has failed to perform the du es of the office. ARTICLE XII Nomina on and Elec on of Officers Sec on 1. The Nomina ng Commi ee of the Associa on will consist of members of the elected Board Page 10 of 27 Downloaded from Posted: 1/16/2017

11 of Officers, four Past Presidents in order of juniority, Territorial Manager, Supreme Lodge Representa ves and Appointees of recognized Interna onal Commi ees, current Deputy Supreme Governors, current Moose Legion Ambassadors, current District Presidents, together with five (5) representa ves appointed by the President who will be Past Presidents or current commi eemen, and selected from five (5) member lodges in good standing with the Associa on. Sec on 2. This commi ee will place in nomina on at least one candidate for each office to be filled. Names may be sent to the Nomina ng Commi ee which will be given due considera on. Any eligible member of the Associa on, who has submi ed his name for a specific office, but not nominated by the Nomina ng Commi ee, will have his name placed upon the ballot by filing a pe on with the Secretary of the Associa on, prior to the beginning of the session at which the elec on is to be held, containing the names and lodge number of not less than ten (10) percent of the registered delegates a ending the annual mee ng. The Nomina ng Commi ee Report must include a no ce that anyone desiring to file a pe on must file the pe on with the Associa on Secretary not less than two hours prior to the beginning of the session at which the elec on will be held. A Past President of the Associa on is ineligible to serve in any elected office of the Associa on unless prior dispensa on is obtained from the General Governor. Sec on 3. The nominee for President must be a Past Governor of the Order, served at least one year in an elected office of the Associa on, and may not have previously served as President of the Associa on. Sec on 4. Each district will conduct a mee ng by July 1st for the purpose of selec ng their recommenda on for District President, and elec ng their Vice President, Prelate, Secretary and Treasurer of the district. The selec on for President of the district will be submi ed to the Associa on Nomina ng Commi ee for their considera on no later than July 1st. This ac on by the district will be considered by the Associa on Nomina ng Commi ee as a recommenda on by the District. 1) District Nomina ons The District Nomina ng Commi ee consists of the following: Elected District Officers (President, Vice President, Prelate, Secretary, and Treasurer); the Jr. Past President; the Governor and the Administrator of each District Lodge; and any Past President of the Associa on who is a member of a District Lodge in good standing. 2) Procedures for District Nomina on Commi ees The District President will no fy all members of the Nomina ng Commi ee of the date and me of the mee ng at least two (2) weeks prior to the date of the Page 11 of 27 Downloaded from Posted: 1/16/2017

12 mee ng; There will be no pro-tem members on this commi ee; The District President will preside over the proceedings unless he appoints another Past District President to preside in his stead; The report of the Nomina ng Commi ee will be submi ed at the Business Mee ng of the district for the selec on of District President and selec on of District Vice President, prelate, Secretary, and Treasurer. In the event of a contested office, the selec on and elec on will take place by secret ballot; The result of the selec on and elec on will be forwarded immediately to the President and the Secretary of the Associa on, NO LATER THAN the 1st of July, and selec on of the District President will be submi ed to the Nomina ng Commi ee for its considera on. The ac on by the district will be considered by the Nomina ng Commi ee as a recommenda onfor the elec on of the District President by the Associa on plus all officers.when in session, the Nomina ng Commi ee will meet in closed-door session with only commi ee members present. A majority of the members o he Nomina ng Commi ee present willcons tute a quorum; and To be eligible for the office of District President, the candidate must have served one (1) year as an elected officer of a Lodge of the Associa on. The term of office of DistrictSecretaries shall be for a period of three years coinciding with the term of office of the Associa on Secretary, effec ve August, Sec on 5. The Nomina ng Commi ee of the Associa on will report to the annual mee ng of the Associa on during the first day s session. Sec on 6. The elec on of officers will be held no earlier than the last order of business of the Saturday morning business session of the annual mee ng, provided at least twentyfour (24) hours has elapsed since the official report of the Nomina ng Commi ee to the Conven on. Sec on 7. The officers, elected and appointed, and Commi ee will be installed into office either at the last session or on Saturday evening at a gala party or banquet honoring the Associa on President, u lizing the ritual provided by the Ritual Department of Moose Interna onal. Sec on 8. To be considered for nomina on, a candidate for the elected offices of President, Vice President, Prelate, Secretary, or Treasurer will submit in wri ng to the Associa on Secretary before July 1st the following informa on: Candidate s name and office for which he wishes to be nominated. Candidate s Moose history. The name of the person who will read candidate s history to place his name in nomina on. 13 Sec on 9. Campaigning for Office Prohibited - The prin ng, circula ng or distribu on of resolu ons, le ers, ckets, other wri en or print- ed ma ers, or through any electronic media by a member or anyone ac ng on his behalf, sugges ng, recommending, opposing or containing the names of proposed candidates for office, is hereby prohibited. For any viola on of this sec on, the General Governor may suspend the offending member or members, and in his judgment, may declare the elec on of such officer or officers void and order a new elec on. ARTICLE XIII Mee ngs Sec on 1. There will be an annual mee ng, herea er called Conven on and a midyear mee ng, herea er called Mid-Year Conference of the Associa on to be held at such place as has been determined by the Board of Officers. The Conven on of the Associa on will be held during the months of July through October and the Conference of the Associa on will be held during the months of January through April each year. Sec on 2. With the consent of the General Governor, the Board of Officers may call other mee ngs of the Associa on when in its opinion the interests and welfare of the Associa on jus fy it. Sec on 3. A registra on fee, as determined by the Board of Officers, may be charged those members a ending a mee ng of the Associa on. ARTICLE XIV Associa on Dues Sec on 1. On or before April 15, July 15, October 15, and January 15, each lodge of the Associa on will remit to the Secretary the sum of $.70 per member in good standing as a ested to by the AED Report of the Associa on as received by the Secretary from Moose Interna onal at the end of each quarter. Sec on 2. No member lodge delinquent in its Associa on dues will par cipate in mee ngs or ac vi es of the Associa on. This expressly prohibits group or team entries such as Ritual Teams, bowling and other athle c team par cipa on in any Associa on ac vi es unless Associa on dues are paid for the current year, as covered in Sec on 1 of this Ar cle. This sec on will not prohibit a Moose member in good standing of a Lodge, delinquent in its Associa on dues, from a ending any and all mee ngs of the Associa on, provided he meets the requirements thereof; however, he will not be a qualified vo ng delegate on issues before the mee ngs. 14 The President will be the Chief Execu ve Officer of the Associa on. He will preside over all mee ngs of the Associa on, the Board of Officers and the Execu ve Commi ee and will appoint officers and commi ees and call mee ngs of the Board of Officers and Execu ve Commi ee at such mes as the business of the Associa on may require. He will with the Regional Manager and/or Territorial Manager supervise and coordinate the ac vi es and visita ons of the District Presidents and will have authority to visit the lodges which are members of the Associa on. He will appoint a Sergeant-at-Arms, Assistant Sergeant-at-Arms, Inner and Outer Guards and Assistant Inner and Outer Guards as he may deem necessary. Sec on 2. In the absence of the President at a stated mee ng of the Associa on or the Board of Officers or Execu ve Commi ee, the Vice President, Prelate, or the Junior Past President shall preside in that order. Sec on 3. Each District President will: (a) Visit lodges in his district as o en as possible for the purpose of encouraging and promo ng progress in the development of fraternal programs. (b) Encourage each lodge in his district to cooperate with the Secretary of the Associa on in the collec on of dues. (c) Cooperate with the Associa on officers in the collec on of funds in connec on with any program sponsored by the Associa on. (d) Encourage membership promo on in coopera on with the Membership Department of Moose Interna onal and the Regional/State Director/Special Representa ve. (e) Cooperate with the Associa on Ritual Chairman in encouraging the forma on of ritual staffs and to encourage perfec on and efficiency by the officers in their charges as well as the exemplifica on of the ritual in all lodge ceremonies. (f) A end all Board of Officers mee ngs of the Associa on. (g) Cooperate with the Associa on chairmen in all authorized ac vi es in his district. (h) Prepare a wri en report to be given at the mee ngs of the Associa on covering all phases of ac vi es within his district. Sec on 4. The Secretary will keep a true and correct record of all of the proceedings of the Associa on, the Board of Officers and the Execu ve Commi ee, and promptly a end to all correspondence and perform all du es usually pertaining to the office of Secretary. He will submit an annual report to the Associa on showing the condi on thereof and of the lodges within the jurisdic on of the Associa on so far as he is able to ascertain; he will receive and account for all monies turned in to the Associa on and will furnish the Treasurer with duplicate deposit slips showing all funds deposited to Associa on accounts, and will perform such other du es as may be properly required of him. He will receive such compensa on for his services as may be determined by the Board of Officers. Sec on 5. The Vice President will assist the President in the conduct of business of the Associa on at the conferences or conven ons. He will be responsible for guiding the District Presidents in their du es and will be in charge of the reports of the District Presidents at the mee ngs of the Associa on. The Vice President will be the major alternate to the President in making visita ons and promo ng the purpose and goals of the Associa on consistent with the purposes and goals of the fraternity. Sec on 6. The Treasurer will, at all mes, be kept informed by the Associa on Secretary, as to the true financial status of the Associa on and will perform such other du es as the Board of Officers may consider necessary to the Associa on. He will assist the Secretary in the prepara on of the annual budget and financial report and will countersign all checks drawn on the funds of the Associa on that are properly authorized. Sec on 7. The Prelate will open and close all mee ngs of the Associa on with appropriate prayer. Sec on 8. The Sergeant-at-Arms will execute the orders of the President during the sessions of the Associa on and/or Board of Officers, assist in preserving order, act as Marshal on public occasions and in parades, and in case of execu ve sessions will, with such assistance as he may select, examine all present as to their qualifica on to remain. Sec on 9. The Inner Guard and Outer Guard will take charge of the door during all sessions of the Associa on and will permit only such persons to enter as are duly qualified representa ves or as may be directed by the President or by the Associa on. ARTICLE XIX Honorary Past President The Associa on may, at its conven on, a er recommenda on by the Resolu ons Commi ee, confer the tle of Honorary Past President upon a member of the Loyal Order of Moose. ARTICLE XX Adop on -- Effect -- Amendments These by-laws become effec ve when adopted by a two-thirds (2/3) vote of the Associa on at its 2016 Conven on and when approved by the General Governor of the Supreme Lodge, Loyal Order of Moose. ARTICLE XXI Rules of Order Except as may otherwise be provided, Robert s Rules of Order will govern all parliamentary proceedings of the Associa on. ARTICLE XXII A endance Policy All Lodges shall be represented at a minimum of Fi y (50%) of District Mee ngs. The Number of District Mee ngs shall be set by the Associa on Board of Officers, with a minimum of six (6) as required by the Associa on By-Laws. All Lodges shall a end Lodge Officer s School, as required by the General Governor s Office at Moose Interna onal. All Lodges shall be represented at the State/ Regional/Provincial Associa on Annual Conven on and Mid-Year Conference. The me period for compliance or imposi on of penal es shall be consistent with the Fraternal Year beginning May 1st of each year through April 30th of the succeeding calendar year. In other words, each May 1st shall begin a new compliance period with the intent of not penalizing a new Board of Officers for the noncompliance of the previous year s board. The Penalty for Non-Compliance shall be as follows: FIRST OFFENSE 1.
