1 TWELFTH AMENDED AND RESTATED AGREEMENT TO ESTABLISH THE CITRUS LEVY MARION REGIONAL WORKFORCE DEVELOPMENT BOARD WITNESSETH: WHEREAS, the Citrus Levy Marion Regional Workforce Development Board ("CLMRWDB") was established by Memorandum of Agreement dated May 2, 1996; and WHEREAS, it is necessary to amend and restate the Twel'fth Amended and Restated Agreement to Establish the CLMRWDB to revise the structure of the CLMWDB to align its membership with the requirements of The Workforce Investment Act ('WIA") of 1998, Public Law , enacted by the Congress of the United States effective August 6, 1998; NOW THEREFORE, the parties hereto agree to constitute the CLMRWDB as follows: 1. Establishment, Composition, and Appointment of the Citrus, Levy, Marion Regional Workforce Development Board There is hereby established the CLMRWDB, which shall be constituted in accordance with the requirements of Section 117 of Title I of the WIA and Florida's Workforce Innovation Act of The number of members of the CLMRWDB shall be no more than twenty-five (25). A member may represent more than one category. The following paragraphs specify the composition of twenty-five members of the CLMRWDB: (a) There shall be at least twelve (12) Private Sector Representatives (PSRs). These PSRs will be appointed from nominations made by general purpose business organizations to the Citrus Levy Marion Workforce Development Consortium (CLMWDC). Every effort will be made to balance the PSR membership between the counties, subject to the nominations made by each county's general purpose business organization. (b) There shall be two (2) Organized Labor Representatives on the CLMRWDB. The Organized labor Representatives shall be appointed by the CLMWDC from individuals nominated by recognized state and local labor organizations or appropriate building trades councils. (c) There shall be one (1) representative of Community and/or Business Organizations (economic development). Persons may be nominated by any community or business organization within one of the three counties. Membership shall rotate between the counties and have a one year term. (d) The following are the partners required by Section 121 (b)(1) of the WIA 1
2 1) One (1) representative will be appointed 'from nominations submitted by the School Superintendent from each county. The Superintendent may nominate him or herself or may nominate another senior management member. The Representative shall be appointed, on a rotating basis, by the CLMWDC from the individual or individuals nominated by the respective county school board superintendents. 2) The College of Central Florida (CF) President shall either nominate him or herself or shall nominate one (1) member from among his or her senior staff members. The Representative shall be appointed by the CLMWDC from the individual or individuals nominated by the President of CF. 3) There shall be one (1) Department of Children and Families ("DCF") Representative appointed by the CLMWDC, the appointment shall rotate annually between the DCF Districts served by CLMWDC. Each District Administrator shall either nominate himself or herself or shall nominate one (1) member from among his or her senior staff members. The DCF Representative shall be appointed by the CLMWDC from the individual or individuals nominated by the District Administrator of the DCF. 4) There shall be one (1) Vocational Rehabilitation Agency ("VR") Representative appointed by the CLMWDC. The VR Representative shall be appointed by the CLMWDC from an individual or individuals nominated by Vocational Rehabilitation Regional Administrator, or from other agencies serving as a VR provider. 5) There shall be one (1) member that represents the needs of Senior Citizens appointed by the CLMWDC. The member shall be appointed by the CLMWDC from an individual or individuals nominated by agencies serving Senior Citizens in the region. 6) There shall be one (1) Community Service Block Grant ("CSBG") Representative. The CSBG Representative shall be appointed by the CLMWDC on a rotating basis from the Counties having Community Service Block Grants from an individual or individuals nominated by the local administrators of the Community Service Block Grants. 7) There shall be one (1) HUD/Employment and Training ("HUD/ET") Representative. The HUD/ET Representative shall be appointed by the CLMWDC on a rotating basis from the Counties having HUD/Employment and Training organizations from an individual or individuals nominated by the local HUD/Employment and Training Administrators. 8) There shall be one (1) Veterans Representative. The Veterans Representative shall be appointed by the CLMWDC on a rotating basis from the 2
3 counties having Veterans' organizations from an individual or individuals nominated by the local Veterans organization. 9) There shall be up to (2) Private Training Provider Representatives on the CLMRWDB. One (1) representative shall represent private, for profit training providers and one (1) representing not for profit training providers. Nominations may be submitted by those private training providers on the Eligible Training Providers List (ETPL). It is the desire of the Consortium to have engaged the maximum representation from key organizations within the three county area. Rather than create a large Board, the Consortium is asking that the Board of Directors, through its By-Laws, secure the involvement and input of groups as committee members. 2. Terms of Office Terms of office for the individuals identified in Section 1 above shall be five (5) years except for the CLMWDC member who shall always be the current chair of the CLMWDC. CLMRWDB shall be entitled to remove a member for cause as set forth in the CLMRWDB Bylaws. 3. Effect of Amendment Terms of the Twelfth Amended and Restated Agreement to Establish the CLMRWDB not modified by this Agreement and not inconsistent with this Agreement remain in full force and effect.
