1 Association of Latino Professionals for America: Seattle University Chapter CONSTITUTION & BY-LAWS Revised 2016

2 ARTICLE I Name This organization shall be known as the Seattle University ALPFA Chapter or ALPFA Seattle University Chapter. This organization should be referred as ALPFA within the SU community and as the ALPFA Seattle University Chapter within other ALPFA chapters. ARTICLE II Affiliation with other groups The ALPFA Seattle University Chapter is a student chapter of the National ALPFA Organization. The national headquarters are located in 801 South Grand Avenue, Suite 650. Los Angeles, CA At the same time, we work closely with other ALPFA chapters and under the support of professional chapter, ALPFA Seattle. Section 3.1 OUR MISSION ARTICLE III Purpose of the Chapter To create opportunities, add value, build relationships for our members, students and the community while expanding Latino/ally leadership in the student life and global workforce. Section 3.2 THE SPECIFIC PURPOSES OF OUR CHAPTER. i. To unite Latino/allies students at Seattle University, to provide networking opportunities, and to advance their professional and educational goals. ii. To promote mentoring and professional development relationships among Latino/allies students at Seattle University. iii. To unite Latino/allies students in order to contribute to the Seattle University s mission. Section 3.3 OUR GUIDING PRINCIPLES i. We share a passionate commitment to increase opportunities for the student body. ii. We commit ourselves to honesty and integrity. iii. We believe in the power of networking-to create value for all our members. iv. We cultivate individual initiative and leadership, within a spirit of teamwork. v. We value the promotion ad preservation of our bicultural heritage and bilingual skills. vi. We welcome the involvement of all who share the mission of our chapter.

3 ARTICLE IV: Membership Requirements Section 4.1 ELIGIBILITY FOR MEMBERSHIP i. Undergraduate or Graduate, not dependent on major or whether full or part-time, at Seattle University. ii. Members must have at least a 2.5 overall GPA on a 4.0 scale Members must be willing to abide by the rules and regulations of this organization, as set forth in this constitution. iii. Members must abide to Seattle University's code of conduct and academic policies iv. Members must attend 4 ALPFA general meetings prior to being official members Section 4.2: MEMBERSHIP STATUS a) ACTIVE MEMBERS: Must meet the minimum attendance requirements set forth by the Executive Board each quarter. i. Attend four general ALPFA meetings per 2 quarters ii. One social activity per quarter iii. Two hours of ALPFA presented community service per 2 quarters iv. One networking event per two quarters v. Must pay an annual membership fee as set forth by ALPFA National b) INACTIVE MEMBERS: Members that do not meet the active member requirements or are under Seattle University academic probation are considered to be in unsatisfactory standing and will not be allowed to run for an officer position until active. Those already in an officer position will be placed on probation, lastly one quarter and then reviewed. c) If any member in unsatisfactory standing appeals to the Executive Board and the appeal is approved, then the member will automatically become an active member again. No membership renewal fee must be paid and therefore will be allowed to run for an officer position. d) If the member in unsatisfactory standing appeals to the Executive Board and the appeal is not approved, individual will remain as an inactive member; therefore will not be allowed to run for office. Section 4.3 NONEDISCRIMINATION Membership and all privileges, including voting and officer positions, must be extended to all students without regard to age, ethnicity, gender, disability, color, national origin, race, religion, sexual orientation, or veteran status.

4 ARTICLE V The Executive Board Section 5.1 THE EXECUTIVE BOARD COMMITTEE i. The Executive Board Committee shall consist of the President, Financial Officer, Public Relations Officer, Human Resources Recruiters (2), Media and Communications Officer and the Faculty Advisor. ii. The Executive Board shall meet regularly every Tuesday at 12:30pm for the term of , to plan the organization s meeting agenda and for the purpose of planning and fulfillment of a well-rounded and active chapter. iii. The Executive Board meetings shall be open to all members. However, the board has the right to call special closed meetings as deemed appropriate. Section 5.2 DUTIES OF THE EXECUTIVE BOARD The Executive Board shall: i. Plan the organization s activities and establish in general its overall policies and goals. ii. Be the communication bridge between students and the National Headquarters. iii. Interpret and enforce by-laws. iv. Be greeters at events and meetings, to create a welcoming and supportive culture v. Assist each other to ensure successful execution of chapter activities and affairs Section 5.3 THE OFFICERS A. THE PRESIDENT: i. The President will preside over the chapter meetings and such other organization affairs. ii. The President must delegate responsibility between officers and members of the chapter. iii. The President periodically reviews with other officers their performance, and when needed places their position up for re-election. iv. The President should be constantly at the forefront of the organization s progress, ensuring activities are helping to meet the chapter's purpose. v. The President must ask and act on feedback provided by the Executive Board each quarter. vi. The President term is of one academic year or four quarters. B. THE FINANCIAL OFFICER i. The Financial Officer shall preserve and disburse money as the organization needs and directs. Such collections and disbursements shall be consistent with the requirements of good business and fiscal procedure, organizations policy and resources. ii. The Financial Officer shall prepare a budget at the start of each quarter, no later than the 2nd week, and present it to the Executive Board for approval and see its provisions are followed; consistently reviewing operations to ensure that the student chapter operates within its means. iii. The President and Financial Officer are authorized to sign checks, but require secondary approval and signature by Faculty Advisor. iv. The Financial Officer shall communicate and assure awareness of the organization s financial position to the members and make public to them approved budgets.

5 C. PUBLIC RELATIONS OFFICER: i. The Public Relations Officer shall organize and solicit speakers as needed for general meetings and other functions. ii. The Public Relations Officer shall prepare budgets for proposed events and present to the board. iii. The Public Relations Officer shall keep records, reports, and minutes of the organization iv. meetings and other operations that the organization may require. The Public Relations Officer shall be responsible for communication with nonstudent and outside parties. D. MEDIA AND COMMUNICATIONS OFFICER i. Shall send out all other correspondence to the membership pool, such as meeting reminders. ii. Shall create and maintain a social media presence outside of events for public consumption. iii. Shall update the calendar of events and general website throughout the year. iv. Shall create marketing and sponsorship materials for chapter events E. HUMAN RESOURCE RECRUITERS: i. Shall be an active connection between potential members and the Seattle University s ALPFA Chapter. ii. Shall conduct quarterly feedback surveys of events and general meetings, and present findings to the Executive Board. iii. Recruiters shall be responsible for collecting and updating hours and membership requirements so to maintain the student chapter membership database current. iv. Recruiters shall collect membership fees, record them into database and deliver fees to the Financial Officer. v. Recruiters shall communicate quarterly to members their membership status, and communicate promptly status change. Section 6.1 TIMING ARTICLE VI Elections and Terms During the last week of April of each academic year, elections shall be held to choose a new Executive Board. Candidates for these positions shall be current active members of Seattle University's ALPFA Chapter as to provide a knowledgeable leadership for the next school year. Section 6.2 The vote shall be carried out by the ALPFA Seattle University Chapter, each ALPFA member shall be entitled to only one vote. Candidates shall have a chance to run a campaign with advertisements. A simple majority of the votes shall be required, held in hardcopy directly after candidates give a 1-2- minute pitch in front of the members or through an online service with videos of the candidates pitches made available. In any case where there might be more than two people running for a single position and no one gets the majority vote, the top two candidates will have a run-off and majority vote rules. Section 6.3 Any officer or elected member of ALPFA Student Chapter may be removed from office (impeached) for unsatisfactory or unlawful performance during his/her term in office. A motion must be made to put such an impeachment to a vote and a majority vote rules. If an officer is impeached an election may be held to elect a new officer, or the duties of the impeached officers may be undertaken by one or more of the remaining officers.

6 Section 6.4 If an office is vacated by resignation, the above prescribed course of actions shall determine who will assume responsibility for his/her duties. Section 6.5 There are set term limits of two terms, at one year per term, for any office of the Executive Board. ALPFA members may be part of leadership for as long as they desire, but may only hold a given office for a period of two terms. Section 6.6 This article may be amended and/or reformulated at any future meeting as seen fit by the Executive Board with motion and a simple majority vote by the members present at said meeting. Section 7.1 THE FACULTY ADVISOR ARTICLE VII Faculty Advisor i. Shall be responsible for assisting the student leaders in maintaining and creating contacts within the business industry. ii. Shall sign any University documents that may require the use of University facilities or equipment. iii. Cannot implement his/her own agenda, but rather guide students. Section 7.2 The ALPFA students should nominate the Faculty Advisor to the Executive Board. The vote shall be unanimous. Section 7.3 The Faculty Advisor will serve as long as he/she commits to the student chapter. Section 7.4 The Association has the right to revoke the advisor's privileges and petition for a new advisor. ARTICLE VIII Meetings and Procedures Section 8.3 Meetings shall be held at regular intervals, every Thursday from 12:30-1:20pm for the school year. Previously unscheduled but necessary meetings may be called by any member of the Executive Board at anytime, but shall be subject to rescheduling if a quorum cannot be formed. Quorum consists of half plus one of the Executive Board. Section 8.2 AGENDA Member Meetings i. Call to order by the President/Officer ii. Updates from previous meetings iii. Upcoming events and activities iv. Presentation from a professional/company etc v. Open discussion Executive Board Meetings i. Updates from previous meetings and update on pervious action steps ii. Upcoming events and activities

Section 8.3 Discuss/work on assigned task Create action steps and goals for post meeting All policy additions and changes shall be addressed at meetings and shall be implemented with a majority vote of all present members. Changes/additions shall be introduced by motion from a member and a seconding of the motion by another member. Voting shall commence after sufficient debate has been allowed for the issue at hand. Voting shall take place after a motion has been made and seconded. Section 8.4 Formal votes shall be made either by a simple show of hand, a roll call with each member present responding Yes or No, or by a paper ballot vote, whichever shall be deemed by the Board at the beginning of each academic year. Section 8.5 Amendments and addenda may be made to this article in part or in whole by a motion in a meeting and by a majority vote of present members. ARTICLE IX Amendments Section 9.1 This Constitution may be amended whenever change is necessary to keep this organization functioning fully and efficiently. Such amendments must be introduced with a motion, and the motion must be seconded. The proposed amendment shall then be introduced and a discussion period shall be allowed. Section 9.2 A vote shall be taken by present members of the organization at the meeting at which the amendment is introduced or at a subsequent meeting to be determined. A vote of two-thirds (2/3) of the entire ALPFA Student Chapter, including at least three officers, shall be required to amend the Constitution. ARTICLE X Anti-Hazard Policy Section 10.1 ALPFA Student Chapter shall abide by the Seattle University's policy on hazing and prohibits its members, both individually and collectively from committing any acts of hazing. Section 10.2 Hazing means any intentional, negligent or reckless action, activity or situation that causes another pain, embarrassment, ridicule or harassment, regardless of the individual s willingness to participate. Such actions and situations include, but are not limited to, the following: i. forcing or requiring the drinking of alcohol or any other substance ii. forcing or requiring the consumption of food or any other substance iii. calisthenics (push-ups, sit-ups, jogging, runs, etc) iv. treeing, paddle swats, line-ups theft of any property, road trips, scavenger hunts. v. causing fewer than six (6) continuous hours of sleep per night vi. conducting activities that do not allow adequate time for study vii. forcing or requiring nudity at any time viii. performing acts of personal servitude for members (driving them to class, cleaning their individual rooms, serving meals, washing cars, shopping, laundry, etc) ix. forcing or requiring the violation of University policies, federal, state or local law.

8 ARTICLE XI Organization Agreement ALPFA Student Chapter agrees to abide by Seattle University's Student Code of Conduct. Furthermore, agrees to abide by all Student Life and Leadership policies as outlined in the student handbook: i. To attend an annual student organization orientation session ii. To keep all content accurate on the OrgSync website iii. To check the organization s mailbox regularly iv. To communicate via upon request Section 12.1 ARTICLE XII Ratification This Constitution shall be presented to all members and officers of this organization. They shall then be given until the next meeting to examine the document and make suggestions or comments about it. These comments, suggestions, and any questions regarding this document shall be discussed at a subsequent meeting. Section 12.2 At anytime the Executive Board sees fit and when the document has been approved by all present officers and members of this organization, a motion shall be made by the President to ratify this Constitution. When a unanimous vote is reached, the document shall be signed and therefore enacted by this, the ALPFA Student Chapter. Section 12.3 The members of the ALPFA Student Chapter, present at this meeting at which this document is presented for ratification and is subsequently ratified, do put forth their hands below on this document as an act of approval and, as such, do hereby immediately and effectively enact this Constitution and these Bylaws.
