The Clerk confirmed the meeting was quorate. SG/1617/02 Declarations of Interest There were no declarations of interest. SG/1617/03 Minutes of the meeting held on 12 February 2016 The minutes were agreed and the Chair signed them as a true record. SG/1617/04 Matters arising from the above minutes There were no matters arising. SG/1617/05 To review the current Corporation and Committee membership B Spinks arrived during this item. Members went through the current Committee membership to confirm appointments and that Committee Members had been correctly placed. It was noted therefore there will be a number of vacancies on the Board. The current skill set and composition of the Board will need to be reviewed to establish where there is a lack of professional expertise, knowledge and diversity.

4 The Principal recommended two professionals, Jerry Allen and Gagan Mohindra, to serve as coopted Members of the Board for one year. Members noted Jerry Allen has a background in Higher Education and has good links with employers. Members noted Gagan Mohindra s position as a prominent member of the local council. It was agreed by the Committee that the Principal would have a discussion with Jerry Allen and Gagan Mohindra with regards to them serving as Co-opted Governors for a two year term as opposed to the recommended one year term. A Governor suggested the College looks at advertising on Everything Epping Forest a local community website. The Clerk will explore, along with job advertisements in local newspapers and report back to the Committee accordingly. It was RECOMMENDED that the Board approves the current Corporation and Committee membership at the meeting on 8 December SG/1617/06 Selection and Recruitment Policy It was RESOLVED to recommend the Selection and Recruitment Policy to the Board for approval on 8 December SG/1617/07 Governor recruitment This had been discussed earlier in the meeting. SG/1617/08 Governor Link Scheme The Committee agreed the changes to the Governor Link Scheme. Committee Members asked the Clerk to produce a crib-sheet to assist Governors in getting the most out of the visit. It is important that Governors are updated on the outcomes following their visits to the College. It was RESOLVED to recommend the revised Governor Link Scheme allocations to the Board for approval on 8 December SG/1617/09 Skills Audit update Members noted a skills audit questionnaire had been sent to Governors. An action plan will be put in place following the outcome of the results. The Clerk will update the Committee accordingly. It was RESOLVED to note the update. SG/1617/10 Governor appraisal / performance management / self assessment The Clerk informed the Committee that Governor appraisals will take place this academic year.

5 The College has benefitted from the support of a National Leader of Governance, Jim Aleander. The Principal, Chair of Governors and Clerk met with Jim Aleander to discuss the effectiveness of the Board through self-assessment. The Clerk has sent a self-assessment questionnaire to all Governors following the meeting and a summary of the outcomes will be discussed by the Search and Governance Committee. The Principal thanked Mark Webster, Governor, for his work and support with the new Strategic Plan: Vision The Board will be presented with the Vision at the next meeting on 8 December 2016 and Committee Members noted an outline of the Vision will be shared in the community. It was RESOLVED to note the update. SG/1617/11 Any Other Business The Committee discussed the management structure and that this would be explored in more detail at the next meeting.
