3 Extraordinary General Meeting of Todmorden Amateur Operatic and Dramatic Society To be held on Thursday 10 th July at the Hippodrome Theatre 7.00pm for 7.30pm Agenda This Extraordinary General Meeting of T.A.O.D.S. has been called by a unanimous decision of the committee at its meeting on Wednesday 4 th June The only business to be discussed is laid out in the agenda below. Please note to change the constitution of the society a quorum of 25 members must be present and a majority of 2/3rds is required to carry the proposal. 1. Apologies for absence. 2. The committee proposes the following alterations to the society constitution. Clause 5 to read:- The executive committee shall manage the society and shall consist of the following who shall be elected at the Annual General Meeting. 1)President 2)Chair 3)Vice-Chair 4)Minute Secretary 5)Administrative Officer 6)Finance Officer 7)Creative Officer 8)Hospitality Officer 9)Buildings Officer 10)Technical Officer 11) Two Committee Members (All members shall be eligible for re-election from year to year) Clause 6 to read:- The auditors shall be elected at the Annual General Meeting Clause 7 to be deleted All references to Secretary shall be changed to Administrative Officer and references to Treasurer shall be changed to Finance Officer. All references to Chairman and Vice-Chairman shall be changed to Chair and Vice-Chair. The current clauses 5,6 & 7 are shown below for comparison. 5. The following honorary officers together with the auditors shall be elected at the Annual General Meeting: (a) President (e) Treasurer (b) Chairman (f) Chairman of the Social Committee (c) Vice-Chairman (g) Chairman of the Hippodrome Committee (d) Secretary (h) Chairman of the Bar Committee (All officers and also the auditors shall be eligible for re-election from year to year) 6. The society shall be managed by the officers above mentioned and a committee of ten other members. 7. Committee members shall be elected at the Annual General Meeting and will serve for a period of two years, five retiring annually, so that on the first such election five members shall be appointed for one year only. All retiring members may offer themselves for re-election. Please note only fully paid up adult members are eligible to vote at the EGM but junior member are welcome to attend

Activities and Future Productions for 2014/ Any Other Business All nominations for Officers and Committee, bearing the names of the Proposer and Seconder together with the written consent of the Nominee, shall be received by the secretary Miss A Greenwood, 20 Kilnurst Mount, Todmorden, OL14 6AT not less than seven days prior to the date of the Annual General Meeting. Nominations and/or volunteers for sub-committees under the management of the various society officers to be given to the secretary before the close of the Annual General Meeting. Please note only fully paid up adult members are eligible to vote at the Annual General Meeting but Juniors are welcome to attend. Copies of this notice and minutes will be available at the AGM

5 MINUTES OF THE ANNUAL GENERAL MEETING OF THE TODMORDEN AMATEUR OPERATIC AND DRAMATIC SOCIETY HELD ON THURSDAY 11 TH JULY 2013 AT THE HIPPODROME THEATRE, TODMORDEN Following short obituaries by David Winslow, the President, Mr George Mitchell, requested a minutes silence in memory of John Greenwood, Allen Booth and Sylvia Sutcliffe. 1. MEMBERS PRESENT AND APOLOGIES FOR ABSENCE 30 members were present including 5 juniors. Apologies were received from 19 members 2. MINUTE OF THE AGM HELD ON THURSDAY 19 H JULY 2012 Acceptance of the minute of the AGM held on Thursday 19 th July 2012 was proposed Martin Cook and seconded by Freda Heywood. Carried. 3. MATTERS ARISING No matters arising. 4. CORRESPONDENCE No correspondence. 5. TREASURERS REPORT The Treasurers report was circulated to members attending. P.1. Balance , Balance , P.2. All the productions made a profit. Production account surplus - 13, P.3. Future Productions expenditure = licences for 2013/2014. P.4 Room hire should have been placed under expenditure. This expenditure included storage of costumes after the flood. Grant is for the foyer lighting. This section includes the heading Replacements. This sum of 19, was for replacement of items after the flood. Improvements include the grant for foyer lighting. Utilities. This sum is lower this year due to reimbursement of overpayment from NPower. P5. This is a new sheet for this years accounts P6. Donation of 449 from Dawn Chapman School of Dance. Licences Little Theatre Guild and NODA P9. Total Assets , Total Assets , Acceptance of the accounts was proposed by Justine Sutcliffe and seconded by Malcolm Heywood. Carried.

6 6. BAR COMMITTEE REPORT We seem to have had a busy year on the bar although when studying the finances, it does not appear as busy as last year. We have once again provided bars not only for TAODS own productions but once again we have provided refreshments for Gang Show, dance school performances, school talent shows, St Joseph s pantomime, the new Electric Palace and other outside productions. We have seen an increase thank fully once again in the number of foyer bookings for birthday parties and family celebrations as well as supporting the social committees fundraising events. I am quite fortunate in having an active list of volunteers at the moment with some new faces who after having watched a performance made enquiries and decided they wanted to get a little more involved so a warm welcome to them and thank you for choosing to help on the bar. My thanks as always to you all who help out and especially those who support other teams within the theatre either ushering, social committee or stage staff and at this point If I have forgotten anyone I am truly sorry and thank you too for your help. Thank you to Carolyn for helping me on many occasions keeping the bar tip top and clean for functions. To Aysa and Shaun who help me cover the extra outside bookings, and especially for doing the late night shifts, when some of you just won t go home, but it gives us the chance to squeeze in some extra needed cash. Thank you to David for looking after the finances and the numerous trips to cash and carry to stock up and not forgetting the dreaded tip run. The last person I would like to thank but by no means least, is Gillian who has taken care of the foyer bookings for as long as I can remember, I hope I continue to be as organised as you as I take on this role no doubt I will be in touch if I get stuck. Well that s my two minutes covered. So finally the important bit... At this point last year I produced our figures of just over 23,000 which was very impressive given the previous years, but sadly this year we have dropped. This I think is just a sign of the times; the main reason is possibly that people leave at the end of a performance, so we don t sell that extra drink at full price I might add!! I think also it s perhaps that people are carefully watching their purse strings. However, I am still pleased to say that this year our total sales are 20, which makes our profit 34.63%. So forgetting the doom and gloom the Bar Committee has still been able to hand a total of 6, to the General Fund, so with my report coming to a close all that s left for me to say is once again thank you to everyone for their continued support and please drink more!!! 7. HIPPODROME COMMITTEE REPORT Staffing has been difficult during a busy year. Alan Sutcliffe has stepped down as chair of the committee so the society is looking at new ways of organising back stage staffing. New things put a burden on everyone and as can be seen by the posters their will be some very interesting stages to build this year. A big thank you to everyone who has been involved backstage. 8. SOCIAL COMMITTEE REPORT A fairly standard year with one or two exceptions: so I ll start with the usual plea for more recruits. The current committee are great, putting in as much time as they can spare, but it s never enough especially during Dec with the HYT show, Festive Brass, Dance school shows, and 2 parties to organise and run and again in April for the adult musical when most of the committee are tied up with running or being in the show - so more members on the committee would ease things somewhat. If joining the committee is not an option for you, but you could spare some time to help out during show week etc., then please let me know and I will add you to my contact list.

7 Apart from front of house activities, we ran, as usual, 2 parties at Christmas - the Children s Christmas party and the Adult Christmas party we had to subsidise the children s party, but so many attended the adult party that we actually made a profit. Any ideas for changing the format for these parties would be welcomed and given due consideration when planning the next ones And, although it didn t happen, I would like to thank those on the sub-committee for the work they did organising the summer ball. An especial vote of thanks must go to Chris Stott and the group of people he got together to step into the breach and organise the end of season party well done those guys! This coming year it is hoped that we can run both. A Ball probably 15th or 22 nd March and an End of Season Party shortly after the June play. We started the yr off with a bank balance of , handed over 1,750 to the General committee and ended the year with a bank balance of (not a huge profit, somewhat shy of 2,000) for the amount of time and work put in, but a profit never- the-less. I would like to thank all those who have volunteered throughout this last year, especially those from HYT who have done a sterling job running the sweet stall, without you things would have ground to a halt. Thank you to Brenda for being our Treasurer And, finally a huge thanks to my social committee, Rowena Parkinson, Shaun Vause, Chris Stott, Corey Beardsmore and Emily Coup 9. PROGRESS REPORT Hippodrome Projects See Presidents Address 10, SUBSCRIPTIONS The General Committee had recommended that there would be no change in subscriptions. 11. PRESIDENT S ADDRESS Last year the events at the Theatre continued to be at the high standard everyone visiting expects of our organisation. The dedicated team s attention to detail in all our productions ensure that excellence is the only standard that is acceptable, and we must all strive in the future to maintain this level. I would like to mention the stage sets, which again have been to an extremely high standard, and as soon as the curtain goes up produces the expectation of a first class performance. Our grateful thanks go to all the people behind the scenes who perform the tasks that enable the Society to put on the first class shows, but never receive the public recognition. The season started with the play Two, and was entertaining from start to finish. Andrew Rawlinson was nominated in the NODA North West awards for his role in the play. Next came Calendar Girls and Justine Sutcliffe won the NODA award for Best Artistic Direction of a play. Her direction of this popular well known play was first class, and I am sure you will join me in extending our congratulations to Justine. Also nominated were the two leading actresses Moni Noszkay and Joyce Frazer for their roles also in Calendar Girls. So well done everyone associated with the play for not only an excellent production, but also a very profitable one for the Society. Unfortunately I could not attend Under Milkwood, but I am sure it would be up to the usual standard. I will report on Who s Afraid of Virginia Woolf in next year s address. We

8 would like some new members of the Play Committee who would be prepared to get involved in the organisation of the productions, which to date has been left to just a few people. Please let us know if you would be prepared to carry out this task. What a great night out we all had when our Youth Society performed Joseph in the autumn. The numbers in the show are ideal for an exuberant cast of young people, and our group certainly did it justice. Well done to all our young people involved in the show, also the dedicated production team who spend endless hours with these young people to achieve the necessary standard. Also for being nominated by NODA for the Best Youth Theatre production in the North West. We are all now looking forward to their next production Les Miserables, a truly challenging show for any production team. The senior musical this year, of course, was that classical show Fame. Again the production team gathered a first class cast, and the audience were entertained from start to finish with great music, and some superb dancing. I would be very surprised if this show was not nominated for the North West Awards next year. All the shows and plays made a contribution to the overall profit on productions last season. So well done everyone and also the people responsible for the budgets. A new venture this last season has been the Electric Palace Cinema showing films on a monthly basis. Although in its infancy it is proving to be a worthwhile addition to our activities at the Theatre. Anyone interested in being involved, please let us know. As you all probably know by now we are going ahead with installing accessible toilet facilities for the disabled, and work starts on Monday 22 nd July for 4 weeks. We have obviously to remove everything from the area where the work is to be carried out, and we are looking for volunteers on the following dates: Sunday 14 th July from 9.30 am Monday 15 th July from 7.30 pm Wednesday 17 th July from 7.30 pm Sunday 21 st July from 9.30 am 2.00 pm If anyone can spare a few hours at these times it would be very much appreciated. Also when the work is completed the jobs day will be on Sunday 1 st September when we can have a final clean up of the Theatre ready for the Open Day on Saturday 14 th September. when we will officially open the new facilities. We have a number of applications in the pipeline for grants towards the accessible toilet project, and we hope that a number of these come to fruition by the time the project is completed. Invitations will be going out to the organisations who contribute to attend the Open Day, and therefore I would be pleased if as many members as possible could attend this event, to show support for the Theatre. Our fundraising has to continue, because as well as the major projects ongoing repairs and replacements have to be carried out. As an example, we will have to spend around 1,500 during the close season on replacing some broken seats in the circle. Again, I would extend grateful thanks to all our Chairman and Committee members for their hard work and commitment during the year. Also a special thanks to Douglas Simpson for his hard work behind the scenes organising the work on the accessible toilet facility. Thank you all for attending, and we look forward to another successful year, and see you all at the Open Day in September.

Virginia Woolf was moved at short notice and Justine Sutcliffe thanked Malcolm Heywood for putting on Under Milkwood and Liz Holland and young people from HYTs for putting on Dogg s and Cahoots at very short notice. Steve Clarkson suggested that the General Committee should consider amending the constitution to allow chairs of play committee, musicals committee and HYTs to be officers of the society. The President agreed that the General Committee would look at this and come back to the membership. Tim Benjamin sent his grateful thanks for all the help received from the Hippodrome for Emily. Jenny Sheldon asked all members with addresses to contact her so that they could receive their newsletter this way, Facebook has an excellent following and members were asked to like and share. The President thanked all who attended and the meeting closed at 9.00pm.
