1 Special Message from RICHMOND LIONS YOUTH RUGBY, INC Officers and Directors It is time for the annual election of Officers and Directors for Richmond Lions Youth Rugby, Inc. (RLYR) In addition to participating in RLYR's board meetings and special events, one of the best ways to get the most from your affiliation with RLYR is to become involved in the management of the club. Being an Officer or Director of RLYR provides unlimited opportunities to be more engaged in the Richmond rugby community as well as to shape the direction and goals of the RLYR. In addition to contributing to the success of our organization, being an Officer or Director provides opportunities for personal achievement and growth We strongly encourage each member to consider becoming involved as an Officer, Director or Committee Chair of RLYR. Elections will be held at the Annual General Meeting scheduled for October 16, 2016 from 2:00-4:00 pm at the Bon Secours Washington Redskins Training Center, 2401 W Leigh Street Richmond, Va Following is a Declaration of Candidacy form along with a brief description of the duties for each elected position. 3 A brief description of the duties for the elected Offices and Directors: OFFICERS: PRESIDENT. The President shall be the principal executive officer of the corporation and shall in general supervise and control all of the business and affairs of the corporation. The President shall preside at all meetings of the members and the Board of Directors. The President may sign, with the Secretary or any other proper officer of the corporation authorized by the Board of Directors, any contracts or other instruments which the Board of Directors have authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by statute to some other officer or agent of the corporation; and in general the President shall perform all duties incident to the office of President and such other duties as may be prescribed by the Board of Directors from time to time. The President will work cooperatively with other Board members in establishing volunteers to help coordinate Associate activities. The President shall be the author of the RLYR Strategic Plan. In this capacity, he/she will build, maintain, modify and promulgate the plan in addition to sponsoring it for approval at the AGM. VICE PRESIDENT. In the absence of the President or in event of the President s inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restriction upon the President. The Vice President shall perform such other duties as from time to time may be assigned by the President or by the Board of Directors. The Vice President shall preside at meetings of the members and Board of Directors in the President's absence. TREASURER. The Treasurer shall have charge and custody of and be responsible for all funds and securities of the corporation; receive and give receipts for money due and payable to the corporation from any source whatsoever, and deposit all such moneys in the name of the corporation in such banks, trust companies or other depositories as shall be selected; and in general perform all duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him by the President or by the Board of Directors. SECRETARY. The Secretary shall keep the minutes of the meetings of the members and the Board of Directors in one or more books provided for that purpose; see that all notices are duly given in accordance with the provisions of these bylaws or as required by laws; be custodian of the corporate records and of the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these bylaws; keep a register of the post office address of each member which shall be furnished to the Secretary by such member; and in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to the Secretary by the President or by the Board of Directors.

4 BOARD MEMBERS: DIRECTOR OF RUGBY. The Director of Rugby shall identify and present the Board for approval, qualified, capable, responsible candidates for coach, assistant coaches, and team managers for each of the teams to be fielded. The Director of Rugby is also tasked with providing the primary communication link between the Board of Directors and the coaching staffs; coordinate communications among coaching staff of the RLYR and coordinate appropriate training of its coaches in partnership with USA Rugby and its recommended certifications and registration as a CIPP (Certified Individual Player Participant) member of USA Rugby. The Director of Rugby will recruit, mentor, train and certify Coaches. The Director of Rugby oversees the day to day rugby business for all tag and tackle teams. EQUIPMENT AND FIELD MANAGER. The Equipment and Field Manager is responsible for storage of equipment, maintenance of equipment as well as identifying equipment vendors and coordinating the purchase of all equipment approved by the Executive Board. Includes ensuring sufficient first aid and hosting equipment for the season. Also in charge of making sure all fields are properly marked and set up for all home matches. REGISTRAR/PLAYER REPRESENTATIVE. The Registrar shall coordinate registration of players, coaches and referees with the RLYR, Rugby Virginia and USA Rugby. Coordinate with all coaches/team managers to collect all necessary documents (i.e., report cards, school IDs, consent forms, etc.) in order for the members to be registered and age verified per Rugby Virginia and USA Rugby rules, regulations and deadlines. The Player Representative shall act as the conduit between the parents and players of the club and the Board of Directors. Players and parents will be able to discuss any potential issue and have these concerns relayed to the Board in an anonymous fashion, if so desired. The Player Representative should not be a current coach. TACKLE DIRECTOR. Reports directly to the Director of Rugby. Is in charge of all day to day of tackle season. Assists Director of Rugby with recruitment, training and certification of all tackle coaches. TAG DIRECTOR. Reports directly to the Director of Rugby. Is in charge of all day to day of tag season. Assists Director of Rugby with recruitment, training and certification of all tag coaches.

5 The following committees are also open: FUND RAISING COMMITTEE CHAIR. The Fund Raising Chair is responsible for coordinating all fund raising activities of the RLYR. LEAD PHOTOGRAPHER: The Lead Photographer will take and/or collect photos of players and coaches during games and/or practice and supply for uploading to Social Media and Website. PUBLIC RELATIONS/SOCIAL MEDIA CHAIR. The Public Relations Chair is responsible for coordinating all local press activities, including print, social and broadcast media, as well as coordinating all paid for Club advertisements. SPIRIT WEAR COMMITTEE CHAIR. The Spirit Wear Chair is responsible for designing spirit wear, as well as identifying vendors and coordinating the purchase of all spirit wear including game kits (jerseys, shorts, socks) needed for the RLYR. TEAM PARENT: The Team Parent will be responsible for tracking individual and game stats. Will also be responsible for coordination of food and drink duties as well as after game socials during home matches. Each team will need to have at least one team parent assigned to this position. TEAM VIDEOGRAPHER: The Team Videographer will tape all games and supply edited highlights for uploading to Social Media and the Website. Put together a team highlight film at the end of the season. WEBMASTER CHAIR: The Webmaster Chair is responsible for the website management and all social media posts for the RLYR. Executive Board (voting power) will consist of the 4 officers and 5 board members. Each member of the Executive Board will receive 1 vote. A quorum (majority-5 members) must be met before anything can be voted. Executive Board members will have term limit of 2 years. All Committee Chairs and Individual Duties will have term limit of 1 year.
