1 APPROVED - 2/21/ MINUTES OF THE BUILDING AND CONTRACTS COMMITTEE OF THE Tuesday, January 10, 2017 I. The Building and Contracts Committee of the Board of Education of Baltimore County convened a regularly scheduled meeting on Tuesday, January 10, 2017, at 4:48 p.m. in Room 114 of Building E on the Greenwood Campus. The following Committee members were present: Charles McDaniels, Jr., Chair; Kathleen Causey, member; Julie Henn, member and Nicholas Stewart, Esq., member. The following staff members were present: Pradeep Dixit, Executive Director, Department of Physical Facilities and George Sarris, Executive Director, Department of Fiscal Services. II. Mr. Sarris and Mr. Dixit presented the recommended contract awards to the Committee. III. The first recommended contract award presented was KSH Annual Auditing Services. Mr. Sarris summarized the contract. Mr. Sarris responded to the recommended contract award questions submitted by Ms. Causey prior to the meeting. The Committee discussed the contract. IV. The second recommended contract award presented was MBU Purchase of Floor Care Machines and Associated Equipment. Mr. Sarris summarized the contract and responded to the questions submitted by Ms. Causey prior to the meeting. The Committee discussed the contract. V. The third recommended contract award presented was MWE Contract Modification: Energy Performance Contract. Mr. Dixit summarized the contract. Mr. Dixit and Mr. Sarris responded to the questions submitted by Ms. Causey prior to the meeting. The Committee discussed the contract. VI. Due to time limitations, Mr. McDaniels moved to defer the last two contracts to the full Board and recommend approval of recommended contract awards 1, 2 and 3 to the full Board. Mr. Dixit asked for time to summarize the two remaining recommendations. VII. The fourth recommended contract award presented was MBU Replacement of Elevator System at Woodlawn High School. 2 VIII. The fifth recommended contract award presented was ARA Installation of Air Conditioning at Southwest Academy Middle School. Mr. Dixit summarized the contract. The Committee discussed the contract. IX. Mr. McDaniels moved that the Committee recommend approval of the recommended contract awards to the full Board. Mr. Stewart concurred and Ms. Henn seconded the motion. The Committee approved the recommended contract awards by a vote of 3-1 (Ms. Causey opposed). Ms. Causey moved that the Committee separate the third recommended contract award. Mr. McDaniels deferred further discussion to the full Board. X. MBU PURCHASE FLOOR CARE MACHINES, ETC. Compare actual past annual expenditures on previous contract with estimated annual amounts on this new contract. What amount is operating budget? What amount is capital budget? How/when has BCPS staff received agreement from County leadership for capital portion? Previous contract has already expired. Why are contracts routinely submitted for Board approval within few days or weeks before contract expiration? Does purchasing department have vacant positions? If not, does purchasing need additional position(s) proposed for upcoming budget? 3. MWE ENERGY PERFORMANCE CONTRACT ((WHAT IS CORRECT CONTRACT #? This is same contract # as contract for NORESCO for $59,644,743 FROM 12/20/2016 BOE meeting). Please explain why appropriate to modify by $53,726,038 with no bid? Please explain necessity for 20 year term? Compare actual past annual expenditures/cost avoidances on previous contract with Johnson Controls with estimated annual amounts on this new contract. Was BGE considered? What amount is operating budget? Hardware/services for wifi expansion? Retrofit for energy source upgrades? For central AC AND the robust servers for the planned expansion of STAT? How else aligned to BLUEPRINT 2.0. What amount is capital budget? 1

4 For what capital equipment? How/when has BCPS staff received agreement from County leadership for capital portion? Please explain cash flow over 20 years? BCPS pays Johnson Controls when? How much? Fixed or based on what variable? BCPS has $34,224,186 of financed funds what are payment arrangements? Loan amount is fixed or variable based on what? What is interest rate, fixed or adjustable? So, what is monthly amount? What is term? Starting when? Ending when? Are payment arrangements based on future energy savings? How measured? Please list the 78 BCPS facilities that will receive upgrades. What upgrades they will receive? What is chronological order? Over what fixed or estimated timeline? Please list the 74 BCPS facilities from CONTRACT MWE dated DECEMBER 20, 2017, TO NORESCO. What upgrades they will receive? What is chronological order? Over what fixed or estimated timeframe?
