3 FLORIDA ASSISTANT PRINCIPALS ASSOCIATION CONSTITUTION ARTICLE I NAME Section 2 Section 3 The name of this organization shall be the Florida Assistant Principals Association (FAPA). The organization shall be governed by the broad dictates set forth in Chapter 617, Corporation Not for Profit of the Florida Statute. This organization shall be a Department of the Florida Association of School Administrators. ARTICLE II PURPOSE AND OBJECTIVES Section 2 The purpose of the Florida Assistant Principals Association is to provide a professional organization committed to improve the quality of education for the students of the State of Florida and to develop effective educational leadership. The following objectives are designed to achieve the purpose in of this Article. a. Promote professionalism and provide guidance, assistance and cooperation among members that will enhance the fulfillment of our purpose. b. Advance public education by providing organized and unified efforts to resolve school issues. c. Cooperate with other professional organizations, including the Florida Department of Education and the Florida Legislature on matters of education and provide opportunities for cooperative study of those issues. d. Provide opportunities for cooperative study of education issues and serve as a center for the exchange of ideas and information to fulfill our purpose. e. Provide members with updated information concerning state and national legislative activity and policies related to education and educators. ARTICLE III MEMBERSHIP Membership is open to practicing public school assistant principals, vice principals, deans or other school based administrators who function in the role of assisting the school principal and as defined in the FASA Constitution, Article III, and Section 3. ARTICLE IV DUES Membership in the Association shall be contingent upon payment of annual dues as defined in the FASA Constitution, Article IV. ARTICLE V OFFICERS The officers for this organization shall be a President, President Elect and Past President. FAPA Constitution and By Laws Page 3

4 ARTICLE VI BOARD OF DIRECTORS Policy making responsibility for the organization shall be vested in the Board of Directors. ARTICLE VII QUORUM A quorum for regular, annual, special, or emergency meetings shall be those persons in attendance provided the proper announcement circulation is at least 14 days prior to the meeting. ARTICLE VIII AMENDMENTS Section 2 Section 3 An amendment to this Constitution must be presented to all members of the Board of Directors at least 14 days prior to a Board of Directors meeting. A majority of the Board of Directors must approve the amendment for it to be presented to the general membership at least 21 days prior to voting. All amendments presented to the members will require a majority vote of those voting. ARTICLE IX RULES OF ORDER On all questions of Parliamentary Law not specifically covered in the Constitution and By Laws, Robert s Rules of Order, Revised, shall be governing authority. 5 FLORIDA ASSISTANT PRINCIPALS ASSOCIATION BY LAWS SECTION 1000 NAME, PURPOSE AND OBJECTIVES 1001 The name of this organization shall be the Florida Assistant Principals Association (FAPA) The purpose of the association is to provide a professional organization committed to improve the quality of education for the students of the State of Florida and to develop effective educational leadership The following objectives are designed to achieve the purpose. a. SECTION 2000 ORGANIZATION AND GOVERNANCE 2001 The Association shall be governed by a Board of Directors consisting of: President, Past President, President Elect and eight (8) Directors which shall be two (2) from each FASA region. The Executive Director of FASA shall be an ex officio member of the Board The President, and President Elect, and Past President will hold office for a period of one year. The President Elect shall be elected and serve a one year term followed by a one year term as President, and a one year term as Past President. The officers may not succeed themselves Officers and Directors shall be practicing public assistant principals, vice principals, deans or other school based administrators who function in the role of assisting the school principal who are individual or institutional members of FASA Removal of officers or directors shall be the responsibility of the Board of Directors Causes of removal shall be limited to non payment of dues, non performance of office responsibilities, negligence or misuse of association funds, non adherence to policies and procedures or non attendance at two consecutive meetings without just cause and notification. SECTION 3000 EXECUTIVE COMMITTEE 3001 The Executive Committee of the organization shall consist of the President, President Elect, and Past President. The Executive Director of FASA shall be an ex officio member. FAPA Constitution and By Laws Page 5

6 3002 The Executive Committee shall act as an administrative body to facilitate the operation of the organization in the interim between meetings of the Board of Directors and to perform such duties as assigned by the Board of Directors. All actions of the Executive Committee shall be subject to ratification by the Board of Directors The Executive Committee suggests policies and directions for the organization and makes recommendations to the Board of Directors. SECTION 4000 DUTIES OF OFFICERS AND DIRECTORS 4001 The President shall preside at all meetings of the organization and the Executive Committee, appoint all committees not otherwise provided for, call all meetings of the Executive Committee, and coordinate the work of the officers and committees of the Association The Past President shall act as the parliamentarian and preside in the absence of the President The President Elect or designee shall serve on FASA committees and other duties assigned by the President The President, President Elect and Past President shall serve as the FAPA Directors on the FASA Board of Directors The Directors shall represent FAPA members from their respective FASA regions at all FAPA board functions, to assist with FAPA membership efforts and to serve on FAPA committees as assigned. The duties of Directors in their regions are defined in the FASA Bylaws. Directors shall be FAPA members as described in the Constitution, Article III and Meetings of the Board of Directors shall be held prior to meetings of the organization and/or as needed. Board meetings or general membership meetings may be conducted by electronic media or face to face The President, President Elect and Past President will hold office for one year and may not succeed themselves. The Directors will hold office as defined in the FASA Bylaws A vacancy of the Board of Directors due to inactive status as a member or an officer or director becoming unavailable to serve will be filled as follows: President: President Elect assumes office. President Elect: The Nominating Committee submits the name of a qualified candidate at the next scheduled Board meeting. The vacancy is filled by the Board until the next annual election. Director: In the event a Director moves from the region (s)he represents, retires, resigns, or is no longer serving as a FAPA member as described in the Constitution, Article III and, the office automatically becomes vacant, and the President, upon recommendation from the board, shall appoint a successor to serve out the term The board of directors will submit an annual budget to the FASA staff by March 31 each year. 7 SECTION 5000 ELECTIONS 5001 The nominating committee will be the officers and directors. Other FAPA members may submit names to the nominating committee for the office of President Elect Nominations must be received by the nominating committee by February 1. The nominating committee will meet after February The nominating committee shall publish a slate of candidates to the membership with candidate names, biography and philosophy statements by April 1. Official ballots must be individually returned to the FASA office electronically or by US mail no later than April The Executive Committee, or their designee, shall be responsible for certifying the results by May To be eligible for election as President Elect or a Director, a nominee must: a. be a FAPA member as defined in the Constitution, Article III, b. have the endorsement of five (5) FAPA members c. have served no more than one (1) term (two years) as a Director d. President elect nominee must have served as a Director e. must provide a letter of support from supervising administrator 5006 The Officers shall be installed during a meeting prior to July first, or at the FASA Summer Conference. The time for assuming office shall be July first, or at the FASA Summer Conference. SECTION 6000 MEETINGS 6001 The organization shall hold no less than one annual general membership meeting. A meeting can be electronic, virtual or face to face The President may call an emergency or special meeting when it is deemed such a meeting is necessary. The time, place and the object of such special or emergency meeting shall clearly be set forth in the official call or notice and communicated to the individual members at least 14 days in advance. SECTION 7000 AMENDMENTS 7001 The bylaws may be amended, rescinded, or temporarily waived by a majority vote of members of the Board of Directors at any regular or special meeting called for this purpose. Five days notice in writing of such proposal shall be given Policies may be enacted, amended, rescinded, or waived by a majority vote of the members of the Board of Directors at any regular or special meeting or via electronic communication Ultimate authority of the organization rests with the membership. The membership, by majority vote of those present at the designated business meeting of the annual meeting, may direct the Board of Directors to enact, amend or rescind any bylaw or policy.
