3 FLORIDA ASSOCIATION OF ELEMENTARY AND MIDDLE SCHOOL PRINCIPALS CONSTITUTION ARTICLE I NAME Section 2 Section 3 The name of this organization shall be the Florida Association of Elementary and Middle School Principals (FAEMSP). The organization shall be governed by the broad dictates set forth in Chapter 617, Corporation Not For Profit of the Florida Statute. This organization shall be a Department of the Florida Association of School Administrators. ARTICLE II PURPOSE AND OBJECTIVES Section 2 The purpose of the Florida Association of Elementary and Middle School Principals is to develop a professional organization committed to a reciprocal relationship with the FDOE and state legislators and dedicated to the development of increasingly effective educational leadership. To achieve this purpose, the organization: a. will promote active communication with state legislators through participation in Legislative Days. b. will collaborate with FASA in establishing the FASA legislative platform. c. will provide members with updated information concerning state and national legislative activity and policies related to education and educators. d. will provide opportunities for cooperative study of various problems common to the elementary and middle schools of our state. e. will cooperate with other professional, education, administrative and supervisory associations and serve as a center for the exchange of ideas and information to promote the advancement of quality education in the state of Florida. ARTICLE III MEMBERSHIP Section 2 Membership is contingent upon joining Florida Association of Elementary and Middle School Principals (FAEMSP) as a Department of FASA and the National Association of Elementary School Principals (NAESP). A member must hold membership in both FAEMSP and NAESP. Membership in FAEMSP is restricted to principals of a school with elementary and/or middle grades or retired elementary/middle school principals who are full service members of FASA and shall be consistent with FASA membership guidelines. 3

4 Section 3 The Board of Directors shall have the authority to determine the qualifications of all applicants for membership. ARTICLE IV DUES Membership in the Association shall be contingent upon payment of annual dues as defined in the FASA Constitution, Article IV. ARTICLE V OFFICERS The officers for this organization shall be a President, President-Elect, Past President, Secretary and Treasurer. ARTICLE VI BOARD OF DIRECTORS Policy making responsibility for the organization shall be vested in the Board of Directors. ARTICLE VII QUORUM A quorum for regular, annual, special, or emergency meetings shall be those persons in attendance provided the proper announcement circulation is at least 15 days prior to the meeting. ARTICLE VIII AMENDMENTS Section 2 Section 3 An amendment to this Constitution must be presented to all members of the Board of Directors at least two weeks prior to a Board of Directors meeting. A majority of the Board of Directors must approve the amendment for it to be presented to the general membership at least 21 days prior to voting. The Secretary shall cause the proposed amendment to be circulated among the membership. A majority vote shall be necessary to make the proposed amendment a part of the Constitution. ARTICLE IX RULES OF ORDER On all questions of Parliamentary Law not specifically covered in the Constitution and Bylaws, Robert s Rules of Order, Revised, shall be governing authority. 4

Section 2000 Governance and Organization 2001 The voting members of the Board of Directors shall consist of the President, President-Elect, Past President, Secretary, Treasurer, the state representative of the National Association of Elementary School Principals and eight Directors which shall be two from each FASA region. The Executive Director of FASA shall be an ex-officio member of the Board The President, and President-Elect and Past President will hold office for a period of one year. The President-Elect shall be elected and serve a oneyear term followed by a one-year term as President and a one year term as Past President. The Secretary and Treasurer shall be elected and hold office for a two-year term. The Secretary shall be elected in oddnumbered years and the Treasurer shall be elected in even-numbered years Officers must be voting members of FAEMSP. 5

6 2004 Removal of officers or directors shall be the responsibility of the Board of Directors Causes of removal shall be limited to non-payment of dues, nonperformance of office responsibilities, negligence or misuse of FAEMSP funds, non-adherence to FAEMSP policies and procedures or nonattendance at regular meetings without just cause. Section 3000 Executive Committee 3001 The Executive Committee of the organization shall consist of the President, President-Elect, Past President, Treasurer, and Secretary, the, and the state representative to NAESP. The Executive Director of FASA shall be an ex-officio member The Executive Committee shall meet at the call of the President and/or upon written request of three of its members The Executive Committee suggests policies and directions for the organization and makes recommendations to the Board of Directors. Section 4000 Duties of Officers and Directors 4001 The President shall preside at all meetings of the organization and the Executive Committee, appoint all committees not otherwise provided for, call all meetings of the Executive Committee, and shall coordinate the work of the officers and committees of the Association. The President shall appoint on an interim basis any vacancy on the Board of Directors. The interim appointment shall stand until the next meeting of the Board of Directors The Past President shall preside as the parliamentarian and preside in the absence of both the President and President-elect The President-Elect shall oversee committee direction and other duties assigned by the President. The President-elect shall assume the duties of the President, in his/her absence. In the case of a vacancy in the office of President, the President-Elect shall become acting President until the next annual election, at which time he/she shall automatically become President The Secretary shall keep the minutes of the organization, a careful record of all proceedings and its committees, and shall be responsible for their preservation. He/she shall be Secretary of the Board of Directors and the Executive Committee. Within thirty days after the meeting of the organization and within ten days after any meeting of the Executive Committee, the Secretary shall furnish a copy of the minutes of each meeting to the Executive committee. 6

7 4005 The Treasurer shall exercise general supervision of the Association s financial affairs, shall have charge of the records and books of account thereof, and shall assist the Finance Committee to prepare the budget. At each meeting, an itemized report shall be presented in writing of all receipts and disbursements The President, President-elect and Past President shall serve as the FAEMSP Directors on the FASA Board of Directors For the school year, the third representative for the FASA Board selected from the FAEMSP Board will be a current FAEMSP Board Member whose elected term extends through ; this already-elected Board Member will be selected and approved by the FAEMSP Board of Directors at the June Meeting to fill the vacancy that will be created by the resignation of the incoming FAEMSP Past President, who will be serving concurrently as FASA President during The term will begin July 1, This individual will serve in the role of Interim Representative and perform the duties of attending and voting at the FASA Board Meetings and Conference Calls, and any assigned sub-committee work to provide representation for the 3rd seat on the FASA Board of the FAEMSP Department. This provision and Amendment will sunset June 30, The Directors shall be Membership Chairmen of their respective regions. They shall assist in promoting new memberships and shall offer assistance in the orientation of new principals to the professional organization. They shall be responsible for securing materials from their region for publication Meeting of the Board of Directors shall be held prior to meetings of the organization and/or as needed. Board meetings or general membership meetings may be via electronic media or face-to-face The President, President-elect and Past President will hold office for one year and may not succeed themselves. The Directors will hold office as defined in the FASA Bylaws A vacancy on the Board of Directors occurring before the next regular election shall be filled by the Board of Directors at their next meeting The Board of Directors will submit an annual budget to the FASA staff by March 31 each year. Section Elections 5001 The nominating committee will be the current voting officers of the Association. 7

8 5002 The nominating committee shall release a call for nominations. Nominations must be received by the nominating committee by February 1. The nominating committee will meet after February The nominating committee shall publish a slate of candidates to the membership with candidate names, biography and philosophy statements by April 1. Official ballots must be individually returned to the FASA office electronically or by US mail no later than April The election of each office shall be determined by a plurality vote. Only paid members of the organization shall have the power to vote. The Executive Committee, or their designee shall be responsible for certifying the results by May To be eligible for election as President-elect, a nominee must: a. be or have served as an elementary or middle school principal b. have the endorsement of five FAEMSP members c. have served on the FAEMSP or FASA board in some capacity, d. Must be a full service individual or institutional member of FAEMSP Officers shall be installed during a meeting prior to July 1 or at the FASA Summer Conference. The time for assuming office shall be July 1 of each year or at the FASA Summer Conference To be eligible for election as the state representative to the National Association of Elementary School Principals, a nominee must: a. be or have served as an elementary or middle school principal b. have the endorsement of five FAEMSP members c. have served on the FAEMSP or FASA board in some capacity, d. Must be a full service individual or institutional member of FAEMSP e. shall be elected for a term of three years (July 1 to June 30) To be eligible for election as a Director, a nominee must: a. be or have served as an elementary or middle school principal b. have the endorsement of five FAEMSP members c. Have served on the FAEMSP Board no more than one term as Director cd. must be a full service individual or institutional member of FAEMSP. Section 6000 Meetings 6001 The organization shall hold regular meetings of the membership during the year. A meeting can be electronic, virtual or face-to-face The President may call an emergency or special meeting when it is deemed such a meeting is necessary. The time, place and the object of such special or emergency meeting shall clearly be set forth in the official call or notice and communicated to the individual members at least 15 days in advance. Only those matters expressly set forth can be 8

9 deliberated; however, no election of officers shall take place at an emergency or special meeting. Section 7000 Amendments 7001 The bylaws may be amended, rescinded, or temporarily waived by a majority vote of members of the Board of Directors at any regular or special meeting called for this purpose. Five days notice in writing of such proposal shall be given Policies may be enacted, amended, rescinded, or waived by a majority vote of the members of the Board of Directors at any regular or special meeting or via electronic communication Ultimate authority of the organization rests with the membership. The membership, by majority vote of those present at the designated business meeting of the annual meeting, may direct the Board of Directors to enact, amend or rescind any bylaw or policy. Section 8000 Rules of Order 7001 On all questions of Parliamentary Law not specifically covered in the Constitution and Bylaws, Robert s Rules of Order, Revised, shall be governing authority. 9
