1 DTRO Page 1 of 5 Dundee Township Republican Organization CONSTITUTION AND BY-LAWS ARTICLE I. NAME AND OBJECTS SECTION 1.1 Name. The Dundee Township Republican Committeemen shall be known and designated as the "Dundee Township Republican Organization" (DTRO) and shall be recognized as the regular Republican organization in the Township of Dundee, County of Kane, State of Illinois. SECTION 1.2 Objects. The objectives of this Committee are those set forth in the Illinois Election Code (10ILCS 5) and Township Organization Acts in the name and on behalf of the Republican Party, and to promote and work for the principles, goals, and objectives of the Republican Party within the Township of Dundee, County of Kane, State of Illinois, and these United States of America, as established by the Dundee Township Republican Organization. ARTICLE II. MEMBERSHIP The members of this organization shall be the duly elected Republican Precinct Committeemen of Dundee Township or their appointed and qualified successors. ARTICLE III. OFFICERS AND EXECUTIVE BOARD SECTION 1. Officers The Officers of the DTRO shall be Chairman, Vice Chairman, Secretary, Treasurer, and three (3) Executive members, who shall constitute the executive committee and shall be known as the Executive Board. Such officers shall hold offices for two years or until their successor(s) are elected and qualified. SECTION 2. Executive Board It shall be the duties and responsibilities of the Executive Board: (a) To conduct and transact all business of the DTRO during the time intervening between meetings and to report such actions at the next regular meeting; (b) To discuss and investigate issues and report their findings to the general membership; (c) To screen nominees for committeeman vacancies before presentation to the general membership for voting; and (d) To assist the Chairman in the discharge of the Chairman s duties to promote the Republican Party and its candidates and office holders.

2 ARTICLE IV. DUTIES OF OFFICERS DTRO Page 2 of 5 SECTION 1. Chairman. It shall be the duty of the Chairman: (a) To preside over the meetings of the DTRO and the Executive Board (b) To plan the meeting agenda (c) To appoint all sub-committee chairmen (d) To serve as the principal executive officer of the DTRO and in general supervise all of the business and affairs of the DTRO (e) To represent and act on behalf and in the name of the DTRO and its membership and to report such actions at the next regular meeting of the general membership. SECTION 2. Vice Chairman. In the absence of the Chairman or in the event of the Chairman s inability or refusal to act, the Vice Chairman shall perform the duties of the Chairman, and when so acting, shall have all the power and be subject to all the restrictions upon the Chairman. The Vice Chairman shall perform such other duties as from time to time may be assigned by the Chairman or by the Executive Board. SECTION 3. Secretary It shall be the duty and responsibility of the Secretary: (a) To keep the minutes of all regular and special meetings of the DTRO and the Executive Board. (b) To be the custodian of all records and correspondence of the DTRO and to provide for their safe keeping and upon vacating or leaving office to hand over all such records and correspondence to the Executive Board or the duly elected and qualified successor. (c) To help plan the meeting agenda (d) To keep a register of the Post Office address of each member, address (if supplied) and make available an address list of the membership upon request, and (e) To perform any and all duties pertaining to the office of Secretary, and such duties as from time to time may be assigned by the Chairman. SECTION 4. Treasurer. If required by the DTRO, the Treasurer shall give a bond (to be paid for by the organization) for the faithful discharge of the Treasurer s duties in such sum and with such surety or sureties as the DTRO shall determine. An annual audit shall be completed no later than June 15 by the Audit Committee. The Treasurer shall: (a) Have charge and custody of and be responsible for all funds and securities of the DTRObank checks to require two signatures; (b) Receive and give receipts for all monies received from any source whatsoever, and deposit all such monies in the name of the DTRO in such banks or other depositories as shall be selected by the DTRO. The Chairman, Secretary and Treasurer shall be the signatories on the bank signature card; (c) Disburse and payout such monies as approved by action of the DTRO; (d) Disburse and payout monies between regular meetings-not to exceed the sum of $ on an emergency basis as approved by a majority vote of the Executive Board. (e) Keep record of all monies received and disbursed in such books as provided by the DTRO and file with the Secretary a monthly Treasurer's Report to be included in the meeting agenda for approval by the DTRO; and (f) Perform State filings as required by Illinois election Law. (g) Perform all other duties pertaining to the office of treasurer and such other duties as from time to time may be assigned by the Chairman.

It shall be the duty and responsibility of the Executive Members: (a) To chair one of the standing committees (b) To perform such duties as from time to time may be assigned by the Chairman ARTICLE V. MEETINGS SECTION 1. Regular Meetings. The DTRO shall meet at least once per month, at an agreed upon, date, time and location within the Township of Dundee. SECTION 2. Notice - Changes to the time, date, and place for the regular meeting schedule may be made by the Executive Board. Each precinct committeeman and assistant precinct committeeman shall receive notice, with the proposed agenda, copy of previous meeting's minutes, and copy of the treasurer's report; post marked at least five (5) days prior thereto. In lieu of US Postal mail, each precinct committeeman and assistant precinct committeeman may choose to receive notice of meetings by , US Postal mail, or both. This notice must be post marked at least five (5) days prior thereto. This shall be done by notifying the Secretary and providing the necessary address information for the method(s) chosen. Attendance shall be a waiver of notice. SECTION 3. Agenda. Any member wishing to include an item on the agenda shall contact the chairman or secretary at least seven days prior to the meeting date. The agenda shall include: 1. Pledge of Allegiance. 2. Roll Call, 3 Approval of previous meeting's minutes, 4. Approval of treasurer's report, 5. Reading of correspondence by secretary, 6. Unfinished Business, 7. New Business, 8. Vice Chairman's report, 9. Chairman's report, 10. Committeeman's comments, 11. Adjournment. SECTION 4. Special Meetings. Special meetings may be called at any time upon the call of the Chairman or any five (5) members of the DTRO upon written notice to all voting members in the same manner as regular meetings. Such notice shall also state the purpose of the special meeting and the business to be transacted. Only the stated business shall be acted upon and no other. Attendance shall be a waiver of notice. SECTION 5 - Quorum. A quorum shall be necessary to conduct the business of the DTRO, and said quorum shall consist of a majority of the committeeman occupied precincts. SECTION 6 - Voting. Each precinct committeeman or their duly appointed assistant committeeman must be present to vote and each precinct shall cast one vote on any and all motions and nominations before the Chair. Each assistant committeeman will be appointed by the committeeman, to serve at their pleasure and must be a Republican primary voter in the precinct in the last primary election.

4 DTRO Page 4 of 5 Each committeeman is responsible for advising the DTRO Secretary in writing of the appointment of their assistant, and shall provide the name, address and phone number of the assistant to the Secretary in order to activate the voting right of the assistant in the absence of the committeeman. Each vote shall be equal in strength. Total votes shall not exceed the number of precincts in the township. All questions, except amendments to these by-laws and endorsement of candidates shall be decided by a simple majority of the number of votes represented by those in attendance. Voting, when requested by any member, shall be by roll call vote in numerical precinct order and answered by a verbal sign, YES, NO, or ABSTAIN. SECTION 7. Guests. Guests, guest speakers, candidates, or the press may attend or be invited to attend all meetings except that meeting or portion of a meeting designated by the DTRO as a closed, private or executive session. ARTICLE VI. SUB-COMMITTEES SECTION 1. Standing Committees. The DTRO Chairman shall appoint the chairmen of the following standing committees: (a) AUDIT (b) CAMPAIGN (c) PUBLIC RELATIONS (d) VOTER REGISTRATION (e) DATABASE The Chairmen of the standing committees shall serve at the pleasure of the DTRO Chairman. The Chairman of each standing committee shall appoint members of that committee in consultation with the DTRO Chairman. The DTRO Chairman shall be an ex-official member of all subcommittees. SECTION 2. Temporary Committees. From time to time, the DTRO Chairman may appoint temporary sub-committees to carry out a specific function which is so designated by the Executive Board or DTRO. ARTICLE VII. ELECTION OF OFFICERS The Executive Board Officers shall be elected at the first regular meeting immediately following the Primary Election. Each officer so elected shall hold office for a period of two (2) years and until their successor shall have been elected and duly qualified ARTICLE VIII. GENERAL PROVISIONS SECTION 1. Committeeman Vacancies. In the event of a vacancy in the office of precinct committeeman, an assistant precinct committeeman shall have the first opportunity to receive the endorsement of the DTRO. The candidate shall be a registered Republican voter and shall have voted as a Republican in the preceding primary election. The actions of the DTRO shall be forwarded by the DTRO Chairman to the Kane County Chairman for consideration for appointment to the vacancy as required by Illinois state law. Assistant committeemen may be nominated by the individual committeemen for approval. The DTRO Chairman shall then forward each application for appointment as an assistant committeeman to the Kane County Chairman for appointment and certification. First consideration shall be given to candidates for vacancies of appointed precinct committeemen who are residents of the precinct. SECTION 2. Board Vacancies. When a vacancy on the Board exists, nominations for new replace board members may be received from Committeemen by the Secretary two

5 DTRO Page 5 of 5 weeks in advance of a Board meeting. These nominations shall be sent out to Committeemen with the regular Board meeting announcement, to be voted upon at the next Board meeting. These vacancies will be filled only to the end of the particular Board member's term. SECTION 3. Validity. If there are any acts, provisions, or circumstances not specifically covered by these By-Laws, then Roberts Rules of Order shall prevail. Should any sections, sub-divisions, or clause of these By-Laws for any reason be held invalid or unconstitutional, such adjudication shall not affect the validity of any remaining portions of this document ARTICLE IX. AMENDMENTS This DTRO shall have full power at any regular, or special meeting called for that purpose, to alter, amend, or revise this Constitution by a two-thirds vote of the members of this DTRO, provided however, that the proposed amendments shall have been submitted in writing at a previous regular meeting.
