1 LAWS OF THE REPUBLICAN EXECUTIVE COMMITTEE OF MIAMI- DADE COUNTY, FLORIDA Section 1 ARTICLE I MEMBERSHIP The Republican Executive Committee (REC) of the Republican Party within Miami-Dade County, Florida (Republican Party of Miami-Dade County) shall be composed of two registered Republican men and two registered Republican women elected from each County Committee district within Miami-Dade County, who shall be elected in accordance with the election laws of the State of Florida. In addition, the County Committee shall include those members as provided by state law and the Constitution of the Republican Party of Florida. Each member of the County Committee shall have one vote. Section 2 In addition to those members identified in Section 1 above, the County Committee shall include one alternate for each position elected to serve as representatives on the Committee. Alternates shall not be selected for those seats on the Committee held by members of the Florida legislature who are residents of the County. Alternates shall be elected by the County Committee and be duly qualified by the Membership Committee in accordance with ARTICLE IV Section 5, below. Alternates shall serve as ex-officio members of the County Committee and shall have no vote unless the member that the alternate represents is absent from voting. Section 3 The County Committee shall also include the presidents of each Republican Club operating in Miami-Dade as ex-officio members of the Committee. Section 4 All members, alternates, and other ex-officio members of the Committee shall be registered Republican voters continuously from their qualification for election, or application for alternate status or membership if filling a vacancy, through the expiration of their term of office and for one year prior thereto, in accordance with Florida Statute. Section 5 All members of the County Committee shall have the following duties: (a) Attend general and special meetings of the County Committee, with the expectation to remain until the meeting is adjourned. Members of the County Committee shall be deemed absent from any meeting at which the Member fails to be present for at least one hour or more than half of the meeting, whichever is greater.

2 (b) Organize and build a Party organization in his or her district in order to assist in all phases of political activity within the district, including but not limited to voter registration, getting out the vote, and recruiting new Republicans. (c) Organize a Precinct Committee in each precinct in his/her County Committee District. In such cases where multiple County Committee members serve in the same County Committee District such members may agree among themselves to divide the responsibility for organizing precinct committees in a manner which best accommodates them. However, in such cases, they shall report to the Membership Committee which precincts are the responsibility of County Committee members representing the REC District. (d) Serve as the Chair of the Precinct Committee in the precinct in which he/she resides. In such cases where more than one County Committee member lives in the same precinct in which case each County Committee member will serve as Co-Chair of the Precinct Committee. (e) Serve on any of the Committees or Subcommittees of the County Committee and to perform any functions consistent with membership on those committees. (f) Immediately notify the Membership Chairman of any change in personal residence. Section 6 One alternate committeeman may be selected for each committeeman and one alternate committeewoman may be selected for each committeewoman on the County Committee. Section 7 Vacancies on the County Committee shall be filled in the following manner: (a) Candidates for any vacant position must complete and file a Candidate Party Loyalty Oath and candidate oath of qualification pursuant to Florida Statute (b) The Candidate Party Loyalty Oath shall be filed with the Chairman of the County Committee, or his designee. The Chairman, or his designees, shall provide a copy of the Candidate Party Loyalty Oath to the candidate along with a written certification signed by the Chairman, or his designee, that the Candidate Party Loyalty Oath was submitted. This certification shall serve as conclusive proof that the candidate appropriately submitted all required documents to the Chairman in accordance with Republican Party of Florida rules. (c) The candidate must be present at the meeting at which he or she is proposed for election. (d) The candidate shall be nominated for election at the next meeting following at least twenty-one (21) days from the submission of the candidate s oaths for the most senior office available. The candidate shall have the option of choosing which open position he or she will run for if he or she desires a more junior office. A candidate must receive a majority vote of those present and voting at a meeting at which a quorum is present. If there are three or more 2

3 candidates for the same vacancy, and no majority vote is achieved on the first ballot, then there shall be a second ballot between the two candidates who received the most votes. All elections under this section shall be by written ballot. (e) Candidates elected to fill vacancies shall not be deemed a member until their names have been duly recorded with the supervisor of elections and the Chairman of the Republican Party of Florida. The Chairman shall submit these names within thirty (30) days following the candidates election. Section 8 These bylaws shall be amended at the meeting following any changes regarding the rules and procedures of qualifying for an office on the County Committee to reflect these changes. The County Committee s website shall publish the correct procedures that candidates who seek to become members of the County Committee must follow. In addition, the County Committee s website shall make available, in a section titled Governing Documents, all documents governing the County Committee, including these bylaws, the County Model Constitution, The Republican Party of Florida Rules of Procedure, and the Republican Party of Florida Constitution. These instructions and documents are to be made available on the County Committee s website within 21 days following the adoption of these bylaws. These instructions and documents are also to be made available at the County Committee s office within 21 days following the adoption of these bylaws. Section 9 A Credentials Committee shall govern the seating of members at the Organizational Meeting provided for in the Republican Party of Florida Rules of Procedure. (a) The Credentials Committee shall consist of current elected members of the County Committee, the State Committeeman and the State Committeewoman. (b) The outgoing County Chairman shall appoint the members of the Credentials Committee. (c) Members of the Credentials Committee shall be appointed based on their reputation for fairness and impartiality. (d) The Credentials Committee shall convene to review the qualification of newly-elected members prior to the Organizational Meeting. Only members of the Credentials Committee are to be involved in the decisions regarding the qualification of the newly-elected members to be seated at the Organizational Meeting. (e) Newly-elected members are to be informed at least twenty one (21) days prior to the Organizational Meeting of the Credentials Committee s decision of whether they are qualified to be seated at the Organizational Meeting. Specific reasons for disqualification must be provided to any newly-elected member who is disqualified from being seated at the Organizational Meeting. 3

4 (f) Newly-elected members who are disqualified from being seated at the Organizational Meeting shall be allowed to appeal the decision of the Credentials Committee if the newlyelected member claims to have evidence that contradicts the stated reason for disqualification. Upon appeal, the Credentials Committee shall reconsider their decision in light of the newly-elected member s objections. If the Credential Committee s decision remains the same, the newly-elected member shall have the opportunity to appeal the decision to the Chairman of the County Committee for a final decision on the matter. (g) At the Organizational Meeting, only members of the Credentials Committee shall review the documentation necessary to seat all members of the Organizational Meeting. The necessary documentation shall be: 1. Certificate of Election from the Dade County Supervisor of Elections (copies obtained from the Dade County Supervisor of Elections are acceptable) 2. Current Voter Registration Card or two additional documents verifying current residence, or such other equivalent documentation as approved by the Credentials Committee 3. Republican Party of Florida Party Loyalty Oath, signed by the individual to be seated on the County Committee (h) In the event that the Credentials Committee is unable to resolve any question regarding the seating of any member, then it shall make a recommendation to the newly-elected County Committee as to each case. The newly-elected County Committee is to vote on these seating of members prior to the voting for members of the County Committee s Executive Board. Members who are seated by the newly-elected County Committee shall be allowed to vote as any other member for the establishment of the Executive Board. (i) The Credentials Committee shall serve until the Membership Committee of the newlyelected County Committee has been selected and approved and then shall cease to exist. Section 1 ARTICLE II OFFICERS AND THEIR DUTIES There shall be a CHAIRMAN, whose duties and responsibilities shall include: (a) Assuming primary responsibility for coordinating and uniting the efforts of the Republican Party of Miami-Dade County, including raising funds to effectuate the efforts of the REC. (b) Presiding at all meetings of the County Committee, and having all members timely notified of the meetings (c) Presiding at all meetings of the Executive Board and having all members timely notified of the meetings. 4

5 (d) Calling special meetings of the County Committee as necessary, and having all members notified of the meetings not less than 10 calendar days prior to such special meeting. (e) Preparing agendas for all meetings in accordance with the procedures prescribed by Robert's Rules of Order. (f) Representing the County Committee as necessary, or designating a representative to represent the County Committee in his/her absence. (g) Enforcing and enacting the various rules, resolutions and mandates of the County Committee. (h) Appointing all Committee Chairmen and Vice-Chairman. All Chairmen and Vice- Chairman appointed by the County Chairman shall be included on the agenda for ratification by the County Committee at the next available meeting of that body immediately following any such appointment. A separate majority vote of those present and voting shall be required for approval of each nominee, and such votes shall be conducted in accordance with Robert's Rules of Order. Any appointments approved prior to the formalization of these By-laws may be reconsidered by a majority vote of the County Committee members present and voting at the first meeting of the County Committee subsequent to adoption of these By-laws. (i) Appointing a Parliamentarian. (j) Being an ex-officio member of all Committees. (k) Appointing a General Counsel, whose terms shall be concurrent with that of the Chairman and who shall be registered Republican at all times during their term of service. The General Counsel shall represent the County Committee and shall not be a member, or alternate of a member, of the County Committee. The appointment of General Counsel shall be subject to the ratification by the Executive Board. Additionally, the General Counsel shall be a member of the Florida Bar in good standing during all times of his or her term of service. (l) Having ultimate responsibility for the creation and maintenance of a Republican organization in Miami-Dade County, including Precinct Committees. (m) Oversee the preparation and submittal of all reports required by all State and Federal Laws. (n) Preparing and submitting an annual report to the County Committee and the Republican Party of Florida regarding the activities of the County Committee. (o) Maintaining open communications with the Republican National Committee, the Republican Party of Florida, and all Miami-Dade County Republican Organizations. (p) Having ultimate responsibility for the maintenance of Republican Party Headquarters in Miami-Dade County, and for the safekeeping of all records, equipment furnishings and supplies in the Headquarters office. 5

6 (q) Having the financial books and records publicly audited at the end of each calendar year and a copy of such audit filed with the supervisor of elections and the Republican Party of Florida (FS ). (r) Co-signing all County Committee checks and being jointly responsible with the Treasurer for all property and money which comes into the possession of the County Committee. (s) Furnishing adequate bond as required by Florida Election Laws. (t) Swearing in members of the County Committee. (u) The Chairman of the Executive Committee shall file with the Republican Party of Florida and with the Supervisor of Elections the names and addresses of its officers and members within thirty (30) days of their election. County Executive Committee members shall not be deemed a voting member until his or her name has been filed with the Supervisor of Elections and the Republican Party of Florida. The list maintained by the Republican party of Florida shall constitute the official County Executive Committee roster. (v) Appointing an Executive Director for the County Committee, subject to ratification and approval of a majority of the Executive Board. The Executive Director shall not be a member of the County Executive Committee. (w) Authorizing, without the need for County Committee approval, the expenditure of up to Five Hundred Dollars ($500), within any thirty day period, for non-budgeted items, and accounting to the Committee at the next regular meeting, of any such expenditure. (x) Casting a vote in cases of a tie vote on any issue which is before the County Committee. (y) Calling the organizational meeting of the newly-elected County Committee, prior to the date of the organizational meeting of the State Committee, and presiding at the organizational meeting until a new County Committee Chairman and Vice-Chairman have been elected. (z) Appointing the voting members of the County Committee to Standing Committees. Section 2 There shall be a VICE-CHAIRMAN who shall perform the duties of the Chairman in his or her absence or inability to perform, and who shall perform such other duties as may be assigned by the Chairman. Section 3 There shall be a RECORDING SECRETARY, whose duties and responsibilities shall include: 6

7 (a) Attending all regular and special meetings of the County Committee and the Executive Board, and taking minutes at those meetings. (b) Reading the minutes of the previous meeting, and transcribing and preserving the minutes of all meetings (c) Calling the roll at all meetings, maintaining attendance records and publishing the names of absentees, including the number of consecutive absences for each member. (d) Providing to the Membership Committee the attendance records for each meeting. (e) Prepare a list of the names of all persons elected to fill vacancies on the County Committee, as provided in the Republican Party of Florida Rules of Procedure. (f) Taking actual custody of the documents, attendance records, archives, and seal of the County Committee at all meetings and official events of the Miami-Dade Republican Executive Committee. However, any documents, attendance records, archives or other official documents must be at all times present at the headquarters of the REC. (g) Maintaining a file of all reports presented at any meeting, including the Treasurer s Report. (h) Having the minutes of previous meetings, attendance records, current bylaws, and all properly recorded amendments to documents available at all meetings. (i) Making available to all Committee members, upon written request and during regular hours at the Headquarters, all records maintained by the Recording Secretary. (j) At the request of Committee members providing copies of any records, at a reasonable fee based on costs to the County Committee to be set by the Executive Board. (k) Assisting the Chairman in preparing the Agenda for any upcoming meeting. (l) Calling meeting to order and presiding at the election of a Chairman pro tempore for the meeting in the absence of the Chairman and Vice-Chairman. (m) Performing ail other duties consistent with the office of Recording. (n) Assisting in the raising of funds to effectuate the efforts of the Republican Party of Miami Dade County. 7

8 Section 4 There shall be a CORRESPONDING SECRETARY, whose duties and responsibilities shall include: (a) Preparing, publishing and mailing a timely notice of all meetings and agenda to Executive Committee Members. (b) Publishing and mailing a copy of the County Committee Constitution I By-laws to all new members of the Committee. (c) Performing all other duties consistent with the office of Corresponding Secretary. (d) Assisting in the raising of funds to effectuate the efforts of the Republican Party of Miami Dade County. Section 5 There shall be a TREASURER, whose duties and responsibilities shall include: (a) Collecting and maintaining all funds on behalf of the Republican Party of Miami-Dade County. (b) Maintaining the financial records of the Party, and having those records at the Party Headquarters for inspection by any member of the Committee. (c) Making a report at each regular meeting of the County Committee, and making such other interim reports to the Committee or the Executive Board stating the financial state at the close of the preceding month according to reconciled statements from the bank. (d) Co-signing all county committee checks. (e) Preparing and submitting all reports required by all State and Federal Laws. (f) Furnishing an adequate bond, as required by the Florida Election Laws. (g) Preparing and submitting an annual financial report to the County Committee not later than the first meeting after the dose of the fiscal year. (h) Preparing a budget prior to each fiscal year, and submitting the budget proposal to the Executive Board for approval and to the County Committee for final adoption. (i) Monitoring the budget throughout the year, and proposing such changes as may be necessary. (j) Making recommendations to the Executive Board, for approval, regarding the maintenance of all checking or savings accounts, or other funds maintained by the Committee. 8

9 (k) Assisting the preparation of the annual audit. (l) At the discretion of the Treasurer, and with the approval of the Executive Board, appointing assistant treasurers. Said assistant Treasurers need not be members of the Miami- Dade Republican Executive Committee but must be Certified Public Accountants. Further, said assistant Treasurers must have been registered Republicans for one year prior to their appointment and must continue to be registered Republicans for the duration of their term. Failure to maintain a Republican registration shall be deemed a forfeiture of the appointment. (m) Performing all other duties consistent with the office of treasurer. (n) Assisting in the raising of funds to effectuate the efforts of the Republican Party of Miami Dade County. Section 6 There shall be, when deemed necessary and appropriate by the Executive Board of the County Committee, an EXECUTIVE DIRECTOR, whose duties and responsibilities shall include: (a) Performing all duties assigned by the Chairman as regards the affairs of the County Committee. (b) Maintaining the names and contact information of the Precinct Chairs for each precinct in the County. (c) Hiring the administrative staff necessary for the orderly function of the County Committee headquarters. (d) Administrative staff s responsibilities are limited to tasks necessary for the orderly function of the County Committee headquarters and such other duties as the Chairman of the County Committee or the Executive Director, oh behalf of the chairman, assigns. Staff is prohibited from participating in the decision making of any meeting of the County Committee, the Executive Board, or the Standing Committees. Staff may participate in these meeting to facilitate their function with such duties as the Chairman of the County Committee or the Chairman of the respective Standing Committees assign. However, staff is prohibited from making decisions regarding the status of any member of the County Committee, handling any of the ballot boxes, or directing the Sergeant-at-Arms. Section 7 There shall be, when deemed necessary and appropriate by the Chairman of the County Committee, a PARLIAMENTARIAN, subject to ratification of the Executive Board, who need not be a member of the County Committee, and whose duties and responsibilities shall include: (a) Maintaining a familiarity with these By-laws, Parliamentary Procedure, and Roberts Rules of Order. 9

10 (b) Serving as an advisor to the County Chairman on matters of order and procedure at all meetings of the County Committee, which are conducted in accordance with Robert's Rules of Order. (c) Serving as an advisor to the members of the County Committee on matters of order and procedure as provided in Robert's Rules of Order and these By-laws. Section 8 There shall be, when deemed necessary and appropriate by the Executive Board of the County Committee, an SARGEANT -A T -ARMS, who need not be a member of the County Committee, and whose duties and responsibilities shall include: (a) Maintaining good order and decorum at all meetings of the County Committee. (b) Performing other such duties of the office as provided by Robert's Rules of Order. Section 1 ARTICLE III EXECUTIVE BOARD The Executive Board of the County Committee shall consist of the state committeeman and the state committeewoman, the elected officers of the Committee and the chairman of each Standing Committee, or a representative of each committee, as provided for in these Bylaws. Elected public officials are prohibited from serving on the Executive Board as Chairman, Vice-Chairman, or Treasurer. Standing Committees shall include those established by the Chairman, as well as those detailed in these By-Laws. Officers shall serve on the Board as long as they are officers of the Committee, and Committee Chairmen shall serve on the Board as long as they chair a Standing Committee, unless otherwise provided in these Bylaws. If a Co-Chairman has been selected and approved for a Standing Committee, then the Co-Chairman may serve as a voting member of the Board in any case in which the Chairman of the Committee is absent from the Board meeting. The Executive Director shall be an ex-officio member of the Executive Board. Section 2 The Executive Board shall hold at least four meetings during each calendar year and may meet at other times at the discretion of the Chairman. Special meetings may also be called by a majority of the Board members by mailing a written notice by registered mail to the entire Board at least five days prior to the meeting date, and setting forth the date, time, location, and purpose of the meeting. 10

11 Section 3 A quorum shall consist of a simple majority which must include the Chairman of the County Committee, and a quorum must be present in order for the Board to transact business. Section 4 The Executive Board shall have the following duties and responsibilities: (a) Conduct the affairs of the County Committee between general Executive committee Meetings. (b) Discuss recommendations and viewpoints on proposed plans and programs that the Board wishes to present for Executive Committee approval. (c) Present policies and programs for consideration by the Executive Committee. (d) Report all motions adopted by the REC at the following general meeting. (e) Authorize, without the need for Committee approval the expenditure of up to One Thousand Dollars, within any thirty day period, for non-budgeted items. Any such expenditure shall be accounted for in detail to the County Committee at its next meeting. (f) Approve banking institutions for savings and checking accounts and engage the audit committee to perform the annual audit as required by the Florida Election laws. (g) All minutes of the Executive Board Meetings shall be available at the following committee meeting of the Executive Board. (h) No member of the Executive Board shall be the chairman or the treasurer of a candidate's primary election campaign. Section 1 ARTICLE IV STANDING COMMITTEES There shall be four (4) standing committees as defined in this ARTICLE. Each standing committee shall consist of a Chairman, no more than 2 Vice-Chairmen, and as many members of the County Committee as deemed necessary and appropriate by the County Committee Chairman for their proper functioning. The County Chairman has the discretion to appoint the Vice-Chairmen for any of these standing committees. However, the County Chairman may delegate such authority to the Chairman of the Standing Committee. All Chairmen and Vice-Chairmen appointed by the County Chairman shall be subject to ratification by the county committee in accordance with ARTICLE II, Section 1 (h). Further, the Chairman of the County Committee may establish additional standing committees as may be necessary to effectuate the efforts of the Republican Party of Miami- Dade County, provided that the Chairmen and Vice-Chairmen appointed by the County 11

12 Chairman shall be subject to ratification by the county committee in accordance with ARTICLE II, Section 1 (h). Vacancies which occur in the Chairmanship of any Standing Committee shall be filled in the following manner: 1. Where there is one Vice Chairman, the Vice Chairman shall assume the Chairmanship of the Standing Committee. 2. Where there is more than one Vice Chairman, the members of the Standing Committee who are voting members of the County Committee shall elect from among the Vice Chairmen a new Standing Committee Chairman. 3. Where there is no Vice Chairman, the County Chairman shall appoint a new chairman for the Standing Committee. Section 2 Each Standing Committee Chairman is authorized to create as many subcommittees as he or she deems appropriate to perform the duties and functions of his or her Standing Committee, subject to approval of the County Chairman. Section 3 Each Standing Committee shall be responsible for making regular reports on its activities to the Chairman of the County Committee. Each standing committee shall submit a written report of its activities to the County Committee no less than 4 times annually. Section 4 There shall be a FINANCE COMMITTEE, as follows: (a) Qualifications for Chairman or Co-Chairman of the Finance Committee shall include reputation for integrity, ability in financial matters, access to potential contributors, and experience in fundraising activities. (b) All members of the Finance Committee shall be registered Republican voters in Dade County, but they need not be members of the County Committee, except as provided in the By-laws regarding the Finance Chairman and Co-Chairman. (c) If the Finance Committee Chairman is not a member of the County Committee, then there shall be a Co-Chairman appointed by the County Chairman from the County Committee, in which case the said Co-Chairman shall be the voting member of the Executive Board. (d) The Finance Committee shall have the following duties and responsibilities: 1. Planning and executing fundraising activities in order to raise funds for the County Committee. 12

13 2. Maintaining accurate records of all sources of funding. 3. Promptly delivering, to the Treasurer of the County Committee, all funds received, including a full and accurate accounting of all receipts and disbursements with pertinent information as required by the State and Federal Election Commission Reports. Section 5 There shall be a MEMBERSHIP COMMITTEE with the following duties and responsibilities: (a) A primary function of the Committee shall be to recruit candidates to fill vacancies on the County Committee, as they occur. To this end, the Committee shall maintain open communications with all Republican organizations and Precinct Committees in Dade County. The Committee, also, shall make use of all other resources in obtaining the names of potential candidates, including contact with incumbent Committee members, headquarters staff, and the campaign managers and workers of all Republican candidates for public office. (b) The Membership Committee shall screen the application to each candidate for County Committee membership, making sure that the candidate is qualified under Florida Election Laws, and fully explaining to the candidate the duties and responsibilities of a member of the County Committee. (c) The Membership Committee shall verify the credentials of a candidate as follows: 1. Confirming the registration as per Florida Statutes and residence within the district with the supervisor of elections. 2. Obtain an executed Oath of the Republican Party of Florida Party Loyalty Oath (F.S ) from the candidate. The Committee may make a report and recommendation to the County Committee at the general meeting in which the candidate is proposed. Following the report and recommendation, the County Committee shall vote for the candidate to become a member. The candidate shall be nominated for election at the next meeting following twenty-one (21) days from the submission of the candidate s oaths regardless of whether the Membership Committee performed its duties to verify the candidate s credentials or make a report. (d) Candidates for election must be present at the meeting which they are to be proposed for membership and voted upon. In those instances where a vacancy occurs due to removal of a current committee member, no candidate for election may be presented prior to the vote of appeal by the removed member in accordance with ARTICLE V Section 1 (e) below. Such vote of appeal and the election of a candidate to fill the seat vacated in accordance with ARTICLE V Section 1 (a) below may occur at the same regular meeting. (e) All Committee members shall be notified, in the meeting notice, of any candidate to be considered for membership at a particular meeting, and the election shall appear on the agenda under the Membership Report. The Membership Committee shall be responsible for notifying the Corresponding Secretary in time, so that the Corresponding Secretary can 13

14 include the required information in the meeting notice. At least three weeks prior to the required meeting of the County Committee at which an election to fill a district vacancy will be held, the Membership Committee shall notify all committee members and alternates from that district the names of all qualifying candidates. (f) The Membership Committee shall be responsible for maintaining accurate attendance records of all committee members who have failed to attend meetings of the County Committee and to immediately inform the County Chairman of the occurrence of any vacancy from the failure to attend meetings in accordance with (F.S (8)) and ARTICLE I Section 4(a) above. (g) The Membership Committee shall obtain from the Recording Secretary, following each meeting the list of members in attendance, and shall advise the Recording Secretary as to the number of consecutive meetings missed by a committee member. (h) The Membership Committee will submit to the Chairman of the County Committee, no less than 21 calendar days prior to the next regular meeting of the County Committee the names of those County Committee members who have failed to meet the attendance and/or any other requirements of County Committee membership. The County Committee Chairman shall notify those members of their removal from the County Committee by registered mail and shall at the same time transmit to them a candidate application for the seat which they have vacated as a result of their unexcused absences. The notification from the Committee Chairman shall occur no less than 15 days prior to the next regular meeting of the County Committee. Section 6 There shall be a VOTER REGISTRATION COMMITIEE with the following duties and responsibilities: (a) The Committee shall obtain from the elections department an analysis of Republican registration in Miami-Dade County, and shall work in conjunction with the Political Research Committee in targeting voter registration drives in Miami-Dade County. (b) The Committee shall plan and execute voter registration drives as often as possible, and shall be responsible for maintaining communication with the Republican organizations and Precinct Chairs throughout the county in Order to obtain their cooperation and participation in these drives. (c) The Committee shall be responsible for coordinating the efforts of all Republican organizations and Precinct Chairs and the chairman shall assist said groups with data and supervision when requested. (d) The Committee shall report to the County Committee updated county voter registration reports from the county elections department and such progress in maintaining an ongoing program to register new residents, new citizens, and first-time voters. (e) The Voter Registration Committee shall be the governing committee of the various Precinct Committees throughout the County. 14

15 Section 7 There shall be a CLUB RELATIONS COMMITTEE with the following duties and responsibilities: (a) Serve as a liaison between the Executive Committee and the Republican clubs that are chartered by the RNC or the RPOF. (b) Assist committee members in developing Republican clubs where there is no Republican presence. Section 8 Members of the County Committee whose seat on the Committee is derived from their status as State Legislators in accordance with F.S (6)(a) are not required to serve on any standing committee. Nor are such members of the County Committee to be prohibited from serving on a standing committee in accordance with ARTICLE II Section 1(z) Section 1 ARTICLE V REMOVAL OF MEMBERS FROM THE COUNTY COMMITTEE (a) All members of the County Committee are subject to the-attendance requirements of F.S (8). Good and sufficient reason as prescribed by law shall be defined by the Membership Committee and subject to the approval of a majority vote of those members present and voting at a regular meeting of the County Committee, which vote shall be conducted not more than 60 days following the approval of these By-Laws. Upon such approval of the definition of good and sufficient reason for the Miami-Dade County Committee, it shall be incorporated into these Bylaws. (b) Any member of the County Committee so removed may appeal his or her removal to the County Committee. A vote of the majority of the County Committee present and voting to retain the member shall be deemed to have filled the vacancy in accordance with ARTICLE IV, Section 5 (d) and (h) above. Section 2 (a) Any member of the County Committee who provides active support of any candidate in a partisan election who is not running as a Republican candidate for office shall be removed from the County Committee if there was a Republican filed as a candidate in that partisan election. (b) The Membership Committee shall be empowered to establish rules governing the removal of a member in accordance with this Section 2, and shall be empowered to make the 15

16 recommendation for removal to the County Committee Chairman in the same manner as prescribed for removal due to absences. (c) Any member of the County Committee removed under this Section 2 may appeal his or her removal to the County Committee. Section 1 ARTICLE VI VOTING All votes shall be BY VOICE, except that all votes cast in a contested election for any County Committee office shall be by written ballot. Section 2 If a committee member requests a written ballot regarding any issue, the question of a written ballot shall be voted upon and the right to a written ballot shall be granted if the question is passed by a majority of the members present and voting. ARTICLE VII PARLIAMENTARY AUTHORITY The rules contained in Robert's Rules of Order, Newly Revised shall prevail at all meetings where not in conflict with the Constitution I Bylaws of the County Committee, or the Constitution or Rules of Procedure of the Republican Party of Florida, or the Florida Election Laws. Section 1 ARTICLE VIII AMENDMENTS TO BYLAWS These Bylaws may be amended by a majority vote of the county committee at any regular or special meeting called for the purpose, provided that notice of proposed amendment has been sent to each member at least ten calendar days prior to the meeting, or that the proposed amendment has been submitted and published at the previous regular meeting of the County Committee. Section 2 All amendments shall take effect immediately upon passage, unless otherwise provided in the language of the amendment. 16

17 ARTICLE IX EFFECT OF BYLAWS These bylaws shall remain in effect until changed or replaced by newly adopted bylaws.
