1 Bylaws of the VARSITY SAILING TEAM of California State University Monterey Bay Article I Name The name of this group shall be the Varsity Sailing Team, and is hereinafter referred to as the Sailing Team. Word in the masculine gender shall embrace females as well as males. Article II Object The object of the Sailing Team shall be to promote sailing and CSUMB in the vicinity of CSUMB in particular and along Monterey Bay in general; and to do whatever may be consistent in such promotion. Article III Officers Section 1. General The officers of the Sailing Team shall be the Team Captain, Co-Captain, and Jr. Co-Captain. The Sailing Teams Board shall consist of the three officers, a Secretary and Treasurer. Each Sailing Team officer shall report directly to the Captain of the Sailing Team, who then reports to the Team Coach. Section 2. How Selected The Team Captain, Co-Captain and Jr. Co-Captain shall be elected annually as provided in Article VI. Sailing Teams officers shall be limited to 2 consecutive terms in the same office. The Secretary and Treasurer shall be appointed by the Team Captain for a term not to exceed two years in the same position. 1

2 Section 3. Team Captain Subject to the provisions of the Article V, Section 3, Meetings, the Team Captain shall preside at all Meetings; he shall see that all committees function properly and that all rules and regulations of the Sailing Team are enforced and obeyed. He shall be the Chief Executive of the Sailing Team and shall be responsible for its successful operation. The Team Captain is to report to and follow rules and regulations set by the Team Coach. Responsibilities: The Team Captain is to attend a weekly meeting with the Coach of the team, help maintain the CSUMB Sailing Fleet and be the team representative at PCIYRA. Section 4. Co-Captain The Co-Captain shall assist the Team Captain in his various duties and shall assume the duties of the Team Captain upon the absence of the Team Captain. In the event the office of the Team Captain becomes vacant, the Co-Captain shall automatically become the Team Captain. Responsibilities: The Co-Captain is to attend a weekly meeting with the Team Captain and Coach, recruit new team members, organize outside team activates and be the team representative or delegate a representative to attend monthly SAC meeting. Section 5. Jr. CO-Captain The Jr. Co-Captain shall assist the Team Captain in his various duties and in the absence of both the Team Captain and Co-Captain, he shall assume the duties of the Team Captain. In the event of the office of the Co-Captain becomes vacant, the Jr. Co-Captain shall automatically become Co-Captain. The Jr. Co-Captain position will be filed by majority vote of the team. Responsibilities: The Jr. Co-Captain is to help with team sprit, Organize team fundraising events with Team Treasurer and be the team representative or delegate a representative to attend monthly SAC meeting. Section 6. Secretary The secretary shall keep minutes of all meetings of the Sailing Team. The minutes shall be typewritten into a well-bound book and after being read at the next subsequent meeting shall be signed by the Secretary and by the presiding officer. The Secretary shall maintain an official current copy of the Sailing Team bylaws. He shall attend to all correspondence of the Sailing Team s; he shall be custodian of all documents, minutes, records, and race results. Upon assuming office, he shall obtain from his predecessor all records, documents, etc, and shall deliver same to his duly appointed successor. He shall perform any other duties as ordered by the Governing Board. He shall allow his records to be examined by any team member of the sailing team and its coach. 2

3 Section 7. Treasurer Subject to any requirements imposed by the Governing Board of the Sailing Team the Treasurer shall keep an accurate record of all receipts and disbursements, as well as all accounts receivable and accounts payable, etc. He shall make any such report of finances at Sailing Team s board meetings or when desired by the Governing Board of the team. The Treasurer shall submit all monies belonging to the Sailing Team to the Coach of the team for deposit into the Teams Accounts along with an accounting of how the monies shall be applied. The Treasurer shall have no authority to write checks. Only the Team Coach will have the Authority to write checks on behalf of the Sailing Team. Article IV Membership and Dues Section 1. Qualifications Qualifications for membership include full time student at CSUMB, in good standing and maintain a semester GPA of 2.0 and a cumulative GPA of 2.5. Section 2. Dues Dues shell be set by the Governing Board at the First Meeting of the Fall Semester. Article V Meetings Section 1. Meetings The Team Officers shall hold a regular meeting each month. All elected and appointed have a one vote at the Team Board Meetings. The Team Captain may call a special meeting of the Team Officers at any time and for any purpose or purposes upon three (5) days notice in writing, by telephone, in person or by electronic communication. Fifty percent (50%), including the presiding officer, of the Sailing Team Officers is considered a quorum. Each of the Officers and the Coach of Team shall be notified of the time and place of every meeting by the Secretary or his designee by telephone, written notice, in person, or by electronic communication. 3

4 Section 2. Special General Team Meetings The Team Captain with approval of the Team Officers may call a special general Team meeting at any time upon written notice to Team members of the date, place and hour of the meeting at lease five days before the meeting. The Annual election of Team Officers other than Treasurer and Secretary shall be held during Spring Semester unless the team has not reached a decision during the perverse year. In the event that the current Captain is a nominee for Captain, he shall designate another Team member who is not a nominee for any office to act as presiding officer. The presiding officer shall not vote except in case of a tie. Section 3. Semester General Team Meeting The semester General Team meeting of the Sailing Team shall be held once a semester. The Team Captain shall notify the Team membership in writing of the date and hour of the meeting at least thirty (15) days before the meeting. Section 4. Quorum, Membership Meetings Five (5) Team members or fifteen percent (15%) of the Team membership of the Sailing Team, whichever is less, shall constitute a quorum. If no quorum is present, the presiding officer shall recess the meeting until a date that a quorum can be present. Section 5. Order of Business The order of business at a general Team membership meeting shall be as follows: 1. Determination of a quorum 2. Election If need 3. Reading and adoption of minutes 4. Introduction of new Team members and guests 5. Dues 6. Correspondence 7. Team Calendar 8. Unfinished Business 9. New Business 10. Miscellaneous 11. Adjournment 4

5 Section 6. Rules of Order The proceedings of all meetings of the Sailing Team shall be conducted in accordance with Roberts Rules of Order. Article VI Nomination and Elections Section 1. Nominations Committee At least fifteen (15) days before the date of the Special General Team Meetings, the Team Captain, shall appoint a nominating committee. The committee shall consist of the Team Officers. That committee for office can nominate member of the nominating committee during the ensuing year. This committee shall report the nominations for office to the Secretary at least five (5) days before the date of the Special General Team Meetings. No person shall be nominated for any office without his approval and agreement to serve if elected. No person can be nominated for more than one office. The Secretary shall have posted the names of the nominees as selected upon the Team s website within twenty-four (24) hours of receipt of same. On both the website and the subsequent ballot, nominees shall be listed only in a vertical column alphabetically by last names under the office heading for which they have been nominated. Section 2. Nominations of Flag Officers The nominating committee shall post at least one (1) nominee for each office. Section 3. Nominations by Members Any three (3) team members in good standing may nominate a full opposite ticket or make individual nominations for any office provided such nominations are filed with the Secretary and posted on the team s website at least two (2) days before the meeting. The Ballot must include a space for a write in Nomination. Section 4. Election A majority votes of Team members present and voting shall be necessary for election of elected Officers. There shall be no absentee or proxy. One vote per team member who is in goodstanding. Voting shall be by secret ballot and the team Coach shall count votes. 5

6 Section 5. Terms of Office Officers elected and appointed at the meeting shall take office the upcoming fall and serve one (1) year or until their successors have been selected. Article VII Authority These Bylaws and the authority of and all actions by Team Officers and the Team membership under these Bylaws are subject to the authority and, when applicable, the approval, of the Governing Board of California State University Monterey Bay. Article VIII Amendments Proposed amendments to these Bylaws must be approved by two-thirds ( 2 / 3 ) vote of Team members present at any general Team membership meeting, provided that a copy of the proposed amendment shall have been posted upon the Team s website at least fifteen (15) days prior to its adoption. An amendment may be presented by any three (3) Team members or by the Governing Board of the Team. All amendments approved by the Sailing Team require approval by the Coach prior to being effective. Article IX Adoption These Bylaws, by adoption thereof by the Governing Board of the Team shall be the governing instrument of the Sailing Team to the extent the Bylaws do not conflict with the Bylaws of CSUMB. All prior Bylaws, if any, of the Sailing Team being hereby repealed or amended so as to read as above. These Bylaws shall take effect at the time of their approval by the Governing Board of the Team. 6
