2 1. Introduction to the Amendment of UFFC-S Bylaws Amendment of UFFC-S Bylaws: In this amendment of Bylaws, many sections of the Bylaws have been en updated or reorganized. Major Events in the UFFC-S S Bylaws Review and Revision: (1) The revision of these Bylaws started June 23, 2011,, soon after the current Bylaws were adopted on May 22, Since then, the feedback is collected and the operations of the Bylaws are evaluated ated continuously. (2) The work on the revision of the Bylaws has been accelerated since late (3) The first face-to to-face meeting of the Bylaws and Constitution Review and Revision Committee was held on May 12, 2016 in New Orleans, LA, USA. The Committee worked on the Bylaws from Sections 1 to 3.8. Slide: #2.
3 1. Introduction to the Amendment of UFFC-S Bylaws (continue...) Major Events (continue...): (4) The second face-to to-face meeting of the Bylaws and Constitution Review and Revision Committee was held on September 16, 2016 in Tours, France. The Committee worked on the Bylaws from Sections 3.9 to (5) Numerous N discussions on the Bylaws were conducted between meetings. (6) The first phone discussion with IEEE Headquarters for their suggested changes was on March 9, (7) The second phone discussion with IEEE Headquarters for their suggested changes was on March 10, (8) The third phone discussion with IEEE Headquarters was on March 20, 2017 to clarify some issues raised by the Bylaws and Constitution Review and Revision Committee. 4 2. Drafts of UFFC-S S Bylaws Documents There have been 12 Drafts of UFFC-S S Bylaws produced during the review and revision process. Each draft contains a detailed record rd of comments, discussions, and suggestions. Changes made are documented in an inverse chronological order. The drafts are a collective wisdom of the UFFC-S S Bylaws and Constitution Review and Revision Committee. The reasons why each change was made are also documented. The detailed record of documentation could also serve as a reference for future amendments nts of the UFFC-S S Bylaws. Slide: #4.

6 3. Approvals of the Amendment of UFFC-S Bylaws March 27, 2017: The proposed amendment of the UFFC-S S Bylaws was approved by the Bylaws and Constitution Review and Revision Committee.. This draft also contains all suggested changes from IEEE Headquarters and it is in compliance with the latest IEEE MUST HAVES and Best Practices. May 2, 2017: The proposed amendment of the Bylaws was approved by a 2/3 majority of all Voting Members of the UFFC-S AdCom. May 18, 2017: The proposed amendment of the Bylaws was approved by the Vice President of IEEE for Technical Activities. May 23, 2017: Publicized the new UFFC-S S Bylaws in the UFFC-S Newsletter and posted it on the UFFC-S website.. The new Bylaws took effect at the same time. Slide: #6.
7 4. Highlights of the New UFFC-S S Bylaws Some Highlights of the New UFFC-S S Bylaws Are: (1) The Bylaws now comply with the latest version of IEEE s Governing Documents and IEEE Best Practices. (2) There are three new Standing Committees for Education, Women-in in-engineering, and Chapters. (They began as Ad Hoc Committees but now have a permanent standing.) (3) Duties and responsibilities are up-to to-date for all 16 UFFC-S Standing Committees,, UFFC-S Officers, AdCom Student Representatives,, and AdCom Emeriti. (4) Duties and responsibilities of the Symposium General Chairs and the Symposium Finance Chairs are specified more clearly. (5) Procedures for nomination and election of UFFC-S S Elected AdCom Members and President-Elect have been updated. Slide: #7.
8 4. Highlights of the New UFFC-S S Bylaws (continue...) Some Highlights of the New UFFC-S S Bylaws Are (continue...): (6) voting procedure has been modified. (7) The new Bylaws specify that any member of AdCom can make and second a motion.. This ensures that even non-voting AdCom members can initiate proposals. (8) The manner in which AdCom and its Committees conduct meetings has been specified more clearly. Slide: #8.

Amendment of UFFC-S S Constitution UFFC-S Constitution: During the review and revision of the UFFC-S S Bylaws, it becomes clear that there is a need to make some changes to the UFFC-S S Constitution to comply with IEEE policies, the latest version of IEEE MUST HAVES (February 2017 version), and IEEE Best Practices. There have been 6 Drafts of UFFC-S S Constitution produced during the review and revision process. Each draft contains a detailed record rd of comments, discussions, and suggestions. Changes made are documented in an inverse chronological order. The detailed record of documentation could also serve as a reference for future amendments nts of the UFFC-S S Constitution. Slide: #9.

11 7. Approvals of the Amendment of UFFC-S Constitution April 9, 2017: The proposed amendment of the UFFC-S S Constitution was approved by the Bylaws and Constitution Review and Revision Committee.. This draft also contains all suggested changes from IEEE Headquarters and it is in compliance with the latest IEEE MUST HAVES and Best Practices. June 21, 2017: The proposed amendment of the Constitution was approved by a 2/3 majority of all Voting Members of the UFFC-S AdCom. July 10, 2017: After successfully addressing questions from IEEE, the proposed amendment of the Constitution was approved by the Vice President of IEEE for Technical Activities. July 17, 2017: Published the new UFFC-S S Constitution in the UFFC-S Newsletter. August 16, 2017: The new Constitution took effect. Slide: #11.
12 8. Highlights of the New UFFC-S Constitution Some Highlights of the New UFFC-S S Constitution Are: (1) Made to comply with IEEE governing documents and IEEE Best Practices. (2) Added a section to specify how to remove a member of a UFFC-S governing body. (3) Clarified the procedure to fill vacancies in the UFFC-S S governing bodies. (4) Changed the procedures to amend the UFFC-S S Constitution and Bylaws to comply with IEEE new requirements, and clarified the procedures. (5) Clarified terminologies such as Society Affiliates, Associate Members, and UFFC-S S Voting Members. Slide: #12.
