2 ARTICLE 1. NAME OF THE ORGANIZATION Section 1.01 The name of the organization shall be the Junior GAC Football League, herein referred to as the League. ARTICLE 2. PURPOSE & OBJECTIVES Section 2.01 PURPOSE: The purpose of this organization is to provide a structure where youth football clubs that serve as high school feeder programs can compete in a safe, healthy, and good sportsman-like environment. Every member organization shall be encouraged to promote player safety, sportsmanship, team work and respect for fellow players, coaches and competitors. Section 2.02 OBJECTIVES: The objective of the League is to develop well-rounded young men and women who learn both the fundamentals of football or cheerleading in an organized, supervised environment with emphasis on maximum safety, and the importance of education, in an atmosphere conducive to developing sound mind, body and character. Additionally, the Junior GAC Football League will inspire youth to practice the ideals of good sportsmanship, scholarship and personal integrity. Along with these ideals, the league instills upon its member clubs, players, cheerleaders, coaches and parents that winning is secondary to the ideals set forth in these by-laws. SECTION 2.03 : To achieve this objective, the League will provide a supervised program under the rules and regulations of Missouri State High School Athletic Associations (MSHSAA) and specific league rules and policies. In accordance with Section 501 (C) (3) of the Internal Revenue Code, the Junior GAC Football League shall operate exclusively as a nonprofit organization, providing a supervised program of competitive football games and cheer between member organizations. ARTICLE 3. MEMBER ORGANIZATIONS Section 3.01 A Member Organization is any non-profit youth football organization that meets the requirements of membership as determined by the league. Member Organizations enjoy the full benefits of the league. All Member Organizations are required to appoint one (1) League Representative and one (1) Alternate League Representative. Member Organizations shall have appropriate general liability insurance. Jr. GAC Football League - Bylaws Page 2 of 9
3 ARTICLE 4. MEMBERSHIP Section 4.01 (a)the organization applying for membership must be a non-profit, youth football organization located within the MSHSAA Gateway Athletic Conference or a public school located within a 40 mile radius of the city of O'Fallon, MO (b)the organization must complete and submit a league membership application along with a non-refundable membership fee of $250. (c) The organization must receive a two-thirds majority vote by the League Representatives to be accepted as a probationary Member Organization. Section 4.02 Members shall pay an annual fee of $250.00, due in full by March 1st preceding the upcoming season. Section 4.03 Charter Members of this league are considered Member Organizations and are granted full privileges of league membership without any probationary period. The charter members of this organization are: Holt, Francis Howell, Francis Howell Central, Francis Howell North, Fort Zumwalt East, Fort Zumwalt North, Fort Zumwalt South, Fort Zumwalt West, St. Charles and Timberland. ARTICLE 5. PROBATIONARY MEMBERS Section 5.01 Probationary Member Organizations are those organizations that are serving their first year of membership of the league or who have been placed on probation as the result of disciplinary actions. The league reserves the right to waive the probationary period for new members at its sole discretion. Probationary Members are required to appoint one (1) League Representative and one (1) Alternate League Representative. Probationary Member organizations shall have no voting privileges until they have participated in one (1) full season. A season is January 1 through December 1. Probationary Member Organizations shall have appropriate general liability insurance. Probationary members will be reviewed after the first year season and will approved by a 2/3 vote of the membership to become a full member organization. ARTICLE 6. REMOVAL FROM MEMBERSHIP Section 6.01 Written notice by member to cancel membership in the league by January 1st. Section 6.02 Failure to pay any money owed the league within 60 days of notice from the league. Section 6.03 Failure to comply with league rules and procedures. Section 6.04 A two thirds vote by the membership to revoke membership of a club from the league. The board cannot vote to remove a club without first receiving a recommendation from the League Rules & Disciplinary committee. Jr. GAC Football League - Bylaws Page 3 of 9
4 ARTICLE 7. OFFICERS Section 7.01 The officers of the board (Executive Board) shall consist of a President, Vice- President, Secretary, Treasurer and Director-at-Large. The officers shall be elected by the League Representatives. Section 7.02 Elected officers will serve a term of two years. Section 7.03 (a)the President shall preside at all Board meetings, appoint committee members, and perform other duties as associated with the office. (b)the Vice-President shall assume the duties of the President in case of the President s absence. (c)the Secretary shall be responsible for the minutes of the Board, keep all approved minutes in electronic files, and send out copies of minutes to all members. (d) The Treasurer shall keep record of the organization s budget and prepare financial reports as needed. (d)the Director-at-Large shall be responsible for duties assigned by the President. Section 7.04 The Elected Officers will have the authority to take any action it deems appropriate and reasonable in response to any issue that may arise outside of meetings that affects the league or any of its members with regard to the safety, health and welfare of the league and its members. Any and all decisions of the Elected Officers or Executive Board may be repealed, altered or otherwise changed by two-thirds vote of the League Representatives. The Elected Officers shall make every reasonable attempt to make themselves available to all of the League Representatives, especially during game days. ARTICLE 8. LEAGUE REPRESENTATIVES Section 8.01 League Representatives are appointed by each individual Member Organization. The President/Director/Coordinator from each member club shall serve as the primary representative to the league. For the purpose of these bylaws, the term League Representative shall also mean Alternate League Representative in those cases where the League Representative is absent. ARTICLE 9. ELECTIONS Section 9.01 Elections shall be held bi-annually and conducted at the January monthly meeting. Section 9.02 The President shall appoint a nominations committee of no less than three (3) League Representatives at the November monthly meeting. The nominations committee shall be responsible for: (a) gathering and documenting the names of individuals who are interested in being considered for an Officers position within the league; (b) calling for, receiving and documenting the names of individuals who are nominated from the floor just prior to the election; and (c) conducting a secret ballot election process during the December meeting. 5 Section 9.03 Each Member Organization s Representative shall have one (1) vote for elections. Section 9.04 In the event of a tie, the Executive Board shall cast one (1) vote which is derived from a simple majority vote among the existing Executive Board. ARTICLE 10. COMMITTEES Section The Board may appoint standing and ad hoc committees as needed. Section Permanent Standing Committees: The League shall have the following permanent standing committees: Scheduling, Rules & Disciplinary, and Marketing (i.e., League Website). Section Standing committees shall comprise of three or more members who are appointed by the President. The President shall also serve as an ex-officio member of each committee. ARTICLE 11. MEETINGS Section Regular meetings shall be held on a monthly basis. Meetings shall be closed to the public unless otherwise stated by the Executive Board. Section Special meetings may be held at any time when called for by the President or by a majority of League Representatives. Section Whenever possible, agendas should be provided at least five (5) days in advance of monthly meetings. The President shall be responsible for creating the meeting agenda and the secretary shall be responsible for sending them to League Representatives. Agendas shall be considered non-exclusive, in so much as any other item may be discussed during the new business portion of the agenda. Section League Representatives and Alternate League Representatives are the only individuals authorized to speak during monthly meetings. The President may waive this section at their discretion. Section Meeting notice shall be a minimum of 5 days and by electronic transmission (i.e., or text) to members. Section Executive Board Members and League Representatives are the only individuals that may place a motion on the floor for discussion and vote. Jr. GAC Football League - Bylaws Page 5 of 9
6 ARTICLE 12. VOTING Section Each Member Organization s League Representative shall have one (1) vote for motions. Section (a) A simple majority of League Representatives constitutes a quorum. (b) In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date. Section Passage of a motion requires a simple majority (i.e., one more than half the League Representatives present). Section In the event of a tie, the Executive Board shall cast one (1) vote which is derived from a simple majority vote among the Executive Board. ARTICLE 13. FISCAL POLICIES Section The fiscal year of the board shall be January 1 to December 31. The Executive Board shall be responsible for creating and presenting a budget for approval by the League Representatives. Section The League President, Vice President and Treasurer shall be signators on all league bank accounts or financial instruments. Section All expenditures over $500 shall require board approval. ARTICLE 14. RULES OF ORDER AND AMENDMENTS OF THE BYLAWS Section Parliamentary Authority The revised Robert's Rules of Order, shall be the parliamentary authority for all duly called matters of procedure not otherwise covered in these Bylaws. Section These by-laws may be amended by a two-thirds vote of League Representatives present at any meeting, provided a quorum is present and provided a copy of the proposed amendment(s) was sent to each Board member via mail or electronic at least one week prior to said meeting. 7 ARTICLE 15. LEAGUE RULES Section The League Rules will be provided as a separate document which will serve to dictate and prescribe how the game of football will be played and other administrative rules or policies that member clubs shall follow within the Junior GAC Football League. Any rule not covered by the League Rules shall be dictated by MSHSAA rules. Section The League Rules shall also contain disciplinary procedures regarding the conduct of member organizations, players, coaches and parents. ARTICLE 16. AMENDMENTS OF THE LEAGUE RULES Section The League Rules may be amended by a two-thirds vote of the League Representatives present at any meeting provided (a)a quorum is present (b) a copy of the proposed amendment(s) was sent to each Board member at least one week prior to said meeting and (c)the meeting is not within the period April 1 thru November 30th. Section The League Rules may be amended within the period November 30th through March 1st by a 2/3 vote of League Representatives present at the meeting provided a copy of the proposed amendment(s) was sent to each Board member at least one week prior to said meeting. ARTICLE 17. LIMITATIONS Section No part of the net earnings of the club shall inure to the benefit of, or be distributable to, any of its members, trustees, officers or other private persons, except that the league shall be authorized to pay reasonable reimbursement expenses or compensation for services rendered and to make payments and distributions in furtherance of the tax exempt purposes of the league. Section Notwithstanding any other provision of these articles, the league shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code. 8 ARTICLE 18. INCORPORATION Section This shall be an incorporated organization operated under the laws of the State of Missouri relating to benevolent, religious, scientific, educational and miscellaneous associations under Chapter 355, Revised Statues of Missouri, with no paid in capital stock and without pecuniary profit. Its revenues shall be derived primarily from contributions, dues and assessments as the Board of Directors shall prescribe. ARTICLE 19. DISSOLUTION OR DISBANDMENT Section Should the league ever disband, all money and property accumulated by the league, until that time, shall be held for a period of one (1) year. Upon the dissolution of the league, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. ARTICLE 20. INDEMNIFICATION AND HOLD HARMLESS AGREEMENT Section By virtue of its membership in the league, any league member agrees to indemnify and hold harmless the league Officers, Board Members, and officials/referees against any claims, disputes, causes of action, judgments or decrees for actions carried out in accordance with the bylaws. Section Said indemnification and hold harmless agreement shall include, but not be limited to, any reasonable attorney s fees and costs, including appellate attorney fees and costs, witness fees, stenographic expenses, expert witness fees and transportation expenses; together with any monetary judgment expense or awards that the court might enter; as well as any cost or expense associated with the running of any game, exhibition, or contest including any stadium rental, referees fees, food, or any cost or expense associated therein.
