1 Liberty High School Men's Basketball Parents in the Paint Booster Club Bylaws The purpose of the Liberty High School Men's Basketball Parents in the Paint Booster Club is to provide encouragement and to generate support for the men's basketball activities at Liberty High School. The Parents in the Paint will act in mutual partnership and support of the Liberty High School administration and coaching staff to contribute to the longstanding tradition and success of the Liberty men's basketball program. Activities in which the Parents in the Paint will engage include, but will not be limited to the following: 1. Facilitating positive interaction between the Parents in the Paint, school officials, coaching staff, student body, Liberty High School, Timberview Middle School and the general public. 2. Providing organizational and charitable financial support of the Liberty men's basketball program 3. Organizing banquets and awards ceremonies, for all Liberty men's basketball teams. 4. Raising funds. 5. Organizing and coordinating off the court social activities for the coaches, players, families and supporters of the Liberty men's basketball program. 6. Communicating news related to Liberty men's basketball program to various media. 7. Communicating a positive image of the Liberty men's basketball program to the community. 8. Working for the development of a constructive attitude by all students toward all levels of athletic endeavor. All Liberty Parents in the Paint Club activities will be conducted in accordance with the Parents in the Paint Booster Club Bylaws. HISTORY The Liberty Parents in the Paint Booster Club was established as a charitable organization to encourage parent participation, promote effective communication between parents and coaches, and to support fundraising activities in order to enhance and expand the Liberty High School men's basketball experience. The Parents in the Paint Club strongly believes that positive parental involvement during the high school years is a significant key to the success of any student athlete. ARTICLE 1 SECTION I NAME The name of the charitable organization shall be the Liberty High School Parents in the Paint Booster Club (hereinafter referred to as the Parents in the Paint) SECTION II FISCAL YEAR AND BUSINESS YEAR The Fiscal and Business Year of the Parents in the Paint shall be May 1 to April 30.

2 Newly elected officers will assume administrative control of the Parents in the Paint on May 1. The Parents in the Paint officers will conduct a fiscal and business review on an annual basis. SECTION III MEETINGS Parents in the Paint general business meetings will be held at a pre-announced time during the fiscal and business year. At a minimum, one general business meeting will be held between team tryouts and the first game and one meeting will be held within 30 days of the end of the basketball season. Additional meetings will be held as deemed necessary by the Parents in the Paint Officer Board. Twenty-five Percent (25%) of the general membership is considered a quorum for any general Parents in the Paint meeting. Since officers are elected from the general membership and are also considered general Parent in the Paint members, officer attendance at a general meeting is included in the count to obtain a quorum. SECTION IV PUBLIC NOTICES Public notices for Parents in the Paint general business meetings communications will be published on the internet via the Parents in the Paint website, via , and as arranged by the Parents in the Paint officers. The Parents in the Paint Board shall make every effort to effectively communicate all Liberty Basketball and Parents in the Paint information in a timely manner. SECTION V CLUB GOVERNING The Parents in the Paint Booster Club shall be self-governing, self-supporting, non-commercial, non-sectarian, nonprofit and nonpartisan, and shall seek neither to direct the administrative activities of any Academy School District 20 school nor to control its policies, and shall be governed in accordance with the bylaws contained herein. No part of the charitable activities of the Parents in the Paint shall be the carrying on of propaganda, or otherwise attempting to influence legislation. The Parents in the Paint shall not participate in elections, or intervene in (including the publication of statements) any political campaign on behalf of any candidate for public office. SECTION VI CLUB ASSETS Net earnings of the Parents in the Paint shall not benefit any member of Parents in the Paint, or any private individual, except that reasonable compensation which may be paid for services rendered to or for Parents in the Paint affecting one or more of its purposes in accordance with these bylaws. No Parent in the Paint member or private individual shall be entitled to share in the distribution of any of Parent in the Paint assets on the dissolution of Parents in the Paint. ARTICLE 2 MEMBERSHIP SECTION I GENERAL MEMBERSHIP Membership in this charitable organization is open to any person who is a parent or guardian of a child who participates or who has participated in the Liberty basketball program, or a community member who will uphold the policies of this organization and agree to its bylaws and has not been banned from attending Academy School District 20 activities. Members of the Parents in the Paint are highly encouraged to participate in fundraising activities, support Liberty basketball via exemplary behavior during game attendance, address concerns to the Board members of the Parents in the Paint, attend general business meetings,

3 provide feedback to the Parents in the Paint officers regarding finances and project plans, and volunteer expertise when appropriate. SECTION II - INDIVIDUAL MEMBERSHIP QUALIFICATION Persons shall become members by paying the prescribed annual membership dues and signing the membership form, per each voting member. SECTION III - MEMBERSHIP PERIOD The annual membership period is initiated at the LHS Winter Sports Night and will be extended until the next Winter Sports Night, one year later. Additionally, members may be accepted at any time throughout same period. SECTION IV MEMBERSHIP DUES Annual membership dues will be determined by the Parents in the Paint Board on an annual basis and will be non-refundable. With Parents in the Paint Board discretion and approval, membership dues may also be waived for those persons who have contributed significant time and personal resources which will directly benefit the Liberty Basketball program. SECTION V - MEMBERSHIP VOTING Only those persons who meet the membership qualification requirements (as described in Article II; Section II) shall have voting privileges within the Parents in the Paint. (i.e., annual officer election, disbursement of funds, etc ) Each member shall have the right to cast only one vote. The decision of a simple majority of the voting members present will be binding on the organization, provided a quorum is present. Voting during a quorum of meetings (as described in Article II; Section I) shall be conducted by a show of hands, with the exception of the annual officer election, which will be conducted via anonymous paper ballot. ARTICLE 3 OFFICER BOARD SECTION I MEMBERSHIP Shall be comprised of the following officer positions: 1. President 2. Vice President 3. Secretary 4. Treasurer 5. Head Basketball Coach (non-voting member) SECTION II OFFICER BOARD GOVERNANCE The Officer Board shall be the governing body of the Parent in the Paint charitable organization and shall manage and direct the affairs and property of Parents in the Paint. The Officer Board shall be comprised of the President, Vice President, Secretary and Treasurer and Head Basketball Coach. The Head Basketball Coach shall be a non-voting member of the Officer Board. The Officer Board will be elected annually by the members of Parents in the Paint from the general membership. The newly elected board may also include the previous year s president as a non-voting member to add continuity, experience, advice, and support to the board during annual board transition and support throughout the year.

4 Board decisions require concurrence of a simple majority of all voting board officers. In the event of a tie, the President shall make the final decision. SECTION III QUALIFICATIONS/EXPECTATIONS Any Parents in the Paint member in good standing who has/had a son in the Liberty basketball program with a current membership shall be eligible for election to serve on the Officer Board. No more than one (1) member of the same family unit shall serve in the officer positions at the same time. If two or more members of same family are elected to the Officer Board, the decision of which member will serve will be left to the family. If the family cannot decide which member will serve on the Officer Board, then all family members will be removed from their respective positions and the open position will be filled by candidate receiving the next greatest number of votes. SECTION IV COMPENSATION The Officer Board of Parents in the Paint is a volunteer position and no board member shall receive compensation for any service he or she may render to Parents in the Paint. SECTION V BOARD OFFICERS Officers shall be elected at the last general business meeting at the end of the season and will take office at the beginning of the succeeding business year. Nominations will be accepted in advance and the floor will also be open for nominations before board elections. The officers will be elected by plurality of votes by the membership present. Each elected officer shall serve a term of one year or until a successor has been duly elected. Each currently elected officer, if eligible to retain membership, is eligible to run for office at each annual election. SECTION VI VACANCIES In the event of a vacancy in any elected office except President, the President will appoint a replacement for that office. If the President should vacate his or her office, the Vice-President will assume the office of President and will appoint a replacement to the office of Vice- President. If the Vice-President is unwilling or unable to assume the role of President, the order of succession will then go to the Secretary and Treasurer, and the successor will appoint the replacement for his or her former office. In the event there is not an elected board in place, the head basketball coach shall establish a date/time/location within one month for an election. The head basketball coach will also nominate officer candidates if the board is not in place in accordance with established bylaws. The newly elected officers will fulfill the current term. SECTION VII OFFICERS' DUTIES A. The President shall: Regularly meet with the athletic director and Head Basketball Coach regarding booster activities; Schedule meetings in accordance with the bylaws; Preside at all meetings of the organization; Mediate issues in the membership in accordance with bylaws; Oversee committees Regularly meet with the treasurer of the organization to review the organization s financial position and monthly during the basketball season;

5 Schedule annual audit of records or request an audit if the need should arise during the year; Perform any other specific duties as outlined in the bylaws of the organization. B. The Vice President shall: Preside at meetings in the absence of the president; Perform administrative functions delegated by the president; Perform other specific duties as outlined in the bylaws of the organization. Oversee committees C. The Secretary shall: Maintain the records of the minutes, approved bylaws, current membership, and committee listings; Record all business transacted at each Parents in the Paint meeting as well as minutes of any officer board meetings in a prescribed format and presents them for approval at the next general membership meeting; Conduct and report on all correspondence on behalf of the organization; Oversee the upkeep of the LHS Men's Basketball website Oversee committees Perform other specific duties as outlined in the bylaws of the organization. D. The Treasurer shall: Maintain an accurate and detailed account of all monies received and disbursed; Properly account for all monies received and deposit said amounts on a weekly basis Present a written current financial report at officer board and general membership meetings; Submit records to audit committee appointed by the organization no later than one month following the end of the basketball season and/or upon request; E. The Head Basketball Coach shall: Regularly communicate with the Parents in the Paint Officer Board and general membership in order to establish their vision for LHS Basketball Program and provide recommendations for Parents in the Paint support to the players, coaches, school and community. SECTION VIII OFFICER BOARD MEETINGS The Parents in the Paint Officers Board shall have an officer board meeting prior to each general business meeting and/or when deemed necessary by the President. A quorum for any meeting of Parents in the Paint Officer Board shall consist of three officers in attendance at the meeting. Individuals may request to address the board with prior coordination. Board meetings are open to all Parents in the Paint membership. ARTICLE 4 GENERAL PROVISIONS SECTION I COMMITTEES The Parents in the Paint Officers may appoint committee chairpersons as deemed necessary (i.e., fundraising, social, banquet) to conduct the Parents in the Paint activities. SECTION II OPERATING FUNDS Operating funds shall be maintained in a Parents in the Paint Organization bank account, and a written accounting of such funds shall be presented at all general and officer board meetings. All funds will be used for charitable and/or educational purposes.

6 SECTION III APPROVAL OF FUNDS DISTRIBUTION All monies are the property of the Parents in the Paint and are distributed through the Authority of the Parents in the Paint Officer Board or by the general membership. All projects/purchases up to $ can be approved by the Parents in the Paint Officer Board. Any projects exceeding $ will be brought before the Parents in the Paint general membership for an approval vote. SECTION IV REIMBURSEMENT Reimbursement of operating expenses incurred during Parents in the Paint Officer Board and committee activities can be reimbursed with approval by the Officer Board. Expenses not exceeding $50 dollars may be pre-approved by the President without Officer Board approval. All expenses exceeding $50 requires approval from the Officer Board before the expense is incurred. SECTION V DISSOLUTION In the event that Parents in the Paint should dissolve as a charitable organization, all funds will be distributed into the Liberty High School Basketball activity fund. SECTION VI AMENDMENTS The bylaws may be amended, wholly or in part, by a favorable vote of the majority of the membership (as described in Article II; Section V). Notice of proposed bylaws amendment(s) must be ed to the general membership of the Parents in the Paint membership and posted on the Parents in the Paint Website at least 72 hours prior to a vote on the proposed changes.
