Name of the Associa on THE ALL INDIA KHADI & VILLAGE INDUSTRIES COMMISSION PENSIONERS' WELFARE ASSOCIATION. 2. Address of the Associa on GRAMODAYA Annex Building, 3, Irla Road, Vile Parle (West), Mumbai Objects of the Associa on The objects of the Associa on are 1. To provide emo onal and social security to the members and to consider and adopt ways and means for the overall welfare and service of the Pensioner community of the Khadi and Village Industries Commission, irrespec ve of caste, creed, religion or sex when and where needed for educa on, health and financial help to the poor and needy pensioners; 2. To foster a sense of kinship and to inculcate an awareness amongst the members that they are socially useful and responsible senior ci zens of the country; 3. To take such measures as may be necessary to enable the members to maintain physical and mental well being; 4. To advocate and take such measures for harmonious and homogeneous Na onal Pension Structure for all with PARITY, irrespec ve of the dates of re rement; 5. To organize and conduct 'Pension Adalats', as and when so required; 6. To liaise with appropriate authori es for seeking redressal of the problems and grievances of the pensioners individually and / or collec vely. 1

5 7. To func on as a cataly c agent and render such advice and service for the benefit of the country as a whole, when called upon to do so for u lizing the facul es and exper se of the members; 8. To arrange and hold seminars, workshops and projects on ma ers of public importance and give considered opinion as senior ci zens; 9. To do or undertake all such other acts and measures purported to promote the welfare of the members in general, individually or jointly with sister Associa on or which are conducive to the a ainment of these objects or any of them; 10. To render medical aid or relief for the purpose aforesaid, to open, establish, maintain, manage, control and conduct dispensaries, hospitals, nursing homes and medical aid and First Aid Centres and such other beneficial ac vi es; 11. In furtherance of its objects, the Associa on may co-operate with other associa ons and organiza ons with similar aims and objects; 12. It may also amalgamate or affiliate with other ins tu on, federa on, society, associa on or body having objects altogether or in part similar to those of this Associa on; 4. Objec ves Rules and Regula ons To a ain Its objec ves as laid down in the Memorandum of Associa on, its ac vi es shall be regulated by the Rules and Regula ons hereunder : Rules and Regula ons 1.1. The Rules and Regula ons shall be called the All India Khadi and Village Industries Commission Pensioners' Welfare Associa on Rules and Regula ons Area of Opera on The area of opera on of the Associa on shall be all over India (Indian territories) Accoun ng year The accoun ng year of the Associa on shall be from April to March Interpreta ons 1.4. (a) Associa on means All India Khadi and Village Industries Commission Pensioners' Welfare Associa on (AIKVICPWA) 1.4. (b) Commission means Khadi and Village Industries Commission (KVIC) 1.4. (c) Pensioners shall mean and include the re red employees of KVIC eligible for pension and family pensions (d) Rules and Regula ons means the Rules and Regula ons framed by the Associa on as also amendments made/to be made from me to me. 2. Membership The membership of the Associa on is open to all the employees re red from Khadi and V. I. Commission and their family members eligible for pension and family pensions. There shall be following categories of membership. 5

9 2(a) Founder Life Members Founder life members are those who have subscribed their names for forming the Associa on and for its Registra on under the Socie es Registra on Act (b) Life Membership For life membership, a pensioner shall pay Rs. 550 in one instalment and admission fee of Rs. 10 alongwith an applica on form duly filled in and signed. 2( c) Patrons Pensioners contribu ng Rs and more shall be the patrons of the Associa on. 2(d) State Level Associa on State Level Associa ons can become members by paying Rs. 500 annually 2(e) Membership Register A Register of Membership shall be maintained as per Rule 15 of the Socie es Registra on (Maharashtra) Rules, 1971, and as per the provision of Sec on 15 of the Socie es Registra on Act, Procedure for admission 3 (i) Any pensioner who desires to be enrolled as a member shall make an applica on in the prescribed form and shall tender requisite fees, as prescribed in Rule 2 above. 3 (ii) The Life members may at any me change their membership to patron by paying the amount as specified in Rule 2 minus the amount of fees already paid. 3 (iii) Any KVIC Pensioners' Associa on of State if desires to affiliate itself as a member of this Associa on, it may do so by paying Rs. 500 as annual affilia on fee for that year and every year therea er. But such affiliated Associa on shall lose its membership if its ac vi es are found to be against the interests of the Associa on. 6

10 3 (iv) The members' names enrolled shall be recorded in the Register of Membership maintained by the Associa on. 4. Cons tu on of Managing Commi ee 4.1. The management of the affairs of the Associa on shall vest in the Managing Commi ee which shall consist of the following officials : (a) (b) (c) (d) (e) (f) Chairman Vice Chairman Honorary Secretary Honorary Joint Secretary (Two) Honorary Treasurer Honorary Members (Five) 4.2. All the members of the Managing Commi ee shall be elected by the General Body and they will be honorary. The office bearers shall be elected / appointed from amongst the Commi ee members by the Managing Commi ee The term of office of the Managing Commi ee shall be of three years and re ring members shall be eligible for re-elec on. The Managing Commi ee shall co-opt one member from each State Level Associa on. The term of office of co-opted member shall be co-terminus with that of the Managing Commi ee. 5. Mee ng of the Managing Commi ee 5.1. The Managing Commi ee shall meet atleast once in every two months for which 5 days clear no ce shall be given. Minimum 5 members shall form the quorum Special/requisi oned Managing Commi ee mee ng shall be convened on short no ce of three days in advance for specific purposes only. 7

11 5.3. Causal vacancies in the Managing Commi ee shall be filled by coop on. The tenure of such co-opted members shall be co-terminus with the Managing Commi ee All the issues shall be decided by simple majority of the Managing Commi ee. In case of no quorum, the mee ng will be adjourned by half an hour and shall be held on the same day at same place for which no quorum shall be necessary The quorum for mee ng of Managing Commi ee shall be FIVE If a Commi ee member fails to a end three consecu ve mee ngs of the Commi ee without the leave of absence, he shall cease to be a member of the Managing Commi ee. In excep onal cases, the Managing Commi ee may waive this condi on at its discre on A mee ng of the Commi ee shall be convened on a wri en requisi on of not less than four members of the Managing Commi ee within a week from the date of such requisi on. 6. Powers and Du es of the Managing Commi ee The Managing Commi ee shall (a) manage the affairs of the Associa on including its funds and proper es, have control over all assets, proper es and business of the Associa on, (b) consider applica on for membership, (c) approve expenditure incurred, approve the audited statement of Annual Accounts alongwith the Annual Report, approve the Budget for the next year for submission to the General Body mee ng. (d) (e) approve no ce and dra agenda for all the General Body mee ngs, sanc on expenditure, if any, incurred, (f) prepare the Annual Report and consider the audited statement of accounts for submission to the General Body Mee ng, 8

12 (g) consider the budget for the ensuring year for submission to the General Body Mee ng, (h) convene General Mee ngs Annual or Extra ordinary as per Rules, (i) appoint sub-commi ees from amongst the members to strengthen the ac vi es of the Associa on for specific work. The sub-commi ees so appointed shall work under the control and direc on of the Managing Commi ee. (j) consider applica on from members about their grievances and hardships and take suitable ac on to redress them, (k) depute a member or members to represent the Associa on in any Pensioners' Associa on, Seminars, Conference, Mee ng or Conven on and may sanc on such expenditure for the purpose as would be deemed necessary, if funds permi ng, (l) if any urgent ma er is required to be considered and there be no sufficient me to convene a mee ng of the Managing Commi ee, such ma er may be circulated among the members of the Managing Commi ee for their opinion and ac on may be taken in accordance with the majority decision of the members. Such decision shall be placed before the next mee ng of the Managing Commi ee for considera on and / or confirma on, (m) have powers to direct the ac vi es of the Associa on and also exercise supervision and control over the ac vi es of Secretary, Jt. Secretary and Treasurer, (n) may delegate financial powers and other discre onary powers (not men oned hereinunder) to the office bearers by passing a suitable resolu on in the mee ng of the Commi ee, (o) have powers to co-opt more members for undertaking various ac vi es. Such co-opted members shall not have right to vote in the proceedings of the Commi ee, (p) have powers to appoint, dismiss or discharge the employees of the Associa on. 9

13 7. Du es of the Office-Bearers 7.1. Chairman The Chairman shall preside over all mee ngs of the Managing Commi ee and the General Body. The Chairman will also have such powers as may be necessary to promote the well-being of the Associa on within the framework of the objec ves and Rules and Regula ons of the Associa on. Chairman has the powers of overall superintendence, control and guidance in respect of the affairs / management of the Associa on. In case of any emergency, the Chairman of the Commi ee shall be competent to exercise any of the powers of the Commi ee which shall however be got ra fied in the next mee ng of the Commi ee. The Chairman shall have one cas ng vote both in Managing Commi ee and in General Body mee ngs Vice-Chairman The Vice Chairman shall assist the Chairman and in the absence of the Chairman, exercise all the powers and perform all the du es vested in the Chairman Hon. Secretary The Secretary shall be responsible for the execu ve administra on of the Associa on, subject to the control of the Commi ee. He shall convene the mee ngs of the Managing Commi ee and of the General Body. He shall keep proper minutes of the mee ng of the Managing Commi ee and of the General Body and also draw up the agenda for these mee ngs. He shall conduct necessary correspondence on behalf of the Associa on. He shall have the custody of all the records and documents belonging to the Associa on. In each year, the Secretary shall file records and statements as required by the Registrar of Socie es. Charity Commission, Income Tax Authority and other Government Bodies including KVIC. The Secretary shall prepare Annual Budget, statement of accounts, annual report and shall keep update relevant records required under Act, Rules and Bye laws of the Associa on. The Secretary shall be custodian of all the assets and proper es and office of the Associa on. He shall also have the powers to supervise and give affect the ac vi es of the Associa on. He shall be the authority to sue and to be sued on behalf of the Associa on. 10

14 7.4 Joint Secretaries The Joint Secretaries shall assist the Secretary in the day-to-day administra on. They shall perform the du es as are entrusted by the Managing Commi ee and all the func ons of the Secretary in his absence. 7.5 Treasurer The Treasurer shall be in-charge of the funds of the Associa on, subject to the control and direc on of the Managing Commi ee. He shall be responsible for the account of the Associa on and be the custodian of all proper es of the Associa on. He shall receive the moneys due to the Associa on and issue receipts. He shall make all authorized payments on behalf of the Associa on and procure vouchers for the same. He shall deposit the funds in the bank authorized by the Associa on and withdraw money for expenditure as and when necessary. He shall have the accounts passed by the Commi ee every six months. He shall deposit all the moneys received into the Bank Account of the Associa on within seven days. He shall keep an imprest amount not exceeding Rs.2000 (Rupees Two Thousand Only) to meet con ngent expenditure. He shall prepare the annual statement of accounts etc. for presenta on at the Annual General Body Mee ng. 8. Funds and Assets The funds and assets will be raised by way of subscrip ons, fees, grants, dona ons etc. and shall consist of the following 8.1. Enrollment fees and annual subscrip ons paid by the members and any amount collected from the members for specific purposes Any moneys or other proper es as may be contributed, donated, bequeathed by any person, by any firm or company, by the State or Central Government or any other authority to the Associa on All interests or other income arising out of the said funds or assets All assets that may be purchased or acquired from out of the said funds or otherwise acquired by the Associa on. 11

15 8.5 All investments and realiza on there from or out of the said funds or assets. 8.6 All funds and assets which have by any means become the property of the Associa on. 9. Accounts and Audit The funds of the Associa on shall be deposited in the name of the Associa on in a na onalized bank as approved by Commi ee. The Bank accounts will be operated by the Treasurer jointly with either the Chairman st or the Secretary. The accounts of the Associa on shall be closed as on 31 March of every year. A qualified auditor shall be appointed by the members in the Annual General Body Mee ng to audit the accounts. The Auditor shall submit his report to the members of the Annual General Body Mee ng. If considered necessary, the internal auditor may be appointed to audit the accounts at the General Body Mee ng. 10. General Body mee ng 10.1 The Annual General Body Mee ng shall be convened once in every st year within four months; i.e. on or before 31 July a er the expiry of the financial year The Mee ng shall be held at a place to be specified by the Managing Commi ee Twenty-one day's clear no ce shall be given for the General Body Mee ng The quorum for the General Body Mee ng shall be of 51 members or one fi h of the total membership of the Associa on, whichever is less. If within half an hour a er the me appointed for the General Body mee ng of the Associa on, there is no quorum, the mee ng, if convened upon the requisi on of the members, shall be dissolved. In any other case, it shall be adjourned to a later hour on the same day and at the same place, as may have been specified in the no ce and the agenda of the mee ng shall be transacted, whether there is quorum or not. 12

16 10.5 The Chairman or in his absence the Vice-Chairman shall preside at the Annual General Body Mee ng. In the absence of both, the members present may choose a chairman among themselves to preside over the said mee ng Every issue shall be decided by majority of votes The Annual Report and audited accounts for the preceding year shall be placed at the mee ng The following ma ers shall be decided by the General Body by the rule of simple majority and such decision shall be implemented by the Managing Commi ee (a). Passing of accounts and Annual Budget; 10.8 (b). Considering the Annual Report; 10.8 (c). Legal ac on, suits etc., if any; 10.8 (d). Acquisi on and / or disposal of any asset; 10.8 (e). Appointment of Auditor and his remunera on; 10.8 (f). Elect the Managing Commi ee The Managing Commi ee elected by the General Body shall carry out the decisions of the General Body and other normal day-to-day administra on of the affairs of the Associa on An extra-ordinary General Body Mee ng will be called within one month of the receipt of no ce by the Secretary, provided at least 26 members give no ce in wri ng for an extra-ordinary general body mee ng,giving reasons for calling such a mee ng. The quorum shall be as provided in Clause 10.4 of Rule above. 11. Availability of records for inspec on by members The Register of Members, Minutes Book, the books of accounts and all such registers of the Associa on shall be available for inspec on by the members free of charge during the business hours of the Associa on at Registered Office by prior no ce. 13

17 12. Amendments to the Rules and Regula ons Amendments, altera ons, modifica on, addi ons or dele ons to the Rules and Regula ons or change in the name of the Associa on shall be by way of special resolu on passed as per the procedure laid down in Sec ons 12 and 12-A of the Socie es Registra on Act, Winding-up of the Associa on In the event of a con ngency arising for the winding up the Associa on, proceedings for such winding-up shall be taken in accordance with the provisions of the Socie es Registra on Act, 1860 (Act No.21 of 1960) 14. Winding-up or dissolu on The Associa on may be wound up, if not less than three-fi h of the members of the Associa on en tled to vote, decide to dissolve the Associa on from a par cular date at a General Mee ng specially called for this purpose and as per Sec ons 13 and 14 of the Socie es Registra on Act Disposal of the Property If upon winding-up dissolu on of the Associa on, there remains a er the sa sfac on of all debts and liabili es, any property whatsoever, the same shall not be paid to or distribute among the members of the said Associa on, or any of them, but it shall be given or transferred to such other Associa on, Ins tu on or society having objects similar to those of this Associa on which will be determined by votes of not less than threefi h of the members OR majority of the votes of the members present personally at the me of the dissolu on. 16. Members' Liability Limited In the event of the Associa on being wound-up or dissolved, the liability of a member at the me of such winding-up or within one year a er he ceases to be a member, shall be limited to Rupees Five only for payment of the debts or liabili es of the Associa on. 14

18 17. Ma ers not provided for in the Rules and Regula ons In respect of any ma er not specially provided in these Rules and Regula ons, the provisions of Socie es Registra on Act, and the Rules framed thereunder shall apply. 15
