Consideration of adopting Ordinance #809 to amend the Zoning Map of the City of Alma as it appears in Section of the Ordinances of the City of Alma. This Ordinance is to rezone the property at 313 N. State Street, from B-1, Central Business District to BMR, Business Multi-Family Zoning District subject to the conditions set forth in the Conditional Rezoning Agreement. Approve 1

This Ordinance is to rezone the property at 534 N. State Street, from R-1, Single Family Residential to R-3, Multi-Family Zoning District, subject to the conditions set forth in the Conditional Rezoning Agreement. Approve I. Agreements: 1. Consideration of a resolution authorizing the execution of a Conditional Rezoning Agreement between the City of Alma and Gemini Capital Management IX, LLC, property owner, which conditionally rezones the property located at 313 N. State Street from B-1, Central Business District to BMR, Business Multi- Family Zoning District. Approve 2. Consideration of a resolution authorizing the execution of a Conditional Rezoning Agreement between the City of Alma and Alma First Baptist Church, property owner, which conditionally rezones the property located at 534 N. State Street from R-1, Single Family Residential District to R-3, Multi-Family Zoning District. Approve 3. Consideration of a resolution ratifying the execution of a Unilateral Metro Act Permit to Crystal Automation System, Inc. dba Casair, Inc. (Subject: Casair, Inc. is asking for the City to ratify the Unilateral Metro Act Permit for previous access to the public rights-of-way within the City for the purpose of a installing fiber, fiber duct and hand holes. This work was done in the years 2014 and Casair had failed to obtain the Unilateral Metro Act Permit. Now in order to be compliant with Michigan s Public Act 48, Casair has completed the required application and submitted the required fee of $ ) Approve J. The City Manager will provide an overview of the proposed budget and will recommend a series of dates for work sessions to review the document in further detail.) Alma, Michigan March 26, 2019 Work Session began at 5:30 p.m. City Manager Schooley presented the March 22, 2019 Newsletter for discussion: Agenda Items Resolutions of Support for Two Transportation Economic Development Fund (TEDF) Projects Consider resolutions of support for TEDF grant applications for reconstruction of Hayes Ave. from Marquette to Michigan Ave. (start date July 2019) and Iowa St from Charles to Falkirk St. (start date July 2020). Both projects include new water and sanitary sewer mains and the installation of storm sewer upgrades. Informational Deer Population in City Mr. Danial Carr of Mill Street called to inquire about the deer population that is inside the city. Asked if there had been any discussion about addressing the issue. He had been following the news and understands there have been other municipalities that have been dealing with an increase in the deer population that have been moving into cities and populated areas. I advised I would bring it to the commission for discussion. Airport Authority On March 21 st the Airport Authority held a meeting to address the findings of the Municipal Financial Contributions Committee (MFCC). There was no vote for Pine River and Arcada to leave the Authority that was brought to the board. The committee discussed the idea of the best way to approach the Gratiot County Board of Commissioners to request an increase in funding from the county. Commission Chair George Bailey was in attendance and eventually it was decided that the MFCC would begin meeting with an appointed Gratiot Commission committee to discuss the possibilities including the makeup of the authority as we move forward. Overall it was apparent that the intent of all involved was to focus on the financial structure of the airport that would enable it to thrive in the future. The committees will meet within the next couple weeks to lay groundwork for a proposal to the county. There will be a letter that the MFCC has drafted to send to patrons of the airport asking for support. Fiscally Ready Communities Mayor Mapes, Commissioner Piccolo, and I attended a presentation by the Michigan Department of Treasury and MSU Extension on Fiscally Ready Communities. The ½ day seminar touched on many of the areas that we have been discussing in terms of our issues with the FY2018 audit. Topics ranged from policies to budgeting and fiscal sustainability. Overall the program was a good introductory piece that would be beneficial for both finance and administrative employees who are involved in budgeting and planning for the City. The program is going to be available in Mt. Pleasant this summer. I will be sure to sign up the administrative staff and it is free of charge. A copy of the presentation for all of you to read at your leisure is available. Proposal from ProNexus for Contracted Chief Financial Officer The results of the FY2018 audit have forced the City to take a long hard look at the operations of the finance department. The systemic issues that were identified during the audit must be addressed. I have reached out to a recommended company, ProNexus and the fiancé committee has had preliminary discussions about our specific issues here in Alma. A copy of a draft proposal from ProNexus will give you an idea of some possibilities for their assistance. I would like to have a discussion with the commission prior to the committee reaching back out to ProNexus to discuss a more specific plan, if that is the direction the commission feels Is necessary. The committee will discuss our findings during the work session on Tuesday.

6 Vice-Mayor Harrington read a report from the Finance Sub Committee stating that the Committee has met several times and based on the City s Audit results and recommendations by the City Auditor, Yeo & Yeo and Gratiot County they will be bringing before the Commission at the next meeting a proposal to contract ProNexus to provide personnel as an acting CFO to evaluate our procedures and financial processes using Best Practices to put an efficient system in place. City Manager Schooley also wanted to ask the Commission if it would be possible to adjust the policy on Outdoor Café Permits. Presently, once a business entity applies for the Outdoor Café Permit, the permit needs to be brought before the Commission for approval. This procedure requires time to be put on the agenda, time for the Commission to approve and the season for outdoor cafes is a limited time span. This permit process would run more smoothly with allowing staff to approve the permit once submitted and then bring it to Commission to ratify. Commissioners felt this permit process could be adjusted. Questions and discussions followed. The March 26, 2019, City Commission work session concluded at 6:00 p.m. Alma, Michigan March 26, 2019 Mayor Mapes called a regular meeting of the Alma City Commission to order at 6:00 p.m. at the Alma Municipal Building. Present: Allman, Harrington, Mapes, Mott, Pitts & Stahl. Absent: Piccolo. Mayor Mapes asked the City Commission and members of the audience to stand and recite the Pledge of Allegiance to the Flag. Motion by Commissioner Allman as supported by Commissioner Pitts to approve the minutes of the March 12, 2019 regular meeting. Yes: No: Allman, Harrington, Mapes, Mott, Pitts & Stahl. None. A public hearing was held at 6:00 p.m. to review and consider submission of a Michigan Department of Natural Resources, Michigan Natural Resources Trust Grant application for the replacement and rehab of park restrooms located in Wright, Riverside, and Pine River/Conservation Park. Aeric Ripley, Assistant City Manager/DDA Director presented the Michigan Department of Natural Resources, Michigan Natural Resources Trust Grant application for the replacement and rehab of park restrooms. Mr. Ripley began with the Wright Park Bathroom. It is recommended to replace the whole structure with a new facility, to provide 4 universal design, single occupancy bathrooms. The plan is to model after the new restroom on Charles Avenue. The estimated cost would be $200,000 which will include additional updates to the electrical to the pavilions and do needed sewer work. The rehab of Pine River/Conservation Park bathroom is planned for 5 universal designed single occupancy restrooms. This structure also houses a City lift station. The Wastewater Fund in the amount of $ will be used to do repairs on the roof and brick façade. The estimated cost for the bathroom rehab would be an additional $50,000. The rehab of Riverside Park bathroom is planned for 2 universal designed single occupancy restrooms and to paint the roof and exterior will be at a cost of $45,000. At the last Parks and Recreation Committee meeting it was discussed how to increase the point total awarded to an application. Last year we were very close in the point score in obtaining the grant, in this application we hope to score additional points in Renovation 20 more points (document when the buildings were built) Use Environmentally friendly features 20 more points (add $6000 to the overall budget for plantings, and lighting)

7 Provide a marketing plan for the Universal Designed Restrooms 20 more points. Increase the City s match from 35% to 40% - 10 more points. Another option is to increase the City Match to 50% for an additional 20 points. Discussion on this option took place. It was decided to submit the application at the 40% percent match. It was noted that after the initial review of the grant application the City could increase the match to the 50% level. The total cost for the three bathrooms will be $301,000. A certified engineer needs to be used for the project which brings the total to $346,150. Requesting 60% from MDNR in the amount of $207,690. The remaining 40% will need to come from the General fund, grants, etc. in the amount of $138,460. The application is due April 1, Being no further comments, Mayor Mapes called for a motion to close the public hearing. Motion by Commissioner Allman as supported by Commissioner Pitts to close the public hearing at 6:24 p.m. Yes: No: Allman, Harrington, Mapes, Mott, Pitts & Stahl. None. The following preamble and resolution was offered by Commissioner Mott seconded by Vice-Mayor Harrington: Whereas, the City of Alma City Commission supports the submission of a Michigan Department of Natural Resources (DNR) application titled, Alma Park Restrooms Rebuild/Rehab to the Michigan Natural Resources Trust Fund for a development project encompassing the rebuilding of the Wright Park Restroom, rehabbing Pine River/Conservation Park and Riverside Park Restrooms, upon completion of the project, the aforementioned park restrooms will be of universal design, single occupancy, family friendly, vandal proof as possible; and, Whereas, the proposed application is supported by the Community s 5-Year Approved Parks and Recreation Plan; and, Whereas, the City of Alma is hereby making a financial commitment to the project in the amount of $138,460 for engineering and construction, in cash and/or force account; and, Now Therefore, Be It Resolved the City of Alma City Commission hereby authorizes submission of a Michigan Natural Resources Trust Fund Application for $346,150, and further resolves to make available its financial obligation amount of $138,460 (40%) of a total $346,150 project cost, during the fiscal year. Resolution Declared Adopted Motion by Vice-Mayor Harrington as supported by Commissioner Pitts to approve the consent agenda request for payments in the following amounts: $234, to The Bank of New York Mellon N.A. for the principal and interest due on the Michigan Finance Authority SRF and SWQF loans and $108, to US Bank NA for the principal and interest due on the Wastewater Capital Improvement Bonds-2011; General Obligation Bond-2006 and the Special Assessment Bond 2006 from 05/01/18 to 11/30/2018. 8 The following preamble and resolution was offered by Commissioner Pitts seconded by Commissioner Allman: Whereas, the City of Alma City Commission supports the submission of an Office of Economic Development, Transportation Economic Development Fund Category B: Community Service Infrastructure Fund Application for the total reconstruction of Hayes Avenue from Marquette Street to Michigan Avenue including new Water and Sanitary Sewer Mains and the installation of storm sewer upgrades and, Whereas, the City of Alma is hereby making a financial commitment to the project in the amount of $128,000 for the Local Construction Match Requirement and, Now Therefore, Be It Resolved the City of Alma City Commission hereby authorizes submission of an Office of Economic Development, Transportation Economic Development Fund Category B: Community Service Infrastructure Fund Application for $256,000, and further resolves to make available its financial obligation amount of $128,000 (50%) of a total $256,000 project cost, during the fiscal year. Yes: No: Allman, Harrington, Mapes, Mott, Pitts & Stahl. None. Resolution Declared Adopted The following preamble and resolution was offered by Commissioner Allman seconded by Vice-Mayor Harrington: Whereas, the City of Alma City Commission supports the submission of an Office of Economic Development, Transportation Economic Development Fund Category B: Community Service Infrastructure Fund Application for the total reconstruction of Iowa Street from Charles Avenue to Falkirk Street including new Water and Sanitary Sewer Mains and the installation of storm sewer upgrades and, Whereas, the City of Alma is hereby making a financial commitment to the project in the amount of $242,500 for the Local Construction Match Requirement and, Now Therefore, Be It Resolved the City of Alma City Commission hereby authorizes submission of an Office of Economic Development, Transportation Economic Development Fund Category B: Community Service Infrastructure Fund Application for $485,000, and further resolves to make available its financial obligation amount of $242,500 (50%) of a total $485,000 project cost, during the fiscal year. Motion by Vice-Mayor Harrington as supported by Commissioner Pitts to approve the appointments of Samantha Sullins Suhajda to the Alma Parks and Recreation Committee and the appointment of John Hall to Alma s Zoning Board of Appeals as an alternate. Motion by Commissioner Allman as supported by Commissioner Stahl to approve Warrant No and to authorize the City Treasurer to issue checks in payment of all claims. Yes: No: Allman, Harrington, Mapes, Mott, Pitts & Stahl. None. Mayor Mapes asked for Commissioner comments. Commissioner Stahl stated that the month of April is Child Abuse Prevention month. Citizens will notice Pinwheels on properties in support. April Mondays are designated as Blue Mondays, wear blue to bring awareness to Child Abuse. Commissioner Pitts asked that people be aware we need volunteers. Keep Alma Beautiful Committee will be having Spring Cleanup Day soon in downtown Alma. We still have about 30 fire hydrants to paint to complete that volunteer project. City Manager Schooley reminded all that Justin Judge, City Intern has set up a Volunteer program. Use the City s Facebook page to sign up. Mayor Mapes wanted to congratulate Alma College on the movement on the Opera House project. The wrapped signage is very educational. Mayor Mapes opened the floor for Public Comments. There being no Public comment, Mayor Mapes asked for a motion to adjourn. Sterling Morton proposed to the Nebraska Board of Agriculture that a special day be set aside for the planting of trees, and Whereas, this holiday, called Arbor Day, was first observed with the planting of more than a million trees in Nebraska, and Whereas, Arbor Day is now observed throughout the nation and the world, and Whereas, trees can reduce the erosion of our precious topsoil by wind and water, cut heating and cooling costs, moderate the temperature, clean the air, produce oxygen and provide habitat for wildlife, and Whereas, trees are a renewable resource giving us paper, wood for our homes, fuel for our fires and countless other wood products, and Whereas, trees in our city increase property values, enhance the economic vitality of business areas, and beautify our community, and Whereas, trees are a source of joy and spiritual renewal, and Whereas, the City of Alma has been recognized as Tree City USA by The National Arbor Day Foundation and desires to continue its tree-planting ways, and Whereas, the City of Alma will be planting trees within the City of Alma. 15 G-2 CITY OF ALMA OUTDOOR CAFÉ PERMIT AND INDEMNIFICATION AGREEMENT The City of Alma hereby permits, of Alma, Michigan, the authority to utilize a portion of the public sidewalk adjacent to the front of their business establishment on State Street for an outdoor café area from to, subject to the following terms and conditions: The sidewalk café operation will leave a clear and unencumbered area of not less than six feet in width from the building line on the sidewalk for the safe and efficient passage of pedestrian traffic. Tables, chairs, food carts, trash receptacles and/or grills may be interchangeable pursuant to the proposed site plan. The eating areas shall be provided with trash receptacles of an adequate number to service the sidewalk grill. The property owner/operator of the establishment shall keep the area clean and free of all paper trash, refuse and debris. Notwithstanding the provisions in Chapter 32, Article VI (Signs) of the Code of Ordinances for the City of Alma, no outdoor advertising will be permitted on any structures, tables or umbrellatype shades that may be utilized in conjunction with the outdoor café. The outdoor cooking and the sale of food is subject to any applicable Michigan Department of Public Health and fire code regulations. The applicant hereby indemnifies the City and its elected and appointed officials, employees and agents and agrees to hold them harmless from, indemnify them for and defend them from any liability for loss, damage, injury or casualty to persons or property including all costs of defense arising out of any act or omission of, or condition created by, the applicant. The applicant shall furnish the City a certificate indicating that the applicant has had issued an Occurrence Insurance policy of policies against damages in the minimum amount of Five Hundred Thousand Dollars ($500,000) per occurrence for bodily injury (including death). Such certificate must show the City as a certificate holder and as an additional insured and shall provide that the coverage may not be terminated without 30 days prior written notice to the City. Such insurance must provide coverage for the City and its officers, employees and agents for any occurrence during the term of the permit. Upon request, the applicant shall also provide the City with a copy of the insurance policy(ies). A permit fee in the amount of $25.00 shall be paid at the time the permit is issued. The sale or consumption of alcoholic beverages, beer, wine and spirits shall only be permitted in the sidewalk café area with a license from the State of Michigan - Liquor Control Commission under this City of Alma Sidewalk Café permit. 16 G-2 Materials used in conjunction with the outdoor café, including tables, chairs, may remain on the sidewalk in the agreed upon location at the owner s risk and liability. All food carts, trash receptacles, etc. must be removed from the sidewalk when business is not in operation. The City of Alma reserves the right to revoke this permit or adopt a resolution and/or ordinance with additional regulations modifying governing hours of operation, lighting, noise or other aspects of sidewalk café operations throughout the duration of this permit. 1. 17 ORDINANCE #809 ORDINANCE TO AMEND THE ZONING MAP OF THE CITY OF ALMA AS IT APPEARS IN SECTION OF THE ORDINANCES OF THE CITY OF ALMA The City of Alma Ordains: 1. Section 1. The Zoning Map of the City of Alma as it appears as Section of the Ordinances of the City of Alma is hereby amended in the following respects: The premises hereinafter described, currently zoned as B-1, Central Business District, be and hereby is conditionally rezoned to BMR, Business Multi-Family Zoning District, subject to the conditions set forth in the Conditional Rezoning Agreement entered into relative to the subject premises on this date. Telecommunication Facilities or Facilities do not include antennas, supporting structures for antennas, equipment shelters or houses, and any ancillary equipment and miscellaneous hardware used to provide federally licensed commercial mobile service as defined in Section 332(d) of Part I of Title III of the Communications Act of 1934, Chapter 652, 48 Stat. I 064, 4 7 U.S.C. 332 and further defined as commercial mobile radio service in 4 7 CFR 20.3, and service provided by any wireless, two-way communications device. 1.9 Term shall have the meaning set forth in Part

42 I-3 2 Grant 2.1 Municipality hereby issues a permit under the METRO Act to Permittee for access to and ongoing use of the Public Right-of-Way identified on Exhibit A to construct, install and maintain Telecommunication Facilities on the terms set forth herein Exhibit A may be modified by Manager upon written request by Permittee Any decision of Manager on a request by Permittee for a modification may be appealed by Permittee to Municipality's legislative body. 2.2 Overlashing. Permittee shall not allow the wires or any other facilities of a third party to be overlashed to the Telecommunication Facilities without Municipality's prior written consent. Municipality's right to withhold written consent is subject to the authority of the Michigan Public Service Commission under Section 361 of the Michigan Telecommunications Act, MCL Nonexclusive. The rights granted by this Permit are nonexclusive. Municipality reserves the right to approve, at any time, additional permits for access to and ongoing usage of the Public Right-of-Way by telecommunications providers and to enter into agreements for use of the Public Right-of-Way with and grant franchises for use of the Public Right-of-Way to telecommunications providers, cable companies, utilities and other providers. 3 Contacts, Maps and Plans 3.1 Permittee Contacts. Within ninety (90) days after the substantial completion of new Facilities in a Municipality, a provider shall submit route maps showing the location of the Telecommunication Facilities to both the Michigan Public Service Commission and to the Municipality, as required under Section 6(7) of the METRO Act, MCLA (7). 3.3 As-Built Records. Permittee, without expense to Municipality, shall, upon fortyeight ( 48) hours notice, give Municipality access to all "as-built" maps, records, plans and specifications showing the Telecommunication Facilities or portions thereof in the Public Right-of-Way. Upon request by Municipality, Permittee shall inform Municipality as soon as reasonably possible of any changes from previously supplied maps, records, or plans and shall mark up maps provided by Municipality so as to show the location of the Telecommunication Facilities. 4 Use of Public Right-of-Way 4.1 No Burden on Public Right-of-Way. Permittee, its contractors, subcontractors, and the Telecommunication Facilities shall not unduly burden or interfere with the present or future use of any of the Public Right-of-Way. Permittee's aerial cables and wires shall be suspended so as to not endanger or injure persons or property in or about the Public Right-of-Way. If Municipality reasonably determines that any portion of the Telecommunication Facilities constitutes an undue burden or interference, due to changed circumstances, Permittee, at its sole expense, shall modify the Telecommunication Facilities or take such other actions as Municipality may determine is in the public interest to remove or alleviate the burden, and Permittee shall do so within a reasonable time period. Municipality will attempt to require all occupants of a pole or conduit whose facilities are a burden to remove or alleviate the burden concurrently. 4.2 No Priority. This Permit does not establish any priority of use of the Public Right-of-Way by Permittee over any present or future permittees or parties having -3-

44 I-3 agreements with Municipality or franchises for such use. In the event of any dispute as to the priority of use of the Public Right-of-Way, the first priority shall be to the public generally, the second priority to Municipality, the third priority to the State of Michigan and its political subdivisions in the performance of their various functions, and thereafter as between other permit, agreement or franchise holders, as determined by Municipality in the exercise of its powers, including the police power and other powers reserved to and conferred on it by the State of Michigan Restoration of Property. Permittee, its contractors and subcontractors shall immediately (subject to seasonal work restrictions) restore, at Permittee's sole expense, in a manner approved by Municipality, any portion of the Public Rightof-Way that is in any way disturbed, damaged, or injured by the construction, installation, operation, maintenance or removal of the Telecommunication Facilities to a reasonably equivalent (or, at Permittee's option, better) condition as that which existed prior to the disturbance. In the event that Permittee, its contractors or subcontractors fail to make such repair within a reasonable time, Municipality may make the repair and Permittee shall pay the costs Municipality incurred for such repair. Marking. Permittee shall mark the Telecommunication Facilities as follows: Aerial portions of the Telecommunication Facilities shall be marked with a marker on Permittee's lines on alternate poles which shall state Permittee's name and provide a toll-free number to call for assistance. Direct buried underground portions of the Telecommunication Facilities shall have (1) a conducting wire placed in the ground at least several inches above Permittee's cable (if such cable is nonconductive ); (2) at least several inches above that, a continuous colored tape with a statement to the effect that there is buried cable beneath; and (3) stakes or other appropriate above ground markers with Permittee's name and a toll-free number indicating that there is buried telephone cable below. Bored underground portions of the Telecommunication Facilities shall have a conducting wire at the same depth as the cable and shall not be required to provide the continuous colored tape. Portions of the Telecommunication Facilities located in conduit, including conduit of others used by Permittee, shall be marked at its entrance into and exit from each manhole and handhole with Permittee's name and a toll-free telephone number. Tree Trimming. Permittee may trim trees upon and overhanging the Public Right-of-Way so as to prevent the branches of such trees from coming into contact with the Telecommunication Facilities, consistent with any standards adopted by Municipality. Permittee shall dispose of all trimmed materials. Permittee shall minimize the trimming of trees to that essential to maintain the integrity of the Telecommunication Facilities. Except in emergencies, all trimming of trees in the Public Right-of-Way shall have the advance approval of Manager. -4-

45 I Installation and Maintenance. The construction and installation of the Telecommunication Facilities shall be performed pursuant to plans approved by Municipality. The open cut of any Public Right-of-Way shall be coordinated with the Manager or his designee. Permittee shall install and maintain the Telecommunication Facilities in a reasonably safe condition. If the existing poles in the Public Right-of-Way are overburdened or unavailable for Permittee's use, or the facilities of all users of the poles are required to go underground then Permittee shall, at its expense, place such portion of its Telecommunication Facilities underground, unless Municipality approves an alternate location. Permittee may perform maintenance on the Telecommunication Facilities without prior approval of Municipality, provided that Permittee shall obtain any and all permits required by Municipality in the event that any maintenance will disturb or block vehicular traffic or are otherwise required by Municipality. 4.7 Pavement Cut Coordination. Permittee shall coordinate its construction and all other work in the Public Right-of-Way with Municipality's program for street construction and rebuilding ( collectively "Street Construction") and its program for street repaving and resurfacing ( except seal coating and patching) (collectively, "Street Resurfacing") The goals of such coordination shall be to encourage Permittee to conduct all work in the Public Right-of-Way in conjunction with or immediately prior to any Street Construction or Street Resurfacing planned by Municipality. 4.8 Compliance with Laws. Permittee shall comply with all laws, statutes, ordinances, rules and regulations regarding the construction, installation, and maintenance of its Telecommunication Facilities, whether federal, state or local, now in force or which hereafter may be promulgated. Before any installation is commenced, Permittee shall secure all necessary permits, licenses and approvals from Municipality or other governmental entity as may be required by law, including, without limitation, all utility line permits and highway permits. Permittee shall comply in all respects with applicable codes and industry standards, including but not limited to the National Electrical Safety Code (latest edition adopted by Michigan Public Service Commission) and the National Electric Code (latest edition). Permittee shall comply with all zoning and land use ordinances and historic preservation ordinances as may exist or may hereafter be amended. 4.9 Street Vacation. If Municipality vacates or consents to the vacation of Public Right-of-Way within its jurisdiction, and such vacation necessitates the removal and relocation of Permittee's Facilities in the vacated Public Right-of-Way, Permittee shall, as a condition of this Permit, consent to the vacation and remove its Facilities at its sole cost and expense when ordered to do so by Municipality or -5-

46 I-3 a court of competent jurisdiction. Permittee shall relocate its Facilities to such alternate route as Municipality, applying reasonable engineering standards, shall specify Relocation. If Municipality requests Permittee to relocate, protect, support, disconnect, or remove its Facilities because of street or utility work, or other public projects, Permittee shall relocate, protect, support, disconnect, or remove its Facilities, at its sole cost and expense, including where necessary to such alternate route as Municipality, applying reasonable engineering standards, shall specify. The work shall be completed within a reasonable time period Public Emergency. Municipality shall have the right to sever, disrupt, dig-up or otherwise destroy Facilities of Permittee if such action is necessary because of a public emergency. If reasonable to do so under the circumstances, Municipality will attempt to provide notice to Permittee. Public emergency shall be any condition which poses an immediate threat to life, health, or property caused by any natural or man-made disaster, including, but not limited to, storms, floods, fire, accidents, explosions, water main breaks, hazardous material spills, etc. Permittee shall be responsible for repair at its sole cost and expense of any of its Facilities damaged pursuant to any such action taken by Municipality Miss Dig. If eligible to join, Permittee shall subscribe to and be a member of "MISS DIG," the association of utilities formed pursuant to Act 53 of the Public Acts of 1974, as amended, MCL et seq., and shall conduct its business in conformance with the statutory provisions and regulations promulgated thereunder Underground Relocation. If Permittee has its Facilities on poles of Consumers Energy, Detroit Edison or another electric or telecommunications provider and Consumers Energy, Detroit Edison or such other electric or telecommunications provider relocates its system underground, then Permittee shall relocate its Facilities underground in the same location at Permittee's sole cost and expense Identification. All personnel of Permittee and its contractors or subcontractors who have as part of their normal duties contact with the general public shall wear on their clothing a clearly visible identification card bearing Permittee's name, their name and photograph. Permittee shall account for all identification cards at all times. Every service vehicle of Permittee and its contractors or subcontractors shall be clearly identified as such to the public, such as by a magnetic sign with Permittee's name and telephone number. 5 Indemnification 5.1 indemnity. Permittee shall defend, indemnify, protect, and hold harmless Municipality, its officers, agents, employees, elected and appointed officials, -6-

47 I-3 departments, boards, and commissions from any and all claims, losses, liabilities, causes of action, demands, judgments, decrees, proceedings, and expenses of any nature ( collectively "claim" for this Part 5) (including, without limitation, attorneys' fees) arising out of or resulting from the acts or omissions of Permittee, its officers, agents, employees, contractors, successors, or assigns, but only to the extent such acts or omissions are related to the Permittee's use of or installation of facilities in the Public Right-of-Way and only to the extent of the fault or responsibility of Permittee, its officers, agents, employees, contractors, successors and assigns. 5.2 Notice, Cooperation. Municipality will notify Permittee promptly in writing of any such claim and the method and means proposed by Municipality for defending or satisfying such claim. Municipality will cooperate with Permittee in every reasonable way to facilitate the defense of any such claim. Municipality will consult with Permittee respecting the defense and satisfaction of such claim, including the selection and direction of legal counsel. 5.3 Settlement. Municipality will not settle any claim subject to indemnification under this Part 5 without the advance written consent of Permittee, which consent shall not be unreasonably withheld. Permittee shall have the right to defend or settle, at its own expense, any claim against Municipality for which Permittee is responsible hereunder. 6 Insurance 6.1 Coverage Required. Prior to beginning any construction in or installation of the Telecommunication Facilities in the Public Right-of-Way, Permittee shall obtain insurance as set forth below and file certificates evidencing same with Municipality. Such insurance shall be maintained in full force and effect until the end of the Term. In the alternative, Permittee may satisfy this requirement through a program of self-insurance, acceptable to Municipality, by providing reasonable evidence of its financial resources to Municipality. Municipality's acceptance of such self-insurance shall not be unreasonably withheld Commercial general liability insurance, including Completed Operations Liability, Independent Contractors Liability, Contractual Liability coverage, railroad protective coverage and coverage for property damage from perils of explosion, collapse or damage to underground utilities, commonly known as XCU coverage, in an amount not less than Five Million Dollars ($5,000,000) Liability insurance for sudden and accidental environmental contamination with minimum limits of Five Hundred Thousand Dollars ($500,000) and providing coverage for claims discovered within three (3) years after the term of the policy. -7-

48 I Automobile liability insurance in an amount not less than One Million Dollars ($1,000,000) Workers' compensation and employer's liability insurance with statutory limits, and any applicable Federal insurance of a similar nature The coverage amounts set forth above may be met by a combination of underlying (primary) and umbrella policies so long as in combination the limits equal or exceed those stated. If more than one insurance policy is purchased to provide the coverage amounts set forth above, then all policies providing coverage limits excess to the primary policy shall provide drop down coverage to the first dollar of coverage and other contractual obligations of the primary policy, should the primary policy carrier not be able to perform any of its contractual obligations or not be collectible for any of its coverages for any reason during the Term, or (when longer) for as long as coverage could have been available pursuant to the terms and conditions of the primary policy. 6.2 Additional Insw-ed. Municipality shall be named as an additional insured on all policies (other than worker's compensation and employer's liability). All insurance policies shall provide that they shall not be canceled, modified or not renewed unless the insurance carrier provides thirty (30) days prior written notice to Municipality. Permittee shall annually provide Municipality with a certificate of insurance evidencing such coverage. All insurance policies ( other than environmental contamination, workers' compensation and employer's liability insurance) shall be written on an occurrence basis and not on a claims made basis. 6.3 Qualified Insurers. All insurance shall be issued by insurance carriers licensed to do business by the State of Michigan or by surplus line carriers on the Michigan Insurance Commission approved list of companies qualified to do business in Michigan. All insurance and surplus line carriers shall be rated A+ or better by A.M. Best Company. 6.4 Deductibles. If the insurance policies required by this Part 6 are written with retainages or deductibles in excess of $50,000, they shall be approved by Manager in advance in writing. Permittee shall indemnify and save harmless Municipality from and against the payment of any deductible and from the payment of any premium on any insurance policy required to be furnished hereunder. 6.5 Contractors. Permittee's contractors and subcontractors working in the Public Right-of-Way shall carry in full force and effect commercial general liability, environmental contamination liability, automobile liability and workers' compensation and employer liability insurance which complies with all terms of this Part 6. In the alternative, Permittee, at its expense, may provide such -8-

49 I-3 7 Term coverages for any or all its contractors or subcontractors (such as by adding them to Permittee's policies). 6.6 Insurance Primary. Permittee's insurance coverage shall be primary insurance with respect to Municipality, its officers, agents, employees, elected and appointed officials, departments, boards, and commissions ( collectively "them"). Any insurance or self-insurance maintained by any of them shall be in excess of Permittee's insurance and shall not contribute to it (where "insurance or selfinsurance maintained by any of them" includes any contract or agreement providing any type of indemnification or defense obligation provided to, or for the benefit of them, from any source, and includes any self-insurance program or policy, or self-insured retention or deductible by, for or on behalf of them). 7.1 Term. The term ("Term") of this Permit shall be until the earlier of: [five years or less] from the Date oflssuance; or When the Telecommunication Facilities has not been used to provide telecommunications services for a period of one hundred and eighty (180) days by Permittee or a successor or an assignee of Permittee; or When Permittee, at its election and with or without cause, delivers written notice of termination to Municipality at least one-hundred and eighty (180) days prior to the date of such termination; or Upon either Permittee or Municipality giving written notice to the other of the occurrence or existence of a default by the other party under Sections 4.8, 6, 8 or 9 of this Permit and such defaulting party failing to cure, or commence good faith efforts to cure, such default within sixty (60) days (or such shorter period of time provided elsewhere in this Permit) after delivery of such notice; or Unless Manager grants a written extension, one year from the Date of Issuance if prior thereto Permittee has not started the construction and installation of the Telecommunication Facilities within the Public Rightof-Way and two years from the Date oflssuance if by such time construction and installation of the Telecommunication Facilities is not complete. 8 Performance Bond or Letter of Credit 8.1 Municipal Requirement. Municipality may require Permittee to post a bond ( or letter of credit) as provided in Section 15(3) of the METRO Act, as amended -9-

50 I-3 [MCL (3)]. 9 Fees 9.1 Establishment; Reservation. The METRO Act shall control the establishment of right-of-way fees. The parties reserve their respective rights regarding the nature and amount of any fees which may be charged by Municipality in connection with the Public Right-of-Way. 10 Removal 10.1 Removal; Underground. As soon as practicable after the Term, Permittee or its successors and assigns shall remove any underground cable or other portions of the Telecommunication Facilities from the Public Right-of-Way which has been installed in such a manner that it can be removed without trenching or other opening of the Public Right-of-Way. Permittee shall not remove any underground cable or other portions of the Telecommunication Facilities which requires trenching or other opening of the Public Right-of-Way except with the prior written approval of Manager. All removals shall be at Permittee's sole cost and expense For purposes of this Part 10, "cable" means any wire, coaxial cable, fiber optic cable, feed wire or pull wire Removal; Above Ground. As soon as practicable after the Term, Permittee, or its successor or assigns at its sole cost and expense, shall, unless waived in writing by Manager, remove from the Public Right-of-Way all above ground elements of its Telecommunication Facilities, including but not limited to poles, pedestal mounted terminal boxes, and lines attached to or suspended from poles Schedule. The schedule and timing of removal shall be subject to approval by Manager. Unless extended by Manager, removal shall be completed not later than twelve (12) months following the Term. Portions of the Telecommunication Facilities in the Public Right-of-Way which are not removed within such time period shall be deemed abandoned and, at the option of Municipality exercised by written notice to Permittee as set forth in Part 12, title to the portions described in such notice shall vest in Municipality. 11 Assignment. Permittee may assign or transfer its rights under this Permit, or the persons or entities controlling Permittee may change, in whole or in part, voluntarily, involuntarily, or by operation of law, including by merger or consolidation, change in the ownership or control of Permittee's business, or by other means, subject to the following: 11.1 No such transfer or assignment or change in the control of Permittee shall be -10-

51 I-3 effective under this Permit, without Municipality's prior approval (not to be unreasonably withheld), during the time period from the Date of Issuance until the completion of the construction of the Telecommunication Facilities in those portions of the Public Right-of-Way identified on Exhibit A After the completion of such construction, Permittee must provide notice to Municipality of such transfer, assignment or change in control no later than thirty (30) days after such occurrence; provided, however, l Any transferee or assignee of this Permit shall be qualified to perform under its terms and conditions and comply with applicable law; shall be subject to the obligations of this Permit, including responsibility for any defaults which occurred prior to the transfer or assignment; shall supply Municipality with the information required under Section 3.1; and shall comply with any updated insurance and performance bond requirements under Sections 6 and 8 respectively, which Municipality reasonably deems necessary, and In the event of a change in control, it shall not be to an entity lacking the qualifications to assure Permittee's ability to perform under the terms and conditions of this Permit and comply with applicable law; and Permittee shall comply with any updated insurance and performance bond requirements under Sections 6 and 8 respectively, which Municipality reasonably deems necessary Permittee may grant a security interest in this Permit, its rights thereunder or the Telecommunication Facilities at any time without notifying Municipality. 12 Notices 12.1 Notices. Upon investigating, it was learned that a felony assault had occurred, and the suspect had fled on foot. Officers were later able to make contact with the suspect and place him under arrest for the felony domestic assault : Two businesses were broken into. After investigating, one subject was arrested : An officer responded to a call of a disabled vehicle that had been left in the roadway. Rental inspection due in the first quarter are now 90% complete. Notices for second quarter inspections have gone out this week. The overall quality of our rental property continues to improve and is stabilizing. Work continues the development of a comprehensive commercial fire inspection program. In the meantime, we continue to perform inspections on all new and freshly remodeled commercial property. The city received 19 applications for Medical Marihuana Provisioning Centers for the 3 licenses we have permitted under zoning ordinance by the March 29 th application deadline. Applications are currently under review by city staff and a lottery to determine which applicants shall receive a provisional license is likely to occur within the next 30 days.
