8 GENERAL

9 CHAPTER - I 1. General: 1.1 This Instrument of Delegation of Administrative and Financial powers shall come into force from the date it is approved by the Authority. 1.2 All previous orders or such Instruments of Delegation of Administrative and Financial powers, which have been in force, shall stand superseded from the date this instrument comes into force. 1.3 All powers delegated hereunder are subject to orders issued by the Government of India under the Act, 1994 and the (Amendment Act), 2003 as amended from time to time, and shall be exercised by the officers within their administrative jurisdiction only and in accordance with the rules, regulations, instructions and procedures, including those in respect of financial concurrence as may be laid down from time to time. In the absence of any such guidelines, standard practices/conventions shall be followed. 1.4 All sanctions/approvals having financial bearing by the authorities exercising the powers delegated hereunder except chapter-3 shall be with the prior concurrence of appropriate authority as specified in the Directorate of Finance. Where the cases are to be considered by the concerned Board / Committee [such as WAB, WAC, CAB, Advisory Committee (Procurement) etc ] at the Corporate / Regional / Station level, the same will be put up to the Committee with prior financial concurrence. 1.5 The officers exercising the delegation of powers have to ensure that these are financially scrutinised & concurred by finance (except wherever specifically exempted) by the local finance head not below the level of Asst. Manager (F&A) at field stations. Where such officers are not available, such concurrence is required to be obtained from the RAU concerned. 1.6 In case of difference of opinion between the Head of the Finance Wing and the Officer-in-Charge at the Region//Unit concerned, the matter shall be placed before the Officer-in-charge, who will record his decision. 10 overruled the finance wing at Region//Unit shall send a monthly report of such cases by the 7th or next working day of the succeeding month to the Finance Directorate at Headquarters through Regional Headquarters with their comments / observations. 1.7 In case of difference of opinion between Finance and the User Department at Headquarters, the matter will be referred to the concerned Member who will take a decision on the issue in consultation with Member (Finance). In the event of continued difference, the matter shall be referred to the Chairperson for a decision. 1.8 The Chairperson shall have the administrative jurisdiction over all officers of the authority subordinate to him as well as the departments, airports, projects and establishments of the authority in India and abroad. 1.9 In emergent circumstances, in respect of any matter on which the approval of the Board is normally required, the Chairperson shall have the powers to act in such a manner as he may deem fit, in the interest of the Authority, within overall limits of the Act., provided that any action taken in exercise of this power shall be reported to the Board for ratification wherever necessary In emergent circumstances, in respect of any matter requiring Hqrs. approval, the Director (ED level) and RED s in the Region shall have the powers to act in such a manner as he may deem fit, in the interest of the Authority within the overall limits under the Act, provided that any action taken shall be reported to the Chairman/Whole time Member concerned for ratification. Similarly in case of field stations, in emergent cases where the approval of RED is required, the In charge shall act in such a manner as he may deem fit in the interest of the Authority and within the overall limits under the Act and shall report the same to the appropriate authority for ratification On grounds of exigencies of works under other Administrative considerations, the Chairperson may give a written order modify, alter or withdraw the powers delegated herein to any officer or class of officers subject to such reduction or withdrawal of delegation being approved by the Board in due course The whole time Members may exercise any or all the powers given to the Departmental Heads and Officers below them and the Directors/Project In-charges. 1. 11 1.13 Any Officer who is senior in rank may exercise any or all the powers delegated to the officers reporting to him In the temporary absence of Chairperson, the whole time Member, duly authorised by him, will exercise the powers of the Chairperson including the financial powers being exercised by the Chairperson. All such cases shall be informed to Chairperson on his return The Chief Vigilance Officer is entitled to exercise the powers of Wholetime Members within his/her administrative jurisdiction and in accordance with the rules, regulations, instructions and procedures including those in respect of financial concurrence as may be laid down from time to time The powers have been delegated to In-charge of operating stations by keeping in mind the single point administration. Where, in any station, the single point administration is yet to be introduced, the powers given to the stations-in-charge will be exercised by In-charge of aerodromes as well as the In-charge of communications in the intervening period in their respective administrative jurisdiction If in any Department, any of the officers to whom powers are delegated hereunder is absent for any period, then the officers mentioned in para 1.13 above as may be appropriate for the purpose, shall decide as to who should exercise the powers delegated to such officers during their period of absence Chairman can sub-delegate any or all the powers conferred upon him to the whole time Members, Regional Executive Directors, Directors at all levels, Executive Directors and HODs at the Headquarters and other officers under him subject to such conditions as he may deem fit, consistent with the need for prompt, effective and efficient discharge of the responsibilities entrusted to such officers. The general delegation of powers by the Chairman to the whole time Members and other officers shall be submitted to Board for information. Also, Directors (ED level) and REDs at the Regional Hqrs. can sub-delegate any or all the powers conferred upon him to the appropriate level of officers working under him subject to such conditions as he deem fit for consistent effective and efficient discharge of responsibility in respect of such officers. Such sub-delegation shall be reported to the Chairman In case of difference between Delegations of Powers & Manuals, the provisions contained in the Delegation of Powers will prevail. Further, in respect of matter where specific provisions have been incorporated in the 1. General

12 concerned chapters, these shall be applicable and shall prevail over the corresponding clause in the pre-face (General) Principal, CATC may exercise the same powers as delegated to REDs except in cases where specific powers are delegated to him All proposals involving financial implications have to be concurred by the respective finance officers in Hqrs./Regions/SAU/Stations/Units Wherever a Department is not headed by an Executive Director at Corporate Headquarters, the powers of EDs will be exercised by the GMs under whom the relevant department is placed Powers for financial concurrence: a) Corporate Headquarters Authority Limits of Powers Member (Finance) : - in respect of Proposals to be approved by Chairman or the Board. - in respect of Issues involving policy Decisions. ED(F&A) : in respect of Proposals to be approved By Members. GM (F&A) : in respect of proposals to be approved by HODs. Jt.GM(F)/GM(F) / DGM(F)/AGM : in respect of proposals to be approved by officers of the level of GMs. b) Regional Headquarters / Self Accounting Units (SAU)/Field Stations : Authority Finance Officer in charge at station/region Limits of Power Full powers in respect of proposals to be approved by competent authorities as designated in DOP. 1. 13 *: The powers for bill passing, cheque signing etc. within the Finance Directorate at Hqrs. / Regions / SAU will also be decided by Member (Finance). ii) At s/projects, GM (Fin)/Jt. GM (Fin.)/ DGM(F & A) can subdelegate the powers to Sr. Manager (F&A) in respect of proposals to be approved by DGM(Engg.) or equivalent as per requirements Payment of Bank Charges / Interest Charges: Powers are to be exercised by respective in-charges at the Hqrs. / Regions / Fields / Units Budgetary control should be exercised by respective in-charges in coordination with the respective finance head by monitoring all expenditure on each head/schemes The constitution of various Boards and the Committees as envisaged in the Delegation of Powers is given below :- (i) (ii) (iii) (iv) (v) (vi) (vii) Personnel Advisory Board will consist of Chairperson, Member (P&A), Member (Finance), Member of concerned Department and HOD concerned who will be the Member Secretary. Law Advisory Board will consist of Chairperson, Member (P&A), Member (Finance), Member of concerned department and Head of the Law Deptt at Headquarters who will be the Member Secretary. Works Advisory Board will consist of Chairperson, Member (Plg), Member (Ops), Member (Finance) and ED of the concerned department who will be the Member(Secretary). Works Advisory Committee will consist of Member, ED, ED(F&A) and concerned GM, who will be the Member Secretary. (viii) Regional Advisory Committee (Works) will consist of RED/ Principal, CATC / Director (Metro-s), HOD of concerned Department whose work is to be taken up, HOD of Finance Wing and. HOD of Engg. Wing who will be the Member Secretary. (ix) Advisory Board (procurement) will consist of Chairperson, Member (P), Member (Ops), Member (Fin) and HOD of the 1. General

14 Directorate / Department concerned who will be the Member Secretary. (x) Advisory Committee (Procurement) will consist of concerned Member, concerned ED, ED(F&A) with concerned GM as Member Secretary. (xi) Regional Advisory Committee (Procurement) will consist of RED / Principal, CATC / Director (ED level), HOD of Finance wing, and HOD of Directorate / Department concerned who will be the Member Secretary. (xii) Regional Commercial Advisory Committee will consist of RED/Principal, CATC/ Director (ED level), HOD of Finance wing and HOD of Commercial Directorate/Department, who will be the Member Secretary. (xiii) Works Advisory Sub Committee at CHQ ED, GM (Fin), GM of concerned Directorate (Aerodrome/Communication) and GM concerned, who will be the Member (Secretary). (xiv) CNS Purchase Committee at CHQ ED (CNS P), GM(F) and GM(CNS-P) who shall be the Member Secretary. (xv) Sub Advisory Committee (Procurement) at CHQ ED, (xvi) GM (Fin) and concerned GM shall be Member Secretary. Local commercial advisory committee will consist of the Director/ in charge, HOD of finance and HOD of commercial who will be the Member Secretary. (xvii) Anything not covered here in above, the Chairman will have the power to constitute appropriate level board/committee/subcommittee to deal with that specific work on the similar lines Wherever the regional heads have been delegated the power, the same shall also apply to the Directors (ED level) Project Director will exercise same powers as delegated to Executive Director in technical matters and as delegated to Regional Executive Director for all other matters GM Project In-charge will exercise same powers as delegate to GM for technical matter and as delegated to Director (GM level) for all other matters Wherever there is a directive from a Court of Law, the matter is to be immediately taken up with Law Department to decide about course of action. It needs to be ensured that there is no contempt of court Chairman with consent from concerned Member and Member (Fin) is empowered to modify/add any power delegated here as under to officers below Member level 1. 16 2. DEFINITIONS AND EXPLANATIONS 2.1. The terms of a contract must be precise, definite, leaving no room for ambiguity, subject to adequate prior scrutiny of terms, general or special, if any, standard forms of contracts as vetted by Legal Department should be adopted, wherever possible. The alternatives used in the standard forms, which are not applicable, should be invariably scored out under signatures No relaxation of specifications agreed upon in a contract or relaxation of the terms of an agreement entered into by the Authority should be made without proper examination of the financial effect involved due to such relaxation and without approval of competent authority While selecting the agency for award of contract, the financial status of the individuals and firms must be taken into consideration in addition to all other relevant factors. 2.4 No work of any kind should be commenced without a proper award letter containing price and other terms and conditions Provision must be made in contracts for safeguarding property of the Authority entrusted to a contractor and for recovery of hire charges, if any, thereof. 2.6 When a contract is likely to endure for a long period or where the contract provide for a clear schedule for the fulfillment of the various stages of the contract, it should include a provision for unconditional power of revocation or cancellation at the discretion of the Authority at any time on the expiry of reasonable notice to the effect. The period of notice should not normally be longer than 6 (six) months All contracts should have a provision for recovery of liquidated damages for defaults on the part of the contractor, unless any special instructions are issued by the competent authority Cost-Plus-Contracts should be avoided except where those are inevitable. A cost-pluscontract means a contract where the price payable for supplies or services under the contract is determined on the basis of the actual cost of production of the supplies or services concerned plus profit either at a fixed rate per unit or at a fixed percentage on the actual cost of production The terms of contract for the purchase of perishable stores should invariably include a warranty clause. It should be ensured that in all contracts where a warranty clause is included, the position regarding delivery of goods in replacement of rejected ones is made clear beyond doubt The question, whether any sales tax, Value Added Tax (VAT), purchase tax, octroi and terminal taxes and other, Statutory taxes and duties are to be paid and, if so, by which party should be settled and cleared up and suitably incorporated in the contract, for goods equipment including transfer of movable property etc. 2. 17 2.11. All contracts for purchase involving import of material from abroad should as a rule provide for purchases on F.O.B. basis. All such contracts involving foreign exchange outgo for procurement of goods (including spares, books, computer software etc.) and /or payment of services will be sent to the Corporate Headquarters for approval of whole time Members (for contracts falling in his power or officer below him) for foreign exchange content after duly approving the contract value in Indian Rupees, considering prevailing Foreign Exchange rate by the officers empowered to the extent in DOP. In respect of FIU proposals involving foreign exchange, ED (FIU) is delegated powers to approve F.E. outgo equivalent upto Rs. 5 lakhs. However, Chairman has the full powers to approve the outgo of foreign exchange Before entering into a contract or an agreement, all pros and cons should be considered and validity of contractual documents should be ensured. Effective administrative machinery should also be set up to keep a vigil on the performance of parties concerned The terms of a contract once entered into should not be materially varied without the previous consent of the authority competent to enter/accept the contract so varied. No payments to contractors by way of compensation or otherwise, outside the strict terms of the contract or in excess of the contract rates may be authorised without the previous approval of the competent authority No contract involving an uncertain or indefinite liability or any condition of an unusual character should be entered into without the previous consent of the Chairperson/Whole Time Member. Where escalation in respect of labour overheads, customs duties, freight etc. is provided for in a contract, the basis / formula for the calculation of the same should be clearly indicated Generally contracts should be placed only after open tenders have been invited. However, where open tenders are not invited contract/purchase is effected by limited tenders, the specific reasons for doing so should be recorded and approval in writing from the authority next higher to the officer competent to accept the tender should be obtained The Directorate concerned will issue limited tender enquiries to firms of repute and competence. These enquiries may be made to the parties whose credentials are verified with the help of pre-qualification bids called once in three years by the EDs at CHQ/ REDs/ Directors (ED level). However, in the absence of this process the Whole Time Member concerned shall be empowered to approve the list of parties for limited tender action In the case of purchase of plant and machinery and equipment from foreign countries, whenever practicable and advantageous, contracts should be placed only after global tenders A schedule of quantities with their issue rates of such materials, which are supplied by the Authority and are used in the contracted work, should form an essential part of the contract. It should also contain an escalation clause pertaining to rates of such materials the prices of which are controlled by Government and which contractor arranges himself, 2. 18 so that the Authority may get the benefit of any saving in the quantities of the material actually used in execution If due to exigencies of work or wherever the proposed procurements are of such nature which cannot be converted to uniform schedule of quantities or specifications, such procurements may be resorted to by a purchase committee subject to prescribed limits of acceptance of single tender and due financial concurrence. The committee may consist of not less than three officers, one of them invariably being from the department of finance. A prior written approval of the administrative authority competent to sanction such expenditure should be invariably obtained The contracts which can be made by the Authority broadly fall into the following categories:- a) Job/Work Contracts: These include all type of major/minor operational, maintenance and capital nature job/works including turnkey jobs/works. b) Supply/Stores Contracts: These include all types of procurements, supply of material, machinery etc. c) Service Contracts: These include contracts for securing all services including that of experts, advisors, consultants etc Wherever AAI delegation of powers is silent, AAI Manuals are to be followed The tender opening Officers shall exercise full powers, unless otherwise specified in this para, for refund / adjustment of EMD as per the terms of NIT. The tender opening officers are mentioned below : Tender Opening Officer Sr. Manager (Engg.)./Equivalent Manager (Engg.)./ Equivalent Asstt. Manager (Eng.) /equivalent Value of Work / Procurement / Services. Rs.5 lakh. Rs.2 lakh (i) Tender opening officer shall refund the earnest money given by all the tenderers except the lowest tenderer, within a maximum of seven working days from the date of opening of tenders, subject to the parties giving receipt for refund of EMD. EMD in foreign exchange shall also be refunded with the approval of whole time Member. ii) In the case of tenders involving technical bid and price/commercial bid, EMD of those tenderers whose technical bids were found not suitable and hence rejected by competent authority will be refunded. 19 approval of whole time Member. Refund of the EMD of rest of the bidders shall be done as laid down in para (i) above. (iii) In respect of all tenders, particulars regarding tenders received, tenders received in opened condition, tenders opened and EMD refunded shall be maintained in a register Order Completion Certificate may be issued by each authority upto the level of Sr. Manager to the extent they are delegated powers for technical sanction. However, for all works costing more than the T.S. Limit of Sr. Manager the completion certificate shall be issued by DGMs/JGM. Report of Completion Certificate should be submitted to the next higher authority within 30 days of issuing such certificate Where specialized departmental Executive Directors are not available, the powers should be exercised by administrative Executive Directors under whom the relevant departments are placed on all administrative matters The powers given to GM/Jt. GM/DGM /, Sr. Manager, Manager, Asstt. Manager & Sr. Superintendent in Chapter 6 shall be applicable at Headquarters as well as Regional station level All contracts approved by Member and Chairman, the Contract Agreement will be signed by the concerned ED on behalf of. The contracts approved by ED, will be signed by concerned GM. However, for Engg. Contracts, the signing authority will be Sr. Manager / Engg. In-charge as defined by Works Manual Award of Work without call of Tenders:- Quotation is the process for awarding a work without call of tender which is required to be carried out due to urgency in some special cases where the usual formalities of tender like NIT, Tender Cost, EMD, Contract Agreement, Mobilisation advance, Arbitration etc. are not applicable. The spirit behind the call of quotation to carry out urgent jobs (mainly of maintenance in nature ) to get competitive offer from at least three different agencies for purchase of materials based on departmental bill of quantities giving specifications of items to be purchased or work to be done. There are limitations for the quotation like urgent works of smaller magnitude can only be executed based on work orders and it involves only the conditions written down in the standard form of work order and there is no stamp paper agreement between the two parties The powers delegated to officials without specifying the discipline, shall be exercised in respect of administrative and financial matters, relating to their spheres of responsibilities. 2. Powers relating to Works, Supplies, Services (Capital)- Definitions & Explanations.

20 2.30 Engineers responsible for carrying out Capital/ARMO works in respect of Corporate Headquarters shall exercise the same powers as delegated to field Engineers Subject to technical sanction from the carrying out Capital/ARMO works in respect of provision, rules procedures and limitations as laid down from time to time the authorities mentioned in Chapter 9 may incur expenditure on day to day maintenance and up keep of facilities All revenue/capital works/service/procurements shall be finalized by award of orders/contracts to the most competitive offers on the basis of call of tenders/quotations Repairs and maintenance works fall into two board categories namely, ARMO and Special Repairs. No separate A/A&E/S is necessary for ARMO works for which Action Plan given work wise details be got prepared and approved by RED s / APDs / in-charge before the commencement of the year, even though no separate A/A&E/S (Expenditure Sanction) may be necessary for ARMO works but technical sanction will be required for the same from the competent authority, and an approval in principle is necessary from RED s/ in charge before undertaking the works not listed in the action plan. But in respect of special repairs, A/A&E/S and technical sanction is required. All repairs and maintenance work also requires finance concurrence prior to award of work In respect of powers for technical sanction and approval of Notice Inviting Tender (NIT) etc., the powers included in Chapter 6 and Chapter 8 would also be applicable for similar works/services/procurements covered under Chapter Regional/Corp E&M Workshop in-charge shall exercise same powers as delegated to APD/ controller of equivalent rank. Similarly, DGM/In-charge (FS) of Fire Training Centres at Delhi and Kolkata shall exercise same powers as delegated to APD/ Controller of Jt. GM/DGM rank Notification for R&M works costing upto Rs. 10 lakhs shall be taken up through wide publicity including display on Notice Board and notice to empanelled firms. Press advertisement will not be needed The powers delegated under Chapter 3 are common for scrapping/write-off of capital assets acquired and losses incurred by for all items covered under this DOP The powers delegated to various officers under page of DOP for award of work to the lowest tenderer shall be applicable for acceptance of highest bid Following powers will be exercised by equivalent level officers of the concerned disciplines:- (i) As regards extension of time in respect of revenue works / supplies / services, powers given under Para 6.9 will apply mutatis mutandis to such cases. 2. 21 (ii) The powers given under Para 6.15 regarding advance payment to the contractors against work done but not measured shall apply mutatis mutandis to revenue works also. (iii) The powers given under Para 6.16 (Dispute Resolution Board), Para 6.17 (Appointment of Arbitrators) and Para 6.18 (Acceptance of arbitration awards) shall apply mutatis mutandis to revenue works, supplies & services. (iv) The powers for deviation limits, arbitration, signing of agreements in para 6.7 & 6.14 shall apply mutatis mutandis to revenue works, supplies and services also. (v) The provisions of chapter 2 - Definitions & Explanations - are applicable mutatis mutandis to revenue expenditure proposals also IT and Electronics officers shall exercise powers as delegated for procurement of CNS and other equipments, and repairs & maintenance to officers of equivalent rank in Chapters 7, 8 & Powers relating to Works, Supplies, Services (Capital)- Definitions & Explanations.
