1 SEA VIEW AT GUILFORD CONDOMINIUM ASSOCIATION, INC. Board of Directors Meeting Date: Wednesday January 11, :00 P.M. Officers Present: Ms. G. Cusanelli & Ms. C. Parkinson Owners Present: Judge Acaro, Anne Marie Alden, S. Alling, Bill Ammon, Suzanne Cristan, Donna Colangelo, Dodie Diamond, Arlene Dolan, Susan Glynn, Arlene Ganter, Dee Hamm, Deborah Marko, Cheryl Maturo, Kathy & Ken McKenzie, Christine Miller, Nancy & Jeff Roskin, Harry Sargeant, Diana Stovall, Sarah & Brian Torff, Barry Ward, Guests: Steve Margolis, Crystal Cronin & Mark Modine of Margolis Management & Realty, LLC. Issues Discussed: The meeting was called to order at 6:00 PM. By C. Parkinson Motion made to accept the resignation of Sam Alling, Susan Glynn & Ken McKenzie from the board of directors which motion carried. Motion made to accept & install three replacement members to the Board of Directorswhich motion carried - Nancy Roskin, Brian Torff & Nancy Ward were seated. With Carolyn Parkinson as President, Nancy Ward as Vice President & Giana Cusanelli as Treasurer. The minutes of the December 15, 2011 monthly meeting were read by Gabe Cusanelli. The community was informed that Mr. Graybon has submitted his resignation as property manager and a search is under way to select a new management company. As a courtesy to the community Mr. Margolis of Margolis Management & Realty, LLC was invited to address the audience. o Mr. Margolis introduce himself and his company as well as the services provided by his company. o Mr. Margolis disclosed that his father and a former partner managed Sea View approximately 20 years ago. o Based upon his cursory inspection of the grounds and budget statements Mr. Margolis gave a brief overview of his ideas with regard to capital improvements, finances, collection of common charges as well as his use & deployment of contractors. o Residents were given an opportunity to ask questions of Mr. Margolis as follows: Q: K. McKenkie How long have you managed the Strathmore, Copper Hill & River Colony condominium communities? 1

2 A: Strathmore since approximately 1990, Copper Hill since approximately 1988 & River Colony for approximately 2 years. Q: Bill Ammon- How would you manage differently then the outgoing management company? A: Mr. Margolis indicated that he had not had the time or information to completely answer Mr. Ammon s inquiry but he felt that based upon what he knew of Sea View he would recommend a more aggressive roof replacement program taking into consideration the anticipated life expectancy of each buildings roof. He also advised that he would immediately address the condition of the sidewalks throughout the property. Mr. Ammon and Mr. Margolis discussed various other issues. Residents Forum commenced at 6:30 Property Manager: A number of unit owners in attendance asked questions about the manner in which a new management company would be retained and Ms. Parkinson addressed those questions. Among others, Sarah Torff, Harry Sergeant, Deborah Marko, Giana Cusanelli, Diana Stovall, Susan Glynn, Barry Ward & Gabriel Cusanelli participated in the discussion. Some of the reoccurring themes & issues raised were as follows: o Ultimately it is the board s responsibility to select a management company that in the opinion of the board suits the needs of the community and is a company with which the board believes it can establish an effective working relationship. o The board will receive input from members of the Management Review Committee who will seek out names and assist in the interview process of prospective management companies and give their recommendations to the Board. o In the absence of an approved budget, various repair issues needing immediate attention and the lame duck status of White & Katzman there is a need to streamline the process and retain a new property manager quickly. Susan Glynn (Unit45) Suggested that in the future, with regard to guests speaking at monthly meetings, a notice be placed on the mailboxes informing the community. The board advised that with the unanticipated resignation of White & Katzman so close to the meeting the issue was overlooked. Ms. Glynn s recommendation was noted and taken under advisement. Carolyn Parkinson Advised that in an effort to get an understanding of the scope and gravity of maintenance/repair issues a representative from each building will be polling unit owners & occupants in order to create a list which will be forwarded to Donna Colangelo (Unit 22), compiled and forwarded to the board so that a strategy can be devised. 2

3 o The building representatives are as follows: Building A Judge Acaro (Unit 8) Building B Sarah Torff (Unit 14) Building C Donna Colangelo (Unit 22) Building D Nancy Roskin (Unit 17) Building E Susan Glynn (Unit 45) Building F Doddie Diamond (Unit 33) Building G Nancy Ward (Unit 40) Building H Arlene Dolan (Unit 5) Residents are reminded to submit any repair/ maintenance issues in there unit to their designated building representative paying particular attention to leaks and water ingress. Cheryl Maturo (Unit 43) Cheryl reported that there has been a severe water leak in her unit and as a result she has been unable to occupy the unit. Cheryl expressed frustration with the length of time the insurance and repair process has proceeded. Mr. Margolis advised Cheryl to contact the association s insurance agent and request assistance. The board believes that with the hiring of a new property manager Cheryl will receive further assistance and guidance. Exterior electrical issues were discussed. The lights surrounding Buildings F & H are not shutting off during the day. In addition, three garage spotlight bulbs are in need of replacement. Mr. Graybon is aware of the situation and has advised the board that Mike Calabrese will be dispatched to address these problems. Harry Sargeant (Unit 18) Requested that his name not be listed in the December Minutes as a member of the Sea View Board. Nancy Roskin (Unit 17) Expressed her hope that civility would return to the Sea View Community so that we can move forward for the benefit of all. The community was advised that Comcast has requested that the board execute a 15 year license granting Comcast access to the common areas at Sea View in order to install and wire equipment. Gabe Cusanelli (unit 36) volunteered to contact Comcast to gather information about this request and to look into the unsightly wiring performed by Comcast. He will report his findings to the Board. Sam Alling (Unit 41) Requested that the board look into the possibility of bring U- verse to the community. Gabe Cusanelli will make inquiry. Donna Colangelo (Unit 22) Suggested that when the board communicates with Mr. Graybon copies of all correspondence be forwarded to his superiors. The board took the suggestion under advisement. 3

4 Treasurer s Report commenced at 7:20 and was delivered by Giana Cusanelli By assembling a list of unit repair issues particularly water leaks it is believed that these issues can be addressed in an efficient manner and included as a line item in the budget. Unit owners were reminded that in the absence of an approved budget for 2012 the association is currently operating from the approved budget of The board will also be looking at the bidding process, for work conducted at the community, and has requested the input of a Bid Committee which shall consist of: o John Carroll (Unit 1) o Jeff Rosnick (Unit 17) o Dodie Diamond (Unit 33) o Donna Colangelo (Unit 22) Committee Reports commenced at 7:30 Insurance Committee report presented by Barry Ward A General request was made to the audience that if anyone has information regarding insurance coverage from the date of the Ayles lawsuit to the present kindly provide same to the Insurance Committee. The Committee will make a similar request to White & Katzman and the association s insurance agent. The Committee is attempting to determine whether insurance coverage of any kind is available for the pending Ayles lawsuits. Susan Glynn (Unit 45) Suggested that the Committee speak with Suzanne Cristan. Pet Committee report presented by Carolyn Parkinson Elaine Corning (Unit 7) has agreed to assume the duties of the Pet Committee from Carolyn Parkinson Social Committee report presented by Sarah Torff The Social Committee plans to organize quarterly gatherings for the community. Grounds Committee Nancy Wards Report read by Gabe Cusanelli - Nancy Ward is in the process of soliciting bids from Peter Sorenson and Tom Wilson for stump removal. - Dodie Diamond will be in charge of reviewing the work of plowing contractors and speaking with the contract and disseminating information to the community. - Dee Hamm will be responsible for turning the seasonal turn on and shut off of the exterior faucets and the storage of hoses during the winter months. - The committee plans on walking the Sea View grounds in the spring and invites the community to give their input concerning the grounds. - The Committee requests that it be advised if the removal of the fallen pine tree in December will come from the landscaping budget and is so the cost. Executive Session commenced at 8:00 No new issues discussed. The next monthly meeting is scheduled for 6:00 PM on Wednesday, February 8, 2012, at The Guilford Community Center 4

5 The next board meeting s agenda is as follows: The board will discuss its progress in retaining a new management company. Budget issues may be discussed. Committee Reports (may be presented by some or all of the following committees): The Insurance Committee Building Representative Committee Grounds Committee Pet Committee Social Committee Bid Committee ---The board will discuss the status of various, maintenance, repair and improvement projects. ---The board will discuss the Association s financial status and owner delinquent accounts, if any. ---The board will discuss rules and enforcement issues as appropriate. There being no further business, the meeting adjourned at 8:00 PM. Corrections/Amendments to the 12/15/2011 Minutes The following correction/additions have been brought to the attention of the undersigned: The December minutes incorrectly reported that The minutes of the previous year s annual meeting were approved unanimously. The statement should have read that the Minutes of the November 2011 Board of Directors Meeting was unanimously approved. Susan Glynn (Unit 45) requested that a statement made by Caroline Parkinson on behalf of herself and Giana Cusanelli during the discussion phase of the December 2011 Board of Directors meeting and prior to the installation of officers be added to the record, as follows: Because many unresolved questions remain regarding the handling of the pending Ayles lawsuit which could monetarily affect all unit owners, we oppose the election of Sam Alling, Susan Glynn or Ken Mackenzie to office as they were active board members when the Ayles lawsuit was initiated. Ms. Parkinson & Giana Cusanelli advised that the statement was not intended to be an assertion that these individuals or anyone else engaged in any wrong doing but that in their opinion a potential conflict of interest or uncomfortable situation could arise and hamper the gathering of information.
