9 SECTION I - ITEMS FOR AUTHORITY ACTION RES.#A14/15 - APPOINTMENT OF AUDITORS The Conservation Authorities Act requires each conservation authority to undergo an annual external audit of its accounts and transactions. Glenn Mason Mujeeb Khan THAT Grant Thornton LLP be appointed auditors of Toronto and Region Conservation Authority (TRCA) for the year 2015, in accordance with section 38 of the Conservation Authorities Act. BACKGROUND Section 38 of the Conservation Authorities Act reads as follows: 38. (1) Every authority shall cause its accounts and transactions to be audited annually by a person licensed under the Public Accountancy Act. R.S.O. 1990, c. C.27, s. 38 (1). (2) No person shall be appointed as auditor of an authority who is or during the preceding year was a member of the authority or who has or during the preceding year had any direct or indirect interest in any contract or any employment with the authority other than for services within his or her professional capacity. R.S.O. 1990, c. C.27, s. 38 (2). (3) An authority shall, upon receipt of the auditors report of the examination of its accounts and transactions, forthwith forward a copy of the report to each participating municipality and to the Minister. R.S.O. 1990, c. C.27, s. 38 (3). At Authority Meeting #8/10, held on October 29, 2010, Resolution #A182/10 was approved, in part, as follows: THAT the contract for Audit Services be awarded to Grant Thornton at an initial annual cost not to exceed $46,725.00, plus applicable taxes for 2010 and an annual increase of two to four per cent for the following four years, for Toronto and Region Conservation Authority (TRCA) and The Conservation Foundation of Greater Toronto (CFGT); THAT, pursuant to Section 38 of the Conservation Authorities Act, the firm of Grant Thornton be appointed auditors of TRCA, effective November 1, 2010; THAT the term of the engagement be for five years subject to annual appointments by the Authority based on satisfactory performance;... 8
10 RATIONALE Grant Thornton LLP has been appointed TRCA's auditor since 2004, following a competition for audit services conducted in the summer of 2004 and in the summer of Although the contract period is for five years starting with 2010, the annual reappointment is subject to performance satisfactory to TRCA. Staff is pleased to report that the most recent audit was completed to our satisfaction and anticipates similar performance for the 2014 audit, which will conclude in June Staff recommends the reappointment of Grant Thornton LLP for the 2015 audit year. Staff is planning to conduct a new competition for audit services during 2015, resulting with the appointment of auditors for the 2016 audit year. NEW BUSINESS RES.#A16/15 - NAMING OF TORONTO AND REGION CONSERVATION AUTHORITY ASSET Jack Ballinger Giorgio Mammoliti WHEREAS Gerri Lynn O Connor O Connor has served as a political representative for the Township of Uxbridge for over 30 years, over 25 years of which as Mayor; 9
11 AND WHEREAS Mayor O Connor has been an appointee to Toronto and Region Conservation Authority (TRCA) representing the Regional Municipality of Durham for 23 years; AND WHEREAS Mayor O Connor dedicated eight years as Chair of TRCA from February 2007 until January 2015; AND WHEREAS the Township of Uxbridge has provided a letter of support for the naming of the trail after Gerri Lynn O Connor; AND WHEREAS the proposed name meets the Naming of TRCA Assets policy in terms of the name of a major individual, an individual prominent in the environmental or conservation community, and a relevant historical name associated with the geographic area or community; THEREFORE LET IT BE RESOLVED THAT the trail located at Glen Major Forest, between Concession 6 and Concession 7, known as the TRCA East Duffins Headwaters property, Township of Uxbridge be given the name of "Gerri Lynn O Connor Trail"; THAT East Duffins Headwaters Stewardship Committee and the Township of Uxbridge be so advised; AND FURTHER THAT Gerri Lynn O Connor be thanked for her years of service to TRCA.
