PREAMBLE 1.1 WHEREAS the COMPANY, through the experience of time, effort and money has developed the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD CRYPTOCURRENCY built on blockchain technology. 1.2 WHEREAS the COMPANY is entitled to enter into contracts with the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER for the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT AND WHEREAS the parties wish to record their agreement in writing. 2. 2 2.3 the AREA shall mean South Africa in the PRE-LAUNCH phase, after the OFFICIAL LAUNCH the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD CRYPTOCURRENCY will be offered in all countries where CRYPTOCURRENCIES are in common use. 2.4 the PRODUCT shall mean the product supplied by the COMPANY GOLD POWER TRANSACTIONS, the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD CRYPTOCURRENCY as per ANNEXURE the SCHEDULES shall mean the schedules of the COMPANIES products and rates as per ANNEXURE 1 as amended from time to time. 2.6 the PARTIES shall mean the COMPANY and BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER collectively; 2.7 BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT shall mean all the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDERS (Collectively) as well as the BRILLIANT GOLD APP relating to the PRE-LAUNCH as well as the OFFICIAL LAUNCH of the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD CRYPTOCURRENCY. 2.8 the PRE-LAUNCH shall mean the period that the BRILLIANT GOLD CRYPTOCURRENCY is on offer at a rate set out in ANNEXURE 1 prior to the OFFICIAL LAUNCH. BRILLIANT GOLD COINS purchased during the PRE-LAUNCH will have a 100% MONEY BACK GUARANTEE. 2.9 the OFFICIAL LAUNCH shall mean the BRILLIANT GOLD PLATFORM going live on the internet and the BRILLIANT GOLD CRYPTOCURRENCY being available on major exchanges worldwide, as well as the BRILLIANT GOLD APP being available to download and be fully functional from Google Play Store App, itunes App, Windows Wallet and Mac Wallet. The OFFICIAL LAUNCH shall include the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD APP being available to MERCHANT SERVICES at major merchants, both online and instore. At the OFFICIAL LAUNCH the BRILLIANT GOLD CRYPTOCURRENCY will be offered at a GUARANTEED rate set out in ANNEXURE 1. After the OFFICIAL LAUNCH all transactions of BRILLIANT GOLD CRYPTOCURRENCY will be on major exchanges worldwide, as well as the BRILLIANT GOLD APP MERCHANT SERVICES shall mean the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD APP are available at major merchants both online and instore for the MERCHANTS to accept BRILLIANT GOLD CRYPTOCURRENCY as a method of payment. The COMPANY will continuously grow the MERCHANT SERVICES and the number of online and instore MERCHANTS in all countries where the BRILLIANT GOLD CRYPTOCURRENCY are on offer MONEY BACK GUARANTEE shall apply to the purchase of BRILLIANT GOLD CRYPTOCURRENCY by the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDERS during the PRE-LAUNCH at a rate set out in ANNEXURE 1 prior to the OFFICIAL LAUNCH. The OFFICIAL LAUNCH is scheduled for 30 November 2018, should the COMPANY, not launch BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD APP due to any technical challenges the COMPANY will have the option of extending the 2
3 OFFICIAL LAUNCH date to no later than 31 January Should the OFFICIAL LAUNCH not have taken place by the 31 January 2019 the COMPANY will refund the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDERS the full amount of the purchase price no later than the 15 February 2019 paid into the BRILLIANT GOLD COIN HOLDERS CRYPTOCURRENCY wallet. In the event that the OFFICIAL LAUNCH not have taken place by the 31 January 2019, and the COMPANY refunds the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDERS the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDERS will receive no other compensation other than the full purchase price of the BRILLIANT GOLD CRYPTOCURRENCY. After the OFFICIAL LAUNCH has been successful and the OFFICIAL LAUNCH rate set out in ANNEXURE 1 the MONEY BACK GUARANTEE will become null and void. The MONEY BACK GUARANTEE is only applicable and payable in the event the OFFICIAL LAUNCH would not have taken place which is no later than 31 January 2019 exclusively and not for any other purpose. 3. Words importing the singular shall include the plural and vice versa, words importing the masculine gender shall include the neuter and vice versa and words importing companies shall include persons and vice versa. 4. The head notes in the agreement are for reference purposes only and shall not govern the interpretation of any of the provisions of this agreement. 5. BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT The COMPANY guarantees the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER that the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT will never exceed in circulation after the OFFICIAL LAUNCH, of which no more than will be offered during the PRE-LAUNCH at a rate set out in ANNEXURE 1. On the Effective Date the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER shall pay to the COMPANY the sum of R (Six Thousand Eight Hundred Rands Only) Account GOLD POWER TRANSACTIONS... For the Purchase of BRILLIANT GOLD CRYPTOCURRENCY, the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER shall receive a of BRILLIANT GOLD COINS of the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT income, as outlined in ANNEXURE 1. With effect from the effective date, the COMPANY grants to the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER the ownership of of BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT. After the OFFICIAL LAUNCH the ownership of the BRILLIANT GOLD CRYPTOCURRENCY COIN will be shown on the BRILLIANT GOLD APP. The earnings as per ANNEXURE 1 relate to the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT only. The COMPANY guarantees the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER that the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT earnings set out in Annexure 1 will be paid as set out in this agreement. 6. RIGHTS AND DUTIES OF THE COMPANY The COMPANY is obliged to diligently run the business and to promote and market the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD CRYPTOCURRENCY during the PRE- LAUNCH and OFFICIAL LAUNCH phases. 3
4 The COMPANY will ensure the BRILLIANT GOLD PLATFORM goes live on the internet and the BRILLIANT GOLD CRYPTOCURRENCY available on major Cryptocurrency exchanges worldwide, as well as the BRILLIANT GOLD APP being available to download and be fully functional from Google Play Store App, itunes App, Windows Wallet and Mac Wallet within the allotted time frame. The COMPANY will also ensure that the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD APP are available to MERCHANT SERVICES at major merchants, both online and instore. 7. OBLIGATION OF THE BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER The BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER has no obligation with regards to the PRE-LAUNCH, OFFICIAL LAUNCH, the BRILLIANT GOLD PLATFORM and the BRILLIANT GOLD APP. The BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER will be required to download the BRILLIANT GOLD APP after the OFFICIAL LAUNCH, and to keep the App updated and the personal password secure. 8. EARNINGS. The COMPANY shall pay to the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER on the following basis: RENT EARNED. The COMPANY will show the RENT earnings on the BRILLIANT GOLD APP on the last day of the first calendar month after the OFFICIAL LAUNCH at a rate set out in ANNEXURE 1. The RENT earnings will be paid onto the BRILLIANT GOLD APP on the first working day of the following month. The COMPANY shall pay the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER RENT on a monthly basis, as long the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER is in possession of BRILLIANT GOLD CRYPTOCURRENCY. RENT earnings will be calculated on a pro-rata basis, based on the number of coins held and the number of days held. The minimum period of a coin being held to qualify for RENT is 24 hours. RENT earnings are based on the coin value during the pre-launch with the value at a rate set out in ANNEXURE WHOLE AGREEMENT This agreement constitutes the entire agreement between the parties and no other conditions, stipulations, warranties, statements of fact or option or representations whatsoever have been made or relied upon either party other than as specifically included herein. 10. SALE The BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER shall be able to Trade or Will the BRILLIANT GOLD CRYPTOCURRENCY in the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT to any party they wish. The BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER shall be able to trade or Will the BRILLIANT GOLD CRYPTOCURRENCY in the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER PROJECT to any party after the OFFICIAL LAUNCH via the BRILLIANT GOLD APP or on major exchanges worldwide. Prior to the OFFICIAL LAUNCH date, the BRILLIANT GOLD CRYPTOCURRENCY COIN HOLDER will not be able to sell the BRILLIANT GOLD CRYPTOCURRENCY, the only exception being the MONEY BACK GUARANTEE. 11. NON VARIATION No variation or cancellation of the provisions hereof shall be of any force or effect unless reduced to writing and signed by or on behalf of the parties. 12. NON WAIVER 4
5 No party to this agreement shall be regarded as having waived, or be precluded from exercising any right under this agreement by reason merely that such party has shown any indulgence to another party or parties hereto or fail to exercise or delayed in exercising any right under this agreement whether the same right or any other right.
