4 21 February 2018 Page 4 of 6 SCHOOL TERMS & CONDITIONS 1. AGREEMENT These Terms and Conditions form part of the agreement between the School and the Parent in terms of the Pupils attendance at the School. 2. DEFINITIONS 2.1. The following words and expressions shall have the meanings indicated, except where the context otherwise requires School means Gemini Moon Trading 549 (Pty) Ltd (Reg No. 2010/002407/07) trading as Airlie Country Pre-School; Parent means a parent, guardian or any other person who has assumed responsibility for a Pupil in terms of these terms and conditions Principal means the Principal teacher appointed by the School or any person to whom the Principal has delegated her authority Pupil means a child attending the School in terms of these Terms and Conditions Unless inconsistent with the context, an expression in the Agreement which denotes: any gender shall include the other genders; a natural person shall include a juristic person and vice versa; the singular shall include the plural and vice versa The headings to clauses of the Agreement shall not be considered part thereof, nor shall the words they contain be taken into account in the interpretation of any clause This Agreement shall be construed in accordance with and governed by the laws of the Republic of South Africa. 3. SCHOOL ATTENDANCE FORMS A completed and signed New Pupil Questionnaire, Medical Form and Emergency Form must be submitted to the school before a Pupil may attend. 4. PLACEMENT ADMINISTRATION FEE The placement administration fee is due for payment immediately upon acceptance of the pupil s place at the school and covers the cost of administration process for the pupil and the Pupil Pack. 5. REFUNDABLE DEPOSIT The refundable deposit is due for payment immediately upon acceptance of the pupil s place at the school The refundable deposit will be refunded in full within 7 days of the last day of attendance providing all school fees and monies due to the school are fully settled and due notice of termination of the pupil s attendance at the school has been given. 6. SCHOOL FEES School Fees are payable monthly, termly or annually in advance and a Parent may select one of these payment options. Should a Pupil be absent from school for long periods, for any reason whatsoever, no refund or abatement of fees will be given by the School. 7. EXTRA MURAL ACTIVITY FEES Extra-mural and additional activities are offered on a termly or seasonal basis. Extra activities are charged as separate items by the applicable service provider or the School and, provided that fee payments are not in arrears, Pupils may participate in appropriate extra activities as offered. 8. PAYMENT TERMS 8.1. The Parent(s) are liable, jointly and severally, for the payment of all school fees & associated costs on or before the due date by their signatures to this form. In the event that, the fees are to be paid by a person or entity, which is not a signatory to this form, written acknowledgement is required from such person/entity that they assume liability for the school fees & associated costs. Should such person or entity fail to pay such fees and costs, the Parent remains liable for settlement of such fees and costs.

5 21 February 2018 Page 5 of Should any amounts due in respect of school fees or additional charges not be paid on due date, then interest will be charged on the outstanding amounts, to be calculated from the due date to the date of full settlement of all outstanding amounts at a rate of the prevailing prime overdraft rate charged by the Standard Bank of South Africa Limited from time to time plus 5% (five per centum). Acceptance by the School of interim or interest payments shall be without prejudice to and shall not in any manner whatsoever affect the School s right to terminate this agreement Should amounts due in respect of school fees be outstanding at the end of the term, the Pupil will not be allowed to attend school until all monies outstanding have been settled, and the School shall, in any event, be entitled to cancel this agreement on written notice thereof to the Parents and to refuse to admit the pupil to the School If the School instructs its attorneys to take steps to enforce any of the School s rights by reason of any breach by the Parent, the Parent shall pay to the School on demand all collection charges and legal costs, including attorney and client charges, incurred by the School as a result of such breach, whether or not legal proceedings have been instituted. 9. NOTICE PERIODS A Parent wishing to withdraw a pupil from the School must give written notice to the Principal not later than the last day of the term before the Pupil s proposed final term, failing which the fees for the following term will be payable in full, whether or not the Pupil then returns to the School. 10. BREACH and CANCELLATION OF AGREEMENT In the event that: any amount due in terms of these Terms and Conditions, is not paid on due date and remains unpaid for a period of 7 (seven) days after notice requiring such payment has been given by the School to the Parent; or the Parent fails to remedy any other breach of this agreement within 7 (seven) days after notice requiring the Parent to remedy such breach has been given by the School to the Parent; or the Parent is placed under provisional or final liquidation/sequestration or provisional or final judicial management, as the case may be; or a final judgment is entered against the Parent and the Parent fails within 7 (seven) days after such judgment to satisfy the same; or the Parent commits an act which, if committed by an individual, would constitute an act of insolvency within the meaning of Section 8 of the Insolvency Act, No.24 of 1939, as amended the school decides to terminate a particular class or more than one class at its own discretion for any reason whatsoever: the School shall be entitled, but not obliged, notwithstanding any previous waiver or anything to the contrary herein contained, to cancel its agreement with the Parent, without prejudice to its claims for any fees or other sums payable in respect of such agreement or for any damages which it may suffer by reason of such breach and/or cancellation, or to any other remedy which it may have against the Parent arising out of such agreement or in law A certificate signed by a director of the School or the School s agent, shall be prima facie proof of the amount of any indebtedness owing by the Parent to the School at any time and also the fact that the due date of payment of the whole or, as the case may be, any portion of that amount has arrived or has passed. 11. EMERGENCY MEDICAL TREATMENT By acceptance of these Terms & Conditions the Parent accepts that the Principal is authorised and empowered to act in loco parentis in respect of the pupil, when specific authority cannot be sought in time, including, but not limited to, the giving of consent for emergency medical treatment which in the opinion of the Principal is considered necessary to stabilise a pupil s medical condition. 12. LIABILITY LIMITATION The school shall not be liable to compensate the pupil or any Parent for any injuries suffered by the pupil, or for the death of a pupil at any time, including, but not limited to, whilst the pupil attends the school or whilst on the school premises, or whilst he/she is engaged in school extra murals or other activities or whilst he/she is being transported by or on behalf of the school to or from any place, and howsoever such injury or

6 21 February 2018 Page 6 of 6 death may be caused, including, but not limited to, injury or death caused by the negligence of the teachers, other employees or any other pupil of the school, and the Parent hereby waives any claim which he might otherwise have had against the school for such compensation, and the Parent furthermore indemnify and hold the school harmless against any claim brought against it in respect of such compensation. The Parent acknowledges that he have been advised to take adequate insurance for such compensation. 13. PARENT S DOMICILIUM The Parent appoints as his domicilium citandi et executandi the residential address stated on the school application form, at which address all notices may be given, and all due process may be served. Any such notice shall, unless the contrary is proved, be deemed to have been received by the Parent at the said address: If it is delivered by hand, on the date on which it is so delivered; If it is sent by pre-paid registered mail, on the third day after it has been posted. 14. MAGISTRATE S COURT JURISDICTION Should the School institutes any proceedings against a Parent, then the School may, at its election, institute such proceedings in any Magistrate s Court which would otherwise have jurisdiction in respect hereof notwithstanding that the amount claimed exceeds the jurisdiction of such court and the Parent hereby consents to such Magistrate s Court having jurisdiction in respect hereof. If the School, however, elects to institute such proceedings in any High Court having jurisdiction in respect of such matter, then the Parent shall not be entitled to require costs to be awarded on the scale in the Magistrate s Court by virtue of the provisions of this Clause. If the Parent elects to institute action against the School arising out of this agreement, he will be entitled to do so at his option in the Magistrate s Court of appropriate jurisdiction. 15. ADDITIONAL CONDITIONS OR CHANGES It is expressly recorded that these Terms and Conditions do not purport to contain all of the Terms and Conditions on which the pupil is accepted as such at the school, and that the pupil s attendance at the school, and the Parent s obligation in respect thereof, may be subject to other terms and conditions elsewhere recorded or otherwise agreed upon. Notwithstanding the aforegoing, however, no variation or amendment of the provisions contained in these Terms and Conditions shall be of any force or effect unless it is reduced to writing and signed by or on behalf of the School and the Parent.
