Editorial policy The editors will consider for publication manuscripts by contributors from any country. Articles will be subjected to a review procedure. The author should ensure that the significance of the contribution will be apparent also to readers outside the specific expertise. Special terms and abbreviations should be clearly defined in the text or notes. Accepted manuscripts will be edited, if necessary, to improve the general effectiveness of communication. If editing should be extensive, with a consequent danger of altering the meaning, the manuscript will be returned to the author for approval before type is set. Submission of manuscripts Manuscripts should be submitted, together with a covering letter, to the Managing Editor. At the time the manuscript is submitted, written assurance must be given that the article has not been published, submitted, or accepted elsewhere. The author will be notified of acceptance, rejection or need for revision within three to nine weeks. Authors may be requested to submit a hard copy of their manuscript, in addition to a digital copy, together with a summary of the contents. Articles should preferably be no longer than 28 pages (approx. 9,000 words). Annotations should be no longer than 10 pages (approx. 3,000 words). The title of an article should begin with a word useful in indexing and information retrieval. Short titles are invited for use as running heads. 4 Book reviews 1705 The third package of European energy directives and regulations did not only enhance the requirements concerning the powers and the political independence of the national regulators, it also transformed ERGEG into a European regulatory agency with its own legal personality, the Agency for the Cooperation of Energy Regulators (ACER). The possibilities of legal and political accountability of the activities of the network agency have improved in comparison with the situation of the regulatory cooperation within the regulatory network ERGEG. Furthermore, ample good governance requirements have been included in the founding regulation establishing ACER also enhancing its accountability towards the stakeholders. However, political and legal accountability mechanisms are complex processes as they require focusing on a complex, multi-level situation with different lines of responsibility for policy and legal input and output connecting the Commission, the regulatory European agency and the Member States with their national regulatory authorities. This leads to difficulties in identifying the correct sources of accountability of the different actors involved from both a political and legal perspective (p. 156). Chapter 4, describes how, like EU energy regulation, EU telecom regulation has been characterized by an institutional network trend. However, in telecoms, by contrast to energy, all the successive attempts to create a regulatory agency have failed and networks continue to be a key player of regulatory policy-making (p. 159). BEREC (Body of European Regulators for Electronic Communications) is the result of a European compromise, reflecting on the one hand the still intergovernmental and not supranational character of EU telecoms regulation and on the other hand the desire to foster flexibility in the regulatory decision-making process. While BEREC does not have legal personality, it is supported by the Office, which is an EU body performing professional and administrative tasks in support of BEREC. In Chapter 5, the author concludes that overall the features of ACER and BEREC clearly show the intention to institutionalize the pre-existing networks of regulators and confer a higher status upon them, with a strengthened position in the EU law framework. The developments also show that European networks of regulators will continue to exist next to the network agencies. Although the creation of ACER and BEREC has improved the legal and political accountability of the networks, the author still raises some concerns and recommends further refinements of the EU legal framework. The study reveals in a convincingly and scientifically sound way the institutional complexities of models of multi-level governance that are present within the EU administrative system. The EU network industries are characterized by ever evolving institutional arrangements (p. 257). As illustrated by the Short selling judgment, the ECJ s case law also evolves, paving the way for strengthening the position of ACER and BEREC and enlarging their powers within certain conditions and limitations. The development of new institutional structures has not evolved in tandem with new instruments for legal and political accountability. Whereas the regulations of BEREC and ACER have improved the accountability of the network agencies, some gaps remain resulting from the double delegation of powers by the Commission and the NRAS to the new European bodies. Further research needs to be done into the actual functioning of new accountability mechanisms, providing ground for an in-depth investigation into possible ways to fine-tune the current procedures and mechanisms in light of the multi-level context in which they operate. The institutional questions and issues of the network industries will thus continue to pose exciting challenges for legal scholars. Saskia Lavrijssen Tilburg Anne L.M. Keirse and Marco B.M. Loos (Eds.), Alternative Ways to Ius Commune, the Europeanisation of Private Law. Cambridge: Intersentia, 2012, 256 pages. ISBN: EUR 60. The adventure of reading this book starts with riddles: why are these twelve essays collected in a book? Why do all of them but two deal with European contract law despite a much broader

5 1706 Book reviews CML Rev book title, which refers to ius commune and to private law? And what is meant by alternative ways alternative to what? Is there an ordinary way? The introductory article written by both editors (Keirse and Loose) provides a thorough historical foundation for the discussion of the future development of European (consumer) contract law, which is in fact the main subject of the book. Yet, it does not solve our riddles. A check of the (first) asterisk footnotes of the 12 articles reveals that three of them (Wouters, Chirita, Bruijn) were presented at the 16th Ius Commune Annual Conference on 24 November 2011 in Utrecht. This may be the origin of the ius commune in the book s title. Two other articles (Kruisinga, Keirse) were already published in ERPL 6/2011, a special volume devoted to the Common European Sales Law (CESL) Proposal of the European Commission (published in October 2011). All authors of the book seem to be affiliated to Dutch universities or the University of Leuven. In 2015, we know that the CESL Proposal is dead, in 2011 and 2012 it was still a hotly disputed issue, praised as well as criticized by hundreds of academic authors. The publication of the CESL Proposal was followed by the adoption of the Consumer Rights Directive (CRD) 2011/83/EU in 2011 which is meanwhile transposed law in action in the Member States. Is the CESL-CRD-European contract law discussion of 2011/12, which is reflected in the reviewed book, still meaningful for the readers of 2015? In the second article of the book, Wouters explains that private law can be the basis of EU or transnational governance of markets, as in the cases of private food safety standards, private forest certification and credit default swaps. Private law mechanisms may, thus, play an important role in the achievement of public policy goals and in the EU s contribution to good global governance. The author does not, however, provide a direct link to the main subject of the other articles and the book: the contract law rules in CESL, CRD or other sources of European contract law. Boele-Woelki is the second author of the book who does not share the common topic of the other contributions viz. European contract law/cesl/crd. She analyses the process of Europeanization of international family law, and makes the plausible argument for a soft/optional unification of parts of substantive family law in the EU, in particular the introduction of an optional European Matrimonial Property Regime. In the next article, de Cock delivers a historical study of the protection of weaker parties in the 16th and 17th centuries, thus, sharing the topic (consumer contract law) but not the time frame with the authors of the main part of the book. The main part of the book starts on page 65 with Chirita s critique of the CRD. The author is right in rejecting the tiny piece-by-piece approach of the Directive and in demanding a broader concept of European consumer contract law mainly based on competition law and the elimination of unfair contract clauses and unfair market practices, while preserving the different private law traditions. Van Schagen correctly addresses a problematic point of the idea of introducing the CESL as an optional instrument which is however not new in literature (not even in 2011). Why should businesses (or contract parties) opt for a new instrument? The author correctly states that the drafters of the CESL should have looked more at the needs and preferences of legal practice. This aspect is not only decisive for the success of such an instrument once adopted, but also for the determination of the powers of the EU to legislate under Articles 114 and 352 TFEU, in the first place. De Bruijn discusses the notion of non-conformity of goods in a sales contract in a historical perspective (considering Roman law and the common law development) which he links to the rules of the old CRD-Proposal which unlike the final CRD still included rules of that type. His comparison leads him to the conclusion that the respective Article 24 CRD-Proposal should be rephrased and clarified (this now applies to the respective provision in the CESL). Dang Vu argues (correctly) that the provisions on remedies in the CESL are of inferior quality as compared to the respective provisions in the DCFR (the historical starting point for their formulation). After an excellent analysis, in her final statement, she calls them unfit for their intended use, for contract parties as well as for lawyers. Kruisinga compares the seller s right to cure in the CESL and in the CISG and comes to the conclusion that the position of the buyer is weaker and the seller s right to cure is stronger in the CESL.Assuming that consumers will most

6 Book reviews 1707 often be buyers, this reveals another obvious defect of the CESL. Jansen provides (in two separate articles) a thorough examination of two other aspects of CESL remedies: price reduction and the right to withhold performance. Keirse concludes with the re-publication of her ERPL 2011 article on the mitigation of loss. She gives her convincing argument for the proportional approach and against the all-or-nothing approach a broad historical and comparative basis. The book is in its main part a collection of studies dealing with various aspects of the CESL. Only four essays deal with other subjects: global governance by private law, European family law, weaker parties in history, and critique of the CRD. The book does not make clear why exactly those four outsiders were chosen. Most CESL contributions focus on remedies for breach of contract in a broader or narrower sense, one contribution addresses the technique of an optional instrument and the competence issue. The slight arbitrariness of the collection as a whole does not, of course, diminish the quality of each individual contribution. Just the concept of the collection itself does not seem convincing. The initial riddles of the book remain unsolved until its very end: What was meant by alternative? Is the idea of an optional instrument the alternative whereas the CRD as a directive is the ordinary path? What role does ius commune play? The title could be more transparent about the content of the book and should contain the words European contract law. Even after the funeral of the CESL Proposal, the reviewed book is not only of historical value. Many of its contributions express justified criticism and reveal serious weaknesses of the CESL Proposal which may have contributed to its failure. The quest for better rules of contract law at the national and the EU level will continue. Important aspects for the design of a modern contract law that is responsive to the needs of globalized markets, environmental protection, protection of weaker parties and new information technologies are mentioned in this book. Contract law is a market law and must be developed in close connection with competition law, (public) market regulation and all enforcement procedures. While the CESL Proposal as well as many EU consumer contract law directives do not yet meet these challenges, new proposals for modernization are under way and they must be based on exactly the past experiences that are discussed in this collection of essays and many other publications on the subject of CRD, CESL and the development of European contract law.
