1 Mother Dairy Calcutta MDC/PDW/EOI-037/ date : Notice inviting ON LINE EOI for a Packaged Drinking Water Plant under the brand name Mother Dairy Calcutta inside the campus of Mother Dairy Calcutta at Dankuni, Hooghly, for thirty years, Chief General Manager, Mother Dairy Calcutta intends to select a bonafide, reputed, competent, financially resourceful and experienced company/firm for setting up and operating a Packaged Drinking Water Plant under the brand name Mother Dairy Calcutta inside the campus of Mother Dairy Calcutta, at Dankuni, District : Hooghly on Build and Operate and Transfer basis for 30 (thirty) years. The plant must be able to process and pack a minimum quantity of 5000 liters per hour of packaged drinking water completely on latest technology of Reverse Osmosis (RO) and UV. The Dairy Authority shall provide the successful bidder with a vacant land measuring about 25,000 Sq. ft. inside the campus of Mother Dairy Calcutta at Dankuni, District Hooghly, for setting up the plant. The bidder must be ready to invest substantially for installation of a most modern packaged drinking water plant with office buildings, factory-shed of adequate capacity and size and other such facility for a fully operational plant, a dedicated quality control laboratory with digital testing instruments, storage facilities and logistics. The detailed terms and conditions are as follows: (Interested bidders are required to read the documents carefully before filling the bid. The bidders are also free to visit the site and inspect thoroughly before submission of the bid. The interested bidders are expected to carry out their own surveys, investigations and other detailed examination of the project prior to submission of bids.) The information in this document is being provided only as preliminary references by way of assistance to the interested bidders. Further, nothing contained in this document shall be binding on the Dairy Authority nor confer any right on the bidder and that the Dairy Authority shall have no liability whatsoever in relation to or arising out of any or all contents of the same. The Two Bid systems: Both technical and financial bids are to be submitted in technical and financial folders concurrently duly digitally signed in website a) Technical Bid: Bidders will upload all documents, records and credentials along with technical bid in specific format as given in the page 10 & 11 in support of their technical competency to successfully and efficiently carry out the job. b) Financial bid: Bidders are required to quote their rates percentage wise as specified in the BOQ along with Financial Bid in specific format as given in page no.- 12 and upload the same for financial competency. 2 1.0 Technical bid: 1.1 This invitation is open to the applicants in India only. A bidder may be a sole Proprietorship or a Company registered under the Companies Act 2013 or a Partnership firm registered under Indian Partnership Act Offers may also be from a Joint venture. 1.2 For eligibility, applicants shall provide evidence satisfactory of their eligibility and of their capability and adequacy of resources to carry out the work. 1.3 Applicants must have average annual turn-over of not less than Rs 1.0 (one) crores per annum for the last 3 three financial years. 1.4 It is desirable that the applicants should have experience in handling/dealing with such /similar products with the Govt. in manufacturing, distribution & marketing. 1.5 All applicants shall submit the following documents in the technical bid : i) Copies of original documents defining construction or legal status and structure of the organization and the ordinary place of business. ii) Report of the financial standing of the applicant such as the certified/audited balance sheet for last 3 years. iii) Details of the experience and past performance of the applicant on works of a similar nature within last five years and details of current similar type of works in hand and other commitments. iv) Must have valid GST registration, Professional tax, Income Tax clearance certificates, PAN Card, Trade License, Food safety registration, certificate for consent to Establish from WBPCB. However, the successful bidder shall have to furnish the BIS certificate and such other certificates after commencement of trial run. v) Any other relevant/ additional information in support of the candidature. 1.6 Necessary certificate under FASSI shall have to be obtained by the successful bidder before starting of Commercial Production for Packaged Drinking Water at Dankuni plant. 1.7 Signatory who will sign on the documents on behalf of the bidding organization must produce the registered documents in respect of their competency to perform the assigned work within 9 (nine) month, failing which the bid will not be considered. 1.8 Submission of any untrue/ false representation in any form, statement and/or attachments shall make the application automatically cancelled. If any information /document submitted by the applicant is found incorrect/false/ untrue/ suppresses more than reveals, even at a later stage of the execution, the applicant shall be liable to be debarred from taking up of any work in the organization apart from cancellation of the order issued, if any. The Dairy Authority may also initiate other legal actions and measures under the laws as applicable in the country. 1.9 Applications received without the specified certificates/documents shall be rejected No bidder shall submit more than one bid The duly filled Technical bid in specific format along with technical details are to be uploaded in technical folder and financial bid in specific format along with BOQ are to be uploaded in financial folder. The specific format of Technical & Financial bid provided with this notice given in page no.-10,11&12. Any unauthorized change/addition/alteration there-of shall make the offer automatically cancelled. Page 2 of 12

3 1.12 Any conditional and incomplete bid shall be rejected. Any deviation from conditions specified herein shall not be allowed Any condition or qualification or any other stipulation contained in the bid offer which is found to be inconsistent with the terms of the bid documents to the Dairy Authority shall render the bid liable to automatic rejection Earnest Money for Rs 5 (five) lakh shall have to be submitted online by the bidder along with this offer in favour of WBCMPF Ltd. MOTHER DAIRY CALCUTTA, payable at Kolkata. Earnest money of the unsuccessful bidders shall be refunded online without any interest after finalization of the deal and issuance of work order to the successful bidder. Dairy Authority shall consider only those bids that are received in the required formats and complete in all respect including the earnest money in the required form and manner The Dairy Authority does not take any responsibility for late receipt of any bid from any bidder beyond the time and date as mentioned as the last date of receipt of the bid for any reason whatsoever. 2.0 Pre-bid Meeting: Interested bidders may attend the pre-bid meeting on the date, time and venue as indicated in this bid document to get clarifications as they may require before submission of their offer. Notwithstanding anything to the contrary contained in the documents, the detailed terms specified in the Agreement as may be required to be signed before the final award to the selected/successful bidder shall have the overriding effect provided, however, that any conditions or obligations imposed on bidder hereunder shall continue to have effect in addition to its obligations under the Agreement thus entered into. 3.0 Financial bid: 3.1 The Bidder shall clearly mention the Bid amount Maximum Assured Royalty in terms of Percentage on MRP (Maximum Retail Price) of Packaged Drinking Water which shall be clearly indicated both in figure and in words in English and in Indian Rupees without any over writing or correction whatsoever. The royalty shall be paid for the entire production-cum-sale of Packaged Drinking Water with minimum quantity of production of 10,000 ltrs. per day for first three (3) years and 20,000 ltrs. per day for rest of the tenure and minimum assured royalty shall be calculated at quoted rate in terms of percentage on MRP of Packaged Drinking Water of different size. The Highest amount of percentage on MRP quoted by bidder shall be taken into consideration for awarding the job. Mother Dairy Authorities reserves the right to reject any bid without assigning any reason thereof. The decision of Mother Dairy Calcutta shall be binding & final. 3.2 Bid Evaluation: Only those bidders who qualify the Technical Bid as decided by the Bid Evaluation Committee independently shall be eligible for opening of the Financial Bid. 4 3.3 Financial Evaluation: Financial Bids shall be the evaluation of the rate quoted by the bidders with Maximum Assured Royalty in terms of Percentage on MRP (Maximum Retail Price) of Packaged Drinking Water. General Terms: No correspondence shall be entertained. Canvassing in any form is strictly prohibited and bids submitted by a bidder with proven canvassing shall be liable to rejection. Dairy Authority may summon any Bidder and seek required further information /clarification / additional documents or original hard copy of any documents already submitted by the said Bidder and in case the Bidder fails to produce the same within the stipulated date and time, the offer of that particular Bidder shall be liable for rejection by the Dairy Authority. Offer submitted by the interested bidder shall be final and shall be valid for a period of 120 days from the due date of the bid. However, validity may be extended by mutual consent. Upon acceptance of the offer of a bidder, an Agreement shall be inked in non-judicial stamp paper of appropriate value within ten days on payment of usual charges from the date of issue of the intimation in writing/release of LOI by the Dairy Authority and the selected bidder shall forthwith submit the same duly signed by the Authorized signatory, dated and stamped. In case the selected bidder fails to perform the formalities within the specified period, offer may be cancelled by the Dairy Authority and the Earnest Money shall be forfeited. It is clearly stated that the acceptance of the bid offer shall rest with the accepting authority of the Dairy. The Dairy Authority does not bind it to accept the highest rate offered and reserves the right to reject in part or in full all bids received, without assigning any reason. Bidders shall not be entitled to get any compensation for rejection of any such offers by the Dairy Authority. If any bidder withdraws his offer before acceptance or refuses to carry on /execute the work order within a reasonable period of time, without assigning any satisfactory explanation as acceptable to the Dairy Authority for such withdrawal, the said bidder may be disqualified by the Dairy Authority to participate in other bidding process/ Tenders of the Dairy for a period of one year. The Bidder, who does not fulfill the conditions specified in EOI documents, shall automatically be liable for rejection and no correspondence shall be entertained. Successful bidder shall be liable for all statutory liabilities as in vogue in the country from time to time in general and for the compliances /implementation of the Labour Acts and Rules made there under as amended from time to time specifically. Legal matters in connection with these EOI matters /disputes shall be settled within the jurisdiction of the High Court at Kolkata. Dairy Authority shall not be liable for any omission, mistake or error in respect of any of EOI documents or for any error /mistake therein or in any information given in these documents. Further, such matter shall not be a basis for any claim for compensation, Page 4 of 12

5 damages, extension of time for performance of its obligations, or a ground for termination of the Agreement. Any amendments issued by the Dairy Authority based on ground realities shall be automatically a part of this document. No claims from any bidder shall be entertained for not having access to such amendments /addendum. No Bids shall be considered received after the due date/time. All bids must be received only as stated in the notification through the E portal only and not in any other mode. Offers received in any unauthorized mode shall be summarily rejected. Dairy Authority shall reject a bid at any stage, if it is determined that the bidder recommended for selection has actually engaged in a corrupt or fraudulent practices during bidding process. 4.0 Scope of work: The Work involves: 4.1 Architectural Designs including preparation of Plans, elevations, sections, perspective drawings, architectural details (3 D elevation) & Engineering, construction of a Self-contained Packaged Drinking Water Unit with production/processing/packaging capacity of minimum 5,000 litres per hour. 4.2 There may be an assortment of production of packaged drinking water in various sizes of containers of 200 ml, 500 ml, 1 litre, 2 litres, 5 litres and 20 litres or any other size(s) of container(s) as may be mutually decided, by the successful bidder and the Dairy Authority. 4.3 Containers shall be made of standard / approved quality and design of food grade plastic made of virgin granules. 4.4 Design, shape, logo of the containers and the caps including the tamperproof sealants /sealing materials shall be of standard design as approved by the Dairy Authority from time to time. 4.5 The Dairy Authority reserves the right to change/modify design of the container including the logo and the brand as may be felt necessary and the bidder shall not claim any cost/ compensation whatsoever for such change/ modification of the design, logo and the brand of the Dairy. 4.6 The bidder shall process, produce and pack the processed drinking water after stringent process of quality checks and tests as may be required to ensure the quality of water packed in containers of approved design and shape only. The bidder shall adopt the appropriate BIS standards for quality assurance and any amendments in the standards are to be adopted immediately. The bidder shall neither stock nor pack any such water in any non-approved containers under no circumstances. 4.7 Bidder shall indemnify the Dairy Authority regarding any financial, legal and quality of the products. 4.8 The Dairy Authority shall provide successful bidder to use a piece of land measuring about 25,000 sq ft inside existing campus of Mother Dairy Calcutta at Dankuni for 30 (thirty) years. 4.9 The Bidder is required to make complete design and construction of the Unit which includes design and construction of office building, factory-shed with layout of the plant and machineries, stores, dispatch wing, a well equipped sophisticated digitally based quality control laboratory etc as required under the applicable statutes. 6 4.10 The bidder is required to arrange and fix necessary infrastructure and fittings, lightings, electrical connections and meters from WBSEDC Ltd., a deep tube-well boring for pumping / lifting water from ground, drainage, sewerage, toilets & urinals, water connections from Municipal authority, water treatment plant, RO Unit etc. with commissioning of the latest fully automatic plant and machineries based on Reverse Osmosis (RO) or superior technology with UV for continuous production and processing of wholesome potable packaged drinking water of minimum 5000 litres per hour of Mother Dairy Calcutta branded packaged drinking water and adequate storing of the stocks The bidder needs to apply, obtain and maintain permissions / clearances from local municipality, Pollution Control Board (state & central), Ground water authority, PWD dept. Food license Authority, BSI Authority and such other authorities as may be applicable. All expenses and other charges, duties, taxes etc are to be borne by the Bidder. The Bidder shall also arrange for required Licenses from various Authorities like Directorate of Factories, Labour Depts, Trade License, Health License, Fire License, Pollution Control License (Consent to Establish and Consent to Operate) etc. as may be applicable from time to time and that the Dairy Authority shall not have any liabilities/ responsibilities in this regard whatsoever apart from extending its advice, suggestion and assistance as may be required That this arrangement/ agreement shall be valid for a period of 30 (thirty) years That on expiry of the said period, this offer/duration of this arrangement may be extended and/or renewed for a further period on the same or revised terms and conditions as may be mutually agreed upon by the parties to the agreement That the terms and conditions of this arrangement may be changed, altered, amended and or modified from time to time as may be necessitated by the ground realities and changed business scenario and /or change in the abiding laws & statutes and the same shall be an integral part of this arrangement to be the binding force on the bidder. The bidder shall not claim any loss and /or damage, if any, for such unavoidable changes That production, processing, labeling, storing, distributing, marketing including market intervention shall be the sole responsibilities of the successful bidder. However, the Dairy Authority may offer its suggestions, guidelines and /or directives to such successful bidder as may be felt necessary from time to time and the bidder shall abide by such communications forthwith That bidder shall have proper storage arrangement in the plant/ go-down /other locations as may be required for safe and proper storing all finished products in its own arrangement in good and hygienic conditions That in case the packaged drinking water packed in containers are found unfit for human consumption, the successful bidder shall be required to destroy all such production/ withdraw /recall from market at its own cost, efforts, responsibilities and arrangement and that the Dairy shall not be held responsible That the Dairy Authority shall not be responsible for any loss/ damage and /or any penal consequences for any sorts of violation, negligence, shortcomings etc. as may be detected and / or ordered by Competent Authority / Statutory Authority/ Local Bodies whatsoever at any time. The bidder shall keep the Dairy Authority immune from all and every such liabilities whatsoever The bidder shall prepare, maintain and supply a legible copy of Daily Production & Sales Report (DPSR) to the Dairy Authority showing specific quantum of the day to Page 6 of 12

7 day production, report of batch-wise quality assurance, quantity of finished product dispatched to market and sales figure of packaged drinking water without fail That the bidder shall fulfill its assigned monthly production and sales target by exerting all avenues and means at its best The bidder shall arrange to transport/ deliver finished product to Distributors/ retail points as per indents in a safe and hygienic condition The bidder shall maintain all records and registers as required under rules of the country for processing, production, labeling, packaging, distribution and marketing of packaging drinking water. The bidder shall file statutory returns and other documents with concerned authorities as required under the various Acts, Rules and Regulations as applicable from time to time and shall keep the Dairy Authority immune from any liabilities whatsoever The bidder shall ensure Batch /Code no., Date of Manufacture and such other statutory details and shall strictly maintain all mandatory/ statutory provisions under the Food Safety and Standards Act, 2006 and Rules 2011 and/ or any other applicable Acts etc The Dairy authority may depute its authorized agent/personnel to visit and inspect and take sample/ photograph, copies of documents as may be felt necessary to assess the condition of the production arena/ test the water quality from external laboratory The bidder shall always keep Plant & machineries, stores and Godown etc in proper working conditions for uninterrupted processing and production. Bidder shall keep and maintain total plant and machinery and the surrounding areas in clean and hygienic condition. Special attention needs to be given to regular and systematic cleaning of water storage tanks, pipe-lines etc. to ensure the safe production conditions. The Dairy being a ISO and HACCP Certified organization, the bidder shall maintain a hygienic condition of plant properly and proper documentation are also to be maintained by the successful bidder; all related records and documents in this respect shall be readily available to the Dairy Authority and its ISO & HACCP Auditors ( External & Internal) That the bidder shall process and produce solely the Mother Dairy Calcutta brand packaged drinking water in the plant and distribute and market the same exclusively and that the bidder shall not process and/or produce any other branded packaged drinking water /or any other products from the said plant during the operation of the Agreement That successful bidder shall be solely responsible for total processing, production, packaging, storage, distributing and marketing of quality packaging drinking water and exert all efforts and endeavors to maintain them in good and efficient running conditions The dispute under this matter shall be subject to the jurisdiction of the Hon ble High Court at Kolkata The successful bidder shall not use the land for any purpose other than for the purpose the land is provided for The successful bidder has to follow the MRP of water as is fixed by Mother Dairy Calcutta time to time. 8 5.0 Commercial Terms: 5.1 That the successful bidder on selection shall be required to furnish a Security deposit for an amount of Rs 10 Lakh (Rupees Ten lakhs) by valid Demand Draft towards the performance and observance of the terms and conditions of this arrangement. That in case of violation of any of the clause/clauses of this offer letter, the Dairy Authority shall have the clear mandate to forfeit security deposit. 5.2 The security deposit shall be retained by Dairy Authority till expiry /termination of this business arrangement. No interest whatsoever shall be paid by the Dairy Authority for the security deposit. 5.3 That the bidder shall pay to the Dairy the monthly Royalty within 7 (seven) working days from the close of the last day of the month along with a detailed statement. 5.4 In case of delayed payments, the bidder shall be required to pay to Dairy Authority a penalty of one percentage on the outstanding amount for each fortnight or part thereof. 5.5 In case of non-payment of royalty by the bidder to the Dairy Authority for consecutive 3 (three) months, the Dairy Authority may terminate the arrangement including forfeiture of security deposit after giving opportunity of being heard to the bidder. 5.6 That all payments to Dairy Authority by the successful/selected bidder shall be through NEFT/RTGS/ Demand Draft only. That in case of any deviation from above mentioned procedure of making payments to the Dairy, without any prior written consent from the Dairy, the Agreement shall be liable to be terminated along with forfeiture of the security deposit. 5.7 The Dairy Authority shall have right to analyze and review performance of bidder towards processing, production, labeling and packaging, distribution and marketing of packaged drinking water every year, the Dairy shall be free to initiate and take suitable remedial measures as may be felt necessary which the bidder shall be bound to comply with forthwith at the full satisfaction of the Dairy Authority. 5.8 That the bidder shall deposit all sums of money in Rupees against proper receipts. 5.9 That the benefits of this arrangement are meant for only the successful/ selected bidder and the bidder shall not, under any circumstances whatsoever, transfer wholly or in part, the benefits of this arrangement to any other person(s)/ Company/ Firm or Agency whatsoever Minimum 5,000 Ltrs. of the total production, should be produced in pack size up to 2 Ltrs. (i.e. from 200 ml. to 2 Ltrs. pack size) Successful commissioning of the plant should be completed and commercial production should be started within 365 days from the date of execution of the commercial agreement.
