College Post, Bangalore on or before 14 th March 2016 (Monday ) at 1500 hrs.interested experienced Biogas plants manufacturers/constructionists/turn key agencies may inspect site & collect the relevant information from the Engineering Section in any working day between 9.30A.M to 5.30 P.M before submitting the tender application. 3 1) Sealed item rate tenders for Construction and Commissioning of Bio gas Plants for waste management at ISI, Bangalore Center. INDIAN STATISTICAL INSTITUTE, BANGALORE hereinafter referred as EMPLOYER/OWNER, is invited from well reputed experienced Biogas plants manufacturers/constructionists/turn key agencies having experience of executing such works. here in after called as contractor. 2) Tenderers will deposit the sealed envelope containing: Cover-1: The Technical conditions, documents showing the credentials of contractor & drawings comprise the TECHNO-COMMERCIAL BID, which shall be kept TOGETHER in a SEPARATE SEALED ENVELOPE. Cover-2: The Bill of Quantities [Original & Duplicate] comprises the FINANCIAL BID, which should be in a SEPARATE SEALED ENVELOPE. Cover-3: Another sealed envelope containing DD for `Rs 17,500/- drawn in favor of Indian Statistical Institute, payable at Bangalore towards EMD. 3) Tenders not properly filled, mutilated with incorrect calculations or generally not complying with conditions may be rejected. 4) Tenderers should quote their rates both in figures and in words. The schedule of quantities must be fully priced with the rates quoted for the unit rate specification and the total of each page along with carried over figures of the previous page shall be given in ink and signed by the tenderer. No blank space shall be left. Figure in words shall be deemed to be final figure in case of cuttings or overwriting. 5) The Tenderers should have executed at least one such work in any Govt.Department/ Public Undertaking/ Local bodies/ Corporation coming under State Govt./ Central Govt./ Reputed private institutions or organization or firms. 6) If the tender is made by an individual it shall be signed with his full name and his complete address shall be given. If it is made by partnership firm it shall be signed with the copartnership name by a member of the signed address of each partner of the firm and attach a copy of' Power of Attorney' with the tender authorizing him to sign on behalf of the other partners. A certified copy of the 'Registered Partnership Deed' shall also be submitted along with the tender. In case the tender is made by SSI or on behalf of company incorporated under the Companies Act, 1956, it shall be signed by the Proprieter/Managing Director or by one of the Directors duly authorized on this behalf and shall include a copy of the 'Power of Attorney' with the tender. A certified copy, of the registered deed shall also be submitted along with the tender or NGO with its registered Bylaw shall also be submitted Page 3 of 18

4 along with the tender The tender should be in a sealed cover. 7) EMD/SECURITY DEPOSIT /RETENTION MONEY A) E.M.D. Earnest money deposit of Rs: 17500/- ( Rupees Seventeen Thousands and Five Hundred only ) in the form of crossed demand draft in favour of the Indian Statistical Institute payable at Bangalore. B) SECURITY DEPOSIT: The E.M.D. of the successful tender will be retained as SECURITY DEPOSIT and will be refunded to the Biogas plants manufacturers/constructionists/turn key agenciesafter the virtual completion of the work. C) RETENTION AMOUNT: Retention money at the rate of 5% of the value of work done for each running bill will be deducted. The same will be refunded after the completion of the Defects liability period. All the deposits of E.M.D. SECURITY DEPOSIT AND RETENTION MONEY will not bear any interest whatsoever. 8) No alterations shall be made by the tenderer in the Notice Inviting Tenders, Instructions to the contractors, Contract form, conditions of the contract, drawings and specification and if any such alterations are made or any special conditions attached, the tender is liable to be rejected. 9) The acceptance of a tender shall rest with the Authorized Representative of the Employer, who does not bind himself to accept the lowest tender and reserves to himself the authority to reject any or all the tenders received without assigning any reason(s) whatsoever. 10) The authorized representative of the Employer reserves the right of accepting the whole or any part of the tenders received and the tenderer shall be bound to perform the same at the rates quoted. 5 11) The work shall be carried out under the direction and supervision of the Architect/Employer or their representative at site. On acceptance of the tender, the contractor shall intimate the name of his accredited representative who would be supervising the construction and would be responsible for taking instructions for carrying out the work. 12) DEFECTS LIABILITY PERIOD: Any defect developed within' Defect Liability Period' of 12 months will have to be rectified by the contractor at their own cost and in case the defects are not rectified by the contractor, Architect/Employer or their representative shall get the work done at the risk and cost of the contractor. Date of commencement of the Defects liability period shall be the date of virtual completion as certified or other materials. 13) The contractor should inspect the source of material, their quality, quantity and availability. The material must strictly comply with the relevant specifications attached. 14) PENALTY: Employer s all levy penalties at the rate of 0.5% (half percent) of the total contract value per week of delay, up to a maximum of 4.5% (four and half percent) of the total contract value after which the contract will stand cancelled. 15) EXTRA ITEMS Rates for authorized extras items or additional, altered or substituted work as may be ordered shall be determined by the Employer as follows: a) If already specified he shall carryout at the same rate. b) If not specified, the rate for that item shall be derived from the rate for the nearest similar item from the current SR to which the tender percentage will be added. c) At the actual expenditure incurred in execution of the item inclusive of any taxes, octroi, etc. plus 15% for contractor's profit and overhead. The actual expenditure will have basis of materials and labour as per the KPWD (Karnataka Public Works Department) Rate Analysis. 16) The tenderers are required to sign with date and seal every page of the tender document before putting into the sealed covers. 7 CONDITIONS OF CONTRACT (DEFINITIONS AND INTERPRETATION) 1) DEFINITIONS: The following terms shall have the meaning hereby assigned to them except where the context otherwise requires: A) EMPLOYER: Means: Indian Statistical Institute, Bangalore Centre 8 th Mile, R.V. College P.O, Mysore Road, Bangalore B) CONTRACTOR: Shall mean the successful tenderer to whom the contract has been awarded. C) SUB-CONTRACTOR: Shall mean the person named in the contract for any part of the work or any person to whom any part of the contract has been sublet with the consent in writing by the Architect and the legal representatives, successors and assigns of such person. D) CONTRACT: Shall mean and includes the following: Notice inviting tender, Tender form, General Conditions of Contract, General Specifications, Technical Specifications, Unit Rate Specifications (Detailed Specifications), Schedule of Quantities, Drawings, Work Order and/or any other correspondences of negotiations. E) SITE: Shall mean the actual place in, over or under which work is to be done, allotted by the Employer for contractor's use. F) WORK: Of the contractor shall mean and includes materials or labour or both. G) CONTRACT PRICE: Shall mean the sums referred to in the formal agreement, if any or the work order. Page 7 of 18

8 2) EXECUTION AS PER DRAWINGS: The contractor must not vary or deviate from the drawings in any respect while executing the work or executing any extra work of any kind whatsoever unless authorized by the Employer. 3. GENERAL OBLIGATIONS: 3.1. INSPECTION OF SITE ETC. BEFORE SUBMISSION OF TENDER: The Contractor shall inspect and examine the site and its surroundings, and shall satisfy himself before submitting his tender, as to the nature of the ground, form and nature of the site, the quantities and nature of work and materials required for the completion of the works, the means of access to the site, the local labour conditions, the accommodation he may require and in general shall obtain all necessary information as to the risks, contingencies and other circumstances which may influence or affect his tender. 3.2 RATES QUOTED FOR FINISHED WORK: The rates quoted in the tender by the contractor must be for the finished work as per the drawings and specifications TENDER OPEN FOR: The tender shall remain open for acceptance for a period of 45 days from the date of submission of the tender COMMENCEMENT OF WORK: The contractor shall commence the work at site, within 7 days of issue of formal work order and handing over of the site orbeing advised by the Employer unless otherwise specified, and shall proceed with the same with due expedition. 3.3 PROGRAMME OF WORK: Soon after the award of contact, the contractor shall submit for approval a programmed to match with the planned completion of the whole job showing the order of procedure and method in which he proposes to carry out the works. 3.4 DAMAGE TO PERSONS & PROPERTY: The Contractor shall indemnify and keep indemnified the Employer against all losses and claims for injuries or damages to any person or property whatsoever which may arise out of or in consequence of the construction and maintenance of works and against all claims, Page 8 of 18

9 demands, proceedings, damages, costs, charges, expenses, whatsoever in respect thereof in relation thereto. 3.4 DELAYS IN OBTAINING MATERIALS SUPPLIED BY EMPLOYER If the Employer has undertaken to supply any material specified in the special conditions at rates and conditions cited therein, the contractor shall keep himself in touch with day-to-day position regarding the supply of materials from the Employer and to adjust the progress of the works that labour may not remain idle more there by any other claim due to or arising from delay in obtaining the materials. 3.5 RECORD OF MATERIALS SUPPLIED BY THE EMPLOYER The contractor shall maintain an account of different materials obtained from the Employer for executing the works under the contract. 3.5 SAFE STORAGE OF MATERIALS The contractor shall be responsible for the safe storage of materials supplied by the Employer for execution of the works. Surplus materials or materials lost or damaged or unaccounted for or made unserviceable by the contractor shall be charged at twice the prevailing market price. 3.5 ACCIDENT OR INJURY TO WORKMEN: The Employer shall not be liable for or in respect of any damages or compensation payable at law in respect or any consequence of any accident of injury to any workman or other person in the employment of the contractor or his subcontractors, and the contractor shall indemnify and keep indemnified the Employer against all such damages and compensation and against all claims, demands, proceedings costs, charges and expenses whatsoever in respect thereof or in relation thereto. 3.6 COST OF SAMPLES: Allsamples shall be supplied by the contractor at his own cost. 3.7 COST OF TESTS: The cost of making any test as per specifications shall be borne by the contractor and contractor should arrange for all facilities like meters, instruments as required for carrying out such tests. 3.8 SUSPENSION OF WORK: Page 9 of 18

10 The contractor shall, on the written order by the Employer suspend the progress of the works or any part thereof for such time or times and in such manner as the Architect may consider necessary and shall during such suspension, properly protect and secure the work, so far as is necessary in the opinion of the Architect. 4. TIME OF COMPLETION: Time is deemed to be the essence of this contract and the whole of the works shall be completed within the time stipulated or within such extended time as has been allowed under clause WORK TREATED AS COMPLETE: a) The site is clear from all materials, site shed, etc. and the Engineer/ Architect is satisfied with the job done by the contractor. b) All equipment, tools and plant taken from the Employer have been returned by the contractor. c) All power and water supply connections taken for the execution of the works have been disconnected by the contractor. d) Rectifications of any damage done by the contractor to the work executed have been satisfactorily done by the contractor MAINTENANCE: For a period of twelve months commencing immediately after taking over of the work by Employer, the contractors liability shall be to replace the defective parts, rectify/reconstruct the defective work that may develop of his own construction or those of this sub-contractors approved by the Employer. If it is necessary for the contractor to rectify/reconstruct any defective portions of the work under the contract, the provision of this condition shall apply to the portions of work so replaced or renewed until the expiration of three months from the date of such replacement of renewal or until the end of the above mentioned period of six months, whichever may be later. If any defects be not remedied within a reasonable time the Employer may proceed to do the work at Contractor's risk and expense, but without prejudice to any other rights which the Employer may have against the contractor in respect of such defects. The contractor shall bear the cost of such repairs/rectifications carried out on his behalf at site. Immediately upon expiry of the maintenance period the Employer shall issue a final certificate indicating that the character has completed his obligation under the contract. Page 10 of 18

11 5. TERMINATION OF CONTRACT: If the contractor has abandoned the contract or has failed to proceed with the work due diligence or the progress on any particular item or items is slow or he has failed to execute the work in accordance with the terms and conditions of the contract, is persistently or fragrantly neglecting to carry out his obligation under the contract, then it shall be lawful for the Employer to terminate the contract forthwith under written notice and to proceed with the balance of the work through any other agencies. During the course of execution of the job, in case the contractor has done any substandard work, he shall be asked in writing to dismantle and re-do the same at his own expenses. If the contractor fails to comply with the above instruction immediately, then the Employer shall proceed with the above rectification work, through another agency or agencies. Similarly, if the contractor goes slowly on any particular item or items of work, the Employer shall have the right to execute this item or items through another agency or agencies, including its own department. 6. METHOD OF MEASUREMENT, The works shall be measured net in accordance to relevant IS codes notwithstanding any general or local custom, except where otherwise specifically described or prescribed in the contract. 7. SETTLEMENT OF DISPUTES: 7.1. MATTER TO BE SETTLED BY EMPLOYER: All disputes and differences of any kind whatsoever arising out of or in connection with the contract, whether during the progress of the works or after their completion shall be referred by the contractor to the Employer and the Employer shall within a reasonable time after their presentation make and notify decisions thereon in writing. The decisions, directions, clarifications, measurements, drawings and certificates with respect to any matter the decision for which is specially provided for by these or other special conditions to be given and made by the Employer are matters which are referred to hereinafter as Excepted matters and shall be final and binding upon the contractor and shall not be set aside on account of non-observance of any formality, any omission, delay or error in proceeding in or about the same or on any other ground or for any reason and shall be without Appeal. Inthe event of any dispute or difference between the parties hereto as to the construction or operation of this contract, or the respective rights and liabilities of the parties on any matter in question, dispute or difference on any account or as to the withholding by the Employer of any certificate to which the contractor may claim to be entitled to or if the Page 11 of 18

12 Employer fails to make a decision within a reasonable time, then and if any such case, but except in any of the Excepted matters referred to in the above clause, the contractor after 90 days of his presenting his final claim on the disputed matters, may demand in writing that the dispute or difference be referred to arbitration. Such demand for arbitration shall specify the matters which are in question, dispute or difference, and only such dispute or difference other than Excepted matters of which the demand has been made and no other dispute or difference shall be referred to the arbitration of an office of the Employer to be nominated by Managing Director of the Employer for the time being or if there be no Managing Director at the relevant time then by the Board of Directors of the Employer and the provisions of the Indian Arbitration Act, 1940 for the time being in force or of any other Act of the Legislature passed in substitution thereof or modifications thereof and for the time being in force shall apply to such arbitration. 2. ARBITRATION: The contractor shall not, except with the consent in writing of the Employer, in any way delay the carrying out of the work by reason of any such matter. Question or dispute being referred to arbitration but shall proceed with the work with all due diligence and shall, until the decision of the arbitration is given, abide by the decision of the Architect and no award of the arbitrator shall relieve the contractor of his obligations to adhere strictly to the Architect's instructions with regard to the actual carrying out of the work except as specifically affected by such award. 8. SPECIFICATION OF ITEMS OF WORKS: All the works mentioned in the Schedule B shall be a part of the agreement for contract,be carried out by the contractor as per K.P.W.D. standard specification. The employer or his site engineer, supervising work will be giving the details of specifications of the work. The contractor shall execute the work strictly as per the detailed specification shown there in the Schedule of contract, with respect of quality of materials, skilled labour, requisite machineries, tools and plant etc. 9. WATER SUPPLY The contractor shall make his own arrangements for water required for the work and nothing extra will be paid for the same. This will be subject to the following conditions: i) That the water used by the contractor shall be fit for construction purposes to the satisfaction of the employer / consultant. ii) The contractor shall make alternative arrangements for the supply of water if the arrangement made by the contractor for procurement of water in the opinion of the employer / Page 12 of 18

13 consultant is unsatisfactory. iii) Contractors will have to make their own arrangement for water. However water could be arranged by the Client and the amount equivalent to 0.50 % of final bill value of total work done towards the water charges shall be recovered from the contractors after meeting the requirement of Office. The contractor shall construct temporary well / tube well in ISI land for taking water for construction purposes only after obtaining permission in writing from the ISI. The contractor has to make his own arrangements for drawing and distributing the water at his own cost. He has to make necessary arrangements. To avoid any accidents or damages caused due to construction and subsequent maintenance of the wells. He has to obtain necessary approvals from local authorities, if required, at his own cost. He shall restore the ground to its original condition after wells are dismantled on completion of work or hand over the well to the ISI without any compensation as directed by the employer / consultant. 10. POWER SUPPLY The contractor shall make his own arrangements for power and supply / distribution system for driving plant or machinery for the work and for lighting purpose at his own cost. The cost of running and maintenance of the plants are to be included in his tender prices. He shall pay all fees and charges required for the power supply and include the same in his tendered rates and hold the owner free from all such costs. He has to obtain necessary approval from the appropriate authorities, if required. Or Alternately if the contractor makes a written request the electric power would be arranged by the Client at a particular point and the contractors have to make their own arrangement for tapping the supply at various points. The amount equivalent to 0.50 % of final bill value of work done towards the Electrical charges shall be recovered from the contractors. 11. SAFETY CODE 1. First aid appliances including adequate supply of sterilized dressing and cotton wool shall be kept in a readily accessible place. 2. An injured person shall be taken to a public hospital without loss of time, in cases where the injury necessitates hospitalization. 3. Suitable and strong scaffolds should be provided for workmen for all works that cannot safely Page 13 of 18

14 be done from the ground. 4. No portable single ladder shall be over 8 meters in length. The width between the side rails shall not be less than 30 cm. (clear) and the distance between two adjacent rungs shall not be more than 30 cm. When a ladder is used, an extra mazdoor shall be engaged for holding ladder. 5. The excavated material shall not be placed within 1.5 meters of the edge of the trench or half of the depth of trench whichever is more. All trenches and excavations shall be provided with necessary fencing and lighting. 6. Workers employed on mixing and handling material such as asphalt, cement mortar or concrete and lime mortar shall be provided with protective footwear and rubber hand-gloves. 7. Those engaged in welding works shall be provided with welder s protective eye shields and gloves. 8. No paint containing lead or lead products shall be used except in the form of paste or readymade paint. 9. Suitable facemasks should be supplied for use by the workers when the paint is applied in the form of spray or surface having lead paint dry rubbed and scrapped. 10. Required facilities shall be supplied by the Contractor to the painters and adequate facilities shall be provided to enable the working painters to wash during the periods of cessation of work. 11. Hoisting machines and tackle used in the works, including their attachments, anchorage and supports shall be in perfect condition. 12. The ropes used in hoisting or lowering material or as a means of suspension shall be of durable quality and adequate strength and free form defects Page 14 of 18

15 12 AGREEMENT TO BE SIGNED BETWEEN CLIENT AND CONTRACTOR Articles of Agreement made on this. between., hereinafter called the Employer which expression shall include his/her heirs, executors, administrators and assignees of the One part.. hereinafter referred to as Contractor which expression shall include his/hers, executors, administrators and assignees of the other part. Whereas the Employer is desirous of carrying out the work for Construction and Commissioning of Bio gas Plants for waste management has caused drawings and specifications describing the work proposed by the Employer. And whereas the said specifications and schedule of the quantities have been signed by or before of the parties hereto: And whereas the Contractor has agreed to execute upon and subject to the conditions set forth herein and to the conditions set forth in the specific conditions, unit rate specifications, technical specifications and in the schedule of quantities and other conditions of contract (all of which are collectively herein referred to as the said conditions and forming part and parcel of this articles of agreement), the work shown upon the said drawings and or described in the said specifications and include the said schedule of quantities at the respective rates therein set forth amounting to the sum as therein arrived at or such other sums as shall become payable there under (hereinafter referred to as the said contract amount.) NOW IT IS HEREBY AGREED AS FOLLOWS: 1. In consideration of the said contract amount.. (Rupees. only) for Construction and Commissioning of Bio gas Plants for waste management to be paid at the time and in the manner set forth in the conditions. The contractor shall upon and subject to the conditions execute and complete the work, shown upon the said drawings and/or described in the said specification and the schedule of the quantities at the agreed rates. 2. The employer shall pay the contractor they said contract amount or such other sum that may become payable at times and in the manner hereinafter specified in the said conditions. 3. The term The Architects /consultant (in the said conditions) shall mean the Head and supporting staff of ISI, Bangalore Centre. In the event of their ceasing to be the architects Page 15 of 18 And

16 for the purpose of this contract, such other person or person as shall be nominated for that purpose by the Employer, shall be The Consultant provided always that no person or persons subsequently appointed to be the Architects under this contract shall be entitled to disregard or over rule any previous decisions expressed in writing by the Architects for the time being. 4. The employer shall have the right to consult and/or seek expert opinion in any matter connected with the quality / quantity/ specifications /or any other relevant aspect of the said work. 5. The said conditions or any other conditions thereto shall be read and construed as forming part of this agreement and the parties hereto shall respectively abide by and submit themselves to the said conditions and perform the agreements on their part respectively. 6. The plans, agreements and the related tender documents herein shall form the basis of the contract. 7. The contract is neither a fixed lumspum contract nor a piece work contract, but is a contract to carry out the work in respect to the entire work to be paid for, according to the actual measured quantities at the rate contained in the schedule of rates and/or on agreed and probable quantities or as provided in the said conditions. 8. The employer reserves to himself the right of altering the drawings and the nature of work by adding or omitting any items of work from the contract or having portions of the same carried out without prejudice to this contract. 9. The Contractor shall offer every reasonable facility for the carrying out of all works relating to installations of sanitary works and fittings, permanent water supply, electrical installations/fittings, lifts, telephones, air conditioning etc., in the manner laid down in the said conditions. 10. The employer reserves the right to levy a penalty at the rate of 0.5 percent (half percent) of the total contract value per week of delay subject to a maximum of 4.5 percent (four and half percent) of the total contract value after which the contract would stand rescinded. 11. Time shall be considered as the essence of this agreement and the contractor do hereby agree to commence the work within seven days from the date of issue of formal work order or immediately after handing over of site whichever is earlier as provided for in the said conditions and to complete the entire work within the specified period nevertheless to the provision for extension of time.
