The Concession Area is within 1 (one) km of Archaeological Survey of India ( ASI ) protected monument, Sri Kumaraswamy Temple and Sri Parvathi Temple. Reference is made to the judgment of the Supreme Court in K Guruprasad Rao v State of Karnataka, Civil Appeal No of 2013, where the Supreme Court, with a view to protect the monuments in Karnataka, instructed a Committee appointed by the Supreme Court to undertake assessment of the impact of mining near protected monuments in Karnataka. Upon receipt of an assessment report of the impact of mining by the aforesaid committee, the State Government may become obligated to prohibit mining operations in the whole or part of the Concession Area. (1) Prohibition of Mining in the Entire Concession Area: In the event the State Government decides, upon consideration of the report of the Committee, to prohibit mining operations in the entire Concession Area, the State Government shall, without incurring any obligation or liability, cancel the tender and bidding process in respect of the Concession Area. In such event: a. The bid process shall stand annulled; b. The Bid Security, if received, shall be returned; c. Any portion of the Upfront Payment received shall be returned, after adjustment in accordance with Clause 12.1 (if applicable); d. The Performance Security, if received shall be returned; e. Subject to Successful Bidder furnishing suitable supporting materials certified by its statutory auditors, any expenditure incurred by the Successful Bidder on implementation of the R&R Plan shall be Information Memorandum/ Mine Block Summery Page 6

7 reimbursed by the State Government to the Successful Bidder at actuals. f. Any consents, approvals, permits, no-objections and the like including the Mining Lease and any existing statutory approvals/ clearances transferred in favour of the Successful Bidder, shall lapse; and g. The MDPA, if executed, shall be immediately terminated. The amounts to be returned to the Bidders, the Preferred Bidders and/ or the Successful Bidder, as the case may be, shall be returned within 30 (thirty) days of the decision to cancel/ annul the bid process, or terminate the MDPA, as the case may be. (2) Prohibition of Mining in a Portion of the Concession Area: In the event that the State Government upon consideration of the report of the Committee decides to prohibit mining in only a part of the Concession Area, the following steps shall be undertaken by the State Government (in each case, without incurring any obligation or liability), as per the timing of the said decision: Timing of the decision of the State Government At any time before declaration of Preferred Bidder Steps undertaken The bid process shall stand annulled. The Bid Security, if received, shall be returned. The State Government may (at its sole discretion), thereafter start a fresh bidding process in respect of the revised Concession Area. After declaration of Preferred Bidder but before declaration of Successful Bidder The Concession Area shall be revised in accordance with the decision of the State Government. 8 revise his Final Price Offer, then the bid process will be annulled and the State Government shall cancel the letter of intent, return the Bid Security and return the first instalment of the Upfront Payment, if received, to the Preferred Bidder. The State Government may (at its sole discretion), thereafter starts a fresh bidding process in respect of the revised Concession Area. At any time after Declaration of Successful Bidder The Concession Area shall be revised in accordance with the decision of the State Government. If the Successful Bidder is unwilling to carry out the operations or wishes to revise his Final Price Offer, then: a. Any portion of the Upfront Payment received shall be returned after adjustment in accordance with Clause 12.1 (if applicable); b. The Performance Security, if received shall be returned; c. Subject to Successful Bidder furnishing suitable supporting materials certified by its statutory auditors, any expenditure incurred by the Successful Bidder on implementation of the R&R Plan shall be reimbursed by the State Government to the Successful Bidder at actuals. d. Any consents, approvals, permits, no-objections and the like including the Mining Lease and any existing Information Memorandum/ Mine Block Summery Page 8

9 statutory approvals/ clearances transferred in favour of the Successful Bidder, shall lapse; and e. The MDPA, if executed, shall be immediately terminated and the State Government may (at its sole discretion), thereafter start a fresh bidding process in respect of the revised Concession Area 4 Clause 18.4 MDPA New Clause Full or partial prohibition of mining activity. (a) Parties understand that the Lease Area is within 1 (one) km of Archaeological Survey of India ( ASI ) protected monument, Sri Kumaraswamy Temple and Sri Parvathi Temple. Reference is made to the judgment of the Supreme Court in K Guruprasad Rao v State of Karnataka, Civil Appeal No of 2013, where the Supreme Court, with a view to protect the monuments in Karnataka, instructed a Committee appointed by the Supreme Court to undertake assessment of the impact of mining near protected monuments in Karnataka. (b) Parties expressly acknowledge that upon receipt of an assessment report of the impact of mining by the aforesaid committee, the State Government may become obligated to prohibit mining operations in the whole or part of the Lease Area. 10 suitable supporting materials certified by its statutory auditors, any expenditure incurred by the Successful Bidder on implementation of the R&R Plan shall be reimbursed by the State Government to the Successful Bidder at actuals. iv. Any consents, approvals, permits, noobjections and the like including the Mining Lease and any existing statutory approvals/ clearances transferred in favour of the Successful Bidder, shall lapse; and v. This Agreement shall be immediately terminated. The amounts to be returned to the Successful Bidder shall be returned within 30 (thirty) days of the decision to terminate this Agreement. (d) Prohibition of Mining in a Portion of the Lease Area: In the event that the State Government, upon consideration of the said report, decides to prohibit mining in only a part of the Lease Area and if the Successful Bidder is unwilling to carry out the operations, then: i. Any portion of the Upfront Payment received shall be returned, after adjustment in accordance with Clause (if applicable); ii. The Performance Security shall be returned; iii. Subject to Successful Bidder furnishing suitable supporting materials certified by its statutory auditors, any expenditure incurred by the Successful Bidder on implementation of the R&R Plan shall be reimbursed by the State Government to the Successful Bidder at actuals. iv.
