3 MUNICIPAL CORPORATION, SAS NAGAR TERMS AND CONDITIONS OF PAID PARKING AREAS 1. Period of license:- The period of license will be initially for one year and may be extended up to a maximum of three years, on year-to-year basis, subject to satisfactory performance of terms and conditions by the licensee.if the license periods is extended, the license fee will be increased by 10% each year. In case of extension of the license, the licensor shall be at liberty to modify the terms and conditions of the license by giving due notice to the licensee in order to ensure smooth functioning of paid parking system provided the same are in public interest and such modifications do not have any adverse financial implication on the licensee but at the discretion of Commissioner, MC, Sahibzada Ajit Singh Nagar. In case the licensee desires to get the license extended beyond one year, he / she shall have to submit the consent three months prior to the date completion of first year of license. The license shall also get extended the Bank Guarantee for one year in addition to already submitted Bank Guarantee. 2.Reserve prise for each PPA is as mentioned below :- Sr. No. Location of PPA Kind of PPA Reserve price Rupees in Lac Per year. Eligibility Criteria: a) Each participant of auction shall deposit earnest money deposit equivalent to 10% of the reserve price before the commencement of the auction. The Earnest Money Deposit

4 should be in shape of DD drawn in favour of Commissioner, Municipal Corporation, SAS Nagar of an amount as mentioned above. b) Original EMD,DD as cost of tender document and online payment receipt of Processing fee will have to be submitted in the office of Municipal Corporation, Sahibzada Ajit Singh Nagar in sealed envelope with location of PPA mentioned on the envelope on or before 5.00 P.M on No earnest money,dd and online payment will be accepted after this. c) Bidders/ Tenderer, can access tender documents on the website, after filling can submit the completed tender and document in a Electronic Tender on the website itself. Separate tender documents worth Rs 1000/- ( Non- Refundable) have to be submitted for each PPA. Bidders /Tenderer shall upload self attested scanned copies of all the papers i.e. payment of Earnest Money deposit cost of tender document & all the certificates as required in eligibility criteria. d) Each applicant should submit an affidavit that he/she has not been blacklisted by any Government department or any autonomous body. e) The technical bid along with earnest money deposit should be submitted for each PPA separately in separate sealed envelopes super scribed as technical bid for PPA of The envelope should contain the following documents:- i) Signed copies of auction notice. ii) Signed copies of instructions to the applicants, terms and conditions of licence and technical qualification. iii) Earnest Money Deposit in shape of DD drawn in favour of Commissioner, Municipal Corporation, SAS Nagar of an amount as mentioned above. iv) A copy of PAN of applicant. v) An affidavit that the applicant is not blacklisted by any Govt. Department or concerned autonomous body. 4. The bid shall be regarded as constituting an offer open for acceptance at the discretion of Commissioner, Municipal Corporation, SAS Nagar. 5. The documents are not transferable. 6.Financial Bid: The Tender/Financial bid will be accepted and will be opened only if the technical criteria is fulfilled.financial bid/ quote should be made in the Performa (Annexure-1). 7. Security Deposit:- The licensee shall deposit security of following amounts and in following manners:- (a) Bank Guarantee (BG) of amount equivalent to 3 months license fee in favour of Commissioner, Municipal Corporation SAS Nagar within 10 days of issue of letter of intent. The bank guarantee should be valid for a period of 18 months to cover the period of 1 year of license and another 6 months for finalization/closing of accounts. The Performa for BG shall be provided by Corporation.

5 (b) In addition to the BG the license shall deposit an amount equivalent to one months license fee in advance, 11 Post dated cheques for payment of left over 11 months license fee each amounting to the license fee of one month within 10 days of issue of letter of intent in shape of cheque in favour of Commissioner, SAS Nagar.The post dated cheque should bear the date 7 th concerned month of the year. 8. Payment of license fee: 1 st installment of License fee shall commence within one month from the date of taking over the possession of Paid Parking Area. 9. Increase in license fee: In case of any upward revision in parking fee during the period of license, the license shall be liable to pay additional license fee, which will be calculated proportionate to the percentile increase in parking fee. 10. Late payment of installment/license fee:- In case of late payment of license fee, the licensee shall be liable to pay interest at rate of 12% per annum from the first day of the month on which the payment falls due and up to the date of actual payment but not later than 30 days in any case. In case the payment is not made within 30 days of the due date, the Additional Commissioner/ Joint Commissioner shall reserve the rights to cancel the license and forfeit dues equivalent to the outstanding dues along with interest from the security deposit and other incidental damages. Upon cancellation of the license, the license shall be liable to hand over vacant possession of the parking area to the Engineer Branch, MC, Sahibzada Ajit Singh Nagar. 11. License deed:- The license shall execute License Deed on stamp papers of Rs. 300/- within 10 days from the issue of allotment letter. All costs in this regard shall be borne by the licensee. The original copy of license deed shall be deposited with licensor. The licensee will be given 15 day grace period from the date of issue of letter of intent/ allotment. The period of license deed will begin on the very next day of expiry of 15 days grace period. Area of parking in each phase will be as marked on maps duly attested by A.T.P, M.C. Sahibzada Ajit Singh Nagar. 12. Usage of premises:- i) The licensed premises/site shall be used only for allowing parking of vehicles for which the license is granted. ii) iii) iv) The license shall have to hand over vacant possession of the site/premises to the Engineer Branch, MC, Sahibzada Ajit Singh Nagar on the expiry or termination or cancellation of license as the case may be. The license shall not transfer/sublet the license to a third party directly or indirectly. The license shall install suitable size of boards at entry point indication therein that user is entirely responsible for getting the token issued at the entry point. In case he does not produce the token or loses it, he will be liable to pay penalty of Rs. 20/- in case of fourwheeler and Rs. 10/- in case of a two-wheeler and produce two sureties.

6 v) The licensee will not permit any Rehari/Fari and any type of advertisement in the parking area without the permission of Municipal Corporation. The licensee will install a board of 6x4 feet size showing the rates of parking. vi) vii) viii) The Additional Commissioner/ Joint Commissioner, MC, Sahibzada Ajit Singh Nagar or any authorized official may enter upon the premises at any reasonable time and in any reasonable manner to inspect the premises for ascertaining that the licensee is duly observing terms and conditions of allotment. A register shall be maintained at the parking site for recording of comments/instructions of inspecting officer. The licensee shall ensure that there is no mis-management, mis-conduct, misbehavior or any obnoxious act on his part or by employees appointed by him. In case of any report/complaint, the decision of the Additional Commissioner/Joint Commissioner, MC, Sahibzada Ajit Singh Nagar for imposing any penalty or such other action as may be considered proper in the interest of public services shall be final and acceptable to the licensee. However, the Additional/Joint Commissioner will give an opportunity of hearing to the licensee and his employees before taking any decision. 13. All the parking attendants/supervisor will wear the name plates. They should have minimum qualification of middle pass and should not have age less than 18 years. In case of any default the license shall be liable to pay penalty of Rs. 500/- per day. 14. The license will supply the list of staff employed by him for the paid parking areas every month. In case default the license shall be liable to pay penalty of Rs. 2000/- per month. 15. The licensee will ensure that all the vehicle entering the parking area are parked in a proper manner. When the parking is full, the licensee will put a board at the entry point that parking is full. 16. Before commencing the work, the license will get the entire system of parking checked by the Municipal Corporation. 17. The Licensee will not charged any fee from the vehicle parked outside the parking area. If any such incidence comes to the notice of this corporation. The contract will be canceled. 18. The licensee will put up a board showing the rates of parking at the entry point of parking area. 19. Licensee will keep dustbin near the ticket issuing electronic machine and at the exit point of parking area to drop the used tickets or any other waste paper. 20. Official vehicles of all government, semi government officers and personal vehicle of employees of Municipal Corporation will be exempted (on production of official Identity Card) from parking fee.

7 21. Issue of Parking Slips: - The parking slips shall be issued at the entry point by the licensee. The parking fee will be paid at the entry point. The parking slips will be collected by the license at the exit gate. The License shall use an Electronic ticketing machine for issue of parking slips. In case of default penalty of Rs. 500/- shall be imposed on per day. 22. CCTVs:- The Contractors will install CCTVs at all the entry / exit gate of each paid parking area for recording the registration numbers of the vehicles at entry and exit gates within one month from the date of taking over the physical possession of Paid Parking Areas failing which he shall be liable to pay a penalty of Rs. 5000/- per month, per parking. The license shall keep the recording of CCTV camera for at least 7 days which shall be submitted as and when desired by the authorities. 23. Parking fee:- The license shall charge parking fee at rates as given as under:- S. No. Type of Vehicle Parking fee in Rs. 8 ( j ) Three Wheeler for parking only Rs. 5/- per entry for parking.. The licensee will supply the detail of monthly passes issued by him for the paid parking area on 7 th of every month in the office of Corporation. 24. Multiple Entry- Day Parking Pass:- The multiple entry day parking passes shall be issued by the licensee for his/ her parking area only at rates as mentioned in schedule of parking fee. Such passes shall be valid for multiple entries in the parking area from which the pass has been obtained. 25. Monthly Parking Passes:- Monthly parking passes for pass parking area only will be issued by the licensee for pass parking areas falling within his own PPA. Preference will be given to shopkeepers of the area and employees of govt./semi govt./ private/ shops located in the parking area. The no. of passes issued by Licensees shall not be in excess of two times the capacity of pass parking area under any circumstances. 26. Parking fee exemptions:- No parking fee shall be charged from handicapped persons & three wheelers who enter parking area for dropping passengers and cycles/ rickshaws. 27. Parking Penalty : - The licensee fee shall be liable to pay penalties, if so ordered by the Additional/Joint Commissioner, on account of Commission of any violation, as under:- Sr. No Violation 1. 9 6. Parking of vehicle(s)in unauthorized area or haphazard parking 10 times Of parking fee par Vehicle. The Licensee is liable to deposit the amount of penalty imposed upon him, if any, with this office within a period of 10 days from the date of issue of orders of such penalty.in case the Licensee does not deposit the amount of penalty imposed upon him, with the office, within a period of 10 days from the date of issue of orders of penalty. On expiry of this period the amount will be deducted from the bank guaranty. 28. Taxes:- The licensee shall be liable to pay service tax and all other taxes as applicable and as imposed by any competent authority, from time to time, during the occurrence of the licensee period directly to the concerned authority. 29.Damage of property:- The licensee shall be responsible for protecting the property of the MC, Sahibzada Ajit Singh Nagar during the licensee period and he shall be liable to pay in case of damage, if any. The damage will be assessed by Addl./Joint Commissioner in consultation with the Engineering Department of MC, Sahibzada Ajit Singh Nagar. 30. Theft of vehicles: - The licensee shall be responsible for theft(s) of vehicle(s) from parking areas. But, the licensee shall not be liable for theft of any article(s) kept in the vehicle or for damage caused to the vehicle(s) while parked in the parking area. The contractor shall not be held responsible for any theft/ damage to the vehicle before and after parking hours, even though the parking token was issued. 31. Uniform: - All employees of the licensee shall wear proper uniform as mutually decided by license and Municipal Corporation during duty hours. 32. Sign Boards: - Appropriate sign boards shall be provided by the licensee at the site duly indicating the name of the licensee his /her telephone number(s) and rates of parking fees in three languages i.e. English, Punjabi and Hindi. 33. Complaints:- A complaint box, duly sealed, shall be provided by the contractor at the parking area. The licensee shall be responsible for its security. The employees and the attendants of the licensee at the parking site shall be treated as his authorized representative(s) for all intents and purpose.they shall be liable to receive instructions from authorized officers /officials of the MC, Sahibzada Ajit Singh Nagar. The licensee shall be present at the premises if he has been informed in advance of any site inspection by the officers. 34. Temporary closure of parking area:- The Additional / Joint Commissioner may close the parking area in case the parking area is required to be closed temporarily due to any unforeseen

10 reason(s) or administrative reason(s).the MC, Sahibzada Ajit Singh Nagar shall duly compensate for the closed period on pro- rata basis. 35. Timings of parking: - The timing of the parking shall be from 8.00A.M to P.M. The agency / licensee will ensure that parking attendants are available for watch and ward of vehicles. In case of default penalty Rs.500/- shall be imposed on each occasion. 36.The existing taxi stands in the paid parking areas shall continue to function as earlier but at the space specially earmarked for them and the number of taxi allowed in concerned taxi stand will not be charged any parking fee. 37. Temporary shelter(s):- The licensee as per requirement shall construct one temporary shelter/structure in each parking area for duty staff at the entry/exit point. The design of the shelter/structure shall be approved by Additional Commissioner( Technical), Municipal Corporation, SAS Nagar.This shelter bear the name, telephone number(s) of the licensee and details of licensee fee. 38. Address of licensee:- The licensee shall declare his postal and permanent address and same shall be got verified from the concerned District Magistrate. The licensee shall submit residential proof e.g. copy of ration card/electricity bill, voter identity card etc. In case of any change of residential address the licensee shall duly intimate the same to the Add./joint Commissioner, MC, Sahibzada Ajit Singh Nagar. 39. In order to prevent harassment of public, no permanent barrier shall be permitted at entry / exit points of parking area. 40. Subsequent increase in parking area, if any: - The Corporation reserves all rights to increase or decrease the parking area. The licensee shall be compensated, on pro-rata basis for decrease in area. But the licensee shall be liable to pay additional licensee fee for any increase in area on pro-rata basis. 41. Employees of licensee:- All persons employed by the licensee in parking area shall be the employees of licensee for all intents and purposes and such employees shall have no relationship, what so ever, with the MC, Sahibzada Ajit Singh Nagar.The licensee will pay minimum wages to his employees at rates as fixed by the Labour Commissioner, SAS Nagar Administration, from time to time. The licensee shall not engage persons of age less than 18 years.the licensee shall comply with all provisions contained in the Labour/EPF/ESI Acts rules framed there under. 42. Display of advertisements :- The licensee shall not display any type of advertisement(s) in the parking area or on parking slips. 43. Remission: No remission shall be allowed in general on account of any region, however, in exceptional circumstance involving natural calamities / National /State causes which may occur beyond the control of any person, Municipal Corporation may conceder the reasons on case to case basis on facts and circumstance subject to the verification / confirmation by the concerned

11 department, this shall be in extraordinary circumstance. The decision of competent authority in this regard shall be final and binding upon all. 44. Competent Authority :For the purpose of this contract, Commissioner or any other officer authorized by him shall be competent authority and his / her decision shall be final and binding on the parties to the contract. 45. Handing over of PPA on expiry / termination of contract: On the completion / expiry / termination of the contract, the licensee shall handover the PPA along with all the infrastructure created (Fencing / Railings /CCTV cameras etc.) to the Municipal Corporation as these will become the property of Municipal Corporation. The contractor will not have any lien with the PPA and Municipal Corporation will remain the sole proprietor of the PPA and infrastructure created. 46. Cancellation of license:- The license shall be liable to be cancelled by the Additional/Joint Commissioner in case of occurrence of any of the following event(s) and in the manner as mentioned against each:- a) Non verification of antecedents of licensee:- In case of non/ adverse verification of antecedents of the licensee by the District Magistrate of place of residence of licensee within 45 days of issue of letter by the Additional/Joint Commissioner, the MC, Sahibzada Ajit Singh Nagar shall be at liberty to cancel the license and forfeit security deposit of an amount equivalent to 3 months license fee by giving one month notice. b) In case it is found at any stage during the currency of license period that the licensee or any of his partners/ associates is/was a defaulter of MC, Sahibzada Ajit Singh Nagar or debarred/blacklisted by MC, Sahibzada Ajit Singh Nagar, without giving any notice c) Theft of vehicle(s) form parking area due to negligence on the part of the licensee:- In case of theft of vehicle(s) from parking area due to negligence on the part of licensee after giving opportunity of personnel hearing to the licensee. 47. Termination of licensee:- The licensee shall stand terminated automatically on completion of license period. The licensee can request, after running the Paid Parking Area at least a minimum period of three months from the date of taking over possession, for premature termination of licensee by giving 3 months notice or by depositing money equivalent to 3 months license fee. In case of default, the licensee fee of three months shall be forfeited. If the licensor wants to terminate the license deed before the expiry date then the licensor will give at least one month notice or pay money equal to one month license fee. The licensee who surrenders the PPA shall not be permitted for bidding in the re-auction of same PPA immediately after the surrender. 48. Arbitration :- All disputes and differences arising out or in any way touching upon this licensee deed, whatsoever,shall be referred the sole arbitration of the Commissioner, Municipal Corporation, SAS Nagar or any officer deputed by him to act as arbitrator.the decision of the

12 arbitrator shall be final and binding on both the parties. The provisions of Arbitration and Consolation Act, 1996, and Rules framed there under any statutory modification /amendments thereof for the time being in force shall apply for such arbitration. It shall be an essential term of this contract that in order to avoid frivolous claims the party invoking arbitrator shall specify the disputes based on facts and calculations stating the amount claimed under each claim and shall furnish a deposit-at-call for ten per cent of the amount claimed, in a scheduled bank in the name of Arbitrator, by his official designation who shall keep the amount in deposit till the announcement of the award. In the event of an award in favour of the claimant, the deposit shall be refunded to him in proportion to the amount awarded with respect to the amount claimed and the balance if any shall be forfeited and paid to the other party. 49 Jurisdiction of courts:- All disputes shall be subject to the jurisdiction of courts in SAS Nagar only. 50.Corrigendum/Addendum /Corrections, if any will be published on the website only and no separate notice will be issued in any news paper.
