4 NOTICE INVITING TENDER Telangana New & Renewable Energy Development Corporation Ltd (TNREDC), Hyderabad, a State Government Company, on behalf of Salar Jung Museum, Hyderabad, invites sealed bids under two bid system ( technical and financial ) from registered solar photovoltaic (SPV) suppliers / manufacturers / system integrators empanelled with TNREDC or approved channel partners of Government of India, Ministry of New and Renewable Energy for design, supply, installation, testing and commissioning along with five years comprehensive maintenance contract of 500 KWp ( 5 x 100 KWp) grid connected solar rooftop PV power plant at the rooftop of Central, Eastern and Western Blocks of Salar Jung Museum, Hyderabad under net metering policy (available at TNREDC web-site : and TSTRANSCO website of State Government. The estimated cost of the tender is about 450 lakhs that could vary depending upon the actual work. Government of India, Ministry of New & Renewable Energy (MNRE), provides Central Financial Assistance for Solar rooftop systems up to 30% of its system cost. Sealed bidding documents (Technical Bid along with Earnest Money Deposit and Financial Bid) duly filled in as per the instructions of the Tender Document should be addressed to the Vice-chairman & Managing Director, Telangana New & Renewable Development Corporation Ltd., /2, Pisgah Complex, Nampally, Hyderabad and must reach latest by before 3.00 PM. 5 The sealed bidding document can either be delivered in person at the office of TNREDC, Hyderabad or could be sent by post/ courier to Telangana New and Renewable Energy Development Corporation Ltd., /2, Pisgah Complex, Nampally, Hyderabad so as to be received by the TNREDC by the stipulated date and time. Tender documents can be downloaded from website and an amount of Rs. 15,000/- plus 14.5% VAT towards cost of tender document should be furnished along with the bidding documents and EMD by way of Demand Draft drawn in favour of Vicechairman & Managing Director, TNREDC Ltd., payable at Hyderabad. Bidding documents submitted without cost of tender document and requisite EMD shall be summarily rejected ab initio. The Technical Bids shall be opened on at PM.TNREDC Ltd., Hyderabad in the presence of such bidders or their authorized representatives who wish to be present. The Financial Bids of only those bidders shall be opened who quality in the Technical Bids. The date, time and venue of opening of financial bids shall be intimated to the technically qualified bidders. 7 11 Price Bid Opening Date and Time The date, time and venue of opening of financial bids shall be intimated to the technically qualified bidders. 12 Security Deposit 5% of the total quoted price by way of Demand Draft drawn in favour of TNREDC Ltd, payable at Hyderabad or equivalent amount of Bank guarantee from a scheduled bank. Note: 1. The Tender document can be downloaded from and the cost of tender document shall be enclosed by way of demand draft of Rs. 15,000/-Plus 14.50% VAT drawn in favour of TNREDC Ltd, payable at Hyderabad and this D.D. is to be inserted in the technical bid of the tender document. 2. In respect of Minimum eligibility criteria (S.NO 3 above), relevant attested copies of approval of MNRE/TNREDC shall be submitted along with Technical bid. 3. All relevant required documents along with evidences are to be inserted in technical bid, and only quoted rates (as per Format enclosed) is to be inserted in the financial bid. 4. Financial bid will be opened of those bidders who would duly qualify in the technical bid. 5. There will not be any exemption towards payment of EMD. 6. A pre-bid meeting will be held, for addressing the clarifications, on the date and time mentioned in the Tender Data sheet or any other date decided by TNREDC. 9 SECTION 1 INTRODUCTION ELIGIBILE TENDERERS The Tenderer shall provide sufficient documentary evidences to satisfy the following conditions that the Tenderer: (a) Is an indigenous manufacturer of the Solar PV Systems or experienced contractor in the field of Solar PV Power Plant. (b) The Tenderer fulfills the terms and conditions of eligibility as an indigenous manufacturer of Solar PV Systems in accordance with the guidelines of Ministry of New and Renewable Energy, Government of India. (c) Has adequate plant and manufacturing capacity available, to perform the works properly and expeditiously within the time frame specified in the tender document. (d) Has established quality assurance systems and organization designed to achieve high level of equipment reliability in manufacturing of the Solar Systems. (e) Has adequate financial stability and status to meet the financial obligations pursuant to the scope of work. The firm must have cumulative annual turnover of minimum 1500 Lakhs during the last three years i.e., from to financial years. Relevant documents certified by a Chartered Accountant shall be enclosed. (f) Has experience of manufacturing, supply installation, testing, installation / commissioning and maintenance/after sale services in the TNREDC Page 9 Bidder s Signature
10 field of Off Grid Solar PV systems of more than 1000 KW cumulative capacities in the last three years period, with a minimum capacity of 100 KWp at each of the location. The details must be submitted in the Proforma given in Technical- Bid section of tender document. (g) Has adequate field service setup to provide good after sale services including necessary repair and maintenance. (h) Has provided good after sale services for the works done by him during past years. (i) Has Valid Test Certificates of the Solar PV Power Plant as specified and required in the Technical- Bid of this tender document. (j) Fulfills all requirements as per provisions under JNNSM, MNRE, GOI. (k) The bidder shall be required to have adequate post installation localized service facilities/ centers (l) All the components including Power plant, software s and other components mentioned above should be quoted as a single item. No partial quotes are accepted. For all the equipment the bidder should have an authorisation certificate from OEM. The above stated requirements are compulsory to be fulfilled by the tenderer and TNREDC may also ask for any additional information as may be deemed necessary in public interest. 11 SECTION 2 THE TENDER DOCUMENT 2.1 CONTENT OF TENDER DOCUMENT The tender procedure and contract terms are prescribed in the tender document. In addition to the invitation of tender, the tender document includes the various other documents as given in the table of particulars of tender The tenderer is expected to examine all instructions, terms and conditions, specifications, forms and formats etc as mentioned/ enclosed in the tender document. Failure to furnish all information required in the tender document or submission of a tender not substantially responsive to the tender document in every respect will be at the tenderer s risk and is likely to result in out-right rejection of the tender. 2.2 INFORMATION REOUIRED WITH THE PROPOSAL The tender must clearly indicate the name of the manufacturer, the types and model & make of each principal item of equipment proposed to be supplied. The tender may also contain details of specifications and other comprehensive descriptive materials in support of technical specifications The above information may be provided by the Tenderer in the form of separate sheets, specifications, catalogues etc Any tender not containing sufficient descriptive material to describe the proposed equipment may be treated as incomplete and hence may be rejected. Such descriptive materials and specifications submitted by the Tenderer will be retained by TNREDC. Any deviations from these will not be permitted during the execution of contract, without specific written permission of TNREDC. 2.3 CLARIFICATION OF TENDER DOCUMENT TNREDC Page 11 Bidder s Signature
12 2.3.1 Any prospective tenderer requiring any clarification on the tender document regarding various provisions / requirements/ preparation/ submission of the tender, may contact TNREDC in writing by letter or fax/ before 48 hours of closing time of the tender. Queries received later shall not be entertained Verbal clarifications and information shall not be entertained in any way AMENDMENTS IN TENDER DOCUMENT At any time prior to the due date for submission of the tender or even prior to the opening of the financial bid, TNREDC may for any reason, whether at its own initiative or as a result of a request for clarification/ suggestion by a prospective tenderer, amend the tender document by issuing a notice The amendments will be notified on the website at least 2 days before the proposed date of submission of the tender. TNREDC will bear no responsibility or liability arising out of non receipt of the information in time or otherwise. If any amendment is required to be notified within 2 days of the proposed date of submission of the tender, the last date of submission shall be extended for a suitable period of time In case amendments is notified after submission of the tender (prior to the opening of financial bids), all the tenders received by TNREDC shall be returned in sealed condition to the concerned tenderer through registered post or courier, for getting their offer revised according to the amended terms and conditions. 13 PREPARATION OF TENDER 3.1 LANGUAGE OF TENDER AND MEASURE The tender prepared by the tenderer along with all the related documents shall be in English. Unit measurements shall be metric in accordance with International System. All correspondence between the tenderer and TNREDC shall also be in English. 3.2 EARNEST AND SECURITY MONEY The tenderer shall furnish earnest money of Rs. 12,50,000/- as mentioned in the Particulars of Tender in the shape of DD in favour of VC& Managing Director, TNREDC, payable at Hyderabad. Bank guarantee can also be submitted in place of DD towards EMD amount from any Nationalized/scheduled bank in favour of VC & Managing Director, TNREDC, Hyderabad, as a part of the tender. The bank guarantee should be valid upto Tenders without EMD shall be rejected by TNREDC as being non-responsive. No interest shall be paid by TNREDC on the amount of earnest money deposit deposition as well as deposition of Security Deposit The earnest money may be forfeited:- a) If a Tenderer withdraws his tender during the specified period of validity of offer. b) If the successful Tenderer fails to accept the order issued by TNREDC to execute the work The earnest money of the successful Tenderer shall be released at the time of payment of Security Deposit. 14 deposit security money amounting to 5% of the quoted price in the form of DD/ Bank guarantee from any nationalized/scheduled bank in favour of TNREDC, Hyderabad. The bank guarantee should be valid upto No interest shall be paid by TNREDC on the amount of security money deposit The authority reserves the right of awarding the work. The earnest money of such selected Tenderer shall also be released or adjusted towards Security Deposit after receiving the consent to work along with payment towards Security Deposit. The earnest money of such Tenderer shall be forfeited if they fail to furnish Security Deposit within 10 days from the date of issue of work order The earnest money of all unsuccessful bidders shall be released soon after selection of selected bidder against submission of their written intimation regarding acceptance of work and deposition of security deposit amount The Security Deposit amount or Bank guarantee will be released on completion of installation and successful operation of the system for a continuous period of 3 months. 3.3 PERIOD OF VALIDITY OF TENDER Validity of the offer should be 3months from the proposed date of opening of the Technical bid. Tenders without this validity will be rejected In exceptional circumstances, TNREDC may solicit the consent of the tenderers to an extension of the period of validity of offer. The request and the response there of shall be made in writing. 3.4 FORMATS AND SIGNING OF TENDER The tender must contain the name and places of business of TNREDC Page 14 Bidder s Signature
15 the firm/person/persons participating in the tender and must be signed and sealed by the Tenderer with his usual signature. The name and designation of all persons signing the tender document should be written below every signature. Tender by a partnership firm must be furnished with full name of all partners with a copy of partnership deed The original copy of the tender should be typed or written in indelible ink and must be signed with the legal name of the corporation/ company by the President/ Managing Director/ Secretary of the firm or a person duly authorized to bid. In case of authorized person the letter of authorization by written power-of-attorney should be enclosed with the technical bid of the tender. The person or persons signing the tender shall initial all pages of the tender document The tender shall contain no interlink actions, erasers or overwriting except as necessary to correct the errors made by the tenderer in the preparation of tender. The person or persons signing the tender shall also sign at all such corrections. 3.5 PRICE AND CURRENCIES The tenderer shall have to submit their rates in Indian Rupees only including all latest applicable taxes & duties of Govt. of Telangana as well as Govt. of India. Moreover, TNREDC will not be responsible for providing Road permits. It is to be obtained by the selected bidder only and necessary Entry Tax (as admissible) will have to be borne by the selected bidder if any. 16 SECTION 4 SUBMISSION OF TENDER 4.1 SEALING AND MARKING OF TENDER The tender must be complete in all technical and commercial respect and should contain requisite certificates, drawings, informative literature etc. as required in the tender document In Technical bid( sealed envelope) (Envelope-A), the following documents are to be inserted:- (1). Copy of Registration 2) cost of the tender document by way of DD 3) Copy of AP VAT/GRN, CST, PAN, Service Tax registration No. 4.) System Test certificates 5) Proof of Company s local office including contact telephone no. of local people. Requisite earnest money, brochures, literature and other documents regarding technical specifications. Each page of the tender document should be signed & stamped. Tenders with any type of change or modification in any of the terms/ conditions of this document shall be rejected. 18 5.1 OPENING OF TENDER SECTION 5 TENDER OPENING AND EVALUATION The procedure of opening of the tender shall be as under: First envelop (Envelope-A) super scribed Tender for Design, Supply, Installation,Testing & commissioning with five years comprehensive maintenance contract of 500 KWp (5x100 KWp) Grid connected Solar Rooftop PV Power Plant at Salar Jung Museum, Hyderabad - Earnest Money and Technical Bid shall be opened by TNREDC/Salar Jung Museum representatives at the time and date mentioned in the Particulars of Tender, in the presence of tenderers who choose to be present. The financial and technical suitability of offers will be examined by TNREDC in detail. If required, clarifications regarding the suitability of the offers will be obtained Second envelope (Envelope-B) super scribed Tender for Design, Supply, Installation,Testing & commissioning with five years comprehensive maintenance contract of 500 KWp (5x100 KWp) Grid connected Solar Rooftop PV Power Plant at Salar Jung Museum, Hyderabad of only those tenderers shall be opened whose technical bid is found responsive, suitable and in accordance with the various requirements of the tender In case it is not possible to open second envelope (Envelope-B ) comprising the Financial Bid on the specified date, then a suitable date for this purpose shall be announced or shall be communicated to tenderers by letter/ fax/ ( Either Mode). To avoid postponement of opening of financial bid, it is in the interest of the tenderers to send their authorized representatives who are well conversant with the tender and competent enough to take decisions on technical and financial matters at the time of opening of bids. 19 5.2 CLARIFICATIONS REGARDING THE SUBMITTED TENDERS During the process of evaluation of the tender, TNREDC may at its discretion ask the tenderer for a clarification of their tender. The request for clarification and the response shall be in writing Any query regarding any clarification required by TNREDC on the information submitted by the tenderer, must be replied by the tenderer within the following time schedule. / fax query should be replied by / fax within 2 days. Query by letter must be replied by letter within 7 days of receipt of the letter 5.3 PRICE BID EVALUATION (i) The Price evaluation will include all Duties and Taxes. (ii) In cases of discrepancy between the cost quoted in words and in figures, the lower of the two will be considered. (iii) In case of discrepancy between the actual total of price break up and the total mentioned in the bid, the lower of the two will be considered Under no circumstances shall a tenderer increase his price during the validity period after tenders are opened. Any tenderer who does so shall not only lose his EMD but also run the risk of being Black listed by TNREDC. TNREDC also reserves the right under the law to recover damages resulting there from, in addition to forfeiture of EMD. TNREDC Page 19 Bidder s Signature
20 SECTION DEFINITIONS GENERAL CONDITIONS OF CONTRACT In the deed of contract unless the context otherwise requires: TNREDC shall mean The VC & Managing Director or his representative of Telangana New & Renewable Energy Development CorporationLtd., with its office at Nampally, Hyderabad. The Successful Tenderer/Bidder or Contractor shall mean the Firm/ Person,whose tender has been accepted by TNREDC and shall include his legal representatives, successor in interest and assignees The contract shall be for Design, Supply, Installation, Testing & Commissioning with five years Comprehensive Maintenance Contract of 500 KWp (5x100 KWp) Grid connected Solar Rooftop PV power plant at SALAR JUNG MUSEUM, HYDERABAD and shall be valid till the completion of all related works. However the validity of rates may further be extended to a specified period of time on the mutual consent of both the parties The Contractor shall be deemed to have carefully examined all papers, drawing etc. attached to the contract deed. If he shall have any doubt as the meaning of any portion or any condition (s) / specifications etc. They may contact TNREDC for clarification COMPLETION PERIOD The completion period of the entire work shall be 90 days from the date of issue of final work order. The work shall have to be completed within time and shall be binding on the contractor. In case of any urgency, the contractor may be asked to complete the work even earlier and contractor will be bound to fulfill the requirements. TNREDC Page 20 Bidder s Signature
21 6.2.2 In case the contractor fails to execute the said work or related obligations within stipulated time, TNREDC will be at liberty to get the work executed from the open market at the risk and cost of the contractor, without calling any tender and without any notice to the contractor. Any additional cost incurred by TNREDC during such execution of the work shall be recovered from the contractor If the cost of executing the work as aforesaid shall exceed the balance payments due to the contractor and the contractor fails to make good the additional cost, TNREDC may recover it from the contractor's pending claims against any work in TNREDC or in any other lawful manner. All risks & Responsibilities related to the execution of the said work and fulfillment of related obligations directly or indirectly connected with the performance of the contract shall be the sole responsibility of contractor The calculation of aforesaid additional cost will be finalized by the TNREDC at its sole discretion. The contractor shall have no right to challenge the mode or amount relating to calculation at any forum. For completion of the work through any other Agency, in case some changes are required in terms and conditions of the contract; the contractor shall not have any right to challenge the decision of TNREDC LIQUIDATED DAMAGES If the contractor fails to perform the work within the time periods specified in the work order or within the extended time period if any, without suitable explanation TNREDC shall without prejudice to its other remedies under the contract, deduct from the contract price as liquidated damage, a sum equivalent to 1% of the price of the un-performed work/ services for each week of delay until actual completion of work, up to a maximum deduction of 10%. Once the maximum is reached, TNREDC may consider termination of the contract. TNREDC Page 21 Bidder s Signature
22 6.4. PERFORMANCE SECURITY The amount of the performance security as mentioned in the Payment Terms shall be forfeited in case of violate of any term or condition by the contractor. If required, the other balance payments may also be forfeited, depending on the liabilities on the part of the contractor FORCE MAJEURE Notwithstanding the provisions of clauses contained in this deed; the contractor shall not be liable for forfeiture of its performance security, liquidated damages, termination for default, if he is unable to fulfill his obligation under this deed due to force majeure circumstances For purpose of this clause, "Force majeure" means an event beyond the control of the contractor and not involving the contractor's fault or negligence and not foreseeable, either in its sovereign or contractual capacity. Such events may include but are not restricted to Acts of God, wars or revolutions, fires, floods, epidemics, quarantine restrictions and fright embargoes etc. Whether a Force majeure situation exists or not, shall be decided by the TNREDC & his decision shall be final and binding on the contractor and all other concerned If a force majeure situation arises, the contractor shall notify TNREDC in writing promptly (at the most within 10 days from the date such situation arises). After examining the cases TNREDC shall decide and grant suitable extension of time for the completion of the work For other justified cases also, not covered under force majeure conditions, TNREDC may consider the request of contractor and additional time for completion of work may be granted. 23 6.6.QUALITY, WARRANTEE/ GUARANTEE AND COMPREHENSIVE MAINTENANCE The contractor shall warrant the Solar PV Power Plant as per applicable standards of quality (MNRE Specs). Anything to be furnished shall be new, free from all defects and faults in material and workmanship. The manufacture shall be in accordance with the specified technical parameters and should be of the highest grade and consistent with established and generally accepted standards for material. It shall be in full conformity with the drawing or samples if any and shall operate properly if operable After installation of the Solar PV Power Plant at site, the contractor shall ensure satisfactory performance of the equipments for a period of time as specified in the scope of work The contractor shall rectify defects developed in the Systems within CMC period promptly. In case the contractor does not rectify the defects within one week of the receipt of complaint, TNREDC may restore the System in working condition on contractor s expenses Frequent and unjustified delays in rectifying defects may lead to cancellation of the contract, recovery of losses and imposing of additional penalty. In such circumstance TNREDC shall have the full liberty to recover the losses/penalty from the contractor pending claims, security deposit or in other law full manner. The amount of losses/penalty shall be decided by VC & Managing Director, TNREDC and will be binding on the contractor STANDARDS The goods supplied and works executed under this contract shall confirm to the standards mentioned in the technical specification and where no applicable standard is mentioned, the latest version of Indian Standard Institution or Bureau of Indian Specification shall be applicable. SITE VISIT The Bidder, at the Bidder s own responsibility and risk is advised to visit and examine the Site of Work and its surroundings, obtain all information that may be necessary for preparing the Bid for entering into a contract, for Design, Supply, Installation & Commissioning of the work. The costs of visiting and obtaining the permission to the site shall be at the Bidder s own expense. The tenderer may inspect the site before submission of bid by taking prior permission from Salar Jung Museum authorities (Sri K. Ravi Kumar, Assistant Executive Engineer, Contact No. : ) 6.9 INSPECTION AND TESTS TNREDC/Salar Jung Museum or its duly authorized representatives shall have the right to inspect and /or to test the goods to confirm their quality according to the contract and shall have access to the contractor s works premises and the power to inspect and examine the materials and workmanship of the Solar PV Power Plant at all reasonable times during their manufacture The contractor shall inform TNREDC through a written notice regarding any material being ready for testing at least 05 days in advance. The conditions of contract and/or the technical specifications shall specify what inspections and tests shall be conducted by TNREDC. All the arrangements of necessary equipments and expenses for such tests shall be on the contractor s account excluding the expenses of the inspector TNREDC s Inspector, unless the witnessing of the tests is virtually waived off, will inspect and attend such test within 3 days from the date on which the equipments are notified as being ready for test /inspection TNREDC shall within 3 days, give written notice to the contractor, TNREDC Page 24 Bidder s Signature
25 about any objection regarding the quality of the system. The contractor shall either make necessary modifications to remove the cause of such objection or shall clarify the objections in writing if modifications are not necessary to comply with the contract After satisfactory testing of the systems during inspection, TNREDC s Inspector shall issue dispatch clearance for the supply of material at site SPARE PARTS The contractor shall make arrangement to maintain a sufficient stock of essential spares and consumable spare parts to ensure proper maintenance of the system promptly PACKING & FORWARDING Contractors, wherever applicable shall properly pack and crate all materials in such a manner as to protect them from deterioration and damage during transportation. The contractor shall be responsible for all damage due to improper packing The contractor shall inform the TNREDC regarding the probable date of each shipment of materials from his works TRANSPORTATION The contractor is required to deliver the goods at location as defined in the scope of work DEMURRAGE, WHARFAGE, ETC TNREDC Page 25 Bidder s Signature
26 All demurrage, wharfage and other expenses incurred due to delayed clearance of the material or any other reason shall be on the account of the contractor INSURANCE The goods supplied under the contract shall be fully insured against loss or damage incidental to manufacture or acquisition; transportation and the expenses shall be borne by the contractor The contractor shall arrange security & storage of their materials to avoid any theft or losses during execution of work. TNREDC will, in no case, shall be responsible for providing any security/storage for the materials & equipments lying at site during execution of work. Under the contract contractor shall be responsible for any loss or damage until the systems/ supplies are taken over Any injures and accidents during erection to Technician, Labour, Erection crew, Students, Teacher or any other persons during the time of execution will be liability and responsibility of contractor and they shall make necessary preventive measures LIABILITY FOR ACCIDENTS AND DAMAGES During the Warrantee period, the contractor shall assume all responsibilities for direct damages covering all type of accident, injury or property damage caused by manufacturing defects or faulty installation on the systems. DUTIES AND TAXES The rates/ prices mentioned in the price-schedule include all latest applicable taxes, duties of Govt. of Telangana as well as Govt. of India and applicable taxes will be deducted at source against which necessary tax deductions certificates will be issued as and when required. No additional payments shall be made by TNREDC on this account PATENT RIGHT AND ROYALTIES: The contractor shall indemnify TNREDC against all third party claims of infringement of patent, royalties, trademark or industrial design rights arising from use of the goods supplied/ installed by the contractor or any part thereof RIGHT TO VARY QUANTITIES TNREDC reserves all the rights to increase or decrease the quantity of goods mentioned in the contract, at the time of placement of orders without any change in price or other terms and conditions LOCAL CONDITIONS It will be imperative on contractor to have full information of all local conditions and factors which may have any effect on the execution of the works. The contractor shall be deemed to have collected all the relevant information regarding the proposed place of works/ site, its local environment, approach road and connectivity etc. and be well acquainted with actual working and other prevailing conditions The contractor is advised to pre-visit the site before quoting for as well as starting the work. 28 6.20. TOOLS & TACKLES The contractor shall provide all necessary tools & tackles for proper execution of work and operation/ maintenance of systems after installation. TNREDC shall in no way, responsible for supply of any tools & tackles TERMINATION FOR DEFAULT TNREDC without prejudice to any other remedy for violate of contract, by written notice of default sent to the contractor, may terminate the contract in whole or in part: If the contractor fails to deliver the Services within the allocated time period(s) If the contractor fails to perform any other obligation(s) under the contract. However in the event of termination of the contract in part, the contractor shall continue performance of the contract to the extent not terminated TERMINATION FOR INSOLVENCY TNREDC may at any time terminate the contract by giving written notice to the contractor without compensation to the contractor if he becomes bankrupt or otherwise insolvent, provided that such termination will not prejudice or affect any right of action or remedy, which has accrued or will accrue thereafter to TNREDC TERMINATION FOR CONVENIENCE TNREDC may vide a written notice sent to the supplier; terminate the contract, in whole or in part at any time for its convenience. 29 6.24. COMPLETION OF WORK On completion of the work, the contractor shall submit 5 sets of As Executed Report to TNREDC which will include photographs, drawings and as executed reports of various systems containing details of installation from the point of view of future maintenance of the installed systems. This report must also contain all Technical Details, Detailed Circuit Diagram of the Electronic/ Electrical components of all the system. The report shall include satisfactory performance report from appropriate authority for each site along with photograph of representative of the authority and the party OTHERS CONDITIONS The contractor shall not transfer, assign or sublet the work under this contract or any substantial part thereof to any other party without the prior consent of TNREDC in writing TNREDC may at any time either stop the work all together or reduce or cut it down by sending notice in writing to the contractor. If the work is stopped all together, the contractor will only be paid for work done and expenses distinctly incurred by him as on preparation or the execution of the work up to the date on which such notice is received by him. The decision of TNREDC regarding assessment of such expenses shall be final and binding on the contractor. If the work is cut down, the contractor will not be paid any compensation what to ever for the loss of profit which he might have made if he had been allowed to complete all the work awarded to him Fulfillment of various requirements, not particularly mentioned In the specifications or drawings but necessary for satisfactory and proper completion of the work shall be the contractor's responsibility within the prices offered by him. 30 of this contract shall be carried out by the contractor as extra items. For such works the rates shall be decided by TNREDC and shall be binding on the contractor Work carried out without TNREDC s approval shall not be accepted and TNREDC shall have rights to get it removed and to recover the cost so incurred from the contractor The contractor shall not display the photographs of the work and not take advantage through publicity of the work without written permission of TNREDC The contractor shall not make any other use of any of the documents or information of this contract, except for the purposes of performing the contract TNREDC will not be bound by any Power of Attorney granted/ issued by the contractor or by any change in the composition of the firm made during or subsequent to the execution of the contract. However recognition to such Power of Attorney and change (if any) may be given by TNREDC after obtaining proper legal advice, the cost of which will be chargeable to the contractor concerned SAFETY MEASURES: a) The contractor shall take necessary precautions for safety of the workers and preserving their health while working in such jobs, which require special protection and precautions. The following are some of the measures listed but they are not exhaustive and contractor shall add to and augment these precautions on his own initiative where necessary and shall comply. b) Supply work men with proper belts, ropes etc., when working in precarious slopes etc. TNREDC Page 30 Bidder s Signature
31 c) Avoiding naked electrical wire etc., as they would electrocute the works. d) Taking necessary steps towards training the workers concerned on the machinery before they are allowed to handle them independently and taking all necessary precautions in around the areas where machines hoists and similar units are working STATUTORY ACTS All legal formalities/clearances are to be obtained by the contractor regarding the execution of the said work In respect of all labour directly or indirectly employed on the work by the contractor, the contractor shall comply with all the provisions of hiring the contract labour and rules of State/ Central Government or any other authority framed from time to time. The rules and other statutory obligations in this regard will be deemed to be the part of this contract The contractor shall comply with all the Acts & rules and regulations, laws and bylaws framed by State/ Central Government/ Organization in whose premises the work has to be done. TNREDC shall have no liabilities in this regard APPLICABLE LAW The contract shall only be interpreted under Indian laws. The station of TNREDC, Hyderabad, shall have exclusive jurisdiction in all matters arising under this contract RESOLUTION OF DISPUTES / ARBITRATION Any disputes arises regarding this tender will be settled under area of jurisdiction of TNREDC, Hyderabad TNREDC Page 31 Bidder s Signature
32 6.30. NOTICES Any notice to be given by one party to the other, pursuant to the contract shall be sent in writing. A notice shall be effective when delivered or from the effective date mentioned in the notice, whichever is later Notices, statements and other communications sent by TNREDC to the contractor at his specified addresses through registered post/ / fax shall be deemed to be delivered to the contractor APPLICATION These general conditions shall apply to the extent that provisions in other parts of the contract do not supersede them. 33 SECTION 7 FINALISATION OF TENDERS 7.1 Tenders will be finalized by the TNREDC Tender evaluation committee, for the works along with technical bid evaluation for consideration and in accordance with the conditions stipulated in the tender document and in case of any discrepancy or non-adherence to the conditions, the same shall be communicated which will be binding both on the tender concluding authority and tenderer. In case of any ambiguity the decision taken by the VC & Managing Director, TNREDC on tenders shall be final. 7.2 The tenders if received with abnormally high percentage or within the permissible ceiling limits (bench mark cost) prescribed, but under collusion due to unethical practices adopted during the tendering process shall be rejected. 7.3 DISCOUNT TENDERS: a) In case of discount tenders, tenders up to 25% less than the estimated contract value shall be accepted. (The estimated cost is Rs.450 lakhs) b) But the tenders with the less by more than 25% of the estimated contract value, a bank guarantee or demand draft for the difference between the tendered amount and 75% of the estimate value should be taken at the time of concluding agreement. 7.4 The successful tenderer shall give their acceptance to undertake the work along with requisite Security deposit within one week from the date of issue of work order. On failure to do so, his tender will be cancelled duly forfeiting the E.M.D paid by him without issuing any further notice. TNREDC Page 33 Bidder s Signature
34 SECTION 8 TERMS OF CONTRACT 8.1 EVALUATION CRITERION The whole work shall be on Turnkey basis. The tenderer shall be finalized on the basis of total cost of Solar Power Plant system including Design, Supply, Installation, Testing & Commissioning with five years Comprehensive Maintenance Contract as offered by the tenderer in his Financial Bid. 8.2 AWARD OF WORK CONTRACT After finalization of offers, TNREDC will issue work order and the successful tenderer shall give their consent to undertake the work within 7 days from the date of issue of work order along with Security Deposit equivalent to 5% of the total quoted/work order price by way of demand draft drawn in favour of TNREDC Limited, payable at Hyderabad or Bank Guarantee for the equivalent amount on a Nationalized/Scheduled Bank in favour of V.C & Managing Director, TNREDC Limited, Hyderabad, having validity upto The denial of the successful bidder to undertake the whole work shall be treated as breach of contract and TNREDC may forfeit EMD/ Security Deposit amount submitted by him. 8.3 RIGHT TO VARY QUANTITIES The authority reserves the right of awarding the work in a phased manner. TNREDC may increase or decrease the quantity mentioned in the tender notice at the time of award of contract. TNREDC Page 34 Bidder s Signature
35 8.4 RIGHT TO ACCEPT/REJECT ANY OR ALL TENDERS. TNREDC reserves all the right to reject any or all the tenders, accept any tender in total or in part. 8.5 EXPENSES OF AGREEMENT The respective suppliers shall pay all the expenses of stamp duties and other requirements for signing the agreement with TNREDC. 8.6 INSTALLATION & COMPLETION SCHEDULE The entire work involving Supply, Installation and Commissioning of 500 KWp (5x100 KWp) Grid connected Solar Rooftop power plant shall be completed within 90 days from the date of issue of work order. 8.7 SCOPE OF WORK a. Scope of work covers Design, Supply, Installation, Testing & Commissioning of SPV Rooftop as per the technical specification. b. Mounting Structure within the scope of this tender is for flat RCC roofs. c. Arranging consent for net metering from TSSPDCL d. Arranging Transformer of desired capacity, if required as per the technical standards of TSSPDCL. e. Arranging the Bi-directional meter through the DISCOM and installation of other equipment as per the mandatory requirement under the net metering guidelines issued by TSTRANSCO/DISCOM and amended from time to time. f. Arranging approval of Chief Electrical Inspector General (CEIG), Govt. of Telangana based on statutory requirement. g. Performance testing of the complete system. TNREDC Page 35 Bidder s Signature

The successful bidder shall undertake to supply spares free of cost for the maintenance of the offered items during the warranty period and five years Comprehensive Maintenance Contract period. i. If the operation or use of the system proves to be unsatisfactory during the warranty period, the installer shall replace the faulty ones or carry out necessary repairs as per the warranty terms and conditions. 8.8 INSPECTION BY TNREDC The SPV Rooftop system installed will be inspected by the representative of TNREDC/ Salar Jung Museum/TSTRANSCO/DISCOM within 15 days of receipt of information on completion of Installation & Commissioning. The payment as per the terms of the work order will be released only when the system is installed in compliance to the technical specifications of MNRE /TNREDC /TSTRANSCO /DISCOMs. During the Inspection, if the system installed is found faulty (or) not in compliance to the technical specification, the Tenderer will be given opportunity to rectify the defects and re-inspection will be carried out by TNREDC/Salar Jung Museum/TSTRANSCO/DISCOM. It is the sole responsibility of the Tenderer to arrange for inspection by the TSTRANSCO/DISCOM representatives to check the electrical installations as per the guidelines issued for net metering. 8.9 AFTER SALES SERVICE The Successful tenderer shall have adequate service support to extend the Comprehensive Maintenance for the total system for a period of five years from the date of commissioning of the system. The Tenderer shall visit the site at least once in a quarter, to attend routine maintenance, during the 5 years CMC period. However, in case of malfunctioning of the system, the Tenderer/bidder shall attend for rectification of defects within 2 days from the date of lodging complaint. TNREDC Page 36 Bidder s Signature
37 All costs towards maintenance of the system including routine services, replacement of damaged components along with statutory charges/taxes during the five years CMC period shall be borne by the tenderer WARRANTY 1. (a) The SPV panel shall carry a warranty of minimum 25 years. (b) The SPV panel must be warranted for their output peak watt capacity which shall not be less than 90% at the end of 10 years and 80% at the end of 25 years (c) The PCU/Solar Grid tie Inverter shall carry a warranty of minimum 5 years. 2. The complete SPV rooftop systems installed and commissioned shall be under a warranty against any manufacturing or usage defect for a minimum period of 5 years from the date of Commissioning. The mechanical structures, electrical works including power conditioners/inverters/maximum power point tracker units/ distribution boards/digital meters/ switchgear etc. and overall workmanship of the SPV rooftop systems must be warranted against any manufacturing/ design/ installation defects for a minimum period of 5 years. 3. The warranty will be against breakages, malfunctions, non fulfillment of guaranteed performance and breakdowns due to manufacturing defects or defects that may arise due to improper operation of electrical /electronic components of the system but do not include physical damages by the end users. 4.
