The European Unon (EU) and JAA set of requrements, drectly or bdrectly called for n ths agreement s to be ntended at the latest amendmenffchange respectvely ssued'by EU or adopted by ENAC n accordance wth the pertnent!effecteness and mplementaton schedule as defned respectvely by EU or by! ENAC (for JAA regulatons). n the case AESA would grant exemptons under provsons of art 4.4 of Regulaton (EC) No 26f2008 of the European Parlament and of +the Councl of 20 Febnrary 2008 these exemptons shall be notfed to ENAC as soon as possble unless othenrvse explctly establshed elsewhere n ths agreement. Approved type desgn 2. The arcraft, and any product or part thereof, must comply wth relevant EASA approved type desgn (refer to provsons of art. 2 of EU Regulaton 7022003 dated 24 September 2003). AESA wll be responsble for supervsng complance wth ths requrement after arcraft delvery to the lessee all the tme the' arcraft s beng operated by the natonal operator under talan regstraton marks. Mandatory Contnung Arworthness nformaton (MCA) 3. As applcable accordng to EU regulatons, the arcraft must be n complance wth all the Mandatory Contnung A~lorthness lnformaton (such as AD'S, Emergency Conformty lnformaton (ECt), etc) applcable to that arcraft, and to any part thereof, mandated as applcable ether by the relevant State of Desgn Authortes (refer to Decson No. 22003 Of The Executve Drector Of The Agency qated 4 October 2003) or by EASA. The arcraft may be also requested to comply wth MCAl's applcable to the subject arcraft model, products or parts thereof, ssued by ENAC or by AESA under the provsons of art. 4 of Regulaton (EC) NO' 262008 of the European Parlament and of the Councl of 20 February 2008 when an equvalent aworthness acton has not been made mandatory by State of Desgn Authortes or more restrctve terms of complance are mandated by ENACAESA. To ths late regard, a coordnaton between ENAC and AESA wll be ensurdd and desgn or mantenance program mplcatons dervng from the above mentoned mandatory arworth~ness actons wll be treated n accordance wth terms and condtons of approprate paragraphs of the followng secton Mantenance. The Spansh operator must hold and keep up-to-date a complete set of the above applcable mentoned MCAl's. Operatonal equpment5 wll be mantaned n accordance wth thp Authorty of the State of the operator mantenance specfcatons takng nto apunt equpment manufacturer mantenance recommendaton. n default of Any mantenance specfcalons of the Authorty of the State of the operator or the manufacturer, he requrements of the State of regstry Authorty wll apply. Due consderaton wll be spent by AESA to valdate, whether feasble and applcable, ars;raft mantenance program approved by ENAC to former arcraft operator n order to facltate the lease back of arcraft at the end of lease perod. Survellance of the aryraft mantenance programme wll be performed by,aesa n accordance wth ts natonal procedures and n complance wth part M provsons; any varaton, f requested,, to the approved mantenance program (e.g. short term nterval extensons, escalatons, etc.) wll be approved by AESA n accordance wth requrements, gudelnes $d nterpretatve materals for the management of mantenance programs whch shall not be less restrctve than part M provsons.. : 6. Repars and modfcatons to be performed on the amraft shal be approved n accordance wth relevant provsons of Annex (Part 2) to the: Regulaton (EC) 702/2003, as revsed, and relevant hplemntaton pmcedut)~, before ther embodment. The express permsson of the arcraft regstered owner and of the lessor s requred pror to the ncorporaton of any modfcaton n order to e'nsure complance wth all applcable requrements and facltatng the lease back of arcraft at the end of tease perod. 7. All the mantenance nspectons, repars and modfcatons to be performed on the arcrafl have to be caned out and released to servce by a Part $45 approprately approved Mantenance Organsaton. 8. The lessee shall be responsble of mantenance records keepng durng the leasng perod n accordance wth applcable Part M requrements and ;lessee's natonal procedure. Arcraft and engne logbooks ssued by ENAC for the arcraft shah be kept updated by the lessee n accordance wth relevant Part M and ENAC Regolamento Tecnco provsons; alternatve system may be adopted by the less& once approved by AESA and agreed by ENAC. All the mantenance records as, descrbed n the applcable Part M requrements shall be transferred to the lessolowner when the arcrafl wll be leased back. 9. Leasng contract, Operatons, contnung anrvorthness managernedt exposton and Organsaton Manuals system approved to the lessee by AESA must reflect all stated condtons n ths Appendx as applcable. Certfcate of Arworthness 0. The contnued valdty of the Arcraft Certfcate of ~nnrorthnes's (CofA) shall be ensured n accordance wth EU regulaton 20422003 Part M requrements. Arcraft nspecton and fndngs. n case of survey of the arcraft camed out by ENAC (n order to comply wth EU regulaton 20422003 Part M.B.303) or by AESA (n order to comply hth EU regulaton 20422003 Part M.B.704), they wll nform each other of any fndng that mght affect the other Authorty.. Operatons! 2.The arcraft shall be operated n accordance wth EASA approed Arcraft Flght Manual, or deemed as EASA approved under (EC) 702R003 regulaton, and, f any, AESA approved MEL that has lo be not less restrctve than t* relevant EASA approvedlaccepted MMEL, or deemed as EASA approvedlaccepted. f ths does not exst, the use of an alternatve MMEL {e.g. MMEL produced by the Type Certfcate Holder and approved by the Authorty of the State of Desgn, MMEL produced or approved by another EU Member State Authorty or by FAA) s subject to agreement wth operator's Authorty; any devaton to the approved MEL shall be approved by AESA n accordance wth the pertnent procedures approved to the Spansh operator. 3.The arcraft shall be equpped n accordance wth relevant applcable Spansh operatonal requrements for the ntended type of operatons. Consequently EASA approved AFM may be requested to be ntegrated wth accordngly wth AESA requred and EASA approved supplements. f major changes to arcraft typ$ desgn would be necessary for such confguraton, they wh be treated n accordance \jvth the provsons descrbed under the relevant secton of ths agreement. 4.Operaton of the arcraft conducted under the lessee's operatonal ' approvalslaulhorsatonsllcense granted by AESA wll be carred out n accordance wth applcable Spansh rules and regulatons (e.g. JAR OPS 3 and EU Regulaton 008l2008 for CAT operatons, etc.); survellance wll be accomplshed,by AESA as applcable n accordance wth ths agreement and the relevant current natonal procedures. 5. Permt to Fly n respect of the talar regstered arcraft, whek the arcraft s temporarly not n amrthy condton, shall be ssued by ENAC (of by other enttes enttled under applcable EU Commsson Regulatons) upon approp(ate applcaton n accordance wth ~ornmsson Regulaton (EC) 7022003 as revsed. Permt to Fly may prescrbe partcular lmtng condtons to permt the arcraft to be flown wthout fare-payng passengers to an approved mantenance faclty at whch t wll be restored to, an arwodhy condton (refer to Annex (Part 2) ~ommsso$ Regulaton (EU) 7022003 as revsed). Flght condtons assocated to Permt to fly shall be approved n accordance wth approprate provsons of Annex (Part 2) lo Commsson Regulaton (EU) 7022003 as amended. The Authorty of the State of Regstly shall notfy any such approval at the earlest possble opportunty to thk Authorty of the State of the Operator by provdng a copy of the relevant approval documentaton. n-servce occurrences or ncdents 6. nformaton, wrtten n the Englsh language, on sgnfcant n-servce occurrences that affect or could affect contnung arworthness of the arcraft shall be provded by the lessee to the organsatons responsble for the type desgn, ENAC, AESA and State of Desgn Authortes as soon as pass ckest means avalable n!pagna 5 d 7

Lcences 7, Flght operatons wll be conducted by 'the Spansh operator employng flght crew members holdng an.approprately rated lcense ssued, acceptdd or valdated by AESA. ENAC valdaton must be obtaned by the lessee f the sad lcence s a Spansh Natonal Flght Crew Lcence not ssued n accordance wth JARFCL or has been accepted or valdated by AESA. Otherwse ENAC valdaton s not requested f the sad lcence s a JAR-FCL lcence ssued by any of the EASA membe. State Authortes under JAR-FCL mutual recognton. Oblgatons of Lessor and Lessee 8. The lessor and lessee shall be engaged to provde free access ~ O~AESA and ENAC nspecton respectvely at any tme t wll be requred. Mantenance and operatonal records must be up to date and avalable to any request from ENAq and AESA tll the end of the delegaton. The assocated documents shall be ssued n the Englsh language. 9.The lessor and lessee shall be engaged to promptly provde ENAC and AESA wth nformaton about any varaton n the lease agreement or termnaton thereof so that approprate actons can be taken. Agreed terms and condtons for the delvery back of the arcrafl shall be tmely notfed as well. 20. Ths agreement shall reman n force untl the arcraft wll be delvered back to the lessor by the lessee operator.
