1 Constitution of the Iranian Student Association (IRSA) At Auburn University (AU), Auburn, AL 36849, USA Article I. Name and Affiliations Section 1. Name: The name of this student organization is Iranian Student Association (IRSA). Section 2. Affiliations: Iranian Student Association is not affiliated with any other political, social, or economic organizations. Article II. Purpose IRSA is a nonprofit organization run by Iranian Students at Auburn University. Its mission and goals are as follows. To create a delightful environment, rapid transition, integration and smooth adjustment for the Iranian students at AU, to help them face educational and cultural issues here and to strengthen community among them. To introduce Iranian culture to other students and communities by holding cultural and social events. To provide a friendly atmosphere to enrich relations among students, faculty, other communities and associations. Article III. Membership Section 1. General Members: Any person interested in IRSA and its activities can become a member of this association by official registration. There is no membership fee. Membership is restricted to regularly enrolled Auburn University students, faculty and staff. No potential candidates will be denied on the basis of race, gender, religion, national origin, color, age, disability, sexual orientation or veteran status. Section 2. Voting Members: All the members are able to vote during the officers election which shall be held in April of each year. Section 3. Membership Benefits The right to vote in all meetings. The right to participate and take advantage of the events held by IRSA.
2 Section 4. Membership Responsibilities Responsible to actively participate in events held by IRSA Responsible to attend meetings of IRSA Responsible to abide by the constitution and bylaws that govern this organization Second-year Iranian Students shall help with the in-processing of incoming first year arrivals. Section 5. Impeachment of a Member A member of IRSA may be removed if they conduct in a way that reflects badly on IRSA or its mission. A two-third vote by the general assembly shall be required to impeach a member. Article IV. Officers Section 1. Titles: The executive board shall consist of four officers President Vice President Treasurer Secretary. Section 2. Roles and Responsibilities: Section 2.1: General Officer Duties Officers shall attend all Executive Board meeting as well as the General Assembly. Officers shall help with the organization of IRSA Events and activities. Officers shall make every effort to attend all IRSA Events and activities. Section 2.2: Specific Officer Duties The President shall Serve as the primary representative of IRSA on campus and in the community at large. Preside over regular and executive meetings, coordinate group activities and communicate with the officers and advisor on all issues. Chair the Executive Board. Bear the ultimate responsibility for the integrity of IRSA. Provide representation to meetings with other organizations on campus. Call meetings of the Executive Board as well as General Assemblies. The Vice President shall: Assist the President in fulfillment of the mission of the organization. Preside over meetings in the absence of the President.
3 Assume all of the President s responsibilities in the event of his or her absence, dismissal or resignation until either the President returns, or the position is filled. Ensure understanding of and coordination of activities among all the members of the Executive Board. Report to the President what he/she asked for. Make certain IRSA Constitution is upheld. Call meetings of the Executive Board. The Treasurer shall: Maintain record of all financial transactions of IRSA and provide financial reports when needed. Pay bills, prepare and maintain annual budget. Report annual financial records to the General Assembly Keep the Executive Board updated on the financial situation of the organization. The Secretary shall: Record minutes of all General Assembly and Executive Board Meetings. Prepare and provide agendas for all meetings when deemed necessary. Maintain attendance records for the IRSA General Assembly and Executive Board meetings. Notify all members of the IRSA meetings and events at least 2 days in advance. Maintain a record of all current IRSA Members and their addresses. Maintain a record of all new IRSA members, so that these members can be notified to help with the in-processing of the next year s new members. Section 3. Officer Qualifications: Only members who are full-time students at AU are eligible for an officer position. Officer candidates must be in good standing with the university. Section 4. Term: Officers elected during the general elections shall begin their term one month after the day they were elected. In this transition period of one month the new officers shall shadow the new officers to learn about their duties. The term of office for each officer is one year. There will be an open election for all positions every year whether or not the current officer would like to remain at his or her position. Section 5. Officer Attendance: Each officer shall attend all Executive Board and General Assembly meetings. If unable to attend a meeting an officer may request an excuse from the rest of the Executive Board. Section 6. Impeachment of an Officer: If an officer who has two unexcused absences a semester may be removed from his/her officer position within the organization.
4 His or her removal will be qualified by two-thirds majority vote by the General Assembly in favor of removal. Resignations can be accepted by the Executive Board or IRSA Advisor. In an event that an officer resigns, or is removed, an election will be held as soon as possible to replace the position. Article V. Special Positions: Members and spouses of members may be elected to special non-officer positions to serve IRSA in special roles. Section 1. Event Manager The Event Manager (hereafter EM) shall be elected by a majority vote of the General Assembly. The EM shall assist the Executive Board with the organization of IRSA Events and Activities. The EM shall share ideas about event with the Executive Board and in coordination with the Treasurer set a budget for each event. Upon Executive Board approval, the EM coordinates IRSA events and their set-up and assigns members to duties during events. The EM shall not be a voting member of IRSA or a member of the Executive Board. The EM may be removed from his office if he or she is not fulfilling assigned duties by the same rules governing the impeachment of officers. Article VI. Advisor: Section 1. Title: The Iranian Student Association shall have an Auburn University faculty, administrator, or staff member as Advisor at all times. Section 2. Roles and Responsibilities: The advisor shall be willing to serve as an information center and provide guidance and required assistance to the organization. The advisor shall be encouraging and provide necessary guidance and advices to the Executive Board. The advisor may attend executive and general meetings. They shall be available for consultation outside of these meetings. The advisor shall facilitate the board with event planning and execution. The advisor shall be aware of the University student rules and assist the organization with adherence to these expectations. The advisor shall assist the IRSA to establish a positive working relationship among other student bodies within the university. Section 3. Impeachment of an Advisor: An advisor may be removed if he/she fails to fulfill expectations as outlined in the constitution. His or her removal will be qualified by two-thirds majority of the General Assembly in favor of removal.
5 Article VII. Elections: Section 1. Term: Elections of new officers and special positions will take place in April of each year. The officers and special positions shall be elected by a General Assembly in elections organized by the Election Board. Section 2. Election Board: The Election Board shall consist of the IRSA Advisor, IRSA President, IRSA Vice President, IRSA Treasurer, and IRSA Secretary. The Board is expected to make arrangements for the voting; including identifying a place and date for the election, designing the official ballot, and forming and executing a committee for counting the ballot. Article VIII. Meetings Section 1. General and Executive Meetings: General Meetings shall include all members and officers. Executive Board meetings will include only officers and will be held as deemed necessary by the President and Vice President. A quorum shall consist of 50 percent plus one (50%+ 1) of the members and must be present to conduct official business. Section 2. Special Meetings: Special meeting can be summoned either by the executive board or one third of total members in case of emergency situation and dismissal of advisor, officers or member. Article IX. Events Section 1. Organization of Events The IRSA Executive Board in coordination with the Events Manager shall organize events and activities which help fulfill the mission of IRSA. Events shall include but not be limited to one big event every Spring and every Fall Semester. The big event for the Fall Semester shall be a Friendship Barbeque. The big event for the Spring Semester shall be the Norouz Celebration. Article X. Amendments and Revisions: Section 1. Amendments: This constitution may be amended at any time by a two-thirds majority for the amendment. Every member can propose amendments. After amendments are passed the updated constitution shall be submitted by the Executive Board to the Student Government Association for final approval. Article XI. Parliamentary Authority Section 1: The association shall be governed by the Robert's Rules of Order to govern the organization's decision-making process except when the rules are inconsistent with the constitution or bylaws of the organization.
