2 Page 2 NEWSLETTER INFORMATION The Classic GTO Association of Denver (CGTOAD) newsletter is published monthly in Denver, CO. It is an informative news bulletin to keep our membership up-to-date on past, current and future events in which we are involved, as well as to publish information about the GTO. Articles from club members and other sources are welcome. Please send them to John and Linda Lawrence, 3308 S. You can print the newsletters from the web site. MEMBERSHIP DUES The CGTOAD membership dues are $30.00 per year. This includes one primary and one associate membership. Annual dues are payable in June for the period of July through the following June. New member fees will be prorated if a member joins in a month other than June. To obtain a membership application, visit the club s web site or call the CGTOAD Hotline ( ) and leave a message. 3 Page 3 Photos by Steve Disch Editor s Note: For those of you new to the CGTOAD, member Steve Disch and wife Mary live at their home in Arizona during Denver s six coldest months. While down there, Steve takes his 64/ 06 GTO and attends car shows all over the southwest in Arizona, California, and anywhere else where the action is. Here s a batch of interesting photos from a recent Buick-Pontiac-Oldsmobile-Cadillac show in Phoenix.
4 Page 4 In late February, the word was spread through car hobby circles that a Highlands Ranch teenager, Austin Williams, was dying of cancer and had only a couple of weeks left to live. Austin owned a 71 Chevelle SS, and his family announced that his dying wish was to host one last car show the next weekend on Sunday, March 3. The site chosen was the parking lot at Thunder Ridge High School, and the show was to be followed by a cruise. The response was truly amazing, with hundreds of cars and people attending. Here are some show photos.

7 Page 7 CONSTITUTION AND BYLAWS OF THE CLASSIC GTO ASSOCIATION OF DENVER, COLORADO (AS REVISED 2/23/2008) CONSTITUTION CLUB NAME The name of the club is the Classic GTO Association of Denver, Colorado. The club is a not-for-profit organization. The club motto is We Rebuild the Excitement. PURPOSE We are dedicated to the preservation, restoration and enjoyment of the classic American muscle car. The general purposes of the club shall be: to assist members in finding parts and services; to provide members with restoration information; to conduct, or participate in, car shows, cruises, swap meets, rallies, picnics, trips, and parades; and to hold other social or car-related events as desired by the membership. BYLAWS ARTICLE I MEMBERS Membership in the club shall be restricted to owners of GTOs and persons interested in GTOs and the purpose of the club. The Board or Directors reserves the right to review membership applications for final acceptance into the club. Honorary members shall be designated by membership vote and are entitled to monthly newsletters. MEMBERSHIPS A member shall be any person as provided in of this Article, and having paid such dues as required, the membership shall include all members of his/her household. Section 3 MEMBER OF THE YEAR Member of the Year award will be presented based upon the individual s efforts, contributions, participation, and accomplishments for the election year. The member of the year shall be voted on by the Board of Directors, and may include any member of the Board of Directors. Member of the Year shall be rewarded with a special trophy and/or gift agreed upon by the Board of Directors and will be awarded at the annual dinner meeting. Section 4 DUES Annual dues for members shall be set by the Board of Directors. Section 5 PAYMENT OF DUES Members will be expected to pay twelve months membership fees, due June 1st of each year. Any member not paying dues by July 1st of each fiscal year shall have their membership automatically suspended, and shall not be reinstated until payment has been made, retroactive to the June 1st fiscal year date. New members, upon acceptance and payment of proper dues, shall receive a club membership card, a club logo window sticker, a copy of the club bylaws and a membership directory. Members who resign shall forfeit their dues. New members shall be required to pay dues at the time of application to the club. A new applicant s dues will be pro-rated at an amount set forth by the Board of Directors. Any fee incurred by the club s account through the negligence of any member shall be paid by that member. If the club is not reimbursed for the fee, the member will be suspended from the club. Section 6 EXPULSION Any member may be suspended by a majority vote of the club. This suspension may be reviewed by the Board of Directors at which time a final decision will be rendered.
8 Page 8 ARTICLE II ANNUAL MEETING The annual meeting shall be held in January in place of the regular business meeting, for the purpose of conducting regular business and installing club officers for the coming year. MONTHLY MEETING Regular monthly meetings shall be designated by the Board of Directors. Section 3 SPECIAL MEETINGS Special meetings of the club may be called by the President or any majority of the Board of Directors. Section 4 ELECTIONS Nomination for Board members shall be held in October; elections shall be held in November; and installation of officers shall be at the January annual dinner meeting. In the event of resignation of any Board member, a new officer shall be elected, or appointed, at the first business meeting after the resignation has been received, reviewed, and accepted by the Board of Directors. ARTICLE III OFFICERS Elected officers shall consist of President, Vice-President, Secretary, and Treasurer. Appointed officers may consist of the Newsletter Editor and Event Coordinators. BOARD OF DIRECTORS The Board of Directors shall consist of the above-mentioned elected officers. ARTICLE IV DUTIES OF OFFICERS PRESIDENT: The President shall preside at all business meetings and Board meetings. He/she may call special meetings under the provisions of Article II, Section 3. He/she shall be the Chief Executive of the club. VICE-PRESIDENT: In the absence of the President, or in the case of his/her death, resignation, or inability to act, the duties of the Vice -President shall be to assume the responsibilities of the office of President. He/she shall act as liaison to different clubs and shall assist other Board members with the public relations duties of the club. SECRETARY: The Secretary will keep a written record of all business matters discussed at the meetings and will be responsible for getting the minutes to the newsletter editor for publishing in the following month s newsletter. The Secretary will also keep our incorporation status up to date with the Secretary of State, keep a current listing of all members, and maintain the club bylaws by making any and all changes or corrections as directed by the membership. At the end of the current Secretary s term, all records will be turned over to the incoming Secretary for continuation. TREASURER: The Treasurer shall, subject to such conditions and restrictions as may be made by the Board of Directors, have custody of all monies of the club, and deposit same in the club bank account. He/she shall make all payments of club debts upon approval of the President, unless the check will be payable to the President, then another board member will approve the expenditure. He/she shall give bond, at club expense, if required by the Board of Directors. The Treasurer shall give a report on the financial activities and status of the club at the annual meeting and at monthly meetings, and if so required, at any other meeting of the Board of Directors. No obligation, debt or other liabilities shall be incurred by the Treasurer without specific approval of the Board of Directors. The Treasurer shall not be held personally responsible for club indebtedness, or any fees incurred by any members. The Treasurer will keep a running file of all members and will coordinate this information to help compile a club directory. The incoming Treasurer will be responsible for doing an audit of the checkbook to be sure all is in order before assuming his/her duties.
9 Page 9 EVENT COORDINATORS: The Event Coordinators shall plan and organize events of the club. They shall be responsible for internal club functions and shall assist in public relations work as required by the Board of Directors. In addition they will coordinate calling and advising the membership of upcoming events and any other important information needed to be announced to the membership. NEWSLETTER EDITOR: The responsibility of the Newsletter Editor shall be to gather information for the newsletter, and to see that the newsletter is created and that each member receives a copy either my or U.S. Mail. ARTICLE V APPOINTMENT OF COMMITTEES The board shall appoint such committees as they deem necessary and shall outline the duties and responsibilities of such committees. ACTIVITIES The activities of the club shall consist of planned trips, social gatherings, events, exhibitions, car shows, road rallies, and fund raising events as planned by the Event Coordinators and/or the Board of Directors. Section 3 CLUB COLORS The official colors of the club are royal blue and white. The Board may propose a different color or colors. The members at a regular meeting must approve the different colors by a majority vote. When offering articles of clothing for sale, the club will offer only articles of clothing that bear the approved colors. ARTICLE VI FISCAL YEAR The fiscal year shall be from June 1st through May 31st. ELECTION YEAR Terms of officers will be served from January 1st to January 31st of the following year to facilitate the transition of the new Board. ARTICLE VII CLUB LIABILITY It shall only be, by majority vote of the Board of Directors, that the club can become liable for or obligated to any debt or contract. All obligations, contracts, or agreements shall be made in the name of the club only. All such contracts in the club s name must be signed by two current members of the Board of Directors in order to bind the club. Members of the club may, from time to time, incur certain personal expenses if at the direction of the Board and in the furtherance of club goals or functions. Such expenses will be reimbursed by the club in the ordinary course of business. ARTICLE VIII AMENDMENTS TO THE BYLAWS The Board of Directors of the club, or any members in good standing, by written proposals submitted to the Board of Directors, may propose an amendment to the bylaws. Upon such proposal being made, a copy thereof shall be included in the notice of the next meeting of the members. If a majority of the members at a meeting, vote in favor of the proposal at the meeting, the proposed amendment shall be approved and adopted. The constitution and bylaws will be published annually in the newsletter (January edition) and each time any change is approved and adopted.
10 Page 10 ARTICLE IX REQUIREMENTS FOR INSURANCE Members participating in club events shall carry vehicle liability insurance equal to or exceeding the minimums established by Colorado statute or as required by the state in which they reside. Each club member shall carry proof of current liability insurance on their vehicle, as required by law, and in no event shall the club be held liable for events properly covered by the club member s vehicle insurance. LIABILITY INSURANCE The club will carry an additional liability policy to protect the club and officers during club events and against the errors and omissions of the Board. ARTICLE X GTOAA The Classic GTO Association of Denver shall be a member club of the GTOAA as long as it shall exist and will pay the required dues for our officers (President, Vice-President, Secretary, Treasurer) for their term. ARTICLE XI ALCHOHOLIC BEVERAGES The club shall not serve alcoholic beverages to its membership or to any other person in such a manner as to be deemed a social host and to incur potential liability therefore under the Colorado dramshop statute. We are preparing to submit a club jacket order for several members. If you would like a jacket, this is the time to order one. If we can get enough order volume, we may be able to get a discount. There are two styles, satin jackets and varsity jackets, as shown. We also have other items of clothing already on hand. No inventory information is available, but Items could include club hats, T-shirts, polo shirts, etc. Call Shar Jung ( ) to place a jacket order or to inquire about other available items (item types, styles, sizes, etc.).
