1 Proposed Constitution and Bylaws Changes- Annual Meeting 2018 The following proposed amendments are formatted by taking the original text of the C&BL in black text. Words that have a strikethrough (crossed out) are to be removed. Words in red type are to be added. Proposed changes to crossbred goat registration DNA requirements were improperly submitted last year, 2017, and the board decided that members would be able to vote on the issue at the 2018 Annual Meeting. These two amendments were crafted to enhance clarity and match Article IV, Section G.7. First Proposed Amendment G. CROSSBRED KIKO CLASSIFICATION REGISTRATION REQUIREMENTS Amendment (new section added) 8. Effective January 1, 2019, all ¾ does must at minimum DNA sire qualify before a. If there are DNA markers on record for the sire and the dam, regardless of the above requirement, the offspring are required to DNA Parentage qualify before b. If alternate sires and/or dams are submitted, they must have DNA markers on record before Second Proposed Amendment Amendment (new section added) 9. Effective January 1, 2019, all ½ does must at minimum DNA sire or dam qualify before a. If alternate sires and/or dams are submitted, they must have DNA markers on record before If the DNA requirement is passed for half Kikos, then section IV.G.2 and IV.G.3, must be Deleted as well. 1
2 The following proposed amendments are submitted to clarify the method of selection for the Board of Directors and is submitted by the Constitution and Bylaws Committee. Third Proposed Amendment-proposed by CBL Committee Karen Severn, chair; Robert Bryant, and Christina Morris. Article VI BOARD OF DIRECTORS B. Number and Officers 1. The Board of Directors shall be elected during the regular annual election and installed at the Annual Member Meeting. The Board of Directors of the Association shall be seven (7) in number and each will hold office for a two-year period term except for directors elected to a one year term under the provisions of VII.A. Reasoning: Make terminology consistent throughout the CBL. Fourth Proposed Amendment-proposed by CBL Committee E. Vacancy In the case of a vacancy of any seat except the office of the President (the Vice-President would fill this position), the Alternate shall take the vacated seat until the next annual election and the Board of Directors shall appoint an Alternate to serve until the next annual election. If the Alternate has already filled the vacant seat and another seat is vacated, the Board of Directors shall have the power to appoint a temporary Director to serve the remainder of the exiting Director s term and an Alternate to serve until the next annual election. Board appointed temporary Should another vacancy occur, the Alternate would again take the vacated seat until the next annual election and the Board of Directors shall appoint another Alternate to serve until the next annual election. Board Appointed temporary Directors and Alternates must be current on dues and must have been a Breeder, Lifetime or Honorary Member for the twelve (12) calendar months preceding the appointment. Reasoning: Remove language concerning Temporary Directors and clarify that all elected positions which become vacant will be filled by the alternate for the remainder of the year, and then filled at the next annual meeting through the election process. Fifth Proposed Amendment-proposed by CBL Committee Article VII- VOTING AND ELECTION OF DIRECTORS AND PRESIDENT A. Terms A minimum of three Directors shall be elected each year to serve a term of two (2) years. The President shall be elected to serve a two (2) year term. A Director position filled by an Alternate during the previous year shall be filled by the election of a Director to serve a one (1) year term during the next election if the term of office has not expired. Reasoning: Codifies the method for filling unexpired terms so that three Directors may be 2
3 elected each year for two-year terms. Sixth Proposed Amendment-proposed by CBL Committee Article VII- VOTING AND ELECTION OF DIRECTORS AND PRESIDENT H. VOTE The Directors and President shall be elected by a plurality of the votes of the members that are eligible to vote and that participate in any election of the Directors and President. The three nominees receiving the highest number of votes shall serve two-year terms. If any unexpired one-year terms are vacant, the nominees receiving the next highest number of votes shall fill those Director positions. After all vacant Director positions are filled, the nominee with the next highest number of vote shall be named Alternate. Reasoning: Provides clarity and congruity with other sections of the CBL. Seventh Proposed Amendment -proposed by CBL Committee ARTICLE IX AMENDMENTS TO THE CONSTITUTION AND BYLAWS A. AMENDMENT The Constitution and Bylaws may be amended at the Annual Meeting of the members by a 2/3 majority of those members that are present, in person or by proxy, and eligible to vote at the Annual Meeting. 1. Proposed amendments to the Constitution and Bylaws must be received by the Association Secretary no later than 60 days prior to the date of the Annual Meeting. 2. Proposed amendments will be distributed by the Secretary or designee to the membership via and/or website listing and/or USPS 45 days prior to the Annual Meeting, for review. Reasoning: Assigns responsibility and timeframe for proposed amendments to be distributed to members prior to the annual meeting. Eighth proposed Amendment -proposed by President Elect James Sanders. IV. REGISTRATION AND TRANSFER OF GOATS I. OTHER REGISTRIES 1. Animals registered with other Kiko registries may be registered with the AKGA in the DNA Qualified Purebred Kiko Classification, and the Crossbred Classification, provided: a. The An animal (3/4 or above), must DNA qualify through both the sire & the dam to AKGA registered animals. (As required by the Oklahoma Court Settlement, 2011). b. If the animal is registered with the other registry as a ½ blood or 50%, it must DNA qualify through either the sire or dam qualify to AKGA DNA Qualified registered animals. (As required by the Oklahoma Court Settlement, 2011). 3

Application shall be made by the owner of the animal on forms approved by the Board of Directors and a copy of the animal s pedigree from the other Kiko registry must be included with the application. d. All expenses for this process are the responsibility of the individual seeking registration; transfer fees will not apply. (As required by the Oklahoma Court Settlement, 2011). Reasoning: As required by the Oklahoma Court Settlement, Ninth Proposed Amendment proposed by webmaster, Kellen Weissenbach ARTICLE IX AMENDMENTS TO THE CONSTITUTION AND BYLAWS A. AMENDMENT The Constitution and Bylaws may be amended at the Annual Meeting of the members, or at a Special Member Meeting called by the Board of Directors, by a 2/3 majority of those members that are present, in person or by proxy, and eligible to vote at the Annual Meeting. Members must meet applicable eligibility requirements in order to vote at the Annual meeting or in a Special Member Meeting. 1. Proposed amendments to the Constitution and Bylaws for consideration at the Annual Meeting must be received by the Association Secretary no later than 60 days prior to the date of the Annual Meeting. 2. Proposed amendments will be distributed to the membership via and/or website listing and/or USPS prior to the Annual Meeting or Special Member Meeting, for review. 3. A Special Member Meeting may be called by the Board of Directors, at their discretion, by a majority roll call vote during a board of directors meeting, and a period of review of no less than 15 days will be provided prior to the actual membership vote taking place. B. EFFECTIVE DATE Approved amendments shall become effective 30 days from the date of the vote taken at the Annual Meeting or Special Member Meeting, unless specified otherwise. The membership notification shall be via the AKGA website and reported in the minutes of the immediately following Board of Directors Meeting, and any of the following, at the discretion of the Board of Directors: AKGA Forum, the next published AKGA Newsletter, AKGA blast, USPS mail. Rationale: This is a rather important operational provision missing from the CBL. The association should have the flexibility to take member approved action between annual meetings when/if needed. Most associations have this kind of provision in place. It s rarely used, but when it s needed, it s important it s there. Tenth Proposed Amendment proposed by Karen Severn, Board member Two Genemaster amendments submitted by Karen Severn as a Genemaster Breeder 4
5 Member H. GENEMASTER CLASSIFICATION REGISTRATION REQUIREMENTS 1. Animals in this classification have at a minimum, at the first cross (F1 = 1/2 Kiko 1/2 Boer), a registered DNA Qualified Purebred Kiko sire and/or dam and a registered fullblood purebred Boer sire and/or dam. Reasoning: Utilizing purebred Boers greatly expands the genetic pool from which a Genemaster breeder may select. Purebred animals in the ABGA and the USBGA have purebred percentage standards equal to or greater than those of the AKGA. This cannot negatively impact purebred or crossbred Kikos in any way as animals must still meet those parental requirements but could positively impact the interest in the Genemaster classification. Eleventh Proposed Amendment- proposed by Karen Severn, Board member H. GENEMASTER CLASSIFICATION REGISTRATION REQUIREMENTS 3. A copy of the Boer registration certificate or online pedigree and classification status must be provided at the time of application to register the Genemaster offspring, as proof of the offspring s eligibility to be registered as a Genemaster. Reasoning: An AKGA member who is breeding Genemasters may wish to purchase Boer semen rather than buy and maintain a Boer buck year-round. Use of semen allows the breeder to avoid excessive inbreeding. Often, the semen is not owned and sold by the current owner of the Boer buck and sometimes the animal is deceased. Therefore, a copy of the actual registration certificate is not available. From the ABGA, the registration information is publicly accessible. The USBGA site is under construction currently.
