1 AMERICAN PUBLIC TRANSPORTATION ASSOCIATION STREETCAR SUBCOMMITTEE CHARTER Adopted 13, 2018 The APTA Streetcar Subcommittee forum which provides an opportunity for discussing industry developments in streetcar technology advances, safety and security, operating systems, rail system productivity and efficiency, training, and for technical roundtables, and sharing in management, operations, technology and other areas of common interest to the industry. PARAGRAPH 1-Forum Name ARTICLE 1-ORGANIZATION The forum shall be known as the APTA Streetcar Subcommittee, hereinafter the Subcommittee. PARAGRAPH 2-Mission Statement The APTA Streetcar Subcommittee promotes streetcar services in urban centers and the exchange of information among individuals or organizations promoting, planning, funding, designing, building, operating, and maintaining such services. This is done by organizing forums for the dissemination of best practices and the experience of practitioners; by assisting in the development of appropriate safety and technical standards and by providing guidance to regulators in setting sensible and reasonable regulatory measures. PARAGRAPH 3-Objectives The objectives of the Subcommittee are to: A. Maximize the safety, efficiency and productivity of streetcar systems; B. Insure that information regarding new rail transit technological developments is widely and readily available; C. Provide opportunities for information sharing to management and technical staff involved in rail projects; D. Provide technical and operational review and input regarding potential or proposed legislation. E. Regularly report out on their activities and objectives, as much as possible, be tied to APTA s strategic goals. ARTICLE II-MEMBERSHIP Membership in the Subcommittee shall be open to employees of APTA members who have an interest in light rail. 2 Persons desiring membership shall submit a notice in writing, with the person s name, title, organization address, telephone and fax numbers and address to the APTA Staff Advisor for the Subcommittee. Members are required to be active in this working group by participating in the following activities: Attend meetings, vote, participate in webinars and or conference calls, and respond to s from APTA. Missing four or more activities, without advance notice to the chair of the working group, over a calendar year will be seen as the member having no further interest and will result in their name being removed from the membership roster. PARAGRAPH 1-Officers ARTICLE III-OFFICERS The Subcommittee shall have the following officers: Chair, Vice Chair, and Secretary. Only those who are current members of a APTA and in good standing will be eligible for officer positions. basis. The Chair may appoint a Sub-Working Group (SWG) or Task Force on an as-needed PARAGRAPH 2-Duties of Officers The duties of the Officers of the Subcommittee shall be as follows: A. Chair. i) Shall preside at all meetings of the Subcommittee and shall be responsible for calling all such meetings of the Subcommittee. ii) Shall appoint all sub working groups (SWG) as needed. iii) Shall be responsible for taking action necessary to ensure the Subcommittee achieves its objectives and shall perform all such duties as usually pertaining to such office. iv) Shall be responsible for representing the Subcommittee and its affiliated SWGs at the Rail Transit Committee meeting. If the Chair is unavailable to attend this meeting and provide a status report on the activities of the Subcommittee, then the Vice Chair of the Subcommittee may be invited to do so. B. Vice Chair. i) Shall preside at meetings in the absence of the Chair. ii) Shall assist the Chair in the development and conduct of Subcommittee activities. iii) Shall attend the Rail Transit Committee meeting in the absence of the Chair. C. Secretary. i) Shall be responsible for keeping accurate records of the Subcommittee meeting and actions taken, including the taking of accurate minutes of Subcommittee meetings. 3 ii) Distribute minutes to Subcommittee members thirty (30) days before the next meeting. iii) Perform other duties as may be assigned by the Chair. PARAGRAPH 3-Terms of Office Each officer shall serve a term of two years. PARAGRAPH 4- Vacancies If the office of Chair becomes vacant prior to the end of the term, the Vice-Chair shall ascend to the office for the remainder of the term. In such case, the Secretary shall ascend to the position of Vice-Chair for the remainder of the term. If the office of Vice-Chair becomes vacant prior to the end of the term, the Secretary shall ascend to the position of Vice-Chair for the remainder of the term. In such cases, a special election may be held to fill the position of Secretary for the remainder of the term. PARAGRAPH 1 Election of Officers ARTICLE IV- ELECTION OF OFFICERS Election of officers shall occur at the APTA Annual Meeting every two years. Officers shall be elected by a majority of Subcommittee members present and voting with a slate of nominees, if such is created, and communicated to forum members at least thirty (30) days prior to the meeting. Newly elected officers shall assume office at the conclusion of the Annual Meeting at which they were elected. PARAGRAPH 2 Nominations Members interested in serving as officers may make their interest know by submitting a letter of interest to the APTA Staff Advisor for the Subcommittee at least 30 days prior to the next meeting at which officers will be elected. Nominations may also be made from the floor at the meeting, provided that the person nominated has indicated to the person making the nomination that he/she is willing to serve. PARAGRAPH 1-Meetings ARTICLE V - MEETINGS AND VOTING The Subcommittee shall meet at the APTA Annual Meeting and at the APTA Rail Meeting, and at such additional times as may be necessary. Notice of meetings shall be prepared by the APTA Staff Advisor and sent out (by mail, fax, or ) to the Subcommittee members no less than 14 days prior to the meeting, except in an emergency. 4 PARAGRAPH 2-Voting Only members of the Subcommittee shall be eligible to vote on issues or matters before the forum A vote may be taken only when a quorum is present. A quorum shall consist of at least 10% of the Subcommittee members. Proxy votes may count towards the quorum eligibility. Except as otherwise specified herein, all votes shall be by simple majority of voting members present and voting. ARTICLE VI SUB WORKING GROUPS PARAGRAPH 1-Standing Sub Working Groups (SWG) The Subcommittee shall have SWGs on an as-needed basis. These SWG may be subject to change. ARTICLE VII-RECORDS AND COMMUNICATIONS PARAGRAPH 1-Maintenance of Subcommittee Records The APTA Staff Advisor, along with other APTA staff as appropriate, shall maintain the forum roster and all forum records, including meeting minutes. PARAGRAPH 2-Communications All Subcommittee notices, announcements, and other communications shall be processed and distributed by the APTA Staff Advisor, in accordance with APTA policy. ARTICLE VIII AMENDMENTS TO THE CHARTER PARAGRAPH 1 Submission and Consideration of Amendments Amendments to this Charter may be proposed by any Subcommittee member and shall be submitted in writing to the APTA Staff Advisor for consideration and voting at the next business of the forum that occurs at least 60 days after the submission of the proposed amendment. The APTA Staff Advisor will distribute copies of any proposed amendments at least 14 days prior to the next meeting. PARAGRAPH 2 Adoption of Amendments Amendments to this Charter shall be adopted by a 2/3 vote of the Subcommittee members present and voting. ARTICLE IX CONFLICTS WITH APTA BYLAWS OR FEDERAL OR D.C.
