Chair Aiello noted that Agenda Item C would be taken out of order. Director Lisa Calise introduced W. David Power, President and CEO of Perkins School for the Blind, who previewed an application designed to assist visually impaired customers to better navigate the transit system. 2 Next, Mr. Aiello opened up the public comment session. The first speaker was Mr. James White, Chairman of AACT who commented on the RIDE Task Force. Mr. Mark LaPlante, City Councilor from Lawrence and Mr. Michael Gaffney, Vice Chair of the Worcester City Council both commented on maintaining an affordable and efficient system. Jake Auchincloss, Newton City Councilor commented on flexible contracting. Representative Joseph McKenna from Webster commented on the FMCB efforts to seek cost savings for the MBTA. Peter Forman, President of the South Shore Chamber of Commerce commented on procurement changes and outsourcing. Steven Kaiser commented on capacity. Mark Gallagher of the Massachusetts Hi Tech Council, commented on outsourcing. Louise Baxter commented on performance and outsourcing. Paul Crane of Massachusetts Fiscal Alliance commented on outsourcing. Barbara Mann, President of Mass Senior Action Council commented on MBTA privatization Kathy Paul, Mass. Senior Action Council commented on the RIDE. Next, was the approval of the minutes of the meeting of August 1, 2016.

This presentation was made by Chief Procurement Officer Jerry Polcari, with the assistance of Marketing Director Rose Yates and Revenue Director Evan Rowe. See attached presentation labeled Advertising RFP Update. Discussion ensued. VOTED: That the Fiscal and Management Control Board (FMCB) hereby authorizes the Acting General Manger or his designee, to award and execute in the

4 name and on behalf of the Massachusetts Bay Transportation Authority, and in a form approved by General Counsel, a contract with Outfront Media, Inc. of New York, NY for an initial term of five years, plus two subsequent fiveyear options to renew at the MBTA s discretion, for the Systemwide Advertising Concession, pursuant to the terms and conditions described in the attached Staff Summary and presented to the FMCB during the September 19, 2016 meeting. Next, Nathan Peyton, Deputy Chief of Staff, presented Agenda G, a review of upcoming FMCB agenda items. See attached presentation labeled FMCB Schedule. Chair Aiello asked Michael Lambert, Deputy Administrator for Transit, to present the next, Agenda Item F, the RIDE cost savings task force update. Mr. Lambert updated the board on the efforts to provide high-quality transportation services to the ADA-eligible population in the most cost-effective way possible, as set forth in the attached presentation labeled, labeled The RIDE Cost Savings Task Force Update. Discussion ensued. Next, Chief Administrator and Acting General Manager Brian Shortsleeve presented Agenda Item H, a discussion of financial performance and other related matters. See attached presentation labeled GM Remarks. Discussion ensued. Next, Chief Operating Officer Jeffrey Gonneville presented Agenda Item I, a discussion of system performance and other related matters. See attached presentation labeled COO Remarks. Discussion ensued.

5 Next, Chief Operating Officer Jeffrey Gonneville continued with Agenda Item J, a discussion of future Red Line capacity possibilities. See attached presentation labeled Red Line Customer Capacity Update. Discussion ensued. Next, on motion duly made and seconded, it was by roll call; Director Aiello Director Lang Director Calise Director Poftak VOTED: To enter into Executive Session for discussion of strategy related to litigation and collective bargaining at 1:53 p.m. Chair Aiello and the Board returned from Executive Session at 3:14 p.m. and reconvened the open session. Next, was the presentation of the Sergeant s Association Tentative Agreement presented by General Counsel John Englander. Discussion ensued. VOTED: That the Fiscal and Management Control Board ( FMCB ) hereby authorizes the Acting General Manager or his designee on behalf of the Massachusetts Bay Transportation Authority ( MBTA ) to enter into a Memorandum of Understanding for a collective bargaining agreement with the MBTA Sergeants Association for the period July 1, 2014 through June 30, 2018, upon the terms and conditions presented to the FMCB at the September 19, 2016 meeting, and further authorize the Acting General Manager or his designee, to execute any necessary documents, in a form approved by the General Counsel to implement this Agreement.
