1 NOTICE OF EXTRAORDINARY GENERAL MEETING (Amended) Notice is hereby given that an Extraordinary General Meeting (EGM) of the Singapore Human Resources Institute (SHRI) will be held on 3 rd October 2013, Thursday, 7.40 pm At Concorde Hotel Singapore, Level 3, Concorde 3, 100 Orchard Road, Singapore AGENDA 1. Opening Address by the President. 2. To consider and approve revisions to the Constitution of SHRI (subject to the approval of the Registrar of Societies) to provide for:- (1) the power to invest SHRI s funds and the power to borrow money (Annexure A); (2) the President to have the power to supervise and give directions to the staff of SHRI, in the performance and discharge of their duties (Annexure B); (3) a new category of Affiliate Membership (Annexure C); and (4) the appointment of a SME Charter Committee (Annexure D). 3. 2 Annexure A 1. To include a new Article XIV with the heading:- Investment and Borrowing of Money 2. To provide as follows:- (1) Notwithstanding any other provisions contained in this Constitution, the Institute shall have the power to invest the money of the Institute and deal with the investments made, and the power to borrow money ( the said powers ). The power to borrow money shall include the power to provide such security as the Executive Council may deem fit. (2) The said powers may be exercised by the Executive Council from time to time in the name and on behalf of the Institute, in the best interest of the Institute and on such terms and conditions as may be approved by the Executive Council. (3) The Executive Council may appoint a Finance and Investment Committee consisting of 2 or more Council members. The composition of the Finance and Investment Committee (including any appointment made thereto and any termination of any appointment) shall be determined by the Executive Council. (4) The Executive Council may delegate the said powers to the Finance and Investment Committee, on such terms, conditions and restrictions as may be imposed by the Executive Council, and the said powers so delegated may be exercised by the Finance and Investment Committee in the name and on behalf of the Institute.

3 Annexure B To include a new paragraph 1(d) under Article VII - Duties and Powers of Officers, to provide as follows:- d) The President shall have the authority from time to time to make such supervision and give such directions to the staff and employees of the Institute, in the performance and discharge of their duties, as the President shall deem fit.

4 Annexure C 1. To include a new category of Affiliate Membership under Article IV Membership, by adding a new item 1(vii) as follows:- (vii) Affiliate 2. To include a new paragraph 1(f) under Article IV Membership, to provide as follows:- f) Affiliate (i) Any person who is a member of any organization which is affiliated to the Institute or accredited by the Institute and who is not in arrears of membership subscription fee in respect of such organization shall be eligible for Affiliate membership. 3. To include the word Affiliate in the 1 st line of paragraph 2(b) of Article IV Membership, so that the 1 st line will read as follows:- Student, Affiliate, Associate and Honorary Life members shall:-

5 Annexure D 1. To include a new Article XV with the heading:- SME Charter Committee 2. To provide as follows:- (1) The Executive Council may appoint a SME Charter Committee consisting of 3 or more Council members and members of the Institute on such terms, conditions and restrictions as may be imposed by the Executive Council. (2) The composition of the SME Charter Committee (including any appointment made thereto and any termination of any appointment) shall be determined by the Executive Council. (3) The SME Charter Committee shall have the powers and duties to:- (a) (b) (c) provide guidance and assist SMEs to formulate and strengthen their HR policies and practices; assist SMEs to network and cross-learn best HR practices; and promote a good and effective working relationship between the Institute and SMEs and such other powers and duties as the Executive Council shall deem fit.
