You told us that the meetings were too long and too often. So we will schedule a combination membership/board of directors meeting on the 3 rd Thursday of February (after the January CGCI meetings). Dolores Moffat, Co-District Director attended the CGCI meetings and will present the information from the CGCI meetings at the DFD combination meetings. I recently attended the California Garden Club meeting. At our February 22nd meeting I hope to share 10 hours of CGCI Business in 1 hour of our DFD meeting. It will be fast moving and you will need to listen closely! Mark you calendars..hope to see you there. 4 Diablo Foothills District General Meeting Minutes of 21 September 2017 Meeting was called to order by Co-District Director Gloria Utley at 9:49 am. She noted that Recording Secretary Linda Jean Cruz was absent and she appointed Linda Holmes as Secretary Pro Tem for this meeting. Roll Call: Linda Flood called attendance. No. Calif. Camellia Society was not present. She noted that the quorum was met. Pledge to the Flag was completed Inspiration: Wild Birds poem was presented by Marlene Kinney Introductions: Past directors of the Diablo Foothills District, that were present, were recognized. The new Board of Directors were then acknowledged and recognized. Minutes: Co-Director, Gloria Utley, asked if there were any corrections or omissions to the minutes of June 22 nd as published. Page two of those minutes referenced two federal forms with incorrect numbering. Correct form numbers to be researched. Changes were made and noted. The minutes were approved as corrected. Treasurer s Report: Audrey Marlovits presented the year-end report as of June 30, (See attached document (labeled A). Outgoing District Director Marlene Kinney provided incoming Directors with a formal Review of the Financial Books as of the end of the fiscal year. See attached document (labeled B). Audrey went on to discuss the proposed Budget for season. (As published in August E Blast, p. 9) Discussions emanating from the changes the District is implementing, provided changes to this proposed budget, lowering both the income and expense areas. The donations projections removed Markham Arboretum (no longer a district member) as a recipient and replaced it with the Gardens of Heather Farm (a district member). A motion was made to accept the changes as discussed. The motion passed. (See Attachment C.) Penny Pines: Aprill McBeth passed the basket for donations. Director s Message: Gloria noted that Steve Lane s nomination as Assistant Director was approved by membership vote. Gloria also addressed the changes that surveyed members requested such as less and shorter meetings and what was wanted from the District. These adjustments led the Board of Directors to review the Bylaws and Standing Rules. Further discussion spoke to the general meetings being held at this Elk Club location (Walnut Creek) with brunch at 10 a.m. and the meeting to begin no later than 10:30 a.m. Membership was in agreement. Proposed Bylaws/Standing Rules Revisions: Judy Bates began the discussion by briefly stating how the changes were addressed. Discussion on the published proposed changes ensued. The following is a list of changes made during the discussion and not previously published: DFD Newsletter /EBLAST Foothills District N 4 RTM February 2018

5 Article III, p. 1 of the proposed change shall consist of four classes should be shall consist of three classes. Also associate plants societies should be stricken from that sentence. Article VIII, sect 5 of the proposed changes The committee shall makes should be changed to The committee shall make Articles XI, XII (Are mandatory IRS verbiage having to do with dissolution and with a 501(C) (3) organization). Standing Rules proposed changes should read as follows: #2. The order printed in the yearbook and roster shall be the Articles of Incorporation, bylaws, then the standing rules. #4 c. Change executive board to executive committee #5. A gift for the retiring director shall be the responsibility of the executive committee Assistant Director (changed from executive committee Assistant Director) New: Add standing rule 15. #15. The Board of directors may conduct business and vote via . Hard copy of chain to be included as minutes. A motion was made and seconded to approve the proposed bylaws and standing rules including these changes. The motion passed Diablo Foothills District Meeting Dates: Board Meeting February 22, 2018 and May TBD General Meeting June 28, 2018 Other Business: Marlene Kinney, past director, handed Gloria Utley, current co director, the permanent record of district meeting minutes previously maintained by Elaine Billeter, Recording Secretary for the term. Walnut Creek Garden Club is hosting Stephen Brown, and students, from the Environmental Horticulture and Floristry Department at SFCC. Open invitation. Presentation is Monday November 13. Flyer attached, labeled D. Ruth Bancroft Gardens provided a handout for upcoming classes. Also noted that construction has begun on new building, Garden is open, but the parking lot is not. Parking available only on local streets for now. Steve Lane reminded all that the deadline for advertising in the Yearbook is September 30 th. Applications were available. 6 Victoria Lucido reminded all that Bob Earhart, a camellia grower, is trying to redistribute his camellia friends to new homes. If anyone is interested, please contact Victoria for more details. **Program Presentation: Elaine Friedman, Director of Corvid Connection provide an hour long presentation on wildlife education and rehabilitation. Corvid Connection is a non-profit wildlife organization that helps to promote better understandings of these species. She shared 3 birds a raven, scrub jay, a screech owl and a snake. Her presentation included characteristics, skills, and traits that these animals have and use. Her presentations can be directed for adults and youth to enhance our understanding of these creatures. **To facilitate our speaker the meeting was interrupted at 11:00 a.m. for the program presentation. Our bylaws discussion resumed at noon.
