1 The Regular Meeting of the Holmdel Township Committee was called to order by Mayor Hinds at 7:00 PM. Statement read by Mayor: I hereby announce that pursuant to Section 5 of the Open Public Meetings Act adequate notice of this meeting has been provided in the notice which was sent to the Asbury Park Press, the Courier, the Independent and the Two River Times and posted on the bulletin board in the lobby at Town Hall, and a copy filed in the Township Clerk's Office on January 7, Present on Roll Call: Mayor Eric Hinds Deputy Gregory Buontempo Patrick lmpreveduto, Township Committeeman Joseph Ponisi, Township Committeeman Thomas Critelli, Township Committeeman Also Present: Edward G. Broberg, Township Engineer Donna Vieiro, Administrator Jeanette Larrison, Chief Financial Officer Duane 0. Davison, Township Attorney Maureen Doloughty, Township Clerk Resolution to Close Meeting - Read by Clerk at PM. BE IT RESOLVED that the following portion of this meeting dealing with the following generally described shall not be open to the public: Attorney Client Privilege as it Relates to Pending or Anticipated Litigation - Toll PILOT - Middletown Heritage Development - JAG update Related to tactics and techniques utilized in protecting the safety and property of the public - Garbage Collection

2 BE IT FURTHER RESOLVED that it is anticipated that matters to be considered in private may be disclosed to the public upon completion of said matters. Motion was made by Mr. Po nisi seconded by Mr. Critelli to adopt the above resolution. Carried on roll call vote: Mr. Buontempo, Mr. Critelli, Mr. lmpreveduto, Mr. Ponisi, Mayor Hinds; Nays: None; Abstain: None Presentation The Meeting reconvened at 7:30 and Mayor Hinds led the Pledge of Allegiance. Community Garden Presentation Sabrina Conlin, 6 Cinnamon Court, was present to update the Committee on the Holmdel Community Garden. She thanked the Committee, Administrator, Recreation Director, Director if Infrastructure for their support in this project. The ribbon cutting ceremony is tentatively scheduled for April11, Ms. Conlin stated that the seed for the Community Garden was planted last spring by Lyndsay Conlin and the High School Ecco Club with the support of the Green Team and the support of the Township Committee. Since last spring much progress has been made. Friends of Holmdel Open Space paid for the 8 foot deer proof fencing. The High School Ecco club paid for and installed tightly woven hex wire on the bottom four feet of the garden. - Ms. Conlin stated that the 50' x 80' garden will have between 24 double or 48 single plots. Single plots will be 4' x 8-1/2' with a $15 rental fee for the season. Double Plots will be 4' by 17' with a rental fee of $30 for the season. The rental fees will be going through the Township Recreation Account. If all plots are rented out, the maximum amount collected will be $ to be used for operating expenses. Ms. Conlin stated that the garden design includes an eight foot gate and path to allow for easy access. Three foot wide paths are between plots and a second four foot gate faces the Senior/Community Center where the water spigot is located. Initially gardeners will use a hose and watering can. If a Grant is received through Fiskers for $3,000, the money will be used to plum a line under the garden and have between three to six spigots in the garden. Two compost areas are planned outside the fence. Prospective Eagle Scouts are planning to help with this project. Victor Stevens has offered to help the Scouts. Ms. Conlin stated that outreach to Township residents has been made in various ways including sign ups at Holmdel Community Day and Earth day, articles have appeared in the Holmdel Happenings and the Holmdel Journal and a sign in front of the garden. Information was posted in the Senior/Community Center and a banner was in the High School. The response has been very positive. The first sign in meeting will be at the Senior/community Center on January 28, The rules of the garden will be

3 discussed as well as Hold Harmless Agreements, collecting rental fees, and assigning plots. She asked if a member of the Recreation Staff could be present to assist with the collection of rental fees. She also asked if the Hold Harmless Agreement used for Recreational Facilities could be used for this venture. Donna Vieiro stated that a staff member will be present to assist on the sign ups. The Hold Harmless will be ready at the time of the meeting. Mr. lmpreveduto thanked Ms. Conlin for her work in this endeavor. This is a wonderful idea and it will serve the members of the community well. Mayor Hinds asked how long the season will run. Ms. Conlin stated that the season will run from March 1 through November 1. The garden will not be ready this year until April. Ad-In Tennis Presentation Igor Nikitin, Professional Tennis Coach has been coaching for 6 years and he has coached and mentored many children from Holmdel for the last 2 years. He stated that the Township does not have an indoor facility where the team can practice during the winter. He has had an idea for the rebirth of the Holmdel Swim and Tennis Club. The courts will be covered by a specially designed Tennis Dome which is referred to as a "Bubble". He would like to start the operation of the indoor tennis courts in the fall of The Indoor Tennis Center will feature 8 clay courts to provide comfort and less injuries. Mr. Nikitin stated that the benefit for the community will be 500 plus hours for use by Holmdel residents. This will be a year round tennis facility. There will discounted court rental fees for Holmdel residents. This project will also provide 1 0 to 15 job opportunities. Ad-In Tennis Company will be investing approximately $1.5 million to build 2 tennis bubbles over 8 courts, maintain the facility and courts, resurface the courts, and create various tennis programs for the Tennis Club such as quick start program, after school programs, junior and high school tennis academies, men and women leagues, adult clinics, and community events and tournaments. Mr. lmpreveduto thinks this is a very exciting project. It is something that has been needed for a long time. Mayor Hinds stated that for a town that has been tremendously successful in tennis there is no reason for residents to drive outside of town to play tennis.

5 Resolution Exercising the Option to Renew the Contract for Mowing Services for 2015 with D'Onofrio & Son, Inc. Landscaping in the amount of $72,335 WHEREAS, on December 10, 2013 the Township of Holmdel awarded a contract to D'Onofrio & Son, Inc. for Mowing and Bayonet Farm Lawn Care; and WHEREAS, the Township of Holmdel retained the option to renew the contract for 2015; and NOW, THEREFORE, BE IT RESOLVED by the Mayor and Township Committee that the Township of Holmdel hereby exercises the option to renew the contract with D'Onofrio & Son, Inc. for the period of January 1, 2015 through December 31, 2015 for an amount of $72,335. Resolution Approving Change Order No.1 for 2014 HVAC Planned Maintenance, Routine Repair & Emergency Repair Agreement for an Increase of $ WHEREAS, the Township of Holmdel awarded a contract for Planned Maintenance, Routine Repairs, and Emergency Repairs to Breeze Heating & Air Conditioning Company in the amount of $17,600; and WHEREAS, the work relating to that contract is ongoing and; WHEREAS, the Township Qualified Purchasing Agent has submitted a detailed report dated January 20, 2015 requesting approval of Change Order #1 in the amount of $2,551.86, 14.49%, for this contract; and WHEREAS, the funding is available for this purpose. NOW, THEREFORE, BE IT RESOLVED by the Mayor and Township Committee of the Township of Holmdel that Change Order #1 and amendment to the referenced contract is hereby approved. BE IT FURTHER RESOLVED that the Township report dated January 20, 2014 is hereby incorporated by reference.

6 Resolution Accepting Performance Bond Posted for Centerville Holdings. LLC dba Bayshore Veterinary Hospital in the amount of $25,000 BE IT RESOLVED by the Mayor and Township Committee of the Township of Holmdel that Performance Bond No issued by Western Surety Company in the amount of $25,000 posted for Centerville Holdings, LLC dba Bayshore Veterinary Hospital be accepted. Introduction of Ordinances AN ORDINANCE AMENDING CHAPTER 13 PARKS AND RECREATIONAL FACILITIES, SECTION 13-3 SWIM CENTER, SECTION , FEES AND CHARGES OF THE CODE OF THE TOWNSHIP OF HOLMDEL Motion was made by Mr. Critelli seconded by Mr. lmpreveduto to adopt on first reading, publish in the Asbury Park Press and set Public Hearing for February 3, 2015, Carried on roll call vote: Mr. Buontempo, Mr. Critelli, Mr. lmpreveduto, Mr. Ponisi, Mayor Hinds; Nays: None; Abstain: None - Public Portion -Agenda and Non-Agenda Items Mayor Hinds opened the meeting to the Public. No one wished to be heard and the Public Portion was closed. Adjournment Motion was made by Mr. Critelli seconded by Mr. Ponisi to adjourn the meeting at 7:48 PM. Carried by unanimous voice vote.
