1 Chinese Students and Scholars Association (CSSA) Constitution Executive Board Drafted Executive Board Publicized Article 1: Full Name and Nature Chapter 1: General Rules (1) CSSA full name is Chinese Students and Scholars Association. (2) CSSA was established by the official support of the University of Michigan Ann Arbor and the only University of Michigan Chinese non-for-profit student organization accredited by Consulate of the People's Republic of China in Chicago. (3) CSSA is responsible for all Chinese students and scholars in school, subject to supervision by all Chinese students and scholars in school. (4) CSSA members are all equal within the organization, and follow the leadership of the democratic centralism principle, to ensure that all members acknowledge, understand and act in accordance with the Constitution to keep updated of student organization information, election and being elected, exit organization, and the rights to express their opinions. Article 2: Purpose (1) To serve all the Chinese (especially for Chinese undergraduates, graduate students, doctoral students, exchange students, visiting scholars), through entertainment activities, occupation/career services, academic support, sports, cultural exchange, etc. (2) To continue to expand the influence of Chinese students on campus, through the organization and coordination with other Chinese student organizations on campus, as well as with other regional and international associations. (3) To help Chinese students and scholars to safeguard their legitimate rights and interests, through active communication with the school. (4) To expand the influence and reputation of the University of Michigan, through connecting the University of Michigan with China and organizing events related to China. Article 3: Personnel Selection (1) Fall new recruitment: early September, fall new recruitment is CSSA main recruitment, with the use of voluntary registration. Applicants fill out the application form, and candidates will be interviewed by the executive board, department directors and vice directors collectively;
2 (2) Winter new recruitment: early January, winter new recruitment is CSSA mid-year recruitment, with the use of voluntary registration. Applicants fill out the application form, and candidates will be interviewed by the executive board, department directors and vice directors collectively; (3) Supplementary recruitment: In the unconventional recruitment time, if the applicant has a strong willingness to join the organization, he/she can take the initiative to contact the CSSA executive board. The executive board will perform a simple majority of the vote after the voluntary interview. The department director will also interview the candidate one-on-one and place the vote. The voting process is not weighted; (4) Spring board election: early April, board election of the presidium, department directors and vice directors follows the use of voluntary application. Current executive board will carry out the interview to select new executive board; department directors and vice directors will then be selected after being interviewed by the new executive board. Department directors and vice directors will determine whether a general member stays for the next school year or not depending on their performance in the current year. Article 4: Rights and Obligations (1) All CSSA personnel must strictly abide by the Constitution. All violations of the Constitution must be in accordance with the relevant provisions of the articles concerned; (2) All members of CSSA are only entitled to the rights of the obligations under this Constitution. Article 5: All work carried out by CSSA shall not be inconsistent with this Constitution. Article 6: Internal Membership (1) Co-president (2) Co-vice president (3) Secretary General (4) Human Resources General (5) Director (6) Vice-director (7) Associate / General Member Chapter 2: Personnel Structure Article 7: The CSSA Executive Board shall consist of Co-presidents, Co-vice presidents, Secretary General and Human Resources General. Article 8: Co-presidents and Co-vice presidents (1) CSSA has two co-presidents and two co-vice presidents;
3 (2) The co-presidents are responsible for the overall co-ordination, have the maximum decision-making and final decision-making powers of the CSSA in the term of office and take the primary responsibility for all decisions of the executive board; (3) The co-vice presidents assist the co-presidents in handling the organization's internal and external work. Article 9: Secretary General and Human Resources General (1) Human Resources General is responsible for actively understanding the working status of the internal members, providing feedback of the members' information to the co-presidents and the executive board, planning the internal networking activities, actively promoting the communication between CSSA members and departments, and improving the internal cohesion of CSSA. (2) Human Resources General is responsible for assisting the co-presidents and the executive board to carry out the Fall and Spring new recruitment, and assisting the co-presidents to arrange personnel recruitment and appointment; (3) Secretary General is responsible for keeping attendance statistics of CSSA internal activities; (4) Secretary General shall, in accordance with the requirements of the executive board, formulate a timetable for various event preparations, monitor and report on the progress of the work to the relevant departments and personnel; (5) Secretary General is responsible for informing and communicating the decisions of the co-presidents and the executive board. Article 10: Directors and Vice Ministers (1) CSSA departments generally set up 1 director per department. The Outreach and Business Development department may, depending on the circumstances, set up to 2 directors; (2) CSSA departments set up 0-2 vice directors; (3) CSSA directors are the heads of each respective department and are responsible for the day-to-day operations, should assist the executive board to deal with businesses within the departments (in accordance with the requirements of the executive board), and ensure the proper functioning of operations under the leadership of the executive board; (4) CSSA vice director is responsible for assisting directors to deal with the daily work of the department. Article 11: Personnel Vacancy Fillment (1) The executive board shall have the power to decide whether or not to appoint an agent to a position that is vacant, besides any position in the executive board, directors and vice directors;
4 (2) If one of the executive board member resigns or is dismissed and is not filled, the remaining members of the executive board shall collectively represent his/her duties; (3) If two or more members resign or have been dismissed from the executive board, the positions shall hold an election within one month to fill the positions. The remaining executive board members shall collectively perform the unrepresented duties before the election. The filling candidates shall be approved by half or more of remaining members of the executive board. The voting is not weighted; (4) If a director resigns or is dismissed, the executive board shall appoint a director within one month. Before the appointment, vice director will perform the duties of the director, (5) If a vice director resigns or is dismissed, the position must be filled by appointment from the executive board within one month. Before the appointment, the associate/general member who gains half or more votes from the executive board shall be qualified to act as the vice director. The voting is not weighted. Chapter 3 Organizational Structure Article 12: CSSA adopts the President and Director Responsibility System and the Executive Board Collective Leadership System. Article 13: Departments and their duties (1) Event Department: mainly responsible for planning, implementing and making budgets for the annual major large-scale recreational activities; (2) Finance Department: directly supervised by the executive board, responsible for collecting all receipts from various for reimbursement, producing monthly CSSA financial income and expenditure chart, and applying for fundings from University of Michigan and Consulate of People s Republic of China, in accordance with relevant guidelines and regulations; (3) Publicity Department: mainly responsible for external publicity, events promotion, publicity platform management and video/poster production; (4) Career Development and Alumni Relationship Department: mainly responsible for career development and alumni contact development; (5) Sports Department: mainly responsible for organizing various sports activities; (6) Outreach and Business Development Committee: total number of committee members should not exceed 6 people. Under the guidance of the executive board, the Committee shall conduct specific negotiations on sponsorship and business cooperation according to the actual situation. The Committee is responsible for active contact with the relevant potential partners, and is responsible for contacting and
5 negotiating partnership terms with internal and external organizations. All external cooperation and sponsorship agreements are required to be signed by a co-president; any agreements/contracts without any co-president signature are deemed invalid (discount card contracts are subject to relevant situations); (7) Tech Team: mainly responsible for developing and maintaining CSSA information technology and technical product. Chapter 4: Transition Election of Executive Board, Directors and Vice Directors Article 14: CSSA Executive Board transition election shall be held on the first weekend of April each year. Director and Vice Director election shall be held on the second weekend of April each year. Article 15: The transition election of the executive board, directors and vice directors shall be held before the formal transition meeting. Article 16: CSSA executive board members (co-president, co-vice presidents, Human Resources General and the Secretary General) shall not be re-elected or participate in transition election. Article 17: CSSA directors and vice directors shall not be re-elected for more than two terms. Article 18: The right to be elected (1) All members have the right to be elected for director or vice director positions, besides incumbent executive board members, or directors/vice directors who have been re-elected for two terms already; (2) Incumbent directors and vice directors have the right to be elected to the executive board. Article 19: The right to vote (1) CSSA incumbent executive board has the right to vote on the preceding/new executive board candidates; (2) CSSA new (after the transition election) executive board has the right to vote on the preceding/new board (consisted of directors and vice directors). Article 20: The electoral system (1) The election adopts a weighted democratic centralization system within the executive board. The two co-presidents each hold two votes. The two co-vice presidents, Human Resources General, and Secretary General each hold one vote; (2) The presidential election of the preceding executive board is by individual interviews done collectively by the incumbent executive board with open ballot system;
6 (3) The director/vice-director election for the preceding term is by individual interviews done collectively by the preceding/new executive board with open ballot system. Article 21: The case of no trust (1) against any serious breach of this Constitution; Chapter 5 No Trust Act (2) against any violation of local laws and regulations; (3) against any behavior that caused CSSA huge losses. Article 22: CSSA incumbent executive board members are entitled to initiate a written no-trust-case to co-president(s). Such no-trust-case written statement will be reviewed by the executive board members (not related to the case), all directors and vice directors. The group listed above will vote after reviewing, and if more than half of the votes agrees with the no-trust-case, the co-president(s) involved shall be dismissed. Article 23: Any CSSA general members are entitled to initiate a written no-trust-case to co-vice president(s), Human Resources General, Secretary General, Directors, and Vice-Directors. Such no-trust-case written statement will be reviewed by the executive board members, all directors and vice directors (besides the personnel involved in the no-trust-case). The group listed above will vote after reviewing, and if more than half of the votes agrees with the no-trust-case, the personnel involved shall be dismissed. Article 24: All voting rights with respect to the no-trust-case shall be unweighted and one vote per person shall be made. Article 25: In the event of the expulsion conditions outlined in Chapter 6, there is no need to use the case of no trust. Chapter 6: Code of Internal Membership Article 26: The CSSA internal codes and Constitution provided for in this chapter shall apply to all CSSA members. Article 27: If any of the following circumstances occurs, the executive board may give a warning, personal warning record clear once every semester: (1) Unexcused absence of the current department or the CSSA meeting;
7 (2) Unexcused absence of activities/events; (3) Two times late to required/mandatory activities/event, the current department or CSSA meeting; (4) Upon getting work arrangement, the task is completed later than the specified time or the task is not completed without any reasons; (5) Refuse to accept the proper assignment without any reason; (6) Other cases where more than half of the votes have been held by the executive board shall be given a warning, and the votes shall not be weighted. Article 28: The personal warning records of CSSA members shall be recorded by the Secretary General and shall be managed by the executive board in a unified manner. Article 29: Upon verification, members who bear any one or more of the following cases may be expelled from CSSA (1) Warned by the executive board twice; (2) Causing significant losses to the organization due to serious personal work errors; resulting in planned activities can not be successfully completed, detrimental damage to CSSA reputation, or other cases that more than half of executive board members considered to be a material loss; such votings are not weighted; (3) Cannot successfully complete events such as incoming student welcome event, or the Spring Festival Gala, as a co-president during the term of office; (4) Privately use the name of CSSA without the authorization of the executive board, in any form of publicity, external contacts, business contacts or other activities; (5) Embezzlement of public funds, finance fraud, or bookkeeping fraud; (6) Three times or more of absences to major events or meetings in a semester. Article 30: Before the CSSA activities and meetings, depending on the size of the event and the meeting, the attendance shall be recorded by the respective department director or the Secretary General. They shall upload the attendance record table. A summary of attendance will be made at the end of each semester. Article 31: CSSA members shall have the right to freely withdraw from the organization, but before withdrawing from CSSA, they have the obligation to inform executive board his/her reasons for such withdraw and transfer relevant work obligations.
8 Article 32: CSSA members enjoy the right to freely arrange individual time. When individual time and organization activity conflict and thus cannot normally participate in or organize activities, there is a need to advance to the relevant person in charge of leave or apply for adjusting time. Article 33: During the holding of CSSA general meetings or departmental meetings, the participants shall consciously maintain the order of the meeting. Article 34: CSSA members have the right to express their opinions or respond to questions, and CSSA encourages members to expressing opinions or reactions in an open manner. Incumbent executive board reserves the right to not openly express opinions or respond to questions. Incumbent executive board also has the right to deal with general members who undermine the internal cooperations between CSSA. Article 35: In case of vacancy after expulsion, it shall be dealt with in accordance with the relevant parts of the articles in this Constitution. Chapter 7: Finance Article 36: The financial work shall always uphold the principle of appropriate amount, impartiality and transparency. Article 37: The relevant departments or individuals of CSSA shall submit their activity budget to the executive board and the Finance Department before the event. They shall submit their activity final expenses to the executive board and the Finance Department after the event Article 38: The pre-and final expense accounts of the previous activities shall be recorded in the financial statements and shall be compiled and summarized by Finance Department. The statement should be reported to the executive board, directors and vice directors before the 10th of next month. If the occurrence of statistical work is more arduous, the reporting may be extended in the case of approval by the co-presidents. The latest reporting date is end of next month. Article 39: The expenses incurred in connection with business hospitality, travel and other expenses shall be reported by the parties to the executive board at least 3 days before the occurrence of the travel. The executive board shall determine the reasonableness of the expenditure and determine the amount of the reimbursement as appropriate. Such expenditure should also be included in the financial statements, which shall be compiled by the Finance Department and shall be reported to the executive board, directors and vice directors by the month of the month. Article 40: Finance Department shall, before the commencement of each semester, produce the financial budget for the semester with estimation of expenses. Financial Department directors and vice directors will report to the executive board and all other directors/vice-directors at the first board meeting. Article 41: Finance Department shall produce the financial statements for the semester before the end of each semester, including all activities during the semester, business travel budgets and expenses. They
9 should also outline CSSA financial income and expenditure situation for the term, at the last board meeting of the semester. Chapter 8: Amendments to the Articles of Constitution Article 42: All CSSA members shall have the right to submit to the executive board a written amendment to the Constitution, Including the deletion, addition or modification of a provision or an article; Article 43: A written amendment shall specify the specific reasons for the amendment. Article 44: Written amendments shall be submitted to all CSSA members for discussion through internal voting by the executive board. The voting process is not weighted and shall be submitted to all CSSA members on the need for a simple majority. Article 45: A written amendment discussed by the general members of the organizations shall be subject to an absolute majority (two-thirds majority) of the number of participants in the plenary session. The number of participants in the plenary session shall be at least an absolute majority (two-thirds majority) of the total number of CSSA sessions for the votes to be valid. Article 46: After the amendment has been passed, it shall not be deleted or amended in any form, and the time for the adoption of the amendment shall be indicated in the amendment. Chapter 9: Others Article 47: The present Statutes shall be passed by a simple majority of the number of participants in the 2017 CSSA plenary meeting, and the simple majority of the total number of participants in the 2017 CSSA will be valid. Article 48: The Constitution shall come into force on the date of adoption of the voting, and all provisions in conflict with the Constitution shall prevail in these articles. Article 49: The Constitution shall be self-supervised by CSSA and shall be self-directed. The CSSA incumbent executive board shall hold the final interpretation of the Constitution. Chapter 10: Ratification Article 50: This constitution must be ratified by two-thirds of all active members to take effect and shall be reviewed every 1 year.
