1 REGULAR MEETING OF THE GREEN HILLS AEA BOARD OF DIRECTORS MINUTES Unofficial Red Oak Regional Office 6:02 p.m. 212 E. Coolbaugh Street Red Oak, Iowa Richard Schenck, Board President, called the meeting to order at 6:02 p.m. Roll call revealed the following persons present and/or absent. Present: Board Members: Randy Brown, Ed Gambs, Marland Gammon, Richard Schenck, Raymond Storm, and Julie Wilken Lane Plugge, Chief Administrator Linda Perdue, Board Secretary Board Members Absent: Karen Thomsen, Ken Lee, Jere Ann Jake Powers AEA Staff Present: Lori Kinyon, Director of Human Resources Emily Nelson, Director of Finance and Board Treasurer David VanHorn, Associate Administrator Approval of Agenda Mr. Schenck noted that Ms. Thomsen audited the bills and expenses and that financial reports may be deferred to later in the agenda, pending Ms. Thomsen s arrival. Mr. Gambs moved approval of the, Board agenda as modified; seconded by Mr. Storm. The motion carried on a unanimous voice vote. Approval of Minutes Ms. Wilkens moved approval of the minutes for the August 28, 2012, regular meeting; seconded by Mr. Gammon. The motion carried on a unanimous voice vote. Open Forum There were no comments from the public in attendance. Due to computer problems, the Board Presentation was postponed to later in the meeting. Ms. Thomsen arrived at 6:08 p.m. Green Hills AEA Annual Financial Report for Emily Nelson, Director of Finance, presented the Annual Financial Report. This report reflected the following: Total Revenue General Fund 29,597,615 Special Revenue Funds 528,153 Total Expenditures General Fund 30,509,365 Special Revenue Funds 528,153 Capital Projects Fund 20,000

Mr. Gammon moved approval of the Green Hills AEA Annual Financial Report as presented. The motion was seconded by Mr. Brown. Roll call vote: Yes: Storm, Wilken, Thomsen, Gambs, Gammon, Brown, Schenck No: None Absent: Lee, Powers Motion carried. Board Presentation The Work of GHAEA CIP (Continuous Improvement Plan) David VanHorn, Associate Administrator, provided an update on the work of the Green Hills AEA CIP Team and internal Professional Development planning. Dr. Plugge reported on the AEA and DE Collaborating for Kids efforts. The AEA Chiefs are working on a New Compact document that will be presented to the AEA Boards when finalized. Financial Reports Ms. Thomsen reported that she had reviewed the bills and that all questions were addressed satisfactorily and moved approval/acceptance of the following: a. Approval of the Anticipated Cash Flow Chart through October 23, b. Acceptance of the General Fund Financial Report for August 2012, indicating a beginning balance on August 1, 2012, of $2,956,415.30, receipts of $3,029,411.02, disbursements of $2,863,549.02, and an ending balance on August 31, 2012, of $3,122,277.30*. Note: This balance includes $1,500,000 of Tornado Recovery CDs, leaving an available balance of $1,622, c. Acceptance of the Fiduciary Funds Financial Report for August 2012, indicating a beginning balance on August 1, 2012, of $15,021.63, receipts of $.64, disbursements of $0.0, and an ending balance on August 31, 2012, of $15, d. Approval for payment of bills in the amount of $237,229.01, expense accounts of $55,924.09, fiduciary fund warrants of $33,722.08, and operating fund manual warrants of $30,

3 Page 3 e. Acceptance of the August 31, 2012, Investment Report balance of $2,689, in the General Fund. Mr. Gammon seconded the motion. Roll call vote: Yes: Storm, Wilken, Thomsen, Gambs, Gammon, Brown, Schenck No: None Absent: Lee, Powers Motion carried. Mr. Gammon volunteered to review bills for the October Board meeting. Personnel Matters Lori Kinyon, Director of Human Resources, presented the personnel items for Board consideration. Mr. Gambs moved approval/acceptance of the following personnel matters; seconded by Ms. Wilkens. Motion carried on a unanimous voice vote. New Certified Staff Katherine Nuss, Early Childhood Special Education Consultant for the 2012/2013 school year BA, Step 2 Salary: $31,952 plus $5,190 Teacher Quality for a total of $37,142 New Classified Staff Reasa Sturm, Teacher Associate at Clarinda Correctional Facility for the 2012/2013 school year Hourly Salary: $10.35 Lane Change for 2012/2013 Pamela Elwood, Early Childhood Consultant, from MA+15, Step 15 to MA+30, Step 15 Salary: $54,732 plus $5,190 Teacher Quality for a total of $59,922 Amy Hoffman, Special Education Consultant, from MA+15, Step 8 to MA+30, Step 8 Salary: $46,448 plus $5,190 Teacher Quality for a total of $51,638 Certified Staff Extended Days Hilary Brummer, Speech-Language Pathologist, one day August 27, 2012 for substituting at Woodbine Per Diem: $ Betty Brummett, Literacy Consultant, two days, July 13 and August 6, 2012 for Teaching Writing class developing class at Redo Oak Washington Intermediate Per Diem: $ Diane Crouch, Speech-Language Pathologist, three days August 31, September 7 and 14, 2012 for Assistive Technology Per Diem: $ David Henry, School Psychologist, two days June 4 and 5, 2012 for Thinking Mathematically Per Diem: $ Jane King, School Psychologist, one day July 24, 2012 for teaching Writing Individualized Education Program (IEP) course Per Diem: $ Marilyn Nickel, Literacy Consultant, two days June 20 and 21 for teaching the Paraeducator Course #2 in Creston Per Diem: $310.44

4 Page 4 Laureen Peterson, Speech-Language Pathologist, two days July 9 and 20, 2012 for due process Individualized Education Program (IEP) meeting and Final IEP for Sidney Student Per Diem: $ Linda Streicher, Speech-Language Pathologist, one day July 12, 2012 for AEA Comprehensive Improvement Plan (CIP) meeting Per Diem: $ Extended Contract days for Internship Supervision for 2012/2013 Rachel Eikenberry, School Psychologist, up to 10 days Per Diem: $ Angela Williams, School Psychologist, up to 10 days Per Diem: $ Part-time Certified Staff Letter of Employment for 2012/2013 Gerry Lundgren, Part-time (.4) Speech-Language Pathologist MA+30, Step 19 plus Career Increment - Per Diem: $27.47 with an additional $2,076 annual Teacher Quality allocation for 2012/2013 Part-time Temporary Classified Staff Ashley Slobodnik, Substitute Teacher Associate Hourly Salary: $9.99 Charmaine Turner, Teacher Associate Hourly Salary: $9.99 Substitute Teachers Will be Paid an Hourly Salary of $23.50 for the 2012/2013 School Year Gwen Detlefsen, Substitute Teacher, Quakerdale Manning Alice Westphal, Substitute Teacher, Council Bluffs Classrooms Contracted Staff Cindy Burchett received the following stipends: $150 for instruction of Human Relations Independent Study course on August 23, 2012 Classified Staff Vacancy Teacher Associate (1 FTE) Council Bluffs Children s Square for the 2012/2013 school year Approval of Agreements/Contracts and Grant Application Mr. Gammon moved approval of the agreements and grant application as presented by Dr. Plugge; seconded by Mr. Storm. The motion carried on a unanimous voice vote. a. Services License Agreement for John Baylor Test Prep ACT Prep Program This agreement provides participating Green Hills AEA high schools unlimited 11-month, atschool use of the online content provided by the John Baylor Test Prep program beginning August The $9,000 cost will be charged back to participating schools. b. Agreements with School Districts Participating in John Baylor Test Prep ACT Prep Program These agreements, effective August 2012 through June 2013, are for the purpose of establishing terms and conditions for school districts to receive unlimited 11-month, at-school use of the online content provided by the John Baylor Test Prep program. Districts include: East Union, Fremont-Mills, Nishnabotna (Farragut-Hamburg), Nodaway Valley, Sidney, Tri-Center, and Underwood. The Agency will have an online service license agreement with John Baylor Test Prep for this service. The $9,000 cost is charged back to participating schools. c. Iowa West Foundation Grant Application The Agency on behalf of schools in southwest Iowa is submitting application to the Iowa West Foundation for 2013 Summer Leadership Academies. If approved, the Agency will serve as the fiscal agent for the grant.

Memorandum of Understanding for Provision of Referrals with MATURA Action Corporation This memorandum of understanding, effective October 1, 2012 to September 30, 2013, assures that the Green Hills AEA Early ACCESS will provide ongoing referrals to the MATURA WIC/MCH program. e. Iowa Online Development 28E Agreement with Area Education Agency 11 The purpose of this agreement is to effectively and economically meet the staffing needs of the Iowa Online Professional Development System (IOPDS) by Green Hills AEA (GHAEA) providing the services of one full-time staff member to AEA 11 as an Online Learning Specialist. AEA 11 shall reimburse GHAEA its actual costs of the Online Learning Specialist costs covered under this agreement. This agreement shall be in effect from July1, 2012 to June 30, Approval of High Speed Copier Purchase The volume of copying requests has increased this fall and the Copy Center is in need of an additional high speed copier. The Agency is fortunate to have located a floor model which serves copying needs and is priced very competitively. The current copier is experiencing some breakdowns requiring service because of the increased volume. For these two reasons the administration requested the Board invoke the bidding exemptions listed in Policy and authorize the purchase of the Konica high speed copier. The purchase will be made with insurance funds received from copier and press equipment lost in the Creston tornado. Ms. Wilken moved to invoke the bidding exemptions listed in Policy and authorize the purchase of the high speed copier; seconded by Ms. Thomsen. The motion carried on a unanimous voice vote. Administrator s Goals for The chief administrator presented his performance goals for Board consideration and approval. Activity/goal 1: Develop a collaborative organizational culture for GHAEA Standard # 1 An educational leader promotes the success of all students by facilitating the development, articulation, implementation, and stewardship of a vision of learning that is shared and supported by the school community. (Shared Vision) Activity/goal 2: Implement and Attain the 5 year CIP Goals Standard # 2 - An educational leader promotes the success of all students by advocating, nurturing and sustaining a school culture and instructional program conducive to student learning and staff professional development. (Culture of Learning) Activity/goal 3: Reduce the Educational Services Budget Deficit Standard # 3 An educational leader promotes the success of all students by ensuring management of the organization, operations and resources for a safe, efficient and effective learning environment. (Management) Activity/goal 4: Establish and Maintain Positive Relationships with School Districts Standard # 6 An educational leader promotes the success of all students by understanding the profile of the community and, responding to, and influencing the larger political, social, economic, legal and cultural context. (Societal Context) Mr. Gammon moved approval of the chief administrator s goals for as presented; seconded by Ms. Wilkens. The motion carried on a unanimous voice vote.

6 Page 6 Administrative Updates/Reports a. Administrative Reports Dr. Plugge provided an update on the Creston facility. GHAEA continues to work with Creston Schools. The GHAEA attorney has drafted a 28E agreement, which has been sent to the district for their review. The 28E agreement and a cost for the remodel are needed for the Department of Education to provide approval for GHAEA to proceed. GHAEA is required to hold public hearings regarding the sale or conveyance of the land where the former Creston office building was located. The 21 st Century Learners Conference is scheduled for October 4 at Bedford CSD and October 5 at Harlan CSD. Board members who are interested in attending should contact the Board Secretary. Dr. Plugge stated that the AEA State Communications Committee is requesting AEA Board members to serve as hosts in the AEA booth at the IASB conference on November 15. Raymond Storm volunteered to serve as a host. Dr. Plugge reported that GHAEA received a request from Substance Abuse and Mental Health Services (SAMHSA) Division of Grants Management to return $72,000 of the $500,000 federal grant that concluded in 2008 as SAMHSA claims the Agency did not have authorization to carryover those funds into years 3, 4, and 5. The Agency has filed an appeal certifying that the work was completed. The purpose of the appeal is to avoid repayment. b. Board Reports Ms. Thomsen reported on her tour of the Iowa Connections Academy at CAM CSD. Time and Place of Next Meeting The annual and regular meeting of the Board of Directors of the Green Hills AEA will be conducted on Tuesday, October 23, 2012, 6 p.m., at the Red Oak Regional Office.
