1 rev. 2/11/118/9/16 MADISON COUNTY EXTENSION HOMEMAKER ASSOCIATION CONSTITUTION ARTICLE I NAME The name of this organization shall be the Madison County Extension Homemakers Association ( Association ). ARTICLE II PURPOSE The purpose of this organization is exclusively for educational and charitable purposes and to promote an educational program in home economics and family living in cooperation with the Cooperative Extension Services of the United State Department of Agriculture and the University of Kentucky. ARTICLE III MEMBERSHIP The membership of this Association shall be members of organized homemaker clubs and mailbox members. Any person interested in the purpose of this organization regardless of race, color, age, gender, religion, disability or national origin economic or social status, race, color, ethnic origin, national origin, creed, religion, political belief, sex, sexual orientation, gender identity, gender expression, pregnancy, marital status, genetic information, age, veteran status, or physical or mental disability may become a member by signing a club s enrollment card or the Association s application for mailbox membership and paying designated dues to the club or Association. ARTICLE IV LIMITATIONS No part of the net earnings of the clubassociation shall inure to the benefit of, or be distributable to, any of its members, trustees, officers or other private persons, except that the clubassociation shall be authorized to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the exempt purpose. No substantial part of the activities of the clubassociation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the clubassociation shall not participate in, or intervene in any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the clubassociation shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

2 ARTICLE V EXPENSES Funds needed to meet expenses for demonstrations, illustrative materials, and other activities in connection with the Association s programs shall be raised by means decided by the members of the Association. ARTICLE VI ELECTION OF OFFICERS Section 1. The officers of the Association shall be President, Vice-President, Secretary and Treasurer. Section 2. Candidates for Association office shall be solicited from Association membership. Section 3. The president and vice-president shall be elected in even-numbered years and the secretary and treasurer in odd-numbered years. Section 4. no proxy votes. Officers shall be elected by vote of the Association. There shall be Section 5. Applications of candidates for office shall be reviewed by the Nominating Committee, it is suggested that a minimum of two (2) persons for each office to be elected should be selected by the Committee. Notice of the Committee s nominees for office shall be served upon the Association members by mail/newsletter at least three (3) weeks prior to the annual meeting. Section 6. Members who wish to vote and who will be unable to attend the annual meeting must pick up absentee ballots at the Extension office in the two (2) weeks prior to the annual meeting. The completed absentee ballot must be received at the address given in the mail/newsletter notice no later than two (2) days prior to the annual meeting. Absentee ballots shall be counted with the votes taken at the regular meeting by a committee appointed by the President for this purpose. Section 7. New officers will take office thirty (30) days after the annual meeting. No officer shall succeed to the same office more than two (2) terms. In the event an elected officer cannot serve and a successor is not provided for, the Executive Board shall elect a successor. ARTICLE VII DUTIES OF OFFICERS Section 1. President. The President plans, attends, and presides over all county meetings of the Executive Board, Executive Board committees, and the annual Association meeting. The President represents the County Association to other organizations or delegates this responsibility and attends as the official delegate to Kentucky Extension Homemakers Association and Bluegrass Area Meetings. The President appoints county chairs and special committees. Page 2 of 6

3 Section 2. Vice-President. The Vice President performs all duties of the President in the absence or inability of the President. The Vice President serves as Membership and Marketing Committee Chair in cooperation with the club Vice Presidents and serves as chair for the Annual Meeting. Section 3. Secretary. The Secretary attends all Association business meetings, recording and preserving minutes. The meetings are the Executive Board meetings, Executive Committee meetings, and special or called meetings. The Secretary attends to any correspondence upon request of the County President and the Board. Section 4. Treasurer. The Treasurer keeps accurate records of all County Association Funds and has the records audited annually by an appointed committee prior to the books being transferred to the new Treasurer; keeps separate records of various funds such as General Fund, Myrtle Weldon Fund, Coins for Change, Good Neighbor Fund and any other special funds; receives dues from the clubs and pays money as directed by the Executive Board; gives the Treasurer s report at business meetings of the Executive Board and at annual meetings; and serves as Chair of the Budget Committee. ARTICLE VIII EXECUTIVE BOARD Section 1. The direction of the affairs of the County Association shall be vested in an Executive Board composed of the officers of the Association and appointed county chairs, any special committees the President may appoint during the year and any area or state officer or chair belonging to the Association. Board members shall be sponsors of new clubs. Section 2. It shall be the duty of the Executive Board to formulate policies for the Association, make definite suggestions and recommendations to the Extension Agent, and cooperate with the Agent in the agent s work and plan the county and area programs of work. Section 3. The Executive Board shall hold at least three (3) meetings each year and shall meet upon call of the President of the Association or upon the written request of ten (10) members of the Association. Section 4. The Madison County Extension Homemaker Association can remove a board member for due cause with a majority vote of the board. ARTICLE IX EXECUTIVE COMMITTEE The elected officers shall serve as members of the Executive committee and shall plan meetings of the Executive board and the annual meeting of the County Association; attend to other business they deem necessary; and shall meet as often as necessary. 4 ARTICLE X CLUB ORGANIZATION Section 1. There shall be a community organization known as the Homemakers Club of Madison County Extension Homemakers Association in each community within the county having an adequate membership. The minimum number of members to constitute a community organization shall be designated by the Executive board. Section 2. The officers of the homemaker clubs shall be president, vicepresident, secretary-treasurer or secretary and treasurer. These officers shall constitute an executive committee. They shall be elected annually or biennially by the homemaker club members present at a regular meeting. It is suggested that no officer shall serve in the same office more than two (2) consecutive terms. Section 3. The President shall preside at all meetings of the homemakers clubs, shall appoint all special committees not otherwise provided for, and shall have supervision of all matters pertaining to the interest of the club. Section 4. The Vice-President performs all duties of the President in the absence or inability of the President and shall serve as membership chair of the club. The Vice-President also compiles club reports as needed. Section 5. The Secretary shall keep a roll of the club membership and a record of all meetings of the club. This record shall include business transactions, policies, recommendations, attendance, program and other matters of interest. Section 6. The Treasurer shall receive all funds belonging to the club and pay them out on order of the club, and shall make a treasurer s report at regular meetings. Section 7. Club leaders shall attend training meetings, present the information to their respective clubs and communities and assist in carrying on the program in their communities. ARTICLE XI COUNTY PROGRAM CHAIRS Section 1. In order to carry on the program of work selected by the County Association, educational program chairs shall be appointed. These include Family & Individual Development; Environment, Housing & Energy; International; 4-H Youth Development; Leadership Development & Citizenship; Clothing/Sewing; Health; Management & Safety; Food & Nutrition; and Cultural Arts & Heritage/Arts & Crafts, and others as deemed necessary by the Executive Board. Section 2. The County Program Chairs shall have the duty to attend area training, plan and implement county programs, plan ways and means of best carrying out the programs in their phase of work, in their program area and attend board meetings. 5 ARTICLE XII COUNTY MEETINGS The date of annual meetings shall be determined by the Executive Board. Other meetings may be held upon the call of the President. All members shall be notified of the time and place of all county meetings approximately thirty (30) days before the time of the meeting. ARTICLE XIII AMENDMENTS This constitution may be amended by a two-thirdsmajority vote of the members present at any Annual Meeting, provided notice of such a meeting and of the proposed amendments has been given to all members at least thirty (30) days prior to the time of such meeting. In case of emergency or special circumstances, a special meeting may be called to amend the constitution. In such cases a fourteen (14) day notice must be given. TwothirdsMajority vote of the members present will still be required to pass an amendment. ARTICLE XIVII DISSOLUTION OF ORGANIZATION In case of the dissolution of this organizationassociation, after providing for the debts and obligations of the organization, the remaining assets shall be distributed to the University of Kentucky, College of Agriculture for scholarships for students majoring in Family and Consumer Sciences. Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes. to the University of Kentucky College of Agriculture for scholarships to be awarded to Family & Consumer Sciences students.
