1 GEORGIA RECREATION AND PARK ASSOCIATION, INC. RECREATION PROGRAMMING NETWORK BYLAWS ARTICLE I Name and Administrative Office Section One: Name. The name of this Network is: Georgia Recreation and Park Association, Inc. Recreation Programming Network. Section Two: Administrative Office. The location of the administrative office shall be the professional office of the Network Chair unless otherwise designated. ARTICLE II Purpose and Objectives Section One: Purpose. The purpose of the Recreation Programming Network is to unite all members who have a common interest in promoting high standards in a variety of recreation programming areas including the fields of cultural affairs, therapeutic recreation, outdoor recreation and senior adult recreation, and in providing training opportunities and resources pertaining to all facets of recreation programming. Section Two: Objectives. The objectives of the Recreation Programming Network are: A. To promote and maintain higher standards of recreation programming in Georgia. B. To provide training, leadership, and professional guidance for professionals and agencies which offer recreation programming services to the public. C. To promote recreation programming through recognition of excellence in programs, facilities, and professionals. D. To provide a central resource for all facets of recreation programming. E. To provide better communication and fellowship among recreation programming professionals. F. To function in a manner as will further the interest of recreation programming in Georgia and to promote Georgia Recreation and Park Association, Inc. ARTICLE III Power of Association Section One: The GRPA Recreation Programming Network shall have powers congruent with the Georgia Recreation and Park Association, Inc. Charter and By-Laws to establish, provide, and maintain recreation events on the network level by a majority vote of its membership. ARTICLE IV Network Year The Network Year shall correspond with the Georgia Recreation and Park Association's Year. F Recreation Programming Network By-laws (approved 9/17/14)

2 ARTICLE V Membership Section One: Eligibility. To be eligible for membership in this Network, individuals must be members of the Georgia Recreation and Park Association, Inc. Section Two: Members in Good Standing/Voting Members. All members (primary and secondary) are voting members provided they are in good standing with the Georgia Recreation and Park Association, Inc. Section Three: Dues/Financial Obligations. This Network shall have an annual budget that is approved by the GRPA Board of Trustees. Network funds shall be used solely for the benefit of Network activities and workshops. ARTICLE VI Officers Section One: The Executive Board. This Network shall be administered by an Executive Board, which shall consist of the Chair, Chair-Elect, Past Chair, and Secretary. The officers of this Network shall perform the duties usually performed by such officers as described in Robert s Rules of Order (Revised), together with other such duties as shall be described in the By-Laws or by the governing body of the Georgia Recreation and Park Association, Inc. The Executive Board shall have the following duties: A. Establish policies and procedures within the scope of the By-Laws of the Network that are consistent with the Charter and By-Laws of the Georgia Recreation and Park Association, Inc. B. Appoint committee members when appropriate and approve the plan of work of all committees. C. Serve on Network committees in an advisory capacity as needed. D. Handle balloting procedures for the Network. E. Fill vacancies by appointment for offices vacated between elections. F. Approve all expenditures of the Network. Section Two: Duties of the Chair. a. Preside over all meetings. b. Shall vote only in the case of a tie, excluding elections (if she/he is the presiding officer at the meeting.) c. Represent the Network on the Georgia Recreation and Park Association, Inc. Board of Trustees. d. Keep an accurate account of expenses and income and shall make this available in the Network s annual report. e. Appoint up to three (3) Network members to serve on all GRPA standing committees as included in the GRPA By-Laws. f. Assume the position of Past-Chair at the expiration of the term of the incumbent. Section Three: Duties of the Chair-Elect. a. Become acquainted with the activities of the Network and that of the Chair. F Recreation Programming Network By-laws (approved 9/17/14)

3 b. Fulfill the duties of the Chair in his/her absence. c. Oversee the functioning of all committees. d. Shall have one vote. e. Fill the unexpired term of the Chair. f. Assume the position of Chair at the expiration of the term of the incumbent. Section Four: Duties of the Secretary. a. Perform duties usually performed by such an officer. b. Maintain complete records of all correspondence. c. Shall provide up-to-date Network information to the GRPA. d. Shall have one vote. Section Five: Duties of the Past Chair. a. Serve as a standing member of the Executive Board and shall perform such duties usually performed by such an officer. b. Serve as the Chair of the Nominating Committee of the Network. Section Six: Training. All officers shall be responsible for the training of their successors. Section Seven: Term Of Office. The term of office for all officers shall be two (2) years or until the successors are elected and shall qualify. Term begins after election during the Network s Annual Meeting during the GRPA Annual Conference and concludes after one full term or successor is elected/appointed (or any one year period which coincides with elections). The term of office for Recreation Programming Network Chair shall expire in even years. Completed nomination forms must be submitted to the Network Chair 45 days prior to the Network s Annual Meeting held at GRPA Annual Conference. If no nominations are submitted prior to the 45 day deadline, nominations will be accepted from the floor at the Network s Annual Meeting held at GRPA Annual Conference. ARTICLE VII Standing Committees Section One: Standing Committees. Standing Committees may be formed by the Chair with the advice and consent of the voting membership. a. Examples of standing committees: publicity, fundraising, program/workshop, nominating, etc. b. The chairs of the standing committees shall be appointed by the Chair with the advice and consent of the voting membership. c. The Network Chair shall appoint up to three (3) network members to each GRPA standing committee with the exception of the Nominating, Site Selection, and Budget and Finance Committees and the Leisure Careers Foundation. The purpose of this is to ensure network interests are communicated through the GRPA committee structure and to ensure participation by network members in GRPA committees. d. Network Chairs shall have the ability to replace committee members and chairs of subcommittees without having to seek full network approval. 4 Section Two: Ad Hoc Committees. Ad hoc committees may be formed by the Chair with the advice and consent of the voting membership. The ad hoc committee chairperson shall be appointed by the Network Chair with the advice and consent of the voting membership. Ad hoc committees are created in response to a particular issue or concern. ARTICLE VIII Elections Section One: Eligibility. a. Anyone wishing to run for any Executive Board position must have been a voting member for one complete year. b. Each member shall have one vote, and in order to have that vote recorded at the annual meeting, the member must be present. Section Two: Procedures. a. Voting on all matters with the exception of the election of officers and amendment(s) may be handled by U.S. mail and/or . b. Voting by mail or must be completed within thirty (30) days after ballots are sent to the membership. Results of mail or voting shall be announced at the next meeting of the Network. c. Voting on amendment(s) shall be at the annual meeting of the Network, held in conjunction with the GRPA Annual Conference. Members shall be notified of any proposed amendment(s) to By-Laws forty-five (45) days prior to this meeting. Any professional member may request an absentee ballot from the Network Chair to vote on amendments. A method will be utilized to ensure that ballots are not duplicated, and when returned are clearly identifiable. The Chair shall submit these ballots to be counted with those cast at the annual conference. d. Election of officers shall be at the annual meeting of the Network, held in conjunction with the GRPA Annual Conference. e. Nominations for and elections of officers shall be at the Network annual meeting, held in conjunction with the GRPA Annual Conference. Nominations may be made by any professional member in good standing. Absentee ballot is not available for election of officers. The Chair will announce these nominations at the annual business meeting during the call for nominations for the Secretary position at the meeting. The Chair-Elect position will be nominated by form submitted to Network Chair 45 days prior to Network Annual Meeting in conjunction with GRPA Annual Conference. If nominations are not received for Chair-Elect 45 days prior to Network Annual Meeting, a call for nominations for Chair-Elect and election will be held at the Network Annual Meeting. f. A plurality vote by the eligible Network members present shall decide all matters with the exception of amendments, which shall require two-thirds of all votes cast. g. Secret ballots shall be used at the discretion of the presiding officer or Executive Board for voting on matters before the Network. h. Tabulation of votes shall be done by two (or more) mutually agreed upon members in good standing. Section Three: Vacancies. a. In the event the office of the Chair is vacated, the Chair-Elect shall complete the term. F Recreation Programming Network By-laws (approved 9/17/14)

5 b. In the event that any other office shall be vacated, either the Chair shall appoint a replacement for the remainder of the term with the advice and consent of 2/3 of the voting membership or a nominations shall be held at the next regular meeting with the election to occur at the following regular meeting. All appropriate procedures governing elections shall be followed. The replacement officer shall serve the remainder of the term. ARTICLE IX Removal Of Privileges Section One: Loss Of Voting Rights. A member may lose his/her voting rights if he/she fails to maintain in good faith the requirements necessary to become a voting member or to carry out in good faith the purposes of his/her district/network. If a member fails to pay annual GRPA membership dues by the established deadline, the member shall lose his/her voting rights for that year. Section Two: Loss Of Office. An officer may be removed from office by acting in contradiction to the By-laws or showing irresponsibility with the district/network's functioning through his/her duties. a. He/she may be brought up for removal by a petition signed by a majority of the general membership of the Network. b. The accusers shall present their argument for removal at the earliest possible meeting provided the accused has been given sufficient time (usually two weeks) to prepare a defense. c. A 2/3 vote of the voting membership present shall be required to remove the officer. Section Three: Appeals/Reinstatement. Any action taken under the auspices of this article may be appealed within two weeks (or by the next meeting). A 3/4 vote of the Network s voting membership present shall be required to reinstate the member or officer. Reinstatement of voting rights may also be reestablished by following the guidelines set forth in Article V, MEMBERSHIP. ARTICLE X Meetings Section One: Meeting Time. At the first meeting of the year, membership shall set forth a day and time for general membership meetings, which must be adhered to throughout the year. Section Two: Emergency Meetings. Emergency meetings may be called by the Chair or any member of the Executive Board. Section Three: Executive Board Meetings. The Executive Board shall meet or hold conference calls at least three (3) times annually to coordinate and discuss the organization's activities, and a quorum shall be 3/4 the members. Section Four: Transitional Meetings. Transitional meetings shall be held after the election of the new Executive Board, with the outgoing Executive Board, where all organizational materials shall be transferred. 6 ARTICLE XI Amendments Section One: Introduction Of Amendment. Amendments may be introduced by the Chair or by a petition signed by a majority of the voting members submitted to the Chair. The proposed amendment must be introduced at least one meeting prior to voting. Section Two: Passage. A 2/3 vote of the voting membership present shall be required for the amendment to pass. Section Three: Final Approval. Final approval by the Georgia Recreation and Park Association, Inc. Board of Trustees is necessary before any amendments go into effect. ARTICLE XII Parliamentary Procedure Robert's Rules of Order (Revised) shall be the parliamentary authority for all matters not covered under these By-Laws. ARTICLE XIII Delegation of Powers This Network shall be an entity of the Georgia Recreation and Park Association, Inc. All powers not expressed in this document are hereby delegated to the Georgia Recreation and Park Association, Inc. Board of Trustees. All powers are granted to this Network by the Georgia Recreation and Park Association. Any action done by this entity is ultimately the responsibility of the Georgia Recreation and Park Association, Inc. If actions or powers expressed in this document or enmity are not consistent with those of the Georgia Recreation and Park Association, Inc. they will be considered null and void.
