5 AMENDMENT NO.5 TO THE CONTRACT BETWEEN THE CITY OF LOS ANGELES AND THE PORTICO GROUP FOR THE LOS ANGELES ZOO PACHYDERM FOREST AND GOLDEN MONKEY EXHIBIT PROJECTS. This Amendment modifies the Agreement executed on December 12, 2000 between the City of Los Angeles, Department of Public Works (hereinafter referred to as "CITY") and The Portico Group (hereinafter referred to as "CONSULTANT") for the Los Angeles Zoo and Botanical Gardens. WITNESSETH WHEREAS, after conducting a competitive selection process, the CITY selected and entered in to a Design Services Agreement with the CONSULTANT on December 12, 2000; and WHEREAS, the CONSULTANT is currently providing the architectural and engineering design services and design services during construction for the new Pachyderm Forest Exhibit and the Golden Monkey Exhibit and has the experienced personnel to provide the said services; and WHEREAS, the CONSULTANT meets the State requirements to perform professional architectural and engineering work as required in the Professional Architects Act and Professional Engineers Act; and WHEREAS, the CONSULTANT has signified its willingness to perform professional consulting services necessary for the Project in accordance with applicable Federal, State and Local Laws, Ordinances and Regulations; and WHEREAS, services to be provided by CONSULTANT are of an expert and technical nature and are temporary and occasional in character; and WHEREAS, the Bureau of Engineering of the City of Los Angeles, Department of Public Works (hereinafter referred to as "BUREAU"), is the Program Manager, and oversees the CONSULTANT'S performance of this Agreement; and WHEREAS, Amendment No.1 was executed on February 18, 2004, increasing the original Agreement from $1,237,000 to $1,913,810; and WHEREAS, Amendment No.2 was executed on December 7,2005, increasing the original Agreement from $1,913,810 to $1,938,810; and WHEREAS, Amendment No.3 was executed on December 7, 2005, increasing the agreement term from December 11, 2005 to December 15, 2008; and WHEREAS, Amendment No.4 was executed on February 6, 2007 increasing the original Agreement from $1,938,810 to $4,232,000 and extending the term of this Agreement from December 15, 2008 to December 15, Page 4 of 16

6 WHEREAS, the BUREAU and CONSULTANT have agreed to the construction schedule and additional services for the Pachyderm Forest Exhibit Project and that fees of $97,414 will be added to the contract cost ceiling to provide for such additional services, increasing the amount of this Agreement from $4,232,000 to $4,329,414; and WHEREAS, the BUREAU and CONSULTANT have acknowledged that the term of the existing contract as amended is inadequate to complete the Pachyderm Forest Exhibit, as a result the BUREAU and CONSULTANT have agreed to extend the term of this Agreement from December 15, 2009 to February 15, WHEREAS, CITY desires to retain CONSULTANT to provide the required architectural, engineering, and technical services in connection with the Project as outlined herein; NOW, THEREFORE, in consideration of the promises, covenants, and agreements hereinafter set forth, the parties hereby agree to this Amendment as follows: ARTICLE 1A - SECTION HEADINGS ARTICLE 1B - DEFINITIONS ARTICLE 2 - PROGRAM DESCRIPTION Add the following to Article 2.1.A: 12. Construction shall be performed by multiple contractors due to the construction phasing requirements caused by having the Zoo's elephant remain in the existing elephant facility during the construction. ARTICLE 3 - SERVICES TO BE PERFORMED BY THE CITY. ARTICLE 4 - SERVICES TO BE PERFORMED BY THE CONSULTANT Replace first paragraph and Article 4.A with: The CONSULTANT shall provide all aspects of design and construction administration services, as described under SUbsection K, "Project Phases" for Stage I and Stage III of the Project and programming, schematic design and rendering services, as described below under subsections K1, K2 and K3 for Stage II of the Project. CONSULTANT shall perform such work with a degree of skill and diligence normally employed by professional architects, engineers or consultants performing the same or similar services. It is intended that the CONSULTANT prepare complete construction documents to build a new monkey exhibit with a cost of construction not to exceed $4.0 million and prepare complete construction documents to build a new elephant exhibit with a cost of construction not to exceed $34.8 million. 7 4.A. The CONSULTANT shall allocate staff and provide all necessary equipment and supplies to perform the complete design of the Pachyderm Forest Project as described in Article 2 of this Agreement. 4.A.1. CONSULTANT shall provide corrective services without charge to the CITY for services, which fail to meet the above standards, and which are reported to CONSULTANT in writing within sixty days of discovery. The CONSULTANT shall also provide re-design and/or value engineering work with no cost to CITY should the estimated cost of construction of CONSULTANT's completed work results beyond the limit. Should the Page 6 of 16

8 CONSULTANT fail or refuse to perform promptly its obligations under this warranty, the CITY may render or undertake the performance thereof and the CONSULTANT shall be liable for any expenses thereby incurred. Add the following to Article 4: 4.L. Additional Services Authorizations (ASAs) are mutually agreed services needed to complete tasks or milestones identified in Article 4. The CITY shall issue the ASA in writing. The cost of each ASA shall be negotiated. The CITY shall compensate the CONSULTANT on a lump sum basis upon satisfactory completion of the Additional Services Authorization. The total payments for ASAs shall not exceed the amount described in Article 6.2. ARTICLE 5 TERM OF AGREEMENT Add the following paragraph to Article 5: This Fifth Amendment shall extend the existing term from the date the Agreement expires on December 15, 2009 to February 15, 2011 unless terminated sooner as provided in Article 15. ARTICLE 6 COMPENSATION, INVOICING AND PAYMENT Replace Article 6.2 as follows: 6.2. Compensation CONSULTANT agrees to perform the work specified in Article 4 and CITY shall compensate CONSULTANT on a Lump Sum basis. This lump sum payment includes salary, fringe benefits, overhead, profit and all other expenses incurred by the CONSULTANT. The total cost ceiling for this Agreement is $4,329, A. For all the CONSULTANTs basic services, a fee of $3, will be paid to the CONSULTANT based on Construction Cost of $34,800,000 including Construction Cost Escalation, Overhead and Profit at midpoint of construction for the Pachyderm Forest project. 6.2.B. For all the CONSULTANTs basic services, a fee of ~621,OOO will be paid to the CONSULTANT based on Construction Cost of $4,000,000 including Construction Cost Escalation, Overhead and Profit at midpoint of construction for the Golden Monkey Exhibit project. 6.2.C. The cost of the CONSULTANTs Design Services set forth in this Section may be adjusted, but not reduced unless due to reduction in scope of the Pachyderm Forest Project, based on the Adjusted Construction Cost Budget computed upon the completion of the Design Development Phase, provided by the CONSULTANT and approved by the City Engineer. Reduction of the cost of the CONSULTANTs Design Services shall only be to that scope of work not already performed. Unexpended funds allocated for one task may be used for another task as long as the Total Cost Ceiling of this Agreement is not exceeded. Such reallocation of unexpended funds must have prior written approval from the City's Page 7 of 16

9 Program Manager. 6.2.D. The CITY also agrees to pay the CONSULTANT for Reimbursable Expenses incurred by the CONSULTANT directly attributable to the projects only with prior written approval by the City Engineer. Such Reimbursable Expenses shall be the actual cost or actual amount paid to the vendor or supplier. Reimbursables shall include reproduction costs and mail/delivery costs in addition to submittals listed in Article 4 and Exhibit A and travel authorized by the City Engineer. The CONSULTANT shall not be entitled to any mark-up on reimbursable expenses. Total Reimbursable Expenses shall not exceed $180, E. Payments shall be made upon the satisfactory completion of the tasks or milestones as shown in the Fee Breakdown below. The CITY shall not be obligated to reimburse CONSULTANT for costs incurred in excess of the total cost ceiling set forth above unless amended, changed or modified in accordance with the terms stipulated in Article G. The CITY's liability under this contract shall only be to the extent of the Page 10 ofj6

12 present appropriation to fund the Agreement. No action, statement, or omission of any officer, agent, or employee of CITY shall impose any obligation upon the CITY, such officer, agent, or employee, except to the extent CITY has appropriated funds and otherwise in accordance with the terms of this Agreement. 6.2.H. CONSULTANT and the CITY agree that no indebtedness for work performed which results in costs under this Agreement shall arise against CITY until and unless there is an appropriation of funds to pay for such work. However, if the CITY appropriates funds for any successive fiscal years, the City's liability shall be extended to the extent of such appropriation subject to the terms and conditions of this Agreement Costs incurred by the CONSULTANT prior to the actual date of full execution of this Amendment shall only be payable to CONSULTANT if said costs were incurred in completing any task specifically authorized by this contract and said costs are reviewed and approved by the CITY as detailed in Article 4 above and said approval for payment occurs after this Amendment is fully executed. 6.2.J. If the BOARD does not award a contract for the construction of the PROJECT, or a portion thereof, within 180 calendar days after receipt of Construction Bids, the sum stipulated for 100% completion of Construction Document Drawings and Bid and Award Phase shall constitute full and final payment to the CONSULTANT for services rendered under this Amendment, except that by mutual written concurrence between the BOARD and the CONSULTANT on each occasion, the period within which a contract may be awarded may be extended beyond 180 calendar days. During the performance of the Contract, the CONSULTANT certifies and represents that the CONSULTANT will comply with the EBO. The CONSULTANT agrees to post the following statement in conspicuous places at its place of business available to employees and applicants for employment: "During the performance of a Contract with the City of Los Angeles, the CONSULTANT will provide equal benefits to employees with spouses and its employees with domestic partners. Additional information about the City of Los Angeles' Equal Benefits Ordinance may be obtained from the Bureau of Contract Administration, Office of Contract Compliance, (213) " 2. The failure of the CONSULTANT to comply with the EBO will be deemed to be a material breach of the Contract by the Awarding Authority. Personal Services Contract Page 13ofl6

If the CONSULTANT fails to comply with the EBO, the Awarding Authority may cancel, terminate or suspend the Contract, in whole or in part and all monies due or to become due under the Contract may be retained by the CITY. The CITY may also pursue any and all other remedies at law or in equity for any breach. 4. Failure to comply with the EBO may be used as evidence against the CONSULTANT in actions taken pursuant to the provisions of Los Angeles Administrative Code Section et seq., Contractor Responsibility Ordinance. 5. If the Bureau of Contract Administration, Office of Contract Compliance determines that a CONSULTANT has set up or used its Contracting entity for the purpose of evading the intent of the EBO, the Awarding Authority may terminate the Contract on behalf of the CITY.
