2 The Designer Section Constitution and Bylaws Page 1 THE DESIGNER SECTION BYLAWS ARTICLE I: NAME This section shall be known as Designer Section of the Craft and Hobby Association (CHA). ARTICLE II: OBJECTIVES The Designer Section of CHA shall provide community and opportunities for professional growth. The Designer Section Council shall speak as a unified voice for the members of the Designer Section. ARTICLE III: MEMBERSHIP 1. Membership is open to all Designers who qualify as verified Designer members of CHA and who agree to abide by the requirements of these bylaws. 2. Officers shall be the Chair, Vice-Chair and Secretary. The officers shall be active, verified members of the CHA and the Designer Section Council. 3. The new Chair is appointed by the current Chair. The newly-appointed Chair then chooses a Vice Chair and Secretary. Regular appointments for the offices of Chair, Vice- Chair and Secretary shall be held in the autumn of years ending at the term of the current Chair. Terms of office shall be one year in length with the option to continue in office for a second year. 4. The Chair will preside over all council and section meetings and is responsible for the ideology and direction of the Designer Section. The Chair, along with council, has the authority to appoint committees, to act upon Designer Section interests, as necessary, and to oversee the goals and aspirations of the Designer Section membership. The Chair shall be the liaison between the Designer Section members as a group and CHA. 5. The Vice Chair will preside as the Chair in the absence of the Chair. The Vice Chair will also assist the Chair in the performance of her/his duties. 6. The Secretary will take minutes at every Designer Section Meeting and submit a report to the Designer Section Membership, keeping the active membership informed about chapter functions. The Secretary will also take the minutes at every Designer Section Council Meeting. In the absence of the Chair and Vice-Chair, the Secretary will serve as Chair at Designer Section meetings. 7. The Council consists of nine (9) verified Designer Section members who have successfully served at least one (1) year as a lead on a Designer Section Committee.
3 The Designer Section Constitution and Bylaws Page 2 8. Designer Section Council members serve for three (3) years. When those three (3) years are complete, the Designer Section Council member may serve an additional three (3) years. Qualified Designer Section members, who have previously served on the council, may qualify to serve on the council again after one (1) year from their previous service. When a vacancy occurs in a seat on the council, an is sent out to the Designer Section membership asking for qualified volunteers for the council seat. The current council then reviews the volunteer s history and dependability. The council will vote on the candidates during a council meeting. If there are more than three (3) qualified council candidates above the number of seats open, the Designer Section will vote on the candidates in a special election held at the Designer Section Annual Meeting. The current council will notify the current Secretary by at least 75 days prior to the Designer Section Annual Meeting, the names of the qualified council candidates. The Secretary shall the Designer Section members at least 60 days prior to the Designer Section Annual Meeting notifying the membership of the qualified council candidates. The voting on the candidates will take place as set forth in Article VI, Section 4 of this document. When no volunteers step forward, the council reviews the list of all committee leads and volunteers and then asks one or more of the volunteers to join the council in order to fill the seats on the Designer Section Council. If after an extensive search, no volunteers can be found, the council may operate with fewer than nine (9) members. 9. The new officers, council members, committee leads and committee members assume their positions and duties at the Designer Section Annual Meeting. 10. Should a Designer Section Council member need to be removed from the council, the charges will be brought before the Designer Section Council members to be discussed. The council member in question will be allowed to defend their actions and then the Designer Section Council will vote on the necessary action. Should the council member be removed, their replacement will be chosen as set forth in Article III, Section 7 and 8 of this document. 11. The Committee Lead is voted upon and appointed by the council. The individual Committee Lead acts upon Designer Section interests as directed by the Designer Section Council to achieve the goals and aspirations of the Designer Section membership. The Committee Lead will assemble volunteer committee members to facilitate the directives of the Designer Section Council.
4 The Designer Section Constitution and Bylaws Page Should a Designer Section Committee Lead need to be removed from the position, council shall discuss the issues and the Chair will then speak with the Committee Lead. If the problem has not been resolved in a timely manner, the Committee Lead will be asked to step down and then a new Committee Lead will be voted upon and appointed by council. 13. Committee Members are chosen by the Committee Lead to help facilitate the directives of the Designer Section Council. Should a Committee Member need to be removed from the committee, the Committee Lead will discuss the issues with the Designer Section Council. The Committee Lead will then speak to the Committee Member and if the problem has not been resolved in a timely manner, the Committee Member will be removed from the committee and a new member will be appointed. ARTICLE V: MEETINGS 1. The Designer Section shall have a minimum of one (1) meeting per section year, however more meetings are beneficial to the health of the section. The section year coincides with the CHA Annual Show. The new Chair, Vice Chair, Secretary and Council Members shall be announced at the Designer Section Annual Meeting at the CHA Annual Show. The new officers, council members, committee leads and committee members assume their positions and duties at the Designer Section Annual Meeting. 2. The time and location of all meetings will be determined by the Chair. The time and location of the yearly meeting is determined between CHA and the council to fit the time slots at the CHA Annual Show. 3. All section meeting minutes shall be made available to the membership at least thirty (30) days after the Designer Section Annual Meeting. The file is to be placed online or distributed to members through . A digital file is to be placed into an online file if available. A hard copy is to be printed to be placed into the Secretary s Designer Council Binder. The Secretary s Designer Council Binder will be given to the incoming Secretary at the Designer Section Annual Meeting. All Designer Section Council minutes shall be available to council at least fourteen (14) days after the council meeting. The minutes are to be made into a digital file, to be distributed to all council members and uploaded into online file if available. A hard copy of the minutes is to be printed and placed in the Secretary s Designer Council Binder. The Secretary s Designer Council Binder will be given to the incoming Secretary at the Designer Section Annual Meeting. 4. All Designer Section Meetings shall be announced at least thirty (30) days in advance. The announcement shall include the time, place and purpose of the meeting. ARTICLE VI: VOTING PROCEDURES AND ELECTIONS 1. All members of the Designer Section Council of the Craft and Hobby Association may participate in voting when a vote is required. Each voting member shall have one vote.
5 The Designer Section Constitution and Bylaws Page 4 2. All matters that require a vote will be discussed at council meetings. Voting can take place in person at meetings, by electronic mail or secret ballot. 3. A two-thirds majority of the votes received is required for the amendment of these Bylaws. The Chair (or the Chair s designee) will post the question to all Council members. Votes will be accepted during the meeting that the question is posted or during a duration of time set forth by the Chair. Votes will be made directly to the Chair (or the Chair s designee). Results of the vote will be announced as soon as they are available and recorded in the minutes of the meeting. 4. A two-thirds majority of the votes received is required for the special election of Council candidates as noted in Article III, Section 8 of this document. The vote will take place at the Annual Designer Section Meeting by secret ballot. Members in attendance of the meeting will write their vote on a slip of paper, which will be collected at the meeting. The current council will count the votes and the Secretary will verify and record the votes in the minutes. The newly elected council members will be notified within seven (7) business days. The results of the vote will be announced in the minutes of the Designer Section Annual Meeting. 5. A simple majority of the votes received is required for all matters other than the special election of council candidates and Bylaws reform. ARTICLE VII: PARLIAMENTARY AUTHORITY 1. The rules contained in Robert s Rules of Order, Revised Edition shall govern in all cases to which they are applicable and in which they are not inconsistent with this constitution. ARTICLE VIII: CRAFT AND HOBBY ASSOCIATION BYLAWS 1. The Craft and Hobby Association Bylaws shall govern in all cases to which they are applicable. ARTICLE X: ADOPTION 1. This constitution shall become effective upon ratification by the Designer Section Council of the Crafts and Hobby Association. Bylaws adopted on, 2014 by a two-thirds majority of council votes.
