4 Charge One Review and develop contemporary approach to Leadership Succession Committee (LSC) development and nomination process.

5 Leadership Succession Committee Responsibilities Recommend strategies for the ongoing sustainability and advancement of the organization through leadership succession planning. Present a slate of candidates through determination of qualifications and geographic distribution for inclusion on a ballot for the election of the Board of Directors and the Leadership Succession Committee.

6 Reviewed Nursing Organizations Studied Similar National Regulatory Organizations Survey 86% indicated importance of LSC to manage the nomination and interviewing process Many noted that leadership development should be separated from nomination effort Over 50% indicated a preference for a combination of elected and appointed members Supported continued geographic representation Consider another mechanism for leadership development

10 Recommendations Composition of the LSC: Continue with seven committee members with 4 elected by DA and 3 appointed by the BOD. Term of Office A proviso creates a staggered election and appointment process for committee continuity. Selection Change from election since 3 members would be appointed. Also allows the BOD to continue to appoint the Chair who has past seniority with the BOD. Limitation No change. Vacancy Clarifies how an elected and appointed committee member vacancy can be filled. Duties Remove charge from the LSC regarding leadership development and allow the LSC to focus on identifying and recruiting highly qualified candidates. Eligibility Removed redundant language.

11 Rationale Majority of LSC is elected by Delegate Assembly & voice of member boards prevails Consistent with peer organizations BOD appointed members enhance areas of need not found in elected LSC; i.e. knowledge of qualified potential BOD members due to years of experience within NCSBN; balancing expertise of potential candidates Would recruit candidates to be on LSC but do not want to run for BOD Addresses recent alarm regarding large number LSC vacancies Modifications are proactive and minimize leadership by default In summary, Allows for viable LSC in the future to meet the overall charge to find the right candidates for the BOD slate
