1 RESOLUTION NUMBER B-115 TO AMEND THE BYLAWS OF THE NEVADA REPUBLICAN CENTRAL COMMITTEE [Bracketed and Struck Though] material is that portion being deleted Underlined and Italicized material is that portion being added A RESOLUTION TO AMEND ARTICLE 8, 2 AND 7, ADDING A NEW SECTION 10 REGARDING THE STRUCTURE OF CERTAIN COMMITTEES; AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO. BE IT RESOLVED, that the Nevada Republican Central Committee, does hereby declare as follows: RESOLUTION PART A-1 Article 8, Section 2 of the bylaws of the Nevada Republican Central Committee is hereby amended: ARTICLE 8: STANDING COMMITTEES Section 2. Standing Committee Chairmen shall be appointed by the State Chairman, [may be any registered Nevada Republican elector], must be an NRCC member and shall be confirmed by the NRCC Executive Committee. RESOLUTION PART A-2 Article 8, Section 2 of the bylaws of the Nevada Republican Central Committee is hereby amended: ARTICLE 8: STANDING COMMITTEES Section 7. The Personnel Committee shall: A. Consist of the State Chairman as Chairman, the Treasurer, and three members of the Executive Committee as follows: the Clark County Caucus Chairman, the Washoe County Caucus Chairman, and the Rural County Caucus Chairman. RESOLUTION PART A-3 A new section, being Article 8, Section 10 of the bylaws of the Nevada Republican Central Committee is hereby added: Bylaws Amendment Resolution 115 Version 2.0
2 Section10. Chairs of Standing Committees and Special Committees. A. Chairs of NRCC Standing Committees must be NRCC members in good standing at the time of their appointment. The majority of members of all committees shall be NRCC members in good standing. B. In special situations the NRCC Chairman may appoint the Chair of a Committee whom is a qualified Republican elector who is not a member of the NRCC with the following provisions; 1. The appointment is provisional and only upon a unanimous approval vote of the NRCC Executive Committee and; 2. Shall remain provisional until the next regular or special meeting of the NRCC where the appointment must be ratified by a 2/3 majority of the voting members present, as outlined in Article 10 of these Bylaws. RESOLUTION PART B-1 This resolution is hereby introduced by motion of individual Nevada Republican Central Committee member, Nye County Republican Party William Carns. RESOLUTION PART B-2 The Standing Committee on Bylaws formally takes no position on the adoption of this resolution by the Nevada Republican Central Committee, until it completes it review, the results of which will be presented to the Central Committee in it s final report of the Spring 2014 meeting. RESOLUTION PART C FORMAL STATEMENT BY THE INDIVIDUAL INTRODUCING THE RESOLUTION IN SUPPORT OF ITS ADOPTION: As dedication to the Republican Party and to Republican Principles is demonstrated through party involvement this proposed bylaw intends to protect the operation of the party in the hands of those Republicans who have demonstrated that dedication through active involvement. However, in special circumstances, if a Republican from the general electorate of Nevada possesses special skills and/or dedication there remains a path for those special individuals to become Chairman of an appropriate NRCC committee. RESOLUTION PART D SECTION 4. This amendment shall take effect and be in force from and after its passage at the meeting of the Nevada Republican Central Committee at which it was passed. 3 RESOLUTION NUMBER B-116 TO AMEND THE BYLAWS OF THE NEVADA REPUBLICAN CENTRAL COMMITTEE [Bracketed and Struck Though] material is that portion being deleted Underlined and Italicized material is that portion being added A RESOLUTION TO AMEND ARTICLE 6, SECTION 1 AND ARTICLE 11, SECTION 1 TO REQUIRE CANDIDATES FOR PARTY OFFICE TO BE CENTRAL COMMITTEE MEMBERS; CHANGING CERTAIN POSITIONS ON THE EXECUTIVE COMMITTEE; CHANGING NOTICE REQUIREMENTS FOR EXECUTIVE COMMITTEE MEETINGS; AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO. BE IT RESOLVED, that the Nevada Republican Central Committee, does hereby declare as follows: RESOLUTION PART A-1 Article 6, Section 1, of the bylaws of the Nevada Republican Central Committee is hereby amended: ARTICLE 6: OFFICERS Section 1. Officers: A. The elected State Officers of the NRCC shall be a Chairman, Vice-Chairman Secretary and Treasurer. The Officers shall be elected by majority vote at the Fall Meeting of the NRCC during odd-numbered calendar years. Candidates for elected State Officers of the NRCC shall be NRCC members in good standing at the time of their nomination. The State Officers shall serve for a term of two years upon election or until their successors are elected. The Chairman and Vice-Chairman shall reside in different counties. RESOLUTION PART A-2 Article 11, Section 1, of the bylaws of the Nevada Republican Central Committee is hereby amended: Bylaws Amendment Resolution 116 Version 1.0
4 ARTICLE 11: EXECUTIVE COMMITTEE Section 1. Membership: A. Voting members of the Executive Committee shall be: 2) County Caucus Representatives: The Chairmen of the Clark County Caucus, [and] Washoe County Caucus [Central Committees] and [the chairman of] the Rural Counties Caucus. Section 3. Meetings: A. Regular meetings shall be held at least [three] six times per year with at least [fifteen] seven days written notice; B. Special meetings: 1. May be called by the State Chairman with a minimum of [ten] five days written notice; or 2. Must be called upon the request of a majority of the Executive Committee within [ten] seven days of such request;[;] or RESOLUTION PART A-3 A new sub-paragraph, being Article 11, Section 1, Paragraph B., Sub-Paragraph 3, of the bylaws of the Nevada Republican Central Committee is hereby added: 3. A meeting by telephone may be called by the State Chairman with a minimum of 10 hours notice if the request is approved by at least half of the voting members of the State Executive Committee prior to the call for the meeting. 5 FORMAL STATEMENT BY THE INDIVIDUAL INTRODUCING THE RESOLUTION IN SUPPORT OF ITS ADOPTION: RESOLUTION PART C-1 Dedicated and involved Republicans get involved at the county level and then at the state level. Being a member of a county and then the state central committee levels shows prolonged dedication to Republican values and the party. As NRCC membership is solidified roughly 18 months before NRCC officer elections this bylaw would provide that candidates for NRCC offices have been involved at the state party level for more than a year and would therefore be knowledgeable regarding the inner workings of the state party. In effect a position free of state party political ignorance. RESOLUTION PART C-2 The terminology within the Bylaws hasn t remain consistent therefore the above proposal [PART A-2] is included to keep in line with consistency. RESOLUTION PART C-3 As our party needs to remain flexible and relevant and as the communication of today and beyond tends to be at a faster pace the NRCC Executive Committee must have the flexibility to act quickly. This proposed bylaw [PART A-3] provides for that quick action. RESOLUTION PART D This amendment shall take effect at the close of the meeting of the Nevada Republican Central Committee or Nevada State Convention at which it was passed. 6 RESOLUTION NUMBER B-117 TO AMEND THE BYLAWS OF THE NEVADA REPUBLICAN CENTRAL COMMITTEE [Bracketed and Struck Though] material is that portion being deleted Underlined and Italicized material is that portion being added A RESOLUTION TO ADD A NEW ARTICLE 17 REGARDING THE STRUCTURE OF INTERNAL STATE CENTRAL COMMITTEE CAUCUSES; TO MODIFY THE MANNER OF SELECTING THE COUNTY REPRESENTATIVES TO THE STATE EXECUTIVE COMMITTEE; AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO. BE IT RESOLVED, that the Nevada Republican Central Committee, does hereby declare as follows: RESOLUTION PART A A new article, being Article 17 of the bylaws of the Nevada Republican Central Committee is hereby added: ARTICLE 17 : Caucuses Section 1: Membership A: NRCC members from Clark County shall be members of the Clark County Caucus, NRCC members from Washoe County shall be members of the Washoe County Caucus, NRCC members from the remaining counties shall be members of the Rural County Caucus. Section 2: Structure A: Each County Caucus must elect officers from within their ranks of NRCC members. Those officers shall be Chairman, Vice-Chairman, Secretary and Treasurer; nominations and elections must be held at the same meeting of NRCC officers. B: Each County Caucus shall have and maintain their own Bylaws which shall include a minimum of two meetings per year. 7 RESOLUTION PART B-2 The Standing Committee on Bylaws formally takes no position on the adoption of this resolution by the Nevada Republican Central Committee, until it completes it review, the results of which will be presented to the Central Committee in it s final report of the Spring 2014 meeting. RESOLUTION PART C FORMAL STATEMENT BY THE INDIVIDUAL INTRODUCING THE RESOLUTION IN SUPPORT OF ITS ADOPTION: The general membership of the Clark and Washoe County Central Committees elect their respective Chairmen who have then historically been the default chairs of their respective caucus delegation to the NRCC. As the NRCC delegation from each caucus is a smaller and generally more dedicated percentage of the larger Central Committees and as the dedication of involvement within the NRCC can be much more involving in addition to the duties of a county chair it is only appropriate that each of the three caucuses operate with the same standards. The Rural Caucus officers are nominated and elected from the membership of the NRCC Rural Caucus delegation and operate within a set of bylaws. NRCC members from both Clark and Washoe Counties should have the same opportunity to run for caucus office and serve as a caucus officer from within their respective delegations. And as these caucuses serve a separate purpose within their NRCC duties than just their county central committees those duties should also operate within their own set of bylaws. This proposed bylaw defines equal footing and operation of each of the three NRCC caucuses. RESOLUTION PART D-1 This amendment shall take effect and be in force from and after its passage at the meeting of the Nevada Republican Central Committee at which it was passed. RESOLUTION PART D-2 At the meeting at which this resolution is adopted, the Chairman of the Clark County Republican Central Committee and the Chairman of the Washoe County Republican Central Committee shall cease to be members of the Executive Committee and the Clark and Washoe county caucuses of the Nevada Republican Central Committee shall meet and elect new representatives for the balance of two year terms as if elected at the fall meeting of an odd numbered year. 8 RESOLUTION NUMBER B-118 TO AMEND THE BYLAWS OF THE NEVADA REPUBLICAN CENTRAL COMMITTEE [Bracketed and Struck Though] material is that portion being deleted Underlined and Italicized material is that portion being added A RESOLUTION TO ADD A NEW SECTION 2 TO ARTICLE 15 REGARDING COUNTY PARTIES FILING WITH THE FEDERAL ELECTIONS COMMISSION; AND PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO. BE IT RESOLVED, that the Nevada Republican Central Committee, does hereby declare as follows: RESOLUTION PART A A new section, being Article 15, Section 2 of the bylaws of the Nevada Republican Central Committee is hereby added: Section 2. A. Any County Republican Central Committee which files with the Federal Elections Committee (FEC) for and/or obtains recognition from the FEC as a State Party Committee or Federal Local Party Committee for the purpose of collecting and contributing funds and/or expenditures for any federal election shall not enjoy representation or a vote on the s Executive Committee or any standing or special committees for the duration of the existence of the County Central Committee s status as an unaffiliated State Party Committee or Federal Local Party Committee. This paragraph pertains to voting members of the county s Executive Committee. B. If allowable under federal law and FEC regulations any County Central Committee which files for and/or obtains FEC status as a State Party Committee or Federal Local Party Committee may enjoy representation on the NRCC Executive Committee, standing or special committees, however a vote on financial matters of the NRCC must be approved by a 2/3 majority of the respective committee members in attendance of a meeting prior to each financial related vote. RESOLUTION PART C FORMAL STATEMENT BY THE INDIVIDUAL INTRODUCING THE RESOLUTION IN SUPPORT OF ITS ADOPTION: The intent of this proposed bylaw is to disallow any county party which seeks to file with the FEC as an unaffiliated state party separate from the from having a vote on financial related matters of NRCC committees. The reason being that county parties which are recognized by the FEC as State Parties compete for the same funding, therefore a financial conflict of interest may arise when an unaffiliated county party also has a vote on a committee of the state party. The intent is not to eliminate participation or a voice on an NRCC committee, but rather to disallow a potential financially compromised vote. Imagine a member of the board of directors who sits as a voting member of competing soda companies. This bylaw would prevent such financial conflicts of interest yet provide for exceptions on a per-vote basis. This bylaws also provides for the opportunity for all County Central Committees to obtain FEC status if doing so shows to be prudent and beneficial to the state party. RESOLUTION PART D This amendment shall take effect and be in force from and after its passage at the meeting of the Nevada Republican Central Committee at which it was passed.
