1 1 Rainbow Gymnastics, Medford WI Bylaws Updated Article 1 Name The name of the organization is: Rainbow Gymnastics Club. Article 2 Objectives The objectives of the Rainbow Gymnastics Club, a non-profit organization, shall be to provide instruction for gymnastics skills in a Safe environment through strength and conditioning and appropriate drills for the progression of skill development. Rainbow Gymnastics will also offer other classes/programs that increase the health and well being of our community members. Rainbow Gymnastics provides a positive atmosphere conducive to the appropriate maturation for a person's mental, emotional, and social development through actions based on respect, responsibility, honesty, and self-discipline. Rainbow Gymnastics Club provides opportunities for gymnasts who have met specific requirements to compete specified skills and routines set by USA Gymnastics and AAU Gymnastics. Competitions occur throughout the state and national level as well as in our home town. Article 3 Rainbow Gymnastics does not discriminate against individuals involved in the club classes, on the basis of gender, race, religion, national origin, ancestry, Creed, marital status, or physical disability, mental or emotional disability, or handicapping conditions. Rainbow Gymnastics Club is organized to provide a positive and safe environment for gymnastics skills and appropriate mental/emotional development as well as appropriate Social development. This charitable organization is a non-profit organization that may make distributions as an organization under 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. Article 4 Membership Membership shall be open to any person wanting to increase their health and well being by participating in the classes/programs we offer. *Only members of the Board of Directors have voting rights. Article 5 Officers Section 1: The officers consist of a President, Vice President, Secretary, and Treasurer. All officers will be elected for a two-year term; for an unrestricted length of term dependent on continued elections. Elections will be held every August at the August board meeting. Section 2: No members shall hold more than one office at a time. Unless due to extenuating circumstances and on a temporary basis a member of the board can hold temporarily more than one position. Section 3. Officers shall assume their duties September 1 after being elected. Article 6 Duties of Officers Section 1: The President will: 1. Oversee all aspects of the Rainbow Gymnastics board. 2. Be present at the club once per month to observe classes and to speak with parents and or coaches regarding any concerns or comments. 3. Preside at all meetings.

2 2 4. Set the agenda for the board meetings, making them available to board members prior to the meetings via Maintain the Rainbow Gymnastics Club handbook and bylaws with the board. 6. Meet with the Board to set meet schedules and club events, The Vice-President will: 1. Act as the presiding officer in the absence of the President. 2. Assume all other duties in the absence or disability of any officers. 3. Maintain the Rainbow Gymnastics handbook and bylaws with the board. 4. Will be responsible for updates to the handbook and bylaws as changes are made. 5. Will notify membership of these changes. 6. Help to organize and manage fundraising activities. 7. Oversee the annual election of executive officers. The Secretary will: 1. Keep minutes of membership meetings. 2. Make available to membership meeting minutes and post meeting dates and times. 3. Maintain a permanent record of all correspondence and meeting minutes. 4. Maintain the Rainbow Gymnastics handbook and bylaws with the Board. The Treasurer will: 1. Will head the finance committee. 2. Receive all dues, fees, and monies for the club. 3. Pay the bills authorized by the club. 4. Render a statement of accounts monthly at the membership meeting, 5. Work with the Board on the annual budget. 6. File the appropriate tax returns and reports with the Internal Revenue Service. 7. Maintain the Rainbow Gymnastics handbook and bylaws with the Board. Article 7 Board of Directors The Board of Directors shall consist of 9 elected directors of the club. Section : 2 The directors will serve for an unrestricted length of term dependent on continued elections. Elections will occur as necessary at the August board meeting. Section : 3 Any vacancy occurring in the Board of Directors may be filled, a majority vote of the Board of Directors. Section: 4 The Board of Directors shall have full charge of the property and business of the organization, with full power and authority to conduct the same, subject to the instruction of the membership. Section:5 Meetings of the Board may be called by the President at his or her discretion, or at the request of the Board members. Section: 6 A quorum of the Board shall consist of 50% plus one member.

3 3 Section: 7 A board member shall be responsible, by acceptance of election of office for regular attendance at all meetings. Absence at 3 consecutive meeting will result in a dismissal from the board. Board members are encouraged to chair a standing or special Committee. Section: 8 The Board of Directors may, by majority vote of those present at the Annual meeting, appoint one previous Board member to serve as an advisor. The advisor will be a voting member of the Board. The term of the advisor will expire at the end of one year. Section: 9 The Board of Directors may appoint all committees they deem necessary. 0 Board members receive $75 in August if they have attended 9/12 meetings during the previous fiscal year. Monthly gym cleaning requirements are voluntary for board members. Article 8 Meetings There must be at least one annual meeting per year. The annual meeting must be held every year at which time nominations will be accepted for new board members. Board membership of one year is required before holding an executive board position. Section: 2 The date and place of the Annual meeting shall be determined by the Board of Directors, Section: 3 General meetings of the membership shall be held subject to the call by the Board, or upon request of ten percent of the membership. Section: 4 Notice of all general membership meetings shall be made in writing, by a newsletter or least ten days prior to the date of the meeting. Article 9 Fiscal Year The fiscal year will run from September 1 to August 31.

4 4 Article 10 Finances No disbursements to pay funds of the Club shall be made unless so approved by the Board of Directors except for general operating expenses of a minor financial amount. Section:2 No funds of this club shall be disbursed for any other purpose other than assisting in the safety, development, or maintenance of programs run by Rainbow Gymnastics Club. Section:3 No funds of the Rainbow Gymnastics Club shall be used for purposes or activities not permitted under the Federal Income Tax rules for 501 (C)(3) organizations. Section:4 The board may procure financing in the form of a loan or donation by means of a majority vote. Article 11 Amendments to the By-Laws may be decided by a 50% plus one vote of the board of directors present and voting. Article 12 Parliamentary Rules Robert's Rules of Order-Simplified shall govern this organization in all cases that are not defined in the By-Laws. Article 13 Dissolution If this organization should be dissolved, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of and future federal tax code. No assets of any form may be distributed or dispersed to any individual. Dissolution: 1. Present an article of dissolution indication that the Rainbow Gymnastics is dissolving and have the Board of Directors approve with 2/3 majority approval and sign the statement. 2. Complete any and all necessary forms for dissolution set by the Wisconsin Secretary of State as well as any Federal forms and present such forms. 3. Pay all Creditors in full. 4. Select another tax-exempt-non- profit organization to transfer any remaining assets as well as documentation of transfer of assets 5. Obtain approval from the State District court for transfer plan and legal documentations for assets being transferred. 6. Prepare written endorsement of the asset transfer plan and have it signed by a legal representative of Rainbow Gymnastics. 7. Send all completed forms set by Wisconsin and Federal rules for dissolution to designated offices. Approved: Approved:
