1 2017 LEADERSHIP CONVENTION RULES AND PROCEDURES PART A. LEADERSHIP CONTEST 1) Any member of the party, who is a member in good standing at the 8me of nomina8on and has been for at least thirty days prior to the conven8on date, is a resident of the Province of Manitoba, is eligible to run as a contestant under provincial elec8on legisla8on, and is at least 18 years of age may be nominated for Leader of the Manitoba Liberal Party (MLP). 2) In order to be nominated for Leader, a contestant must have filed with the party office Manitoba Liberal Party Molgat Place, 635 Broadway, Winnipeg, MB, R3C 0X1 - no later than 30 days prior to the conven8on, the following: a) WriSen acceptance of the nomina8on by the contestant on a Leadership Applica8on Form which is then approved by the Conven8on Co-Chair(s). b) Nomina8on papers evidencing the signatures of at least 100 members in good standing of the Manitoba Liberal Party who support the nomina8on, at least 10 names each from a minimum of six different regions of the Party, as those regions are currently defined by the board of directors -three of which shall be within Winnipeg and three of which shall be outside of Winnipeg. c) A valid Police Record Check (also known as a Criminal Record Check) and a No8ce of Assessment from Canada Revenue Agency confirming the filing of the contestant s tax return for the most current year; d) A non-refundable nomina8on fee in the amount of $ 5000; or memberships sold that equal $5000; or a combina8on of fee and memberships that equal $5000; e) The name, address, and authorizing signature of the campaign s official agent provided on Elec8ons Manitoba Form 944 No8ce of Appointment of Official Agent for Leadership Contestant; f) The name, address, and authorizing signature of the campaign s auditor provided on Elec8ons Manitoba Form 945 No8ce of Appointment of Auditor for Leadership Contestant; g) Contestant will be subject to a Green Light process which will consist of an interview with an independent panel to review and verify the informa8on submised on the applica8on. 3) A Leadership contestant will be given access to the membership database of the party upon submieng a Leadership Applica8on green light process, the said database to contain full names,
2 addresses, home telephone numbers, and home s, which may or may not be submised at the same 8me as items 2b to 2e, so long as items 2b to 2e are submised by thirty days prior to the conven8on date, and the membership list will be updated periodically as determined by the Leadership Conven8on Chairs.
3 PART B. LEADERSHIP CAMPAIGN RULES 1) Within thirty days afer the Leadership Conven8on, each contestant s Official Agent must file with the party office and Elec8ons Manitoba Form 947 Leadership Contestant s Financial Statements and Suppor8ng Schedules, Form 948 Leadership Contestant s Detailed Contributors List; and if or when applicable, Form 949 Leadership Contestant s Campaign Deficit and Loan Status. 2) To comply with Elec8ons Finances legisla8on, the names of individual donors who are residents of Manitoba must be listed for each contribu8on, or goods or services in kind, and leadership contestants and their official agents should familiarize themselves with the Elec8ons Finances Act and all rules pertaining to leadership contestants and contribu8ons. 3) Contribu8ons to leadership contestants are not tax deduc8ble and contestants are not permised to receive any transfer from the party or from any cons8tuency associa8on. 4) No leadership contestant shall spend more than $100,000 during his or her campaign, exclusive of the fee levied by the Party at the 8me of nomina8on. 5) The Manitoba Liberal Party board of directors shall approve, as soon as possible, a start date and an end date for the leadership campaign period, as recommended by the rules and procedures commisee. The intended dates will be May 15 th, 2017 and October 21 st, ) The Leadership Conven8on CommiSee, led by the conven8on chairs, are responsible for monitoring the conduct of the contestants and their teams, and can advise and provide necessary warning if there is any perceived misconduct. For any maser that may be a serious breach of ethics or any maser where a contestant may face disqualifica8on, the conven8on commisee may forward the maser to the board of directors who have the cons8tu8onal authority to review and make decisions. 7) In the event that a leadership contestant who is declared Leader of the party and who is found in substan8al breach by the duly appointed Returning Officer on or immediately afer the conven8on (sec8on C1) of any of the rules, must appear before an Appeal CommiSee seven days afer of the conven8on. The Appeals CommiSee shall be made up of the chair or co-chairs of the Leadership Conven8on; the chair of the Rules and Procedures CommiSee; and the execu8ve of the Manitoba Liberal Party (President, Vice President, Treasurer, Secretary). The Appeals CommiSee shall hear the legal evidence and arguments of the Returning Officer and the leadership contestant affected as soon as reasonably possible, and issue its wrisen decision within seven days of this hearing, Should a Leadership contestant winner be found in substan8al breach of any item, the declara8on of leadership shall be set aside as a nullity and the leadership contestant who received the next highest number of votes on the last ballot of the conven8on shall be declared the new leader, (subject to the same review as described above). 8) Where applicable and necessary, leadership contestants and their teams and all members of the leadership conven8on commisee shall be guided by the rules and regula8ons of the Manitoba Elec8ons Act, the Manitoba Elec8on Finances Act, and the Manitoba Liberal Party cons8tu8on.

5 PART C. CONVENTION 1. The MLP Board shall appoint the Conven8on Organizing Chair or Chairs; a Returning Officer; and a Rules and Procedures Chair. a. The Conven8on Chair(s), may appoint any addi8onal posi8ons they deem necessary to ensure a fair and open process done within guidelines of the MLP Cons8tu8on. A Mee8ng Recording Secretary must be appointed for the Leadership Conven8on itself. 2. The Conven8on Organizing Chairs may alternate in chairing du8es or by agreement operate as co-chairs. 3. The Conven8on Organizing Chair(s) may consult with each leadership contestant s Official Agent, or the contestant may appoint a Contestant s Representa8ve, with respect to masers directly affec8ng the leadership campaigns. The Conven8on Organizing Chairs shall endeavour to assist the leadership contestants and their campaigns equally in communica8ng with the membership of the Party and in understanding and complying with the rules of the Conven8on. 4. At least forty-five days before the date set for the Leadership Conven8on, the Board of Directors shall give wrisen no8ce to all members of the MLP in good standing, which no8ce shall include: a. the date of the leadership conven8on; b. the address of the leadership conven8on loca8on; c. if Regional poling sta8ons are deemed necessary, the addresses of all other polling loca8ons, and the names of the cons8tuencies where its members may vote at these polling loca8ons, should they not choose to vote at the party conven8on loca8on; as deemed necessary by the Board of Directors; d. the deadline for nomina8ons for Leader of the party and the procedure for nomina8on; e. The rules respec8ng voter eligibility for the Leadership Conven8on. 5. In addi8on to this mailed no8ce, the MLP will place the no8ce at Molgat Place, 635 Broadway, and on the party website. 6. The Returning Officer at the Central Conven8on Loca8on shall oversee all vo8ng proceedings at all vo8ng loca8ons- there are outside vo8ng loca8ons, and shall determine the 8me allosed for vo8ng for all vo8ng loca8ons in consulta8on with the deputy returning officers, who shall also serve as officers for all vo8ng proceedings. The Returning Officer shall appoint deputy returning officers for other polling loca8ons. 7. On the date of the Conven8on, the proceedings shall be called to order at 12:00 noon. The leadership contestants and one nominator each shall be afforded an opportunity to speak to the members as soon as possible thereafer. A seconder is also required who does not speak. The order of speaking will be determined by lot administered by the Conven8on Organizing Chair(s) in consulta8on with the contestants Official Agents or Agent s delegate.

A nominator may speak for up to a maximum of between three to five minutes and the seconder does not speak except to provide their name and that they are seconding the nomina8on of the contestant. The contestant then may speak for up to a maximum of between ten to twenty minutes; the exact 8mes will be decided in advance of the conven8on by the conven8on chair(s) and communicated to the Leadership contestants as soon as possible following the close of nomina8ons, and it may depend on the number of eligible Leadership contestants. The Conven8on Chair shall act as 8me-keeper or may appoint a 8me-keeper. 9. Any and all masers arising in the organiza8on and management of the Leadership Conven8on and any leadership debates sponsored by the Party that are not specifically referred to or dealt with either in the Party Cons8tu8on or these rules shall be decided upon in a manner not inconsistent with the Party Cons8tu8on and these rules as established by the Conven8on Co- Chair(s), whose decision shall be final.
7 PART D. VOTING 1. Vo8ng shall take place on the date set for the leadership conven8on at the Central Conven8on Loca8on which shall be in Winnipeg, and at Regional polling Loca8ons (also called regional conven8on loca8ons in the party cons8tu8on), if deemed necessary by the Conven8on Chair(s). The vo8ng shall take place at the same 8me and for the same dura8ons at polling loca8ons unless specific arrangements are made in advance of the conven8on. 2. All members eligible to vote shall be required to present a valid form of government issued photo iden8fica8on and if they do not have photo ID, then they may present addi8onal forms of government issued ID such as a birth cer8ficate, or health card, or SIN card which must sa8sfy the Returning Officer of their iden8ty. 3. The Board of Directors shall designate those cons8tuencies en8tled to a mail-in ballot, and suitable arrangements must be made with these cons8tuencies in consulta8on with the Conven8on Chair(s) and Returning Officer, although members in those cons8tuencies who choose not to par8cipate in the mail-in ballot and wish to vote at the central conven8on are permised to do so. 4. In addi8on to those eligible for a mail-in ballot for geographic reasons, members who are not able to vote at the Conven8on for religious or cultural prac8ces or medical infirmity can apply for a mail-in ballot -subject to the same 8melines for submission, to the Returning Officer. 5. The Returning Officer shall appoint at least one (1) Deputy Returning Officer to preside over vo8ng at each of the regional polling loca8ons, and may appoint such further Deputy Returning Officers to assist to any of the Conven8on Loca8ons as he or she deems necessary. 6. Any member of the Party, who is a member in good standing on the date of the Conven8on for at least thirty days prior to the date of the Conven8on, and remains in good standing on the date of the conven8on, may vote in person or by mail-in ballot in the following four ways: a. By vo8ng in person at the Central Conven8on Loca8on. b. By vo8ng in person at a regional polling loca8on- if they are deemed necessary, so described by the Board of Directors, provided that voter is a resident of that cons8tuency located within the region served by that regional vo8ng loca8on. c. By vo8ng at any regional polling loca8ons- if they are deemed necessary, provided that the voter has no8fied the Returning Officer of the par8cular polling loca8on, in wri8ng or by to Liberal Headquarters, and the communica8on has been received not less than 5 days prior to the Conven8on. d. By a mail-in ballot, providing the voter has applied to vote by mail-in ballot, and the said applica8on has been received by the Returning Officer not less than 10 days before the date of the Conven8on.

A voter who has applied to vote by mail-in ballot, and who has received a mail-in ballot, must forward that ballot to the Returning Officer c/o Molgat Place, Liberal HQ, 635 Broadway, Winnipeg, R3C 0X1, which ballot must be received no later than midnight on the day before the Conven8on. 8. Further rules related to the mail-in ballot may be developed by the Conven8on CommiSee. 9. Any dispute as to voter eligibility, voter loca8on, or proper voter registra8on shall be decided by the Creden8als Chair. The Creden8als Chair shall, however, provide for an appeal by a voter of a decision to the Returning Officer, who shall be appointed and given her or his mandate and guidelines by the Conven8on Organizing CommiSee. 10. Vo8ng shall be by secret ballot with all leadership contestants then remaining eligible listed on the ballot. The contestants shall be iden8fied on the ballot last name listed first, and listed top to bosom in alphabe8cal order. All ballots shall be kept and sealed by the presiding Returning Officer. Each ballot shall be marked with the name of the cons8tuency of that voter, and shall instruct the voter to mark a clear choice beside the name of the desired contestant. Where there is no clear intent, or that intent cannot be determined by the presiding Returning Officer at that vo8ng centre, that ballot shall not be counted. This clear intent has the same meaning as when decisions are reached in a provincial general elec8on or by-elec8on. In the event of a con8nuing dispute concerning a ballot, the final decision shall be made by the Returning Officer. 11. The mail-in ballot shall list all of the leadership contestants in the same fashion as the regular ballot, except that there shall be a further instruc8on to the voter noted thereon to assign a ranking to as many of the contestants as that voter desires to rank, such ranking to assign the number 1 to the most desired contestant, and so and so forth. A mail-in ballot shall be counted by assigning the vote to the contestant with the highest ranking on the ballot of those contestants remaining eligible, so long as this remains consistent with the cons8tu8on. 12. A leadership contestant who receives 50%+ 1 of the votes cast, as determined in accordance with the coun8ng provisions set out in Ar8cle 9.7 (iii) of the cons8tu8on, shall be declared the Leader of the Party: a. vo8ng shall be by cons8tuency, and all ballots cast by persons eligible to vote from one Cons8tuency shall be collected and counted separately from ballots cast by persons eligible to vote from other cons8tuencies; b. subject to clause 9.7(iii)(c) hereof, once all of the ballots from a Cons8tuency are counted, the total number of votes received by each contestant in that Cons8tuency shall be deemed to be the number, X, which equals the percentage of votes received by that contestant out of the total number of votes cast in that cons8tuency, according to the following expression: X/100 = number of votes received by contestant/total number of votes cast in cons8tuency c. Where 100 ballots or fewer are counted in a cons8tuency, the number of votes from that Cons8tuency received by a contestant shall be the actual number of votes received by that contestant. In order to be declared elected, a contestant for Leader of the Party
9 2 must receive 50% plus one, or more, of the total number of votes cast at the Leadership Conven8on calculated in accordance with clause 9.7(iii) on the cons8tu8on. d. Where, afer a vote is conducted, and no contestant receives sufficient votes to be declared elected, and the returning officer shall cause the name of the contestant receiving the fewest number of votes to be deleted form the ballot, and from all write-in ballots, and another vote taken, and so on un8l a contestant is declared elected. In the event that only one person is nominated to stand for elec8on as Leader of the MLP in accordance with sec8on 9 and any rules made hereunder, or if more than one person shall have been nominated and all but one of the people so nominated shall have withdrawn or been disqualified as contestants, then afer the expiry of the 8me for the filing of nomina8on papers or the withdrawal or disqualifica8on of a contestant or contestants, as the case may be, the Returning Officer shall declare such person acclaimed as Leader of the MLP. 13. In the event that only one person is nominated to stand for elec8on as Leader of the MLP in accordance with all rules and regula8on, or if more than one person shall have been nominated and all but one of the people so nominated shall have withdrawn or been disqualified as contestants, then afer the expiry of the 8me for the filing of nomina8on papers or the withdrawal or disqualifica8on of a contestant or contestants, as the case may be, the Returning Officer shall declare such person acclaimed as Leader of the MLP.
