The objects of the BEBA shall be: (a) To promote interest in eight ball, (b) To promote the playing of and good fellowship among those interested in eight ball in the Bendigo region, (c) To educate, train, coach and encourage competitors and members of the B.E.B.A in the advancement of the sport in general. (d) If the Executive Committee deems fit, to co-ordinate with other bodies for the advancement of eight ball, (e) With Executive approval, to affiliate with Pool Victoria, Pool Australia and /or with any other Body, Organization or Association having a range of aims and objects similar to those of the BEBA, (f) The BEBA shall be Non-Sectarian and Non-Political. TEAM REGISTRATION 3. (a) The Executive Committee shall forward team nomination forms one month prior to the end of the current season to all teams who have been members of the BEBA for that season and to such teams or hotels as the Executive Committee may in their absolute discretion think fit, (b) Any Team wishing to enter or rejoin the BEBA must forward a completed nomination form with the Host venue endorsement prior to the Nomination closing date for that season. All application for membership shall be approved by a majority of the Executive Committee present at the meeting at which the application is considered. The executive reserves the right to decline a nomination of any team, (c) In the event a part of a current affiliated team wishes to break away and form a separate and new team, then that new team will be required to seek membership with the BEBA in writing noting: (i) The endorsement of the host venue management, (ii) A full list of players wishing to transfer to the new team. 4. (a) There is no entrance fee to the BEBA but a subscription will be levied on each team in each competition. The subscription cost for each season shall be determined by the Executive Committee and presented to the Annual General Meeting, (b) Any team upon ceasing to be a member of the BEBA for any reason whatsoever, shall not be entitled to the return of membership subscription or any portion thereof, (c) The Executive may expel from the BEBA or otherwise punish or penalize any team or player, whose conduct in the opinion of the Executive is discreditable or injurious to the character or interests of the BEBA, (d) Any member receiving inducements of any form to join a Team or any profit, salary or financial gains in competition matches, without the approval of the BEBA Executive Committee - that team will be suspended immediately (except for professional services rendered at the request of the Committee), (e) Team disbanding or disqualified: if any team disbands or is disqualified from the BEBA, members of such teams MUST apply to the BEBA Executive for Clearances (Refer By-Law 3 - Clearances). Dependent upon the circumstances the Executive will use its discretion regarding approval of such clearances. MEMBERS REGISTRATION 5. There is no entrance fee for members but a subscription or registration fee will be charged for each Team per season. (a) The numbers shall be unlimited, (b) Persons under the age of 18 years shall be eligible for membership with the BEBA. (As per Hotel Licensing Requirements, the player must be accompanied by his parent or legal guardian to play in competitions), (c) The Executive shall consider such application for registration and shall be at liberty in its full and unfettered discretion to accept Or refuse, without giving any reason, (d) All members shall endeavor to attend the Annual General Meeting of the BEBA, (e) All members upon admission are bound by the constitution, By-Laws and playing Rules of the BEBA, (f) The Secretary of the BEBA shall maintain a register of all members of the BEBA.

(a) The Executive Committee may expel from the BEBA or otherwise punish or penalize any member, who conducts, in the opinion of the Executive is discreditable or injurious to the character or interests of the BEBA, (b) Before any member is expelled or otherwise punished or penalized, his conduct shall be investigated by the Executive and the members shall be given the opportunity to defend himself and to justify or explain his conduct. Provided that a quorum is established and the majority of the Executive present is of the opinion that the member has been guilty of such conduct or action as aforesaid, then the Executive may expel or suspend the member or otherwise punish or penalize him, (c) Should any member fail to appear at any inquiry conducted under Cause 6(b) hereof, or any adjournment thereof, The Executive may proceed in that member s absence to conduct the said inquiry and to make its findings herein before empowered, (d) If any member of the Executive Committee is involved with the Team concerned the Executive will elect an independent arbitrator to replace him, (e) A defendant has the right of appeal but must do so in writing within seven days of the hearing, (i) Appeals can only be heard on the basis of fresh evidence being available, (ii) A fee of $50 is applicable. (Fee will be refunded unless the appeal is deemed frivolous). TEAM & PLAYERS RESTRICTIONS 7. The Executive Committee has the power to grade players and teams. The criteria used by the Executive Committee in relation to the above are as follows: (i) If the Executive Committee feels the Team being entered is nominating in a grade lower than their ability the Executive Committee have the power to place that Team in a higher grade, (ii) Also the Executive Committee has the power to place a Team in a lower grade if they see fit. UNAUTHORISED USE OF NAME 8. Individual members, other than the President, Secretary or Administrator regardless of the status within the BEBA, must not make any communication or enter into written or verbal negotiations involving the BEBA, without the prior consent and approval of the Executive Committee. All official correspondence is the concern of the President, Secretary or Administrator. COMMITTEE MEETINGS 9. Committee shall consist of the Executive and the delegates from each Team. (a) Committee meetings shall be held throughout the season as called by the executive committee, (b) All meetings usually must start by 7.30 pm provided there is a quorum of three Executives, (c) Each team will have two representatives, of which only one need attend BEBA Committee Meetings, (i) One is to be the Delegate, the other one will be known as the Proxy. If the Delegate is unable to attend, the Proxy must, on which occasion or until necessary he will be known as the Delegate for that Team, (ii) If the Proxy is in attendance he shall be a silent assistant to his Delegate, unless otherwise stated through the chair. Both the Delegate and/or Proxy must be registered, financial members of the BEBA, (d) The Executive and Delegate only, have the power of voting and making of motions and statements, (e) Delegate or Proxy for a team can be a member of the Executive Committee. 10. Any member of the BEBA may attend any Committee Meeting but may only listen to the operations and procedures of the meeting unless otherwise directed through the chair. 11. At each Committee meeting there will be taken The minutes, Bank statement, General business, At all meetings the Chairman s decision on points of order shall be final, The chairman shall have a casting vote in addition to their deliberative vote. Note: in the absence of President and Vice President at a committee meeting, a member shall be elected to take the chair. The Secretary or Treasurer shall cast the deciding vote on a tied issue. GENERAL MEETING 12. A general meeting of all members may be called by the Executive (via written notification to all clubs) or by three quarters of all members of the BEBA. (a) A disqualified player is a non-member and cannot represent a club as a delegate, (b) A player suspended from playing only can represent his club as a delegate. ANNUAL GENERAL MEETING 13. (a) The Annual General Meeting of the members shall be before of the summer season each year. Delegates of each club shall be given notice at least four weeks prior to such meeting, in writing, to be placed on their notice boards so that all members are advised, (b) The Secretary and Treasurers Annual Report and audited balance sheet or financial statement shall be submitted to all members at the Annual General meeting, (c) The Annual General Meeting may make or alter Constitution laws necessary for the proper administration of the BEBA. Any constitution laws so made or altered shall not be repealed added to or amended unless and until: (i) Notice of intention to propose such repeal, addition or amendment is first given in writing by a member of the BEBA to secretary of the BEBA not later than 21 days prior the date of the Annual General Meeting and included in the agenda for such meeting, (ii) Such repeal, addition if proposed as such Annual General Meeting is approved by not less than 75% of the members of the BEBA present at such meeting and voting thereon, each motion must be complete in itself and motions must not contradict themselves.

The Election of Officers and Committee for the ensuing twelve months shall take place at the Annual General Meeting together with any other business mentioned in the notice convening the meeting. 15. The President of the BEBA shall be Chairman at the Annual General Meeting. Should he not be present then the vice-president shall be elected to the chair, and if there be no vice-president present, the members shall elect an Executive member to take the chair. (a) At all meetings the Chairman s decision on points of order shall be final, (b) The chairman shall have a casting vote in addition to his deliberative vote. 16. The quorum for the Annual General Meeting shall consist of three Executive Members and ten Delegates and/or other members. If there be no quorum within 30 minutes of the appointed time for the Annual General Meeting then the meeting shall be adjourned for a period of not exceeding 14 days. 17. Any financial member may attend the Annual General Meeting, where he has the right to nominate, second or vote a person to a position on the Executive Committee for the forthcoming twelve months. (a) Suspended players are not eligible to vote, (b) A disqualified player is a non-member and along with non-members has no rights, (c) Members of teams, which have not met financial requirements, are not eligible to vote. SPECIAL, EXTRAORDINARY AND EMERGENCY MEETINGS. 18. If such a meeting is to be called the Secretary shall advise members either by notice in the newspaper or telephone. (a) No minutes shall be read at special, Extraordinary or Emergency Meetings and no business other than that for which the meeting has been called will be discussed, (b) Business transacted at such meeting shall be recorded and read together with those of the previous Committee meeting, at the next Committee meeting. RULES OF STATEMENT OF PURPOSES ALTERING the CONSTITUTION 19. These rules and the statement of purposes of the BEBA shall not be altered except in accordance with the act. EXECUTIVE COMMITTEE 20. The Executive Committee shall consist of the following: President, Vice President, Secretary, Treasurer & Statistician. The Executive Committee has full power to manage the affairs of the BEBA: - Make by-laws for the management of their own proceedings of the BEBA but consistent with the Constitution, - Confirm minutes of the Annual General Meeting or a Special General Meeting, interpret the rules and their decision on them shall be final, - Make rules of play for the game of eight-ball (in accordance with Australian Eight-Ball Federation rules), - Arrange the grading of teams, - Arrange matters in connection with tournaments, - impose fines and/or reprimand, suspend or disqualify any member or club who, in their opinion has been guilty of a breach of any provision of the Rules of the BEBA or disorderly or offensive behavior, - appoint any sub-committee with the necessary powers to manage matters arising out of the special purposes, for which the subcommittee is appointed, - Fill any casual vacancy among officers. Meeting dates: the Secretary, President or Administrator shall call additional meetings when they consider it necessary. In the absence of the President and Vice-President the members present shall appoint a chairman for such meeting. The quorum for any meeting of the Executive shall be three members of the committee. DISPUTES COMMITTEE 21. The Disputes committee shall consist of President, Vice-President, Secretary, Treasurer plus at least two other members as elected at the A.G.M. This committee has the power to hear and adjudicate on disputes and protests (following Tribunal Procedures as set out in the Constitution) as they may arise. SUB COMMITTEES 22. A sub-committee if so appointed: (a) The Executive will appoint such sub-committees (refer Constitution No.20) and shall decide the duties of such sub-committee, (b) The committee or the elected members of the sub-committee shall appoint a Chairman, Secretary, and Treasurer for the appointed Sub-committee before commencement of business by the said committee, (c) The Secretary of the sub-committee will record the business transacted for presentation of minutes at the next Committee Meeting, (d) Members of the Executive are automatically ex-officio members of all sub-committees and can attend meetings of such Sub-committees, (e) Power to Co-opt: The Executive Committee only shall have the power to co-opt the services of any person or persons it may deem desirable.

4 ELECTION OF OFFICERS AND VACANCIES 23. All Executive positions become vacant at the Annual General Meeting. Nominations for the vacant positions of the Executive Committee shall be called for by the Returning officer (elected at the Annual General Meeting). Nominations shall be submitted and seconded and if accepted a vote be taken individually by the show of hands or written ballot (if requested). (a) To be eligible to hold a position, vote or nominate at the Annual General Meeting a person must: (i) Be a financial Registered members in the current season (i.e. member s team has fulfilled all BEBA financial commitments), or: (ii) Have held an Executive or Committee position in that year, or: (iii) Be a life member of the BEBA, (b) Officer of the BEBA. 24. For the purposes of these rules, the office of an officer of the Association or of an ordinary member of the Committee becomes vacant if the officer or member: (a) ceases to be a member of the BEBA, (b) Is no longer a financial member (i.e. member s team has not met all financial Commitments of the BEBA), (c) becomes an insolvent under administration within the meaning of the Companies (Victoria) Code, (d) Either through illness or Death is unable to carry out his duties, (e) Either by way or words or deeds cause injury or discredit to the BEBA, (f) Resigns his office by notice in writing given to the Secretary. DUTIES OF OFFICERS 25. President: shall be the Senior Executive Officer and he will lead and co-ordinate the overall activities of the BEBA in accordance with the Constitution, By-laws and Playing Rules. - He shall represent the BEBA at all Public Functions and sign all official public statements issued in the name of the BEBA, - Preside at all BEBA functions, - Be responsible for seeing that: (a) Meetings are correctly convened, (b) The business of meetings is conducted according to the agenda, and in an orderly fashion, (c) The minutes are read and confirmed, (d) A quorum is present, (e) Motions and amendments are clearly stated, (f) All points of view are given a fair hearing. 26. Vice-President: is a Senior Executive Officer. - He shall act as chairman in all absences of President, - At such times exercise the power of President, - Act as President at any meeting if for any reason the President has to vacate the chair. 27. Secretary: is an Executive officer and shall responsible for all official correspondence and his duties shall include: - Summoning of all meetings and advising each club of the dates and venues of BEBA, - Preparation of the agenda for all meetings, - Record and safeguarding of minutes of all BEBA meetings, - Be responsible for the safe custody of all correspondence, books, documents and securities of the BEBA, which shall be held at the registered office of the BEBA, - Shall keep a register of all members of the BEBA, - Be responsible for the custody of the Common Seal, which shall be held at the registered office and used, with the authority of President, Secretary, Treasurer. 28. Treasurer: is an Executive Senior Officer and shall be responsible for all monies received by the BEBA and given receipts (if required). All monies so received shall be paid into the banking account of the BEBA, at least once per month. (a) The Treasurer shall present at each Committee Meeting a balance of the finances of the BEBA and shall keep proper books of all account of the monies received and disbursed and generally perform all such duties as are directed by the Committee from time to time, (b) The accounts and books referred to in sub-clause (a) shall be available for inspection to all registered members. Appointments can be made with the Treasurer at the registered office of the BEBA. SOURCE OF FUNDS 29. The funds of the BEBA shall be derived primarily from annual, subscriptions of clubs and secondly from other legitimate sources, (donations, social fund raising, ect.) as the Executive sees fit. NON PROFIT 30. The assets and income of the BEBA shall be applied solely in furtherance of its above-mentioned objectives and no portion shall be distributed directly or indirectly to the members of the BEBA except bona-fide compensation for services rendered or expenses incurred on behalf of the BEBA. FINANCE 31. All monies of the BEBA shall be paid into the account of the BEBA at such bank as the Executive Committee may from time to time direct. (a) No monies shall be drawn from the BEBA s account except by cheques signed by two bank signatories authorized by the Executive, (b) No cheque shall be signed or money withdrawn unless such withdrawal has been approved by the Executive or in the case of urgency, by the President, Secretary, Treasurer.

5 AUDITOR 32. Shall be appointed at the request of the Executive Committee to audit annually the books and accounts of the BEBA. He is required to be a qualified accountant. PROPERTY STEWARD 33. If required, he shall: - be nominated by the Executive Committee and shall co-operate with and be responsible to them, - Maintain an accurate account of who has borrowed any equipment belonging to the BEBA, - Maintain a list of all assets and all saleable items of the BEBA, - Report to Committee and Annual General Meetings an accurate account of all such stock. STATISTICAN 34. He shall: - Be responsible for the official player s statistic s, and progressive games tally, - Draw up the playing fixture annually, a printed copy of such fixture to be supplied to all Hotel teams, - Issue at completion of all matches a Ladder to each Hotel if possible, - Be responsible for the annual trophy winners of the BEBA as determined by the said formula. DELEGATES 35. Each Team must elect a responsible Delegate and Proxy who is a registered, financial member of the BEBA, who will form part of the BEBA Committee (Rule 9, Committee Meeting). Delegate and Proxy s addresses and phone number must be given to the BEBA office, and Delegate and Proxy must notify office of any change. Each delegate shall be responsible for: - Attending meetings as required (non-attendance penalized four premiership points), - Receiving and distributing notices from the BEBA to his team members, - Reporting any information from his own Team to the BEBA Committee Meetings, - Handling the defense of any of his Team members, who contravene the Constitution and/or By-laws and/or Playing Rules, - That a person is nominated to attend meetings as replacement for himself and/or Proxy if they are unable to attend such meetings and that such person will carry out the duties set out for the Delegate and/or Proxy, Teams not represented by a responsible Delegate will miss vital information, which could mean much more than the loss of four points. The BEBA is not responsible for information that was not passed on to your Team and/or Members. HONORARIA 36. All elected members of the Executive Committee shall be paid an honorarium of $1.00 annually. ALTERATION TO CONSTITUTION 37. This Constitution on the BEBA Rules shall not be added to, altered, repealed or rescinded except at the Annual General Meeting or Special Meeting convened for that purpose. No motion for alteration or addition shall be submitted to a vote of the BEBA unless notified hereof, together with the proposed alteration or addition in writing. Motion to be signed by the proposer and seconder shall have been handed to the BEBA Secretary at least 21 days before the date of the Annual General Meeting or Special Meeting at which the alteration is proposed to be made. Any proposed alteration, addition or amendment shall be carried by at least a 75% majority of those present at the meeting and entitled to vote. LIFE MEMBERS 38. (a) Any registered of the BEBA may nominate, in writing for the consideration of the Executive Committee any person who has rendered outstanding service and is deemed a fit and proper person to be granted Life Membership of the BEBA. (b) The recommendation for Life Membership shall be based upon the services rendered to the BEBA by the member nominated. (c) The Executive Committee will convene a Special Meeting to discuss Life Membership. (i) Executive Committee to decide if a Life Membership is to be awarded in that year, (ii) No more than two Life Memberships can be awarded in any one year, (d) Life Membership will be presented with a badge and will be admitted at no cost to all functions of the BEBA, (e) Life Member may hold a position on the Executive Committee. DISBANDMENT 39. The BEBA may be disbanded with the consent of 75% of the members present at a Special General Meeting called for that purpose. DISSOLUTION 40. In the event of the BEBA being dissolved, the account, which remains after the satisfaction of all debts and liabilities, shall be in accordance with the powers to fund, institution, or authority which is a non-profit organization with like objectives. DEBTS 41. (a) If a Team owes money to the BEBA at the beginning of a season (unless granted a time extension by the Executive Committee) that team will receive no premiership points until the account has been fully paid, (b) If a Team or Member owes to the BEBA at the end of the season any monies, then that Team or Member is not eligible to register the following year until such time as all monies are paid (in other words, they are suspended). BETTING 42. Betting on games held by the BEBA in competition will not be condoned.

6 INTERPRETATION 43. In this Constitution masculine includes feminine. in writing or written means and includes printing or other means of representing or reproducing words in visible form. Words importing singular include the plural and words importing plural include the singular where the context permits.
